      PCCW mit 6 Mrd US-$-Finanzierung

CyberWorks Issues Options To HKT Employees At Exercise Price Of 4.872 HKD
      Oct 30 2000 11:52AM

HONG KONG (AFX-ASIA) - Pacific Century CyberWorks Ltd said it is issuing options to the 14,000 employees who joined the company via the merger with Cable & Wireless HKT at an exercise price of 4.872 hkd.
The total size of the option issue will be less than 1 pct of the company`s fully-diluted issued capital, the company said.

An initial issue of options was made today, with various amounts to be distributed to the staff depending on their seniority, it said, adding that each employee will receive between 3,800 and 28,000 options.

The exercise price for this option issue is at a 20 pct discount to 6.09 hkd, which is the average closing price of the company`s shares on the previous five trading days, it said.

Within the next two weeks, employees may subscribe to additional options, also priced at 4.872 hkd, by foregoing payment of up to 20 pct of their monthly salaries.

Additional discretionary options have also been allocated to each business unit, to provide incentives for high-performing employees, it said.

Employees have the right to exercise one third of the options one year after issue, and exercise the remainder three years after issue, the company said, adding that the options will be backed by new shares.

CyberWorks senior vice-president John Menster said that if Cyberworks` share price remained at 6.09 hkd, employees would earn a combined profit of 142 mln hkd once they exercised all of the automatic options.

CyberWorks deputy chief executive officer Norman Yuen said the dilution effect of the option issue is "immaterial", given the large number of the company`s issued shares.

He said the aim of the option scheme is to "align staff interests with that of the company", and to attract and retain the best talent.

"The objective of the scheme is to drive the creation of shareholder value, and foster ownership and entrepreneurial culture among the staff," Yuen said.

PCCW to Hold Presentations This Week for Refinancing
      Oct 30, 2000 - 13:20:13 HKT
      Quamnet News Service

Pacific Century CyberWorks Ltd. (0008), Asia`s second-largest Internet investment vehicle, has been discussing with banks two revised deals totaling a minimum of US$6.1 billion, according to the Basis Point, a weekly Asian debt markets newsletter.

Presentations to be held in Hong Kong this week will help clarify whether the financing will be raised via one or two deals, it said. A minimum US$4.0795 billion is required is refinance the remainder of the US$9 billion facility for PCCW`s acquisition of HKT. The amount is the US$9 billion facility minus US$3.555 billion payable to PCCW on completion of the Telstra joint-venture deals, half of the proceeds from PCCW`s recently proposed rights issue, and the US$1.1 billion convertible bond issue announced last week.

The additional US$2 billion debt is being sought by its Internet Protocol backbone joint venture with Telstra.

PCCW (0008-HK) reported negotiating on refinancing

Pacific Century CyberWorks (PCCW) kicked off its refinancing plan by negotiating with individual banks last week, according to the Hong Kong Economic Times, citing bank sources.

PCCW had earlier arranged for a transitional loan of US$9 billion (HK$70.2 billion) due next February for the acquisition of Cable & Wireless HKT.

Sources said that the banks have requested PCCW to use the proceeds of its US$1.6 billion from the rights issue and its convertible bonds issue to reduce debts.

As such, the refinancing amounts have been cut to US$4.1 billion from US$5.5 billion.

PCCW has negotiated for the interest rate to be set at not exceeding the London Interbank Offered Rate (LIBOR) plus 100 basis pts (ie less than 7.25 pct), and that the refinancing be for project financing rather than as a corporate loan.

The servicing of the loan will be from income generated from its fixed network business so as to reduce the effect on share price of the company.

The company is pushing for a lower refinancing rate.

In addition, the company is holding talks with bankers for a new loan of US$2 billion.

The amount is intended for use on the IP backbone company jointly developed by the company and Australia`s Telstra.

PCCW certain banks will come to refinancing party
      By LEONIE WOOD

      Tuesday 31 October 2000

Pacific Century CyberWorks managing director Alex Arena believes the company will have no difficulties convincing all of its 47 banks to agree to a $US4.5 billion ($A8.62 billion) refinancing package by the end of April, despite a likely tightening in global lending markets.

Mr Arena told The Age in a recent interview that ideally PCCW would like to shrink its debt to as little as $US3 billion, although it believes it could be comfortably covered with $US6 billion.

PCCW last week unveiled a $US1.8 billion equity issue to help lower its debt levels ahead of the refinancing deal, and on Wednesday it revealed plans to cut spending on its Network of the World broadband content creation division.

Analysts, however, are concerned that the revised terms of PCCW`s deal with Telstra, signed earlier this month, have weakened the security that the Hong Kong-based company can offer its banks.

Telstra bought 60 per cent control of PCCW`s Hong Kong Telecom mobile phone business for $US1.68billion, and snared security for a $US750million convertible note extended to PCCW against half of the Hong Kong company`s shareholding in an Internet carrier joint venture.

Mr Arena said PCCW`s bankers still could claim security over all of the IP backbone assets invested in the venture by PCCW, without affecting Telstra`s position. Further, once the backbone carrier is refinanced with $US2 billion of new bank debt, PCCW could extract a total of $US1.12 billion to channel back to its own bankers.

In total, PCCW`s revised deal with Telstra yields $US3.55 billion, reducing its current debt level from $US9 billion to $US5.45 billion.

PCCW assumed $US12 billion of short-term bank debt earlier this year as part of its $US37 billion scrip-plus-cash takeover of Hong Kong Telecom. It used $US3 billion of cash to pay down the first tranche of that debt in August, and the balance must either be refinanced or expunged by November 2001.

PCCW has told Telstra it wants to complete the refinancing by April, and management expects new arrangements might be signed by February.

Speaking to The Age before the announcement of the equity raising, Mr Arena suggested PCCW`s share price had been hit by a combination of massive short-selling by hedge funds and the overhang of Cable & Wireless plc`s estimated 15 percent residual holding.

"If you see the activity of short-sellers (in PCCW), it`s extraordinary," he said.

While C&W has an agreement with PCCW not to sell its shares before February, the Hong Kong market is full of rumors that the British-based C&W, in off-market transactions, has loaned its shares to short-sellers.

PCCW`s shares hit a record low of $HK5.65 during trading last week.

Doubts over its refinancing plan remain because banks around the world were effectively put on notice in September by European banking regulators who were concerned about the level of lending to the telecommunications sector.

In the first nine months of 2000, global banks loaned about $US171 billion to the sector to finance a series of mergers, acquisitions and wireless spectrum bids.

Mr Arena, however, does not believe the tightening among European banks would necessarily flow through to Asian markets.

"I know from our experience that the banks are still extremely supportive ... because of the underlying fundamentals and the opportunities that we present," he said.

"Banks will become more selective - there is no doubt - over time. But we are quite confident. There is still a lot of moneycoming into the banking sector, there is still a lot of moneythat needs to find somewherefor investment purposes."

Asked if he envisaged any difficulties with the banks, Mr Arena said: "The short answer to your question is no."

"We have a constant dialogue with our banks; that is just something that we do as a matter of course."

With PCCW`s shares languishing around $HK6, Mr Arena was asked if he could see anything that might turn investor sentiment around.

"No," he said. "One just has to let the stock price do what the stock price does, particularly in a highly liquid stock like ours - that`s the market at work."

Hong Kong`s CyberWorks, I-Cable to End TV Content Pact in Nov.
      By Cathy Chan

Hong Kong, Oct. 30 (Bloomberg) -- Pacific Century CyberWorks Ltd., which plans to scale back investment in its broadband portal operation, said it doesn`t plan to extend a contract to provide television content for I-Cable Communications Ltd.

The three-month agreement, which was signed in August, will end on Nov. 27, the companies said in a statement, without specifying the reason for not continuing the pact. Under the deal, Cyberworks broadcast its English-language Network of the World services with Cable TV, a unit of I-Cable Communications.

The end of the distribution agreement comes after CyberWorks proposed cutbacks of its broadband Internet and satellite TV service. The company, which originally earmarked $750 million for its English and Chinese NOW service in the next 18 months, said last week that spending on NOW would be ``a discretionary item due to caution in the Internet market.``

CyberWorks is set to roll out its Chinese-language NOW service in 2001 and will explore ``further opportunities for cooperation between the two services,`` a spokeswoman of NOW said in a statement.

In the first six months this year, CyberWorks spent $130 million on the NOW service which started in June. Viewers of NOW on televisions, computers and mobile phones can call up text, sound or video on everything from skydiving to punk rock.

CyberWorks earlier said it will consider merging its unprofitable iTV company, which offers video-on-demand television service, with its NOW operation.

CyberWorks, Cable TV to conclude NOW trial broadcast on Nov 27
      Oct 31 2000 10:27AM

Hong Kong, October 31 (afx-asia) -- Pacific Century CyberWorks Ltd`s broadband interactive service Network of the World and Hong Kong Cable Television Ltd said the trial broadcast of the English-language NOW TV service on Cable TV will be concluded on Nov 27.
In a statement, both companies said they will continue to seek new opportunities for cooperation after the three-month trial.

The statement said the Chinese-language NOW service is scheduled to roll out in 2001, adding: "We look forward to exploring further opportunities for cooperation."

      HK`s I-Cable axes CyberWorks` NOW
      By Vivian Chu, CBS.MarketWatch.com

Last Update: 10:52 PM ET Oct 30, 2000

HONG KONG (CBS.MW) - Pacific Century CyberWorks said its interactive multimedia service Network of the World, or NOW, will no longer be shown on local cable television provider I-Cable Communications after a trial broadcast ends next month.
Termination of the agreement is the latest blow for CyberWorks (PCW: news, msgs) , which already has suffered the cancellation of two other high-profile deals since September.

The three-month trial was "a good start for cooperation" between the two services which would continue to seek new opportunities of cooperation, said Hong Kong Cable Television in a release.

No reason was given for the termination, and spokesmen from both companies were not immediately available for comment.

I-Cable Communications (ICAB: news, msgs) owns Hong Kong Cable Television, which has 480,000 subscribers in the city. Besides its cable network, it also operates a local fiber optic network through which it will launch high-speed Internet access next year.

Shares of CyberWorks shed 0.83 percent to 6.00 Hong Kong dollars on Tuesday morning.

The stock has tumbled far from its February peak, but the collapse of a pair of recent deals has intensified selling pressure.

First, Taiwanese broadband services provider GigaMedia (GIGM: news, msgs) pulled out of a three-way partnership with PCCW and local partner ERA Communications. Earlier, U.S. Internet investor CMGI (CMGI: news, msgs) withdrew from a palm to set up a global venture fund with CyberWorks and another partner.

Moreover, it also raises questions about the quality of content on NOW, which CyberWorks once predicted would be the world`s dominant broadband Internet service combining entertainment and information.

Most analysts agree that the content on NOW -- with its youth-targeted offerings such as video games, indie film clips and music videos -- is not compelling enough to attract a wider audience or much-needed advertisers.

"This is yet another indication of how NOW is being perceived, and a negative in terms of the momentum for CyberWorks," said one analyst at a U.S. investment bank in Hong Kong.

"At the end of the day, if they`re not getting enough registered users and not enough people watching their content, it`s hard for them to argue that it makes sense to carry on the service," he added.

I-Cable`s termination of the trial run comes after CyberWorks told analysts last week it would cut back spending on NOW, after earmarking $750 million for the project over the next 18 months.

      Who bought 44m PCRD shares?
      By AZHAR KHALID

A MYSTERY buyer snapped up 44.36 million shares of Hongkong tycoon Richard Li`s Pacific Century Regional Developments (PCRD) at $1.34 apiece during the final half-hour of trade yesterday.

The transaction accounted for about 48 per cent of the total volume of 93.26 million shares traded on the counter -- making it the most actively traded stock.

PCRD`s shares ended 13 cents higher at $1.48 after hitting an intra-day high of $1.51.

An institutional dealing manager said the huge trade caused a stir in trading rooms.

Most dealers said the buyer was from BNP Paribas Peregrine while others believed it may be on behalf of another party.

BNP could not be reached for comment.

With the market thriving on rumours of mergers and acquisitions, some dealers were quick to speculate that the buyer was Singapore Telecom (SingTel).

""Some believe that SingTel is bidding to buy a stake in PCRD`s Hongkong subsidiary Pacific Century CyberWorks,`` said a local dealer.

But SingTel said yesterday it had not made any such purchase.

      CyberWorks also declined to comment.

There was also market talk that the shares were bought to fulfil the delivery of shares for a covered warrant that had expired.

But Kim Eng Securities analyst Tong Weng Kin said he did not think there was any covered warrant on PCRD expiring yesterday.

      PCCW: strong buy , 250 % Aussicht !

Telstra unterstützt das "Network of the World" ( NOW) außerdem mit Distributionsdiensten.

US-$.

Oktober, Indosuez W.I.

iLink betreibt mehrere Daten-Center in Hongkong. Den Break-even erwartet man allerdings erst in fünf Jahren.

PCCW: 90 pct subscribers to use mobile data service in 4 yrs

Pacific Century CyberWorks (PCCW) (0008-HK) announced the launch of the first (General Packet Radio Service) GPRS commercial service in Hong Kong and said that the service will initially be offered to 1010 mobile communications subscribers.

Subscribers may enjoy 2MB transmission data service for $198 per month.

General manager Eden Lau of PCCW Marketing Mobility Services has an optimistic view on the development of mobile communications services.

Mr Lau added that after the GPRS mobile phones become popular, the company will extend its service to One2Free subscribers.

He expects 80-90 pct of Hong Kong mobile communications subscribers will use mobile data services such as GPRS technology in four to five years` time.

In addition, he said PCCW will repack its existing i.MENU data service into @1010 service and add Post@1010 sub-pages so as to offer browsing facilities for six magazines.

      Legend and CyberWorks expand co-operation
      HUI YUK-MIN and REUTERS

Legend Holdings and Pacific Century CyberWorks are in talks to expand their business co-operation to provide network upgrade and management solutions for China`s cable television operators.
Mary Ma, Legend senior vice-president, said the co-operation would include assisting the mainland`s more than 3,000 cable television operators in upgrading their cable networks from existing one-way transmission capability to two-way enabled broadband networks.

"The [Beijing] government has announced its plan to open up value-added Internet-related services for cable TV operators," Ms Ma said.

"We believe this would be a good business opportunity for both of us."

Last Wednesday, the Ministry of Information Industry`s director-general of policy and planning, Liu Cai, said the ban on telecommunications and cable television operators becoming involved in each other`s business had been revoked after being in force for just a year.

Beijing`s policy shift to allow cable TV operators to provide Internet value-added services was the latest move to encourage competition in domestic telecoms and broadcasting industries prior to the opening up of the sector for foreign investment after China`s entry to World Trade Organisation.

Legend - China`s dominant personal computer manufacturer - believes that jointly providing cable TV network upgrading and solutions services with Richard Li Tzar-kai`s CyberWorks will eventually help to boost its hardware sales.

Legend chairman Liu Chuanzhi said the cable TV business plan was an extension of the two parties` original strategic alliance framework signed in late February. Under the memorandum of understanding, Legend and CyberWorks` original link covered the distribution of CyberWorks` multimedia services Network of the World and the manufacture of set-top boxes.

Legend expected to reach an agreement with CyberWorks by the end of the month.

The news helped to relieve worries on the link between Legend and CyberWorks as the talks between the two have dragged on for eight months without any progress. Mr Liu said the discussion on the share split between the two was one of the reasons the talks continued for so long.

Meanwhile, Legend plans to invest about HK$2.4 billion - which the company raised from share placements early this year - in its businesses during the next three to five years, according to Mr Liu.

Of the amount, about 40 per cent will be invested in Internet-related businesses, including the joint venture with CyberWorks.

About 20 per cent of the sum will be invested in research and development for new products, 20 per cent on marketing, and the remainder used for working capital.

Shares in Legend fell 25 cents, or 3.73 per cent, to close at HK$6.45.

PCCW HKT Wins US$30 MLN Contract to Provide Infonet With Capacity

HONG KONG, Nov 3 Asia Pulse - Pacific Century CyberWorks said its telecommunications unit PCCW-HKT has signed an agreement valued at approximately US$30 million with Infonet Services Corporation to provide integrated international communications capacity.
Under the agreement, PCCW-HKT will provide Infonet with 300 Mbps of international capacity to connect Hong Kong, Japan and Malaysia within the fourth quarter of 2000, the company said in a statement.

Subject to the accord of both parties, an additional 450 Mbps capacity to link up Hong Kong with the rest of the world can be in place before the end of 2002.

"As we expand our services to the fast-growing Asia-Pacific region, we will continue to build up reliable and efficient network capacity for integrated voice, data, Internet/IP and video traffic," said Larry Morgan, Vice President, Asia-Pacific of Infonet.

The total possible capacity involved in the agreement is equivalent to 1.5 per cent of the data requirements in the Asia-Pacific region for 2000/2001, according to forecasts in The Bandwidth Explosion Report 1999, by Ovum, an independent research and communications company.

"With our extensive experience and cutting-edge technology in telecommunication services, PCCW-HKT can meet the growing demand for high speed services, while furthering Hong Kong`s role as a major communications services center. The partnership with Infonet means we can work together with our customers to capitalize on the huge business opportunity created by the digital economy," said Ted Hsiung, President, Commercial Services of PCCW-HKT.
