Digital World <0109.HK> in 700 mln new shr issue

HONG KONG, March 21 (Reuters) - Digital World Holdings Ltd said on Tuesday it would issue 700 million new shares to its largest single shareholder, Chan Tak Hung, at HK$0.032 each for net proceeds of HK$21.5 million for high-tech investment and as working capital.

Chan in turn would place 700 million existing shares of the company at the same price to independent investors, the electronic appliances distributor said in a statement.

After the placing and subscription, the shareholding of Chan would be diluted to 10.26 percent from the current 10.75 percent.

The placing price represented a 3.03 percent discount to the stock`s close of HK$0.033 on Monday, or a 17.95 percent discount to the average of the closing price of the stock for the last 10 trading days, it said. The company changed its name from Q-Tech Holdings Ltd earlier this year to reflect its diversification into trading computers and computer parts and accessories.

Insgesamt werden somit 21,5Mio HKD in die Kassen gespült.

Die haben auch ihren Namen von Q-Tech zu Digital World geändert und ihr Geschäftsgebiet ist nunmehr Computer und Computereinzelteile!

Wie wärs mit einer Kursaussetzung? Oder einer Kapitalherabsetzung? Dann gibt es weniger Aktien zum selben Preis. Dann kann man bei den Stückzahlen eine null wegstreichen aber der Kurs bleibt bei einem cent.

Mr. Chan Tak Hung (the "Vendor"), the single largest shareholder
of Digital World Holdings Limited (the "Company"), beneficially
owns about 10.75 per cent of the existing issued shares in the
Company, has appointed TIS Taiwan International Securities (HK)
Limited ("TIS") and Ever-Long Securities Company Limited
("Ever-Long") as the placing agent to place an aggregate of
700,000,000 shares (the "Placing Shares") of HK$0.01 each
("Shares") in the capital of the Company at a price of HK$0.032
per Placing Share (the "Placing Price") to independent investors
(the "Placing"). A placing agreement (the "Placing Agreement")
dated 20th March, 2000 was entered into between the Vendor, TIS
and Ever-Long.

The Vendor has conditionally agreed to subscribe for 700,000,000
new Shares (the "Subscription Shares") at HK$0.032 per Share
(the "Subscription"). A subscription agreement (the
"Subscription Agreement") dated 20th March, 2000 was entered
into between the Vendor and the Company.

The Placing Shares represent approximately 4.74 per cent of the
existing issued share capital of the Company and the new Shares
to be issued pursuant to the Subscription (the "Subscription
Shares") represent approximately 4.74 per cent of the existing
issued share capital of the Company and approximately 4.53 per
cent of the enlarged issued share capital of the Company
following completion of the Placing and the Subscription. The
shareholding of the Vendor in the Company before the Placing,

6.00 per cent and 10.26 per cent respectively.

The net proceeds of the Subscription of approximately HK$21.5

PLACING AGREEMENT DATED 20TH MARCH, 2000
1. Vendor:
Mr. Chan Tak Hung, Chairman of the Company.

2. Placing agent:
TIS Taiwan International Securities (HK) Limited and Ever-Long
Securities Company Limited are the placing agent.

3. Placees:
More than six private individual or institutional investors.

4. Independence of placees and placing agents:
TIS, Ever-Long and placees procured by TIS and Ever-Long are
independent of the directors, chief executive, substantial
shareholders of the Company or any of its subsidiaries or an
associate of any of them (as defined in the Rules Governing the
Listing of Securities on The Stock Exchange of Hong Kong
Limited).

5. Number of Shares to be placed:
Up to 700,000,000 Shares, representing a maximum of
approximately 4.74 per cent of the existing issued share capital
of 14,768,076,682 Shares, will be placed pursuant to the Placing.

6. Placing Price:
HK$0.032 per Placing Share.

The Placing Price was arrived at after arm`s length negotiations
between the Company and the Placing Agent and represents a
discount of approximately 3.03 per cent to the closing price of
HK$0.033 per Share as quoted on The Stock Exchange of Hong Kong
Limited (the "Stock Exchange") on 20th March, 2000. The Placing
Price also represents a discount of approximately 17.95 per cent
to the average of the closing prices of the Shares quoted on the
Stock Exchange for the last 10 trading days prior to and
including 7th March, 2000 of approximately HK$0.039 per share.

7. Rights:
The Placing Shares will be free of any third party rights,
charges, equities and encumbrances. The placees will receive all
dividends and distributions declared, made or paid on or after
completion of the Placing.

8. Completion of the Placing:
The Placing is unconditional and expected to be completed on or
before 21st March, 2000.

SUBSCRIPTION AGREEMENT DATE 20TH MARCH, 2000
1. The Subscribers:
Mr. Chan Tak Hung, Chairman of the Company.

2. Number of new Shares subscribed for:
Equal to such number of Shares as may be placed by the Placing Agent
upon completion of the Placing and 700,000,000 new Shares,
representing a maximum of approximately 4.74 per cent of the
existing issued share capital of 14,768,076,682 Shares and
approximately 4.53 per cent of the issued share capital of the
Company as enlarged by the Subscription.

3. Subscription Price:
HK$0.032 per Share. The Company will bear all costs and expenses of
approximately HK$150,000 incurred in relation to the Subscription,
and will reimburse the Vendor for all expenses of approximately
HK$560,000 incurred in relation to the Placing.

4. Mandate to issue the Subscription Shares:
The Subscription Shares will be issued under the general mandate
granted to the directors of the Company at the annual general
meeting of the Company held on 30th December, 1999.

5. Ranking:
The Subscription Shares, when fully paid and issued, will rank pari
passu in all respects with the existing issued Shares of the Company.

6. Conditions of the Subscription:
The Subscription is conditional upon the following being fulfilled
on or before 3rd April, 2000:

(i) completion of the Placing; and

(ii) the Listing Committee of the Stock Exchange granting listing
of, and permission to deal in, the new Shares to be issued pursuant
to the Subscription.

An application will be made to the Stock Exchange for the listing
of, and permission to deal in the New Shares as soon as possible. In
the event that the conditions are not fulfilled on or before 3rd
April, 2000 or such other date as may be agreed between the Company
and the Vendor, the Subscription Agreement will cease and terminate.

7. Completion of the Subscription:
Completion of the Subscription will take place on the first business
day following the day on which the condition(s) set out above are
satisfied.

If the Subscription is not completed on or before 3rd April, 2000,
the Subscription will be subjected to independent shareholders`
approval as required under the Listing Rules.

8. Reasons for the Subscription and Use of proceeds:
The directors of the Company consider that it is the best interest
of the Company to raise further capital from the equity market by
way of the Placing and the Subscription in order to enhance the
capital base of the Company as well as strengthen the cash inflow of
the Company. The net proceeds of the Subscription of approximately
HK$21.5 million will be used as funding for potential investment in
high-tech related projects and as the general working capital. The
directors of the Company confirm that, as at the date of this
announcement, there are no negotiations or agreements relating to
any acquisitions.

-eine Aktie in den höchsten Tönen gelobt wird, die in den letzten Wochen 85,5% vom Höchststand eingebüßt hat

-eine Kapitalerhöhung, die zu einer weiteren Verwässerung des evtl. Gewinnes führt, in den Himmel gelobt wird

-fünf Leute, die erst seit heute bei WO angemeldet sind, die Aktie pushen

-folgende Aussagen zu lesen sind: "20, das ist ja für einen HighTechwert mit Internetambitionen net grade viel! Das ist ja spottbillig!" und "wenn die wirklich ins Internet gehen wie hier gesagt vom Vorstand, dann gibts bis Jahresende mindestens 10 Cent."


dann beschleicht mich das Gefühl, daß sich jemand in HK für umgerechnet 0,39 Cent eingekauft hat und hier mit ca. 250% Gewinn für 1 Cent an irgendeinen unerfahrenen Threadleser (der denkt, er könnte nichts verlieren, weil die Aktie bei 1 Cent steht) verkaufen will.

Erzält das mal nicht so laut, sonst werden die einfach zusammengefasst. und dann habt Ihr wieder Kurse von 0,10 Euro aber ein Bruchteil an Aktien. Dann kann es weiter nach unten gehen. Oder sie werden mit 0,00 euro einfach irgendwann vom Kurszettel verschwinden. Ist alles schon vorgekommen!

Die Penny-Stocks sind immer interessant.
Aber das alles erinnert mich an Bank international Indonesia. Die gab es damals (Herbst 1999) zu 0,03 Euro, ging dann auf 0,04 Euro und liegt heute bei 0,02 Euro.
Den Wert hatte ich lange im Depot. "Alle Welt" schwärmte von dieser Aktie. Aber nichts geschah. Im Gegenteil: Durch die Unruhen in Indonesien sackte der Wert ab und liegt seitdem auf 0,02 Euro.

Mich würde interessieren, wie lange Ihr schon in Digital World investiert seit. Schon lange, oder erst seit kurzem? Weiterhin würde mich interessieren, was diese Firma alles so treibt? Wo ist ihr Firmenstandort? Wann kam sie auf dem Markt (Aktienmarkt)? usw.

Also, Penny-Stocks sind immer interessant, es sei denn das Unternehmen ist gut und auch die Stimmung am Markt. Für Eure Antworten wäre ich dankbar.

Bin seit 2Monaten drin und hoffe das das nicht endet wie bei BII.
Die Firma kommt aus Hongkong und will jetzt von Elektronik auf Internetholding umsatteln, deshalb kommt jetzt neue Fantasie in den Wert.
Ist seit Tagen stabil und wird hoffentlich bald anziehen.

Ich weiß zwar nicht wer hier wer ist, und wer hier doppelt und dreifach postet. Vermute mal, das mit der doppelten Identität stimmt.
Wenn ich aber 250% auf den HK-Kurs rechne, Laut der wohl echten Artikel sind das 0,033 HK$ komme ich auf 0,0155 EUR, was bei mir ca 1,6 Cent sind, sprich aktuell bei 0,033HK$ 0,0044 EUR sprich 0,44 CENT.
Oder hab ich jetzt falsch gerechnet?

Die die sich hier immer beschweren, posten alles doppelt und dreifach und sind nichtmal in der Lage sich was neues einfallen zu lassen.
Die Rechnung von dir stimmt, hier können andere nicht rechnen.
Und wenn ich sehe was hier täglich für Aufgelder gezahlt werden.
Zum beispiel bei den Biotechs der Nasdaq oder auch in Hongkong und Australien.

zB.Timeless,Union Capital,Deepgreen,Anvil Mining,Culturecom.......

Und das wird dann von Börsenbriefen noch unterstützt,
also da kauf ich lieber was für einen Cent und hab ne Chance auf 100,200oder 300%.

History
Q-Tech was formed in 1993 and is engaged in the trading and distribution of electrical appliances, audio-visual equipment, and air-conditioners though more recently computer motherboards, monitors, and keyboards have been added to the product mix. The company went public in 1998 issuing 63 million shares at 80 cents each to bring the total number of shares outstanding to 268 million shares. In March 1999, as a result of financial difficulties, the par value of shares was reduced and a subsequent share consolidation was then followed by a rights issue to raise cash. There are currently 163 million shares in issue, and 41% is owned by the directors. A January 2000 rights issue will increase the shares outstanding to 1.4 billion.


Current
Current Q-Tech floated in 1998 on the back of strong earnings which have since been brushed aside as the firm struggles with cash, declining business, and a very poor balance sheet. In 1999, revenues dropped to almost a quarter their previous level and the bottom line settled well into the red as a result of large write-offs. Loss for the year to June 1999 was $188 million or 48.3 cents per share on turnover of $232 million. In contrast, the company earned $51 million or 28.8 cents per share on revenue of $812 million in 1998.

As of June 30, 1999, the company had a working capital deficit of $18 million and a negative book value of nearly $12 million . Considering that Q-Tech reported a first quarter (to September 30, 1999) loss of $1.5 million on sales of $20 million, had $600,000 in interest and bank charges for the six months to December, and still owed $7.5 million to banks by the end of 1999, it is unlikely the situation has fundamentally improved. A rights issue in January 2000 is expected to contribute enough working capital to give the company a net asset value of $108 million or 0.77 cents per share.


Future
The company still does not have any banking facilities as these were suspended. Not an interesting investment.
