Having found strategic investors for SUAL and TNK, Victor Vekselberg and Leonard Blavatnik decided to enter a new business, namely the chemical industry. Sovlink investment company being under their control acquired a 19% stake in Caustic plant in Bashkortostan. However, authorities of Bashkortostan are not happy with the new investors. They initiated a special shareholders` meeting to approve a 1005 additional issue of Caustic shares in favor of Bashneft.

Caustic (Sterlitamak, Bashkortostan) accounts for about 20% of Russia`s sodium hydrate production (used in the timber and aluminum industry) and 30% of polyvinyl chloride production. Annual turnover of Caustic is estimated at $170 million. The Property Ministry of Bashkortostan and administration of Sterlitamak own a 7.7% stake in caustic. Until recently, about 20% of the plant`s shares belonged to Caustic-Invest subsidiary company of Caustic allied with its management. The remaining shares are scattered among 8,000 private individuals.

A source close to Caustic reported that in December 2000 Sovlink bought about 20% of Caustic shares from Caustic-Invest. According to Caustic lawyer Petr Ivanov, caustic protested against the deal to the Arbitration Court of Bashkortostan in early January 2003. Caustic explained that the former General Director of Caustic-Invest exceeded her powers, struck the deal for sale of shares to Sovlink independently and incurred damage on shareholders of caustic: now Caustic demands freezing of the disputed shares and invalidation of the deal.

The opponents of Sovlink invented other "protective measures", as well. Chair of the Board of Directors of Caustic Gennady Krupnov said that the Property Ministry of Bashkortostan discussed the idea of additional issue of Caustic shares in favor of the local oil company Bashneft back in December. A source close to the management of Caustic reported that the Board of Directors of Caustic scheduled the special shareholders` meeting for February 25 according to the initiative of the local authorities. Agenda of the meeting includes an additional issue of shares worth 99.6 million rubles (100% of the present authorized capital) in favor of Bashneft.

Analyst Dmitry Tsaregorodtsev of Prospect investment company explains, "This is typical for Bashkortostan, where majority of companies are state-run, the economy is closed and all decisions are made by authorities of the republic. Investors are not welcomed there." At any rate, according to Tsaregorodtsev, the idea of Bashneft`s participation in Caustic also has economic sense. Bashkortostan scheduled privatization of its fuel and energy industry for the second half of 2003. If Bashneft, Bashneftekhim and Caustic are sold as a single lot, Bashkortostan will be able to make more money.

Ownership of Bashkortostan`s oil and gas assets transferred to obscure entities

In an extremely negative development, the Bashkortostan government has transferred all of its majority interests in the republic`s upstream and downstream assets to seven obscure firms, according to an Audit Chamber report published in today`s Vedomosti.

According to the report, on April 12, 2003, the local authorities transferred their 60%-85% stakes in five major companies - oil producer Bashneft, the Ufimsky and Novoufinsky refineries, Ufaneftekhim and Ufaorgsintez - to seven obscure local firms owned by 19 individuals. On June 24, 2003, these companies all contributed the received stakes into the charter capital of a new holding company, OOO (LLC) Bashkirsky Capital.

The Audit Chamber called the transfer one of the most flagrant misappropriations of federal property ever, possibly worth as much as $2bn, and plans to press charges against the relevant local authorities. We note that this disclosure follows earlier reports the local government`s 32% stake in Bashkirenergo had also been passed to three local firms (which also feature on the list of firms that received oil and gas stakes).

This development is an extremely negative one for minority investors in all of the above- mentioned companies, which were hoping the eventual privatization of Bashneft and the refineries would lead them to their becoming more efficient, transparent and shareholder- friendly. Instead, they were served up privatization Bashkortostan-style, where assets are simply passed to selected local firms and the status quo is thus maintained.

As a result of these transfers, we believe the already high political and corporate governance risks associated with Bashneft and the Bashkortostan`s downstream companies have increased in a rather dramatic way.

We thus believe investors would be best served by avoiding the above-mentioned names until the issue is resolved. We remove our Hold recommendation on Bashneft; we did not have any recommendation on the shares of the refineries.

Details of capital restructuring at most facilities of Bashkortostan`s fuel and energy sector have become known, which has lead to a change of the owners of controlling interests in Bashneft, Bashkirenergo, and Bashneftekhim`s three refineries. As a result of a deal completed a week ago, the entire Bashkir fuel and energy sector now belongs to itself and a few private individuals. The state-run Bashkir Fuel Company (BFC) and Bashneftekhim have got a bill payable of 13.4 billion rubles with uncertain prospects for payment, while the republican authorities have grown sure they will control the sector even if President Murtaza Rakhimov quits.
The Russian Auditing Commission, while investigating Bashneft`s and Bashneftekhim`s financial operations, claimed in July 2003 that control of the facilities had been lost: controlling interests in Bashneft (owned by the BFC until April 2003) and four refineries (previously controlled by state-run Bashneftekhim), as well as 36.7% of shares of Bashenergo (with the BFC as former owner) had been sold to a series of companies whose founders were private individuals. Published financial statements of Bashkir companies for the second quarter of 2003 fully confirmed this information.
Bashneft`s statement says three Ufa-based companies own its controlling interest: Taimas (19%), Sotsservis (19%), and the Shchit guard company (19%). The BFC that formerly owned 63.72% in Bashneft sold its shares, as well as its stock in Bashkirenergo, making a profit of 7.556 billion rubles. Bashneftekhim, too, increased its profit by 5.667 billion rubles at the expense of selling its shares, but it lost its shares in the Novaya Ufa Refinery, Ufa Refinery, Ufaneftekhim, Ufaorgsintez, and Bashnefteprodukt. The new owners of the refineries and Bashnefteprodukt are unknown: according to unofficial data, these are the same Taimas, Sotsservis, and Shchit, as well as ATP-99, Neftekhimtrans, Khimspetstrans, and a facility of mechanization and transportation of oil refining which is also owned by private individuals.
Neither the BFC, nor Bashneftekhim received their money from the new shareholders: their profit on paper was formed from an increase in their bill payable by 13 billion rubles. That is, the mysterious companies just owe the state companies.
This is the form in which the scheme of restructuring Bashkortostan`s fuel and energy sector was registered by the Auditing Commission, and the auditors were voicing doubts as to its legitimacy. Yet in reality, everything was much more complicated.
According to a source with Bashneft, all the companies in July transferred their stocks in their controlled companies as a deposit to the Bashkir Capital company that became owner of controlling interest in Bashneft, the four refineries, Bashnefteprodukt, and shares of Bashenergo. Bashkir Capital`s authorized capital amounted to 13.4 billion rubles, the amount close to what the buyers must pay the BFC and Bashneftekhim. A week ago, according to the source, all the stocks in Bashkir Capital were sold to seven companies. The Novaya Ufa Refinery, Ufa Refinery, Ufaneftekhim, and Bashneftekhim now each own 19.99% in it; Ufaorgsintez has 15%, Bashnefteprodukt 4.3%, and Bashenergo 0.7%. The private individuals did not either get money for their stocks in Bashkir Capital: the legal entities are reported to have obtained a ten-year interest-free deferral of payment. The result of the entire operation was a construction which made Bashneft, the four refineries, Bashnefteprodukt, and Bashkirenergo owners of controlling interests in themselves, including the largest stock in Bashkirenergo. So far, they have not paid Bashkortostan`s State Property Ministry $500 million for their "privatization."
The visible effect of the operation has been actual independence of Bashkortostan`s fuel and energy sector on the alignment of political forces in the republic after the presidential election. Sergey Veremeyenko, former chief executive at Mezhprombank, is running an active fight against Murtaza Rakhimov over that post, so the deals with shares in the Bashkir fuel and energy sector look like possible protection of the controlled assets from change in power.
Apparently, the actual value of Bashkortostan`s entire energy, oil, and petrochemical sector (it is about 80% of all these assets) exceeds at least $2 billion. However, the pre-sale estimation of the Ufa-based refineries was assigned to certain private individual assesors.
Bashkir Capital can easily pay the 13 billion rubles of its debt to the state-owned BFC and Bashneftekhim without selling more than 25% of its shares to a strategic investor, but preserving control of the companies and their active management. In fact, the described scheme is exactly the long-awaited privatization of Bashkortostan`s entire fuel and energy sector on the threshold of the presidential election.
The companies involved in the deals and Bashkir authorities have given no comments. However, they were reluctant to comment on the capital movement in their controlled companies in the past as well. Bashneft`s minority shareholders, apparently, were not notified of the details of what was going on.
David Jeovanis, managing director at the Basic Element Holding which is a minority shareholder in Bashneft, voiced an opinion it was the sate that suffered loss. According to him, "the shares were simply presented without any auction or competition," which can scare investors off the Bashkir companies even more, with these companies presently being "strongly underestimated because investors are afraid of the wrong corporate management."

      hi zusammen!

      Few Changes On Bashneft Board...

Representatives of Bashkortostan have taken all nine seats on the Bashneft board, "Kommersant-Daily" reported on 6 May. The new board was elected on 5 May at the oil company`s general shareholders` meeting. The only new person on the board is the deputy head of the Bashkir government`s fuel-and-energy-complex department, Vladimir Kozin, who replaced Uraltransnefteprodukt General Director Kamil Ekhmedullin. The Bashkir government is also represented by Deputy Prime Minister Boris Kolbin, Property Minister Zofer Ebdrekhimov, and Economic Development Minister Valentin Vlasov. The Institute of Regional Economy and Law owns 64 percent of Bashneft, while the Bashkir Property Ministry owns 1.34 percent of its shares. Bashneft has a total of 204.7 million rubles ($7 million) in capital.

As a result of an early-February management reform in Bashkortostan`s fuel-and-energy sector, the management of Bashneft, which previously belonged to Bashneftekhim and then to Bashkirskii Kapital, was passed to the Institute of Regional Economy and Law, which previously provided legal services to companies in the sector. The institute also received management of 57 percent of Bashkirnefteprodukt, 85 percent of the Novo-Ufimskii Oil Refinery, 61 percent of Ufaneftekhim, and 72 percent of Ufaorgsintez. Viktor Gantsev, who was appointed the institute`s executive director, previously served as Bashneftekhim general director and Bashkirskii Kapital general director.

The "Kommersant-Daily" quoted unidentified oil-company sources as commenting that the intent of the reform was to distance Bashneft and Bashkir oil refineries from Bashkirskii Kapital, which was established to privatize the sector companies and is now the subject of an investigation into the legality of the privatization process (see "RFE/RL Tatar-Bashkir Report," 23 July, 26 November, 5 December 2003, and 23 February 2004). The daily also quoted a source close to the Bashkir government as saying preparations for changing the ownership of fuel-and-energy-sector companies is behind the reshuffle. Analysts name Rosneft and Surgutneftegaz as the most likely buyers of Bashkir oil assets, the daily reported.

During the same press conference Nikitin said that privatization in Bashkortostan might be reversed if federal controlling bodies find that there were violations during the original process, Rosbalt reported on 18 August. He said that the Russian prosecutor-general will soon evaluate the reports of the Russian Audit Chamber, which claimed that there were infringements in the privatization of the republic`s petrochemical industries. On 30 July, Nikitin appealed to the Russian prosecutor-general asking him to check the legality of the Bashneft oil company transferring its controlling shares to private owners. He also hinted at violations committed in 1995 when Bashneft was transformed into a joint-stock venture. Housing Service Companies Report First Profits One-third of Bashkortostan`s residents receive state subsidies for housing, Rosbalt reported on 17 August, citing the republic`s Housing Ministry. The republican budget allotted 530 million rubles ($11.5 million) for this purposes during the first half of 2003. Currently, the majority of citizens are officially paying 80 percent of their housing costs; in some cities such as Uchali or the Mechetle region consumers are already required to cover all of their housing costs. As a result, providers of housing have made a profit of 30 million rubles ($1 million) in the first half of 2003, Rosbalt reported.

Vice President Jose Vicente Rangel is headed to Moscow to discuss with Russian authorities and businessmen the possibility of investing in Venezuelan energy projects, the government announced here Tuesday.

Rangel will travel Friday to the Russian capital for the first meeting of a bilateral intergovernmental commission, set for Oct. 4-6.

The Venezuelan government said in a communique that Rangel and Russian Vice President Alexandr Zhukov will preside over the commission sessions and "evaluate a series of energy and trade projects."

Already under review, the statement said, is a letter of intent between Venezuela`s state-owned PDVSA and the Russian firm Bashneft for a project that would allow the Venezuelan giant to increase its production of oil, gas and other petroleum by-products.

The communique also said the Russian firm Gazprom is interested in taking part in projects relating to the transportation and processing of Venezuelan gas.

Russia and Venezuela are both among the world`s largest producers of crude oil.

President Hugo Chavez announced last Wednesday that his government plans to buy top-of-the-line Russian helicopters to provide air support for Venezuelan armored units, especially those operating along the conflictive border with Colombia. He did not say whether that issue will be part of Rangel`s agenda in Moscow.

Bashneft will bid in auctions next month for six oil and gas fields, a company source told Interfax on October 18.

The company will bid for Alshevskoye, Baryashskoye, Karmanovskoye, Spasskoye, Sukhyazskoye, and Yubileinoye fields. It held a one-year license to the fields that expired on October 1.

Bashneft has dropped Yuzhno-Troitskoye field, he said. It held a combined license for exploration and production at the field.

The auction held by the federal subsurface resource agency will be held November 26. Bids to participate will be accepted until November 6.

Bashneft holds 231 licenses for production of hydrocarbons, underground water, manganese ore, minerals and geological exploration.

The company is developing more than 160 fields, most of them in the later stages of development. It has also been producing since 1998 at four license blocks in Nizhnevartovsk region of Khanty Mansiisk autonomous district.

Bashneft produced 9.056 million tonnes of oil in the first nine months of the year.

Bashkirsky Capital owns 63.72% of the company, the Bashkortostan Property Ministry owns 1.34%, and Depositary-Clearing Company is the nominal holder of 10.21%. Bashneft will bid in auctions next month for six oil and gas fields, a company source told Interfax on October 18.

In Raffinerien/
      Petrochemie/Dividenden jedenfalls nicht.

      hallo,

lang ists her, dass ich hier was dazu geschrieben habe...

INVESTMENTS IN THE FUEL AND ENERGY SECTOR OF BASHKORTOSTAN ALREADY EARNED $200 MILLION FOR AFK SISTEMA

President of AFK, Vladimir Yevtushenkov, was right when he decided to invest in the fuel and energy sector of Bashkortostan. In half a month after announcement of the deals, these investments grew more 65% expensive and capital of Yevtushenkov grew at least $200 million. Sistema wants to earn even more and increases its interest in Bashneft and three Bashkir refineries to a blocking stake.

In 2004, the Ufa and New Ufa refineries (Novoil), Ufaneftekhim and Ufanefteorgsintez refined about 20 million tons of oil, their aggregate revenue amounted to 36.1 billion roubles and net profit amounted to 7.4 billion roubles. In 2004, Bashneft produced 12 million tons of oil, its revenue amounted to 57.4 billion roubles and net profit amounted to 5.2 billion roubles. In 2004, net profit of Bashkirenergo amounted to $24.5 million and revenue amounted to $748.8 million. Bashkir Capital owned controlling interest in the six companies and a 32% stake in Bashkirenergo. President of AFK Sistema, Vladimir Yevtushenkov, owns 65.2% of Sistema shares, 15.85% belong to ten managers and 19% are in free float at the London Stock Exchange. As of September 1, 2005, capitalization of Sistema amounted to $9.69 billion. In 2004, revenue of Sistema according to US GAAP amounted to $5.7 billion and net profit amounted to $411 million. The main assets of Sistema are MTS, MGTS, Comstar and ROSNO.

In mid-August, Sistema announced acquisition of large stakes in seven companies of the fuel and energy sector of Bashkortostan from Bashkir Capital. Sistema paid $502.9 million for 19.9% stakes in Bashneft and four local refineries, an 18.6% stake in Bashnefteproduct and a 10.08% stake in Bashkirenergo. Sistema was going to spend more than $100 million on increase of its stakes in some of these companies to controlling interest.

The investors chose Bashneft, Ufa and New Ufa refineries and Ufaneftekhim. Sistema-Invest subsidiary of AFK Sistema appealed to the Federal Antimonopoly Service (FAS) for a permit to increase its stake in these companies to controlling interest, reported the PR service of the FAS. A source in Sistema confirmed this but did not explain why these very companies were chosen.

Analyst Valery Nesterov said that Sistema chose the most valuable assets. Nesterov explains that Bashneft as an oil producing company is obviously attractive due to high oil prices and Bashkir refineries are among the best in the country. For instance, says Nesterov, the New Ufa refinery has the highest Nelson index in Russia (parameter characterizing quality of the oil refining facilities) amounting to 5 against 2.85 on average in the country. This parameter of the Ufa refinery amounts to 4.11. Nesterov adds that so far Russian oil companies also lack refining capacity: in Surgutneftegaz, it covers only 27% of production and in Rosneft it covers only 14% of production.

In the near future Sistema is not going to sell shares of the refineries. A manager of Sistema explains, "This is only a financial investment but we will sell the assets later when we earn money on the deal." Since August 12, when investments of Sistema were announced, capitalization of ordinary shares of Bashneft grew 37% (to $1.6 billion) on the RTS. Capitalization of Bashkirenergo grew 14% (to $417 million), New Ufa refinery 46% (to $663 million), Ufa refinery 70% (to $714 million), Ufaneftekhim 32% (to $710 million) and Ufanefteorgsintez 33% (to $241 million). Thus, shares of these companies bought by Sistema for $503 million cost at least $830 million now.

According to Nesterov, Bashkir assets of Sistema will keep growing more expensive. Steven Dashevsky, director of the analytical department of Aton, predicts that shares of Bashneft and Bashkirenergo will grow the biggest. Dashevsky adds that capitalization of the refineries is already close to the limit. According to Dashevsky, the company of Yevtushenkov can earn up to $1 billion on this deal having sold its stake in Bashkir companies for $1.-1.5 billion.

Further consolidation of Russia`s oil industry appears a strong possibility, with Gazprom and Rosneft likely to climb further up the ladder among the top 10 companies through additional acquisitions. Tatneft, Bashneft, and Surgutneftegaz could all be acquisition targets in addition to the remnants of Yukos and Sibneft. Russneft, the upstart company founded in 2002 by former Slavneft chief Mikhail Gutseriev, also appears poised to grow, albeit by gobbling up the minnows rather than any of the Russian majors. International oil companies (IOCs) are likely to be further pushed to the margins of the industry, even as overall production from IOCs grows with new oil coming onstream from projects in Western Siberia and Sakhalin Island.
