WizCom Technologies Ltd. (WizCom) (Prime Standard: WZM, IL 0010830706) announces the decision of the company to acquire 100% of the issued capital of Galil Microwaves Israel (2003) Ltd. from Ronen Elad Holdings Ltd. for the consideration of US$ 0.95 million to be paid at the closing and an additional US$ 0.3 million to be paid by January 1st. 2006, a total consideration of US$1.25 million, and an additional milestone based consideration derived from WizCom`s net earnings in the next 4 years, not to exceed a total of US$ 0.5 million.

As a part of this transaction, Mr. Ronen Elad, the controlling shareholder of Ronen Elad Holdings Ltd., will join WizCom`s board of directors, and if appointed as chairman of the board, will receive an option, exercisable for a period of 3 years if the company reaches certain net profit milestones, to purchase 1,275,000 shares of the company`s shares at an exercise price of US$0.40 (forty US cents) per share.

Galil Microwaves, based in Migdal Ha`Emek, Israel, is a specialist in the Israeli market as a third party manufacturer and as an assembler of electronic modules for the microelectronic and microwave components industries. In 2004 the company reached revenues of approximately US$ 1.1 million and was profitable.

The company believes that Galil Microwaves current and future revenues and profits will enable WizCom group to enhance its net earnings. The company also believes that Galil Microwaves will serve as a platform for operational synergy, and that its controlling shareholder, Mr. Ronen Elad, will be a significant contributor to enhance shareholders value.

At the same time Ronen Elad Holdings Ltd is acquiring 32.5% of WizCom Technologies Ltd.`s equity from Mivtach Shamir Investments (93) Ltd. and Lipman Electronics Engineering Ltd.

All transactions and the appointment of the controlling shareholder of Ronen Elad Holdings Ltd. to WizCom`s board of directors will take effect once the shareholders of WizCom will approve the acquisition of Galil Microwaves Israel (2003) Ltd. A shareholders meeting of WizCom Technologies Ltd. will be held during May 2005.
