UK BG`s Deal For Enron India Assets On Verge Of Collapse
LONDON -(Dow Jones)- BG Group PLC`s (BRG) $388 million deal to acquire the Indian upstream assets of Enron Corp. (ENE) appears to be on the verge of collapse.
Negotiations between BG and India`s state-owned Oil & Natural Gas Corp. ( P.ONG) to iron out sole operatorship of two offshore oil and natural gas fields are at a stalemate, with neither side having spoken to each other since Nov. 27, ONGC said Thursday.
Around that time, BG quietly offered ONGC $7.5 million to allow it to replace Enron as the sole operator of the Panna-Mukta and Tapti fields. ONGC`s board rejected it as inadequate on Nov. 27.
"Since then, there`s been no contact," said ONGC spokesman E. Mohan Reddy.
"If they give us an offer that is attractive enough, then yes, we will" allow them to take over Enron`s operatorship, Reddy added. "It`s purely a business deal."
Analysts have speculated that upwards of $18 million might be acceptable. Another option speculated is for BG to offer a sliver of equity in another upstream operation.
BG has said that it will walk away from the deal with Enron unit, Enron Oil and Gas India Ltd., if it can`t reach an agreement with ONGC. Oct. 3, BG agreed to pay $388 million to acquire Enron`s Indian upstream assets, but has been forced to extend its negotiating deadline with ONGC twice because of the Indian company`s obstinacy.
Last month, BG`s Chief Executive Frank Chapman said an accord with ONGC would be completed by end December.
With the Christmas holidays less than two weeks away, that looks in doubt now.
BG spokesman Robin O`Kelly said he wasn`t aware that negotiations had broken down, but insisted the company was "totally committed" to finding a way to gain operatorship.
"It`s quite a delicate situation," he said.
O`Kelly reiterated that BG would abandon the Enron deal if it can`t find a solution to its claim for operatorship with ONGC. ONGC has a 40% stake in the Panna-Mukta and Tapti fields, Indian junior Reliance Industries Ltd. holds 30% and Enron owns the remaining 30%.
The two fields daily produce about 70 million standard cubic feet of gas and 8,200 barrels of oil. They have net proven and probable reserves of 170 million barrels of oil equivalent.
After initially also demanding operatorship of both assets, Reliance has backed down, acknowledging its position is too weak given its fledgling upstream profile.
Losing the oil and gas fields, off the west coast of India, would be a blow to BG`s aggressive expansion plans in India. It has a 65% stake in Gujarat Gas Co., India`s largest private gas distributor, and a 50% interest in Mahanagar Gas Ltd., which serves India`s commercial capital Bombay. The company is also developing a project for import and regasification of liquified natural gas at Pipavav, in western India.
Observers say Enron would almost certainly reopen acquisition talks with ONGC and Reliance, if BG carried through on its threat to jettison the deal. Sources say the two initially bid "almost $400 million" for Enron`s stake.
That was before the worldwide collapse of Enron, which may make the Houston- based company vulnerable to accepting a new, lower bid in order to complete the deal.
Around, 1219 GMT, BG`s shares were down one pence, or 0.4%, at 254 pence.

Kaum Umsatz heute.
Wenn man zocken will, sollte man glaube ich raus bevor die Amis aufmachen. Ich denke nicht, das das zu Beginn was wird. Eher deutlich billiger. (0,58-0,60)
