Telson Mining Corporation (“Telson” or the “Company” (TSX Venture Exchange-TSN, OTC Pink-SOHFF, Frankfurt-TSGN (formerly SQ82)) wishes to inform shareholders that for personal reasons, José Antonio Berlanga has resigned his positions as Chief Executive Officer and Member of the Board of Directors of the Company.
Telson wishes to thank Senor Berlanga for his past services and dedication to the company wishing him well as he chooses to initially spend more time with his family and subsequently in his future business endeavors.
Telson's Board of Directors, having accepted Senor Berlanga's resignation, has appointed Mr. Ralph Shearing, P.Geol as interim Chief Executive Officer of the company. Mr. Shearing is a professional geologist and co-founder of Telson Mining Corporation and has had a long history with the company, being responsible for the successful exploration of the company's Tahuehueto gold project that led to the publication of a robust pre-feasibility study and decision by the company's management to initiate the construction of a 1,000 tonne per day underground gold mine.
Mr. Shearing is also highly qualified as a senior executive of a Canadian public company, having over 33 years of experience in senior management positions in Canadian public markets.
Mr. Ralph Shearing states, “I am happy to once again accept the role as Telson’s CEO on an interim basis as the Company continues production at its Campo Morado base metal mine and works with its current lenders and future funders to arrange the final funding required to complete construction of its Tahuehueto gold mine where construction has advanced to an estimated 70% completion.”

All necessary steps are being taken to restart mining and milling operations at the project commencing immediately with transporting for delivery and sale of lead and zinc concentrates stored on site to the port of Manzanillo. Over the next 4 weeks the mine will be taken out of care and maintenance and brought back into production such that the Company anticipates initiating full mining and processing operations near the beginning of December 2019.
"We are very pleased that we have achieved the conditions to restart productive operation in Campo Morado. The mine is ready to produce mill feed for more than 2 years without new underground development. During the care and maintenance period the processing plant received full maintenance and the crusher and SAG mill had new liners installed" states Antonio Berlanga, CEO, "With the addition of new reagents, we hope to increase the gold and silver recovery in the flotation concentrates and we will continue refining the testing process to potentially recover precious metals from the existing tailings and as soon as funding allows, advance the Leachox Process through second phase testing to determine the viability of installing this proven technology at Campo Morado (see news release dated April 1st 2019).
First phase Leachox testing achieved up to 60% gold and 80% silver recoveries at Campo Morado and has the potential to transition Campo Morado from a base metal producer into a silver and gold precious metal producer such as it historically was".

Nyrstar Loan Default Notice
As a result of suspending mining operations at Campo Morado in August 2019 under force majeure conditions, Telson has been without cash flows resulting in nonpayment under the loan agreement dated June 12, 2018, as amended, with Nyrstar Canada (Holdings) Ltd. This has resulted in Nyrstar issuing to the Company a notice of default and demand for payment. Telson's outstanding debt under this loan agreement including principal and interest is approximately US$6 million.
Telson has attempted to contact Nyrstar to discuss this situation and seek abeyance of any potential default proceedings. It is important to note that to date, no proceedings have been initiated by Nyrstar. Once Campo Morado is put back into commercial production, Telson expects to be able to recommence outstanding payments to Nyrstar and in the meantime is exploring other financing alternatives.

Telson's management and its Board of Directors have taken into account the following facts and events in coming to the decision to suspend mining operations at Campo Morado:
i) As a result of certain activities in the vicinity of Campo Morado, the Company is concerned about the health and welfare of its workforce. Following an extended scheduled shut down for maintenance work, the Company has experienced a work stoppage at the mine. A significant portion of Campo Morado's current local work force and trucking companies, including their drivers have advised that they are unable to continue providing services to the Campo Morado mine as they claimed concerns with the relationship with the local Community.
This has resulted in workers resigning their current positions at the mine making it difficult to continue mining operations. Additionally, the transportation issues make it very difficult to move concentrates out of the Campo Morado mine to the point of sale at the port of Manzanillo. As a result, a significant amount of concentrate is being stored at the mine site;
ii) The substantial decline in zinc prices which negatively affects Campo Morado mine's profitability.
Neither of these issues alone would have necessarily led to the decision to curtail operation at Campo Morado, however, Telson's management and Board of Directors believe that the Company's focus in an improving gold market should be to complete construction of the Company's Tahuehueto gold mine in Durango State, Mexico. Tahuehueto is Telson's flagship asset and once in production will shift the market's perception of Telson from primarily a base metals producer to a gold producer....

--> damals war das noch nicht ganz so klar, wie es exakt mit Nyrstar weitergehen würde, aber eine "Restrukturierung" war schon abzusehen (auch hier nun: keine "Insolvenz" -- macht man heutzutage (in Europa) nicht mehr so wie noch "früher")
