MediPharm Labs Provides Operational Update and Confirms Profitability Improvement Initiatives are Underway

Strong cash balance and continued reduction of convertible debt to less than $500K.

Opportunities for optimization of the operating strategy between Australia and Canada as the Canadian Drug Establishment Licence (DEL) unlocks many manufacturing and supply chain pathways. These pathways will reduce infrastructure cost, improve delivery times, and increase customer satisfaction.

Delivery to five international medical cannabis markets including first deliveries of advanced GMP CBD isolate to traditional pharmaceutical companies.

Strong Financial Foundation: Strong Cash Position with no Material Debt

MediPharm Labs continues to operate with a strong cash position (Anmerkung: ~0.12 CAD cash/share - aktueller Kurs 0.18 CAD ) and clean balance sheet. With the Company’s only debt agreement being a 2020 convertible debenture that holds a balance of less than $500K, down from an original balance of over $40M. This position paired with a robust plan to reduce overhead, operating expenses and general and administrative expenses gives MediPharm Labs longevity to execute on its sales contracts and pipeline. This strong financial position is especially important given the current capital markets conditions in the cannabis industry.

Zum Zeitpunkt der Erstellung dieser MD&A generiert unser Kerngeschäft Einnahmen durch drei Hauptaktivitäten: den Verkauf verpackter Cannabiskonzentratprodukte für den Endverbraucher, Dienstleistungen im Bereich der Auftragsfertigung und die Produktion von fertig formulierten, verpackten Produkten und APIs für den Verkauf auf den kanadischen Einzelhandelsmärkten und auf der ganzen Welt an große pharmazeutische und neue Cannabisunternehmen in aufstrebenden medizinischen Cannabismärkten. Darüber hinaus hat MediPharm Labs seit dem Erhalt der DEL mit Geschäftsentwicklungsaktivitäten begonnen, die Produkte und Dienstleistungen für traditionelle Pharmaunternehmen im Zusammenhang mit aktuellen oder zukünftigen Cannabis enthaltende Medikamente mit Marktzulassung.

Acquisition of Securities of MediPharm Labs Corp.
This press release is being disseminated as required by National Instrument 62‐103 in connection with the filing of an Early Warning Report regarding the acquiring of securities of MediPharm Labs Corp. (the “Corporation”).
On May 28, 2021 ETF Managers Trust (the “Trust”), on behalf of ETFMG Alternative Harvest ETF (“MJ”), a series of the Trust, (together, the “Acquiror”) purchased (the “Acquisition”) 16,273,192 common shares in the capital of the Issuer (“Shares”) through the facilities of the TSX at a price of $0.58 CAD per share for an aggregate price of $9,438,451.36 CAD. The ETFMG Alternative Harvest ETF is the beneficial owner of the Acquired Shares.
Immediately prior to the Acquisition, the Acquiror held 11,083,874 shares directly, representing 4.30% of the issued and outstanding shares as of May 27, 2021. Following the Acquisition, the Acquiror held 27,357,066 shares directly, representing 10.61% of the issued and outstanding shares.
The Shares were purchased for investment purposes only. The Acquiror may, from time to time, increase or decrease its shareholding or continue to hold Shares as it may determine appropriate in the normal course of investment activity. In the future, the Acquiror may, directly or indirectly, acquire additional Shares of the Issuer or dispose of such shares subject to a number of factors, including, without limitation, general market and economic conditions and other investment and business opportunities available.
