Using NetObjects Fusion Online Services, Growth of Germany`s Premier Web Hosting Provider to Continue Into UK and France
REDWOOD CITY, Calif., Nov. 6 /PRNewswire/ -- NetObjects, Inc. (Nasdaq: NETO), a leading provider of e-business solutions and services, and Germany`s premier web-hosting provider 1&1 Internet AG, a division of United Internet, today announced that 100,000 new customers subscribed to the companies` bundled Web solutions offering in one month alone, an increase of 11 percent over previous months. The companies also announced today that they are expanding their distribution in Europe to include the United Kingdom and France.
1&1 distributes NetObjects Fusion, the award-winning Web site building solution and online services, as part of its complete start-to-finish site development solution, including domain name registration, site building, and professional hosting. To date, 1&1 has distributed more than 300,000 copies of NetObjects Fusion throughout Germany. NetObjects and 1&1 plan to grow these distributions numbers as their partnership expands across the UK and France and continues to expand in Germany.

"NetObjects and 1&1 share a vision of bringing small businesses to the web en mass," said Samir Arora, chairman and CEO of NetObjects. "Our strategic partnership with 1&1, extending across much of Europe, is a very important step in this direction. 1&1 is the largest provider of hosting packages in Germany and the UK and is ideally positioned to provide massive distribution of NetObjects Fusion."

The European Internet economy is in a period of hyper growth, according to industry analyst firm International Data Corporation. It is expected that within the next ten years the European Internet economy will grow from virtually nothing to $1.4 trillion. By 2004, spending on Web sites is expected to reach $656 billion.

"Our client base continues to grow at top speed as we expand further into Europe," said Andreas Gauger, CEO of 1&1. "We recognize that NetObjects Fusion 5.0 is the simplest way to create a robust Web site, and we want to be able to offer our users the best solution with extensible e-commerce functionality. By offering NetObjects Fusion as part of our packages we will increase our monthly subscriber numbers by living up to our guiding principle of providing top-class technology at a competitive price."

Division for $18 Million in Cash to MERANT

Completes Significant Step in Focusing its Business on Small Business Solutions and Infusing Operating Capital

REDWOOD CITY, Calif., Jan. 9 /PRNewswire/ -- NetObjects (Nasdaq: NETO) announced today MERANT, Inc. (Nasdaq: MRNT; London: MRN), a leading global e-business software solutions company, has agreed to purchase its Enterprise division for $18 million in cash. Broadview International LLC is representing NetObjects as the financial advisor in this sale.
Upon the closing of this transaction, the cash obtained from the sale will be used for operating capital. The sale of the Enterprise division is a significant step in allowing NetObjects to narrowly focus on solutions for small business. As stated earlier, NetObjects intends to size its operations to be consistent with this focus and is pursuing additional financing for its current plan.

The sale, which is subject to customary closing conditions, is expected to close by March 2001 and result in a one-time gain to be recorded as an extraordinary item, net of tax, on the NetObjects income statement. The $18 million purchase price includes a $4 million payment made by MERANT in December for the exclusive option to purchase the NetObjects Enterprise division.

The NetObjects Enterprise division includes NetObjects Collage, NetObjects Authoring Server and professional services for training and support of these products. NetObjects Collage is the first truly integrated, real-time content platform for the creation, management, and deployment of enterprise Web applications such as intranets, extranets, and e-commerce. NetObjects Authoring Server is a product optimized for building corporate Web sites.

"As NetObjects focuses on its strategy on the small business market, we recognize that the Enterprise division and its employees will be best positioned for future success in a company serving the enterprise market exclusively," said Samir Arora, chairman and CEO of NetObjects. "Our goal was to find a buyer that would make a strong commitment to our customers and employees to continue and build upon the solid foundation of the NetObjects enterprise products and business. We are pleased that a company of MERANT`s high caliber is the company that has made that commitment."

"We believe that with the convergence of traditional application development and the Internet, all components of these applications become valuable `content` that need to be managed," said Gary Greenfield, president and chief executive officer at MERANT. "NetObjects has shared a similar vision. The NetObjects enterprise products and services serves are an excellent addition to MERANT`s Egility Enterprise Change Management solution as the combination will provide the first true offering from a single provider to manage the entire e-business assets of the enterprise."

The sale of the Enterprise division is part of NetObjects` previously announced change from a software vendor to a provider of online solutions for small business with focus on NetObjects Fusion and NetObjects Matrix. NetObjects Fusion is a complete Web site creation solution designed to provide an easy way to build robust business Web sites. The award-winning NetObjects Fusion has been used to build more than four million Web sites. NetObjects Matrix is a new-generation platform of Web site applications and online services built for Service Providers to empower their small business customers. With NetObjects Matrix, Service Providers can offer the most relevant, easy-to-use online resources to empower their customers to leverage the Internet, from building a Web site to creating an online store. And it provides true integration working with the Service Provider`s business model and technical environment -- front-end and back.
