Our GBA Video cartridges were the first such products sold, and we are currently the only third party to have obtained approval from Nintendo to sell GBA Video products. We offer a variety of GBA Video titles today that are primarily targeted at the youth market and are based on popular Cartoon Network, Disney, FUNimation and Nickelodeon characters, such as Code Name: Kids Next Door, Dragon Ball GT , Fairly OddParents, Kim Possible , Lilo & Stitch and SpongeBob SquarePants .       Louis Lipschitz (joined April 20 th, 2004)

      Louis Lipschitz is the recently retired Executive Vice President and Chief Financial Officer of Toys “R” Us, Inc. where he chaired their Sarbanes-Oxley Section 404 steering committee. From February 1996 until his retirement in March 2004, Mr. Lipschitz was responsible for all global financial activities for the company. Mr. Lipschitz played an integral role in more than 20 domestic and foreign financings with a total value in excess of $4 billion, as well as the partial IPO of the company’s Japanese subsidiary. During his tenure at Toys “R” Us, annual revenues grew from less than $2 billion to more than $11 billion.

      Mr. Lipschitz holds a B.S. in Accounting from Hunter College and is a New York Certified Public Account. He is active in numerous industry associations, including Financial Executives International, The American Institute of Certified Public Accountants and The New York State Society of Certified Public Accountants.

      Marc Weisman (joined June 8 th, 2004)

      Marc Weisman is the founder and managing partner of Sagaponack Partners, a corporate private equity fund. Mr. Weisman has more than 27 years of legal, financial and transactional experience.

      Prior to founding Sagaponack Partners, Mr. Weisman was a director in the Principal Transactions Group at Credit Suisse First Boston, where he co-headed the high yield real estate finance section. Previously, Mr. Weisman was the senior investment professional in association with The Adco Group, a privately held real estate and financial services company.

      Before joining Adco, Mr. Weisman was the chief financial officer of Oppenheimer & Co., Inc. and a partner at Weil, Gotshal & Manges, a major national law firm.

      Mr. Weisman received his L.L.M. in taxation from New York University and his B.A. and J.D. from Temple University.

      James Halpin (joined October 26 th, 2004)

      James Halpin is the founder of Riverbend, Inc, a private investment firm specializing in private equity and venture capital. Prior to the firm’s start up in 2000, Mr. Halpin was president and CEO of CompUSA from 1992-2001, the world’s largest chain of computer stores, with 225 retail outlets. In 1998, Mr. Halpin was named one of the Top 25 Managers in the World by Business Week. Before joining CompUSA, Mr. Halpin held several executive management positions multi-national companies, including Homebase, BJ Wholesale Club and Zayre Corp.

      James is on the board of Marvel Entertainment, and is also an active member of Access, which provides last second college scholarships to inner city kids.

      Peter Cuneo (joined October 26 th, 2004)
      Peter Cuneo is the recently retired president and CEO of Marvel Enterprises where he restructured the company’s toy business, increased comic book market share and reduced debt. He was CEO at Marvel from 1999 to 2003, and is currently the Vice Chairman of the Board of Trustees.

      Previously, Mr. Cuneo held senior management posts at such leading companies as Remington Products Company, LLC, where he was president and CEO, increasing sales via internal growth and acquisition initiatives. Mr. Cuneo was also president of Black & Decker Corporation’s Security Hardware Group, as well as president of Bristol Myers Pharmaceutical Group in Canada.

      Peter received a BF in Ceramic Engineering from Alfred University, and holds a MBA from Harvard Business School. He is the Vice Chairman of the Board of Trustees at his alma-mater.

      Larry Aronson (joined Nov 10 th, 2004)
      Larry Aronson joins Majesco’s Board of Directors with more than 24 years of professional sales experience. Currently, Mr. Aronson is the founder and managing partner of Cartwheel LLC, a marketing services company dedicated to helping retailers strengthen their business through more effective use of their shopper purchase information. Prior to starting Cartwheel in 2003, Mr. Aronson held senior management positions with leading consumer products companies, most recently as president of Revlon North America, Sales and Customer Marketing. Previously, Mr. Aronson was vice president of Sales for both Warner Lambert and Procter & Gamble, and has been a member of the NACDS Associate Advisory.

      According to a letter from a hedge fund investor to Majesco Entertainment (Psychonauts, BloodRayne 2, Advent Rising, Raze’s Hell), Majesco is in danger of going bankrupt and must “take decisive and aggressive action to begin to deal with the enormity of problems that now face the company.”

      The hedge fund, of course, is interested in making that cash infusion by purchasing some 3.3 million shares of Majesco. This would give the fund more control over the management of Majesco, presumably allowing them to make the changes that they deem necessary to return the company to profitability. If Majesco doesn’t accept this “generous proposal,” the hedge fund has vowed to make a hostile takeover, resulting in sure curtailment of the careers of some Majesco execs.
      Though we might scoff at the idea of a finance geeks running a games company, it would be hard for Majesco’s new management to run the company any more disastrously than it has been run of late. Majesco stock is near a 52-week low (see chart to at the top of this post) after a string of mistakes.

      That depends upon how you define "zero sum." If a market continues to rise, it`s possible for some people to sell and lock in a profit while their buyers sell still higher and lock in THEIR profits, etc., etc., etc. And in a downtrending market, it`s possible for everyone (except shortsellers) to be selling at a loss.

      I`m going to ask you a real simple question: if several institutions decide to accumulate substantial positions in a microcap stock such as this one, how long will it take them to do so? Would that make the price start to rise? And, if so, what would the weekly chart look like during that period of time?

      WASHINGTON (Dow Jones)--A group including Trinad Capital Master Fund Ltd. Monday asked Majesco Entertainment Co. (COOL) to "immediately" call a special shareholder meeting to consider corporate governance changes, and asserted that the company failed to respond to the fund`s offer of $7.5 million in financing.

      In a letter dated Monday and filed with the Securities and Exchange Commission, fund Managing Member Robert S. Ellin asked the company to call for the meeting so that shareholders could vote on "whether a staggered board is appropriate given the company`s disappointing performance, and whether the current members of the board are suitable to continue to lead the company."

      Trinad, as reported, has offered to buy 4.3 million common shares from the company at $1.75 a share. Shares of the Edison, N.J.-based provider of video games, video content and digital media peripherals closed at $1.46 Monday.

      "To the shock and dismay of us and the company`s fellow shareholders, the board did not even bother to respond to our offer," Ellin said in the letter.

      Trinad Capital Master Fund reported beneficial ownership of 1,688,590 shares, or 7.59%, of Majesco Entertainment.

      A little bit of both your arguments. I like to keep it simple. Whenever their are 2 points of view, usually one is right at one point in time and the the other point then becomes true down the road. Given our proximity to the holiday season, I see this as a buy. Given Mngts. proven incompentence and lack of titles beyond February, I see this as a sell. Unless they hit one out of the park soon, COOL will be a value title maker for sometime. Can they survive like this? Yes. But COOL will be one boring stock in a hot industry. One thing is evident by todays price movement, someone else sees value below $1.40. Hopefully this someone gets a seat on the board.

      P.S. there will be a shortage of XBOX360`s and the unscertainty over consoles will only help handhelds. COOL has 11 game titles and GBA video this holiday season. I see COOL above $2.00 after GBA video Shrek and Sharktale are released.

      You are so kind unchi, could you be more direct?

      What I like about the list is that Shrek 2 is number 12 for ALL video games during the busiest game shopping season - simply amazing. As I recall, you have been down on GBA video since its inception. Even after the PSP came out, thus confirming the market for watching movies on handhelds(at least in my mind), you still remained down on this concept. Now we finally have confirmation of this market with this ranking.

      With this success, I expect Dreamworks to allow the porting of their other movies i.e. Madagascar and Wallace and Gromit. Hopefully other movie studios i.e Disney and Pixar will get on board. With over 35 million Nintendo Handhelds out there, this is a niche Hollywood can no longer ignore.

      The best part of this is that the content is already done. The Suttons can`t mess it up. All they have to do is put it on their EXCLUSIVE cartridge and sell it. And thanks to Amazon, even this task can`t be messed up by the Suttons. Hopefully retailers will take notice and start giving Majesco some shelf space for this niche.

      And to all you naysayers about the margins on this product, it can only improve as memory prices continue to decline and volumes pick up up.

Known for its comic-to-film adaptations, Platinum Studios signed a pact with Top Cow in 2004 to develop Top Cow`s comic library for film, television, and other media. Platinum Studios and Top Cow`s comic books are set up at most of the major studios, including "Cowboys and Aliens" at Sony, "Unique" at Disney, "Mal Chance" at Miramax, "Wanted" at Universal, "Inferno" at Warner Brothers, "Rising Stars" at MGM and "Fathom" at Fox, as well as a multi-picture pact with financier Gold Circle.

      "The Darkness," created by Marc Silvestri, Garth Ennis and David Wohl, is one of today`s hottest comic book properties, with print sales topping $25 million.       deine nerven scheinen ja blank zu liegen. und wahrscheinlich müssen die bis zum jahresende noch einiges durchmachen, denn es sieht für die nächsten 2 wochen nicht so gut aus.

      die absatzzahlen für nov. sind mit $5 m eher mager ausgefallen. -63% zum vorjahr.

      activision hat gestern nach börsenschluss gewarnt. das könnte die ganze branche heute runterziehen.

      und schließlich dürften grad bei cool noch zum jahresende tax selling und bereinigung der bücher stattfinden.

      für sind das dann kaufkurse. ich werde wohl noch vor jahresende meine volle position aufgebaut haben.

      I think we all know Majesco can`t compete with the big boys. This recent move seems to confirm that Majesco will be focusing on Value titles and Handhelds. With development for the new consoles costing up to $10 mill, while for a hadheld ~ $450,000, this move sounds good to me.

      Despite all the rage about the current console transition underway, with over 30 million Xboxs and 100 mill PS2s out their, it`s going to be 3+ years before someone doesn`t buy a game for these systems. This market is huge and not going away for a while.

      Fear of Bankruptcy drove this stock down to $1.25. Since then, they have secured additional financing and increased its cash position significantly. It is clear that they are not going bankrupt. With over 37 million Nintendo hadhelds out their, this is an ideal niche for a company like Majesco

Damit werden für die nächsten 2 Jahre 14 von Majesco Entertainment Company entwickelte Spiele (z.B. Psychonauts, Jaws Unleashed, Nanostray, Aeon Flux, Age of Empires 2, and Black & White Creatures) für alle Platformen von THQ in den PAL Gebieten veröffentlicht. Majesco verspricht sich davon eine Erweiterung ihrer internationalen Präsenz auf dem Spielemarkt.

      There`s still a chance Majesco might run out of money in the near future, but the New Jersey-based company`s latest financial results are providing investors with some hope that a turnaround might be in the works, according to a research report by Wedbush Morgan Securities analysts Michael Pachter and Edward Woo.

      The company made more money than anybody expected in the latest quarter. They also managed to keep their costs low and have decided to focus on lower-budget console and handheld titles. How does a game developer on the rocks keep costs low? By firing the QA staff, of course! The company notes in its latest financial statement that lower R&D costs are "principally attributable to lower quality assurance employee costs as a result of the fewer number of premium game projects currently in the development cycle."

      Pachter and Woo (who maintain a "sell" rating on the company`s stock) write, "Although we are still unable to paint a rosy picture about Majesco’s prospects, we think that the shift in strategy is the right decision, and note that the company has begun to show signs of improvement."

      Shareholders Make Offer For Majesco

      A shareholders group, including previous investor Trinad, Group have made an offer to Majesco to buy 2 million shares in the beleaguered publisher at a price of $1.50 a share. As part of the deal, the Trinad Group would wish to nominate three people for election to Majesco’s board at the company’s 2006 annual meeting.

      The Trinad Group currently owns a 12.4 percent stake in Majesco and has already attempted to move its representatives onto Majesco’s board with a proffered $5 million investment in September of last year. The offer was not accepted, which Trinad warned would lead to them seeking to “become more actively involved in the company” – a threat which presumably is at the heart of today’s announcement.

      Majesco recently reported quarterly results showing a loss of $2.6 million, increased from $400,000 a year previously. The company began to experience trouble in 2005 when it attempted to move into high budget console publishing with titles such as Advent Rising and the critically acclaimed Psychonauts. The games were not sales successes though, leading to the resignation of the CEO and a move back into “value and handheld games”.

      The Trinad Group is now suggesting that Jessie and Joey Sutton, the sons of Majesco CEO Morris Sutton immediately resign or be removed as officers of the company and has also indicated that it intends to file a lawsuit against the company and several current and former directors and officers, alleging that they breached their fiduciary duties while managing the business affairs.

      It is also claimed they engaged in self-dealing transactions to further their personal interests, usurped corporate opportunities, mismanaged and wasted the company's assets and used poor judgment in appointing certain officers.

      The shareholders group has indicated that its offer to buy Majesco shares will lapse on Wednesday, although no indication is made of what the group intends to do if this new offer is not accepted.

      Trinad, a shareholder group which already has a 12.4 per cent stake in Majesco, has offered to purchase 2 million shares from the troubled publisher on condition that a "more independent" board is appointed.

      In a letter filed with the SEC, Trinad claimed that CEO Morris Sutton is conspiring with his sons Jessie and Joseph - who are company officers - to improve the family's personal finances at the expense of the company.

      Trinad observed that Jessie Sutton's salary was USD 550,000 last year, while Joseph earned USD 246,000 plus USD 160,000 in share options - impressive figures considering the series of financial woes faced by Majesco.

      According to Trinad, "Jessie and Joey Sutton do little to further [Majesco's] business and strategic objectives, and have been placed in such high-paying positions of management as a result of Morris Sutton's selfish desire to compensate his own children at the expense of [Majesco] and its shareholders." The group is demanding that the pair resign or are removed from the company.

      Trinad also claims that Majesco paid USD 2.3 million to a packaging company co-owned by Morris Sutton's brother last year. In addition, the group alleges that Jessie Sutton's father-in-law violated SEC legislation by selling more than USD 340,000 of stock on January 25th, 2005 - a day before the company's offering of 6 million shares of common stock.

      Trinad said it intends to file suit against Majesco, plus several current and former executives, alleging a breach of fiduciary duties, asset mismanagement, self-dealing transactions, the usurping of corporate opportunities and poor use of judgement in appointing officers.

      The shareholders' group offered to buy 2 million shares at USD 1.50 each; as part of the deal, Trinad insists that it must be allowed to nominate three people for election to Majesco's board at the next annual meeting. The offer expires today.

      This is not the first time Trinad has attempted to purchase more shares in Majesco - in September, the group offered USD 5 million for 3.3 million shares in stocks, but the deal was rejected. In a letter to the board, Trinad's Robert Ellis wrote: "We believe that the company now faces danger to its continued existence and prosperity... The time has clearly come for the board to take decisive and aggressive action to begin to deal with the enormity of problems that now face the company."

      We received your letter dated March 24, 2006 as well as your notice of intention to nominate directors. In your letter you propose that you and your affiliates would purchase approximately 10% of our outstanding shares for $3 million. Your proposal, among other things, is conditioned on your completion of a satisfactory due diligence review of Majesco and your receiving majority representation on our board despite owning less than 20% of our outstanding shares even after your proposed transaction. You are effectively seeking to acquire control of the Company without paying any consideration, let alone a control premium, to our shareholders.

      Contrary to the assertions in your letter, the Majesco board has responded to your letter writing campaign. As you know, several of our board members have had numerous telephone conversations with you and your associates dating as far back as June 2005. During these conversations we repeatedly asked you to meet with us in person so we could better understand exactly what you thought you could do, if anything, to increase shareholder value. We also informed you that we were in the process of interviewing qualified candidates for our board. We even invited you to recommend qualified candidates to us and asked for additional relevant information (e.g., bios and resumes) for you, Jay Wolf and other candidates you wished to suggest. Instead, you chose to threaten our board members. For you to publicly suggest that we have not responded to your prior overtures is disingenuous and misleading.

      Your letter also inaccurately refers to a "current liquidity crisis." We believe we have sufficient capital resources to meet our capital needs. In addition, we are confident we can, if necessary, obtain additional financing on terms more favorable than those you have proposed.

      Your proposed slate of handpicked nominees (comprised of you, Jay Wolf and Elliot Goldman), raises a number of issues for our shareholders. We question whether you and Mr. Goldman would be considered "independent" directors given Mr. Goldman's prior status as CEO of the Company's predecessor, ConnetivCorp, and your association with Atlantis Equities Inc., which was paid consulting fees of $450,000 in connection with ConnectivCorp's merger with Majesco, as well as fees of $300,000 (in addition to compensation in the form of stock and warrants to purchase Company shares) upon completion of our private placement in February of 2004. We also question Mr. Goldman's confidence in the prospects of the Company given that he has sold all of his shares in the Company during the past several years.       LOS ANGELES (Hollywood Reporter) - German filmmaker Uwe Boll has made a living translating video games into films, so it seems logical that the DVD of his recent box office flop "BloodRayne" will mark the first time a movie and the game it‘s based on will come packaged together in the same case.

      The May 23 release contains both Visual Entertainment‘s "BloodRayne" and Majesco Entertainment‘s game "BloodRayne 2" on separate discs. Both the R-rated theatrical version and the unrated director‘s cut of the film will come with the full game.

      Fans also will get a pricing advantage. The DVD with the game included will sell for $20, while the stand-alone PC game retails for $30.

      The independently distributed "BloodRayne," which cost $17 million to make, grossed just $2.4 million domestically. Boll said the film has made an additional $1.9 million in Russia and the United Arab Emirates.

      Boll‘s films never left much of a mark at the box office but could have a good track record on DVD. "Alone in the Dark" earned $10.2 million at theaters, for example, and then sold 277,056 DVDs, according to VideoScan, and placed 418,507 units in the rental channel, according to Rentrak. "House of the Dead" grossed $5.2 million, sold 253,314 DVDs and placed nearly 1.5 million units in the rental channel.

      "Our rental retailers and distributors are projecting their ‘BloodRayne‘ purchases at approximately 390,000 DVD units," said Soumya Sriraman, VP marketing and operations at Visual Entertainment. "We are hoping the final orders within the rental accounts place over 500,000."

      It‘s expected that 52% of "BloodRayne" DVD purchasers will be gamers, Sriraman said. Majesco hopes the remaining 48% of consumers will try the video game and be encouraged to check out the first in the franchise. Boll‘s "BloodRayne," which stars Kristanna Loken, Ben Kingsley, Michelle Rodriguez and Michael Madsen, is a prequel origin story to the video game franchise.

      The first game and movie package came from Lionsgate Home Entertainment, which included the full retail PC game of Activision‘s "Kelly Slater Pro Surfer" with the second disc of the surfing documentary "Step Into Liquid" in April 2004.

      While Boll‘s latest film, "In the Name of the King: A Dungeon Siege Tale," will hit theaters in November and he plans to bring both "Postal" and "Far Cry" to the big screen, the director does have his eye on direct-to-video titles.

      "There‘s a definite possibility for me to maybe create ‘Hunter: The Reckoning,‘ ‘Fear Effect,‘ ‘BloodRayne 2‘ and ‘Alone in the Dark 2‘ straight for DVD," Boll said. "Is it really good to spend so much marketing dollars for advertising theatrical releases when DVD generates the bulk of sales?"
