RCMP probe penny stock deals
Harrow lumberyard linked to claims of projects in Mideast

The flamboyant CEO of a Harrow lumberyard who has promoted hundred of millions of dollars worth of investments around the world -- including a $20-million commercial development in Colchester -- is facing scrutiny from the RCMP.

Petar Vucicevich, of Sulja Brothers Building Supply Ltd. said he was questioned last week by the RCMP about the stock of his company, which is currently one of the most hotly traded penny stocks in North America.

"I have nothing to hide," Vucicevich -- nicknamed "Black Pete" for his penchant for black clothing -- said in a telephone interview earlier this week. "They just want to make sure everything is as it's supposed to be."

Vucicevich said the officers who questioned him told him it was a routine investigation because the price of the stock had shot up from zero early this year to around 12 cents a share in recent trading.

Investors were looking anxiously Wednesday for audited statements that would reflect the company's many news releases that had noted deals in the works such as US$100 million or more in cement sales, lumber mill purchases and a US$650-million hotel project in the United Arab Emirates, among others.

Trading in the stock has created an enormous buzz on Internet chat forums.

Hundreds of thousands of messages are flying around daily as investors rejoice or curse with each upward and downward movement in the stock's price. About 21 million shares were traded Wednesday, but the price dipped to nine cents a share when the audited statements were not released.

On some days as many as 30 million shares or more are traded, and the price per share has been as high as 21 cents. Many who bought for pennies a share, dream of a jump to $4 or more a share.

Vucicevich drives a black Range Rover, but his several corporate roles and talk of multimillion dollar deals seem out of character with the tiny second-floor offices and no secretary or any other visible staff at the Pelissier Street headquarters of Kore International, where he is director. One room was still being renovated, some furniture was tipped over.

Vucicevich, who is also director of another company called Consultech, wasn't there. The only other occupant, Sam Sulja, a self-employed stock trader, said he didn't work for Kore but had occasional business dealings with Vucicevich.

In late September, Vucicevich announced that Kore International had plans for a $20-million commercial development in Colchester that would include a $1-million Kronk gym and stores, shops and bed and breakfast accommodations. He later said a cheese factory and a factory that manufactures wooden spindles would be added to the project.

Vucicevich said earlier this week that the RCMP officers who questioned him -- Sgt. Darrell Nay and Cpl. Gordon Aristotle -- said they were part of a joint intelligence unit that works with the Ontario Securities Commission. Reached Wednesday in Toronto, Nay had no comment.

Vucicevich said he told the officers he had no objection if they sent the results of the interview to the U.S. Securities and Exchange Commission (OSC) since Sulja Brothers is incorporated in Nevada.

OSC spokeswoman Laurie Gillett and SEC spokesman John Heine both declined to comment.

"Our policy is not to discuss matters that are before the commission," said Gillett.

Canada set up Integrated Market Enforcement Teams in 2002 to investigate commercial crime which includes members of the RCMP, Investment Dealers Association of Canada, OSC, Revenue Canada, and Justice Canada. RCMP Supt. Don Panchuk, who heads up one Toronto-based market enforcement team, couldn't be reached Wednesday.

So far, all investors have seen are Sulja's unaudited financial statements released in early October, which said that total revenues of US$65.5 million and pre-tax profits of US$28 million were made between June 1, 2005 and May 31, 2006.

Another statement released at the time projected US$307 million in revenue for 2007 with a pre-tax profit of US$93.9 million.

Vucicevich said the statements shouldn't have been released and he had ordered them taken off the company's website, although they could still be found there Wednesday.

He would not say what accounting company did the audit, but said the accountant had returned to Cairo, Egypt.

When The Star asked for an interview with Sulja's in-house accountant or chief financial officer for explanations of the previous financial statement and projections for 2007, Vucicevich said the company had neither.

Asked about the board of directors that oversees the company, Vucicevich said there's only one board member left, a Windsor lawyer, Shahid Khan, who serves as president.

Khan said he was hired to do the legal work on the incorporation of Sulja Building Materials Ltd. in Nevada. He said he knew little else about the business. Khan said he is serving as president of the board until other officers can be found. Vucicevich is the board secretary, he said.

Vucicevich's comments about the unaudited financial statements trouble investors like Ken Rosenberg, who is in the mortgage business in New York City. He has 300,000 shares of Sulja stock, an investment of about US$25,000. "I don't want to lose that money," he said.

Rosenberg is trying to decide whether to stay invested until the audited financial statement comes out or get out.

He said he did his best to research Sulja but it's difficult when many of the deals mentioned were in the Middle East and details were vague.

Vucicevich's other company, Sulja Building Materials, began more than two decades ago as a lumberyard and hardware store founded by John Sulja and carried on until recently by his children on the outskirts of Harrow.

In the last eight months, the family business was merged into another U.S. penny stock company called Loftwerks and incorporated in Nevada under the Sulja name, state records show. It has an authorized 800 million shares, according to Nevada records. The stock trades on an over-the-counter market known in the business as "pink sheets." The stock price can be easily tracked over the Internet although it's not listed on an exchange.

At least one Sulja family member works for the lumber business. Wally Sulja, who works for the company out of its Huron Church Road office, said his cousin Steve Sulja, a former CEO, "was bought out" earlier this year. Steve Sulja and John Sulja, who is retired, didn't return calls from The Star

Vucicevich\Kommentare über die unaudited Jahresabschlüsse bekümmern Anleger wie Ken Rosenberg, das im Hypothekengeschäft in New York Stadt ist. Er hat 300.000 Aktien des Sulja Vorrats, einer Investition von über US-$ 25.000 . "ich ziehe an\' t Bedürfnis, um dieses Geld zu verlieren," er sagte.

Rosenberg versucht, zu entscheiden, ob man investiert bleibt, bis der geprüfte Jahresabschluß aus kommt, oder aussteigt.

Vucicevich\sind anderer Gesellschaft, Sulja Gebäudematerialien begann vor mehr als zwei Jahrzehnten als ein Holzlager- und Metallwarengeschäft gegründet von John Sulja und weitergetragen, bis vor kurzem von seinen Kindern auf den Stadträndern der Egge.

In den letzten acht Monaten wurde das Familiengeschäft in einer anderen Loftwerks genannten US-Pennyaktiengesellschaft einfließen gelassen und, integriert in Nevada unter dem Sulja Namen, zeigen sich Staatsaufzeichnungen. Es hat eine bevollmächtigten 800 Millionen teilen entsprechend Nevada Aufzeichnungen. Der Vorrat nützt einen nicht rezeptpflichtigen Markt aus, der im Geschäft gekannt ist, wie "Blätter auszackt". Der Vorratspreis kann leicht über dem Internet verfolgt werden obwohl es\wird nicht in einem Tausch aufgeführt.

Mindestens ein Sulja Familienmitglied funktioniert für das Holzgeschäft. As the most recent newspaper article printed in the Windsor Star might illustrate, I find myself having to waste an enormous amount of time explaining to our shareholders certain quips and accusations about my personal idiosyncrasies and character deficiencies that are simply not productive in the light of our everyday business. It is clear that this article attempts to portray me in a less then flattering way, and if Mr. Gary Rennie (author of the article) is left to expound these utterly boring and cookie-cutter floggings within the mill of journalistic sensationalism, the attempt would appear to be succeeding. For reasons beyond my understanding, Mr. Rennie, the author of this piece, seemingly does not like me very much, and perhaps he feels he has stumbled onto something worthy of his experience-tempered scathing. Referring to me as "Black Pete," making reference to the vehicle I drive, and lamenting over the state of the appearance of my office by alerting everyone... everywhere... that there was "furniture tipped over" serves no purpose in presenting the truth of our company's business. This type of "spin-doctoring" not only portrays me as shady (something to which I normally would not personally concern myself), but it also encourages our shareholders to think something is scandalous, and in fact, deliberate in its intent to be so. Mr. Rennie had many opportunities to visit our Harrow operations and provide many pictures of a busy and successful enterprise but chose to show a photo of me... and I happen to think the Harrow staff is more photogenic...

As far as the current dilapidative state of Kore's office in Windsor, anybody walking into that place would clearly see that it is under renovations... a complete make-over no less. It is undergoing the same process that I and many other business owners in that area feel should be applied to a great number of structures in the immediate vicinity. Perhaps it is not as nice an office as Mr. Rennie's but I like it. You would think that the appearance of such scarcity and dishevelment would please him knowing that I am not allowing my "flamboyance" to dictate my business decisions. The fact that the office is understaffed at this time is due to the renovation... and not a lack of substance or employees in our dealings, as implied.

In response to the RCMP officers with whom I met, I made it clear to Mr. Rennie that this was explained to me as a routine investigation, and that every new company offering shares in the market is subject to this type of review, particularly if the company's shares were reaching volume benchmarks on the exchange. I personally provided this information to Mr. Rennie, including the investigators' names. Clearly, I was not being evasive in any way during my interview. In fact, I can say with certainty that most of the information in the article was provided by me. I am sorry to feel compelled to aver to the public that the information was simply presented poorly and in a self-serving, grandstanding manor. I would have hoped that a respectable organization like the Windsor Star would have been a little more considerate of the facts prior to publishing these statements. Although all the "facts" are true, the clearly evident misrepresentation of them in the article serves no other purpose than the same monotonous sensationalism seen in nearly every publication in North America.

Finally, we released information recently regarding our audited financials and their availability to the public viewing. We missed the deadline... due in part to the necessity of handling negative accusations such as the one I speak to now. As soon as is practicably foreseeable, we will release the financial documents for all to see, as promised. For we have nothing to hide, as always. And we have no desire to hide "all of that nothing."

I have known Petar for years, and yes he probably wrote that stuff, he went to Univeristy for journalism. I have not seen him for years, but he was a con then, obviously still at it. Do your homework on the CEO people !! Ask around Windsor, Toronto, I could tell you stories that would make everyone run. I don't think he intended to hurt anyone, he just has always had financial problems

Just responded to a PM by e-mail. Don't normally do that, but personal info involved. Made me want to do one more post before I hit the sack.

This is experience speaking!!! When your down, you always think I have to go to the sub penny area and get a shoot for the moon gain, home run, to get back in the game.

My cash is to small to re-coop my losses quick enough.

Well there is some logic to that, but the lower you stoop and the higher you aim, the more risk and odds of failure. It's not time to gamble your last penny away. It's time to take your time with gains, that are almost for sure. And spend the time to learn how to do it right!

You will receive much larger gains in knowledge, then any high risk one shot success could give you & force yourself not to lose your last penny, that way. Remember a 10% gain in a $100 dollar stock, is the same as a 10% gain in a 10 cent stock. And once you know how to plant, odds are you won't starve in the future.

Please learn form mistakes and try to take your time the second time around. No all in's and No all in at once entries! Don't spend all your time looking for a sub penny bottom bounce shoot for the moon play. Look for a good strong chart pattern stock with a target in place. And enter when the indicators says too, not before.

Small steps after getting hurt. You don't want to make your injury worst! THINK about it! There are only a few people that ever made it to the moon and event they are back on earth, now.

A local businessman who has created a sensation on North America’s penny stock market with plans to develop a US$645-million hotel complex in the Middle East has been accused of stiffing his landlord for the rent on his former corporate offices in Windsor.
“They did a midnight run on me,” said Joe Mikhail, a major commercial property owner in Windsor and Essex County.
Petar Vucicevich and his small staff bolted in the night about eight months ago owing $100,000 for a yearand-a-half of rent, the unpaid portion of the five-year lease and cost of renovations for the offices, said Mikhail, who recognized his former tenant’s picture in Thursday’s Windsor Star.
Interviewed at his Colchester residence later Thursday, Vucicevich, the CEO of Sulja Brothers Building Materials, denied owing Mikhail any money. He insisted he paid a few extra months of rent just to get out of the lease. “I don’t owe Joe anything,” said Vucicevich.
According to a news release issued by one of his companies, Vucicevich — as director general of Consultech Construction Management Inc. — was in the United Arab Emirates in April to buy land and launch construction of a $US645-million luxury hotel on Al Reem Island in Abu Dhabi. He showed The Star his passport to prove he was in the UAE in mid-April.
The hotel project is the largest of a number of multimillion-dollar deals — including a $20-million commercial development in Colchester Village — that Vucicevich and his companies have promoted to investors.
Sulja Brothers is one of North America’s hottest-trading penny stocks. On Thursday, more than 171 million shares of Sulja stock were traded, with the price per share dropping from nine cents to four. About 67 million shares traded Friday with the price closing at three cents a share.
Until the website for Vucicevich’s Consultech company was taken down “temporarily” earlier this week it still showed the Mikhail property as its Canadian headquarters. The Star paid a visit recently only to find an empty suite with workers painting it for the next tenant.
Mikhail said he heard Vucicevich describe deals that were in the works when he tried to collect the rent, including the big hotel project in the Middle East. “He lost all credibility with me with that story,” he said.
The Consultech office appeared to be used mostly at night, Mikhail said. “Nothing made sense.”
Mikhail said he didn’t pursue Vucicevich with a collection agency or lawyer because he didn’t think he had any money at the time.
But Vucicevich now has a choice of a Range Rover, BMW or Maserati to drive, all leased, he says. And between June and September this year he and his wife purchased four parcels of land in Colchester Village for $609,000, according to land registry records.
Vucicevich said Consultech doesn’t do business any longer in Ontario or Michigan, but is active in Middle East projects. He insisted the hotel project was still in the works with the land — worth about $29 million according to a company news release — already purchased. Construction will start next year, he said. “We’re looking to expand into Lebanon.”
Vucicevich gave The Star a tour of the Sulja Brothers’ Harrow construction materials yard to prove that it was a bustling business with 28 employees. “This is not a fraud; this is a serious enterprise,” he said.
Asked where were the employees of Consultech and Kore International — another of his companies — Vucicevich said some work out of their homes, but the majority of about 40 were stationed in overseas offices. He said the reason no employee was in the Kore office on Pelissier Street when The Star dropped by was that renovations were being done.
Vucicevich complained that while the facts in The Star’s story about him and his company in Thursday’s paper were “absolutely true” the picture painted was misleading by not pointing out the busy lumber business. While close friends do call him “Black Pete” because of his fondness for all- black clothing, Vucicevich said the story appeared to give that a sinister tone.
Asked if the audited financial statements for Sulja thousands of shareholders have been promised for months are done, Vucicevich said: “You’ll get them when everyone else gets them.”
Vucicevich said he doesn’t own any Sulja stock and doesn’t benefit or lose when the price goes up or down. “It’s not like I’m selling off lots of stock and making money off it,” he said.
Because the volume of shares traded was so high Thursday — more than 10 times the average volume for the stock — Vucicevich said the U.S. Securities and Exchange Commission would probably take a look at the reasons, but he wasn’t concerned that anything was amiss.

TORONTO - The Ontario Securities Commission (OSC) ordered an extension Monday of its cease trading order against Sulja Brothers Building Supplies Ltd.'s penny stock until March 23 when a hearing on numerous allegations of securities violations will resume.

Based on exhibits of documents already filed with the OSC, key evidence in the case will come from a Nov. 6 recorded interview by the RCMP in Harrow with former Sulja CEO Petar Vucicevich and Andrew DeVries, a San Antonio, Tex., associate of Vucicevich.

Tom Anderson, a senior investigator for the OSC, said in an affidavit that it would take another six months to complete the investigation.

But the OSC already has secured records of five trading accounts of two Canadian brokerage firms that were opened by employees of Vucicevich's Kore International Management Inc. and several members of the Sulja family, whose Harrow-based lumber yard was incorporated in Ontario in 1987.

According to Anderson's affidavit, Vucicevich told RCMP investigators that he directed the trading in the five accounts to keep the price of the stock around 12 cents a share. The stock price has since dropped drastically to about one cent a share in U.S. trading Monday.

About 150 million shares of Sulja stock sold earlier this year through the five accounts raised about $7.8 million, Vucicevich told RCMP investigators the OSC affidavit says.

Money raised from the stock sale went to Kore or Sulja Bros. and members of the Sulja family, Vucicevich told the RCMP, according to the affidavit.

Vucicevich told The RCMP that he was directing Kore's operations in Canada through its Ontario-incorporated company while DeVries directed a U.S.-incorporated company also called Kore International, the affidavit says.

Vucicevich said the Kore companies controlled about 280 million Sulja stock shares, according to the affidavit.

The five trading accounts mentioned in the OSC affidavit were in the names of Pranab Pratap Shah and Tracey Banumas, both employees of Kore; and John Sulja, Samuel Sulja, and a joint account of Samuel and Vladko Sulja.

The OSC also received formal complaints in September from KPMG LLP and PricewaterhouseCoopers (PWC) that two Sulja Bros. news releases had falsely claimed the two accounting firms were being approached to do audits or handle other financial matters.

In his affidavit, Anderson says the accounting firms sent letters to Vucicevich and to Marquee Asset Management, an investor relations firm employed in the past by Sulja Bros. that requested corrections to its press releases, but nothing was publicly retracted.

Jim Bishop of Vancouver, who is well-known for expertise in penny stock markets, said he expects the OSC will share the results of its investigation with the U.S. Securities and Exchange Commission.

Based on the details of the OSC allegations and the extent of their investigation, Bishop predicted a gloomy outcome for shareholders of Sulja stock.

Vucicevich, who didn't appear, and his Kore company were represented Monday by Toronto lawyer Bryan Finlay. DeVries wasn't present or represented.

The Ontario Sulja Bros. company was represented by Toronto lawyer Kate Broer.

Sulja Bros. Building Supplies, Ltd. (Nevada) (PINKSHEETS: SLJB) today announced that The Ontario Securities Commission (OSC) has commenced an enforcement proceed against the Company, the Company's affiliate Sulja Bros. Building Supplies Ltd. (Ontario), the Company's former Chief Executive Officer Peter Vucicevich, Kore International Management Inc. (a company affiliated with Mr. Vucicevich) and Andrew DeVries (an associate of Mr. Vucicevich), who was formerly associated with the Company. The OSC alleges, among other things, that Messrs. Vucicevich and DeVries engaged in manipulative trading in the Company's stock and that the Company made representations in certain press releases that were not true. A copy of the Statement of Allegations issued by the OSC can be found at http://www.osc.gov.on.ca/Enforcement/Proceedings/SOA/soa_200… On December 22, 2006, the OSC ordered the cessation of trading in the Company's securities for 15 days and, on January 8, 2007, that order was extended until March 23, 2007. The Company did not oppose the continuation of this order and is cooperating with the OSC, but cannot at this time comment on the substance of the OSC's allegations or on the impact of the OSC's order on the trading of the Company's common stock in the United States.

The OSC has now requested that the order be extended until July 5, 2007; the company has agreed to the extension and will continue cooperating with the OSC to arrive at speedy conclusion of the matter.

At this time the Company would like to announce the appointment of Turner Stone & Company L.L.P., a U.S.A. CPA Firm located at 12700 Park Central Drive, Suite 1400, Dallas, TX. 75251.

Sulja Bros. CEO says he was duped

HARROW -- Steve Sulja, the embattled CEO of Nevada-based Sulja Bros. Building Supplies Ltd., said Monday he was duped into believing the company had finalized fabulous deals in the Middle East to sell cement or build a hotel that were going to bring in hundreds of millions of dollars in revenue. Sulja said he's told an Ontario Securities Commission (OSC) investigator everything he knows in an eight-hour interview and is prepared to face the consequences.

Sulja said he's upset that the family's name has been blackened, creditors aren't being paid and shareholders have been misled about the company's prospects.

"I want to get my life back to normal," Sulja said in an interview at the Harrow lumberyard that closed two months ago.

Sulja said the family's 20-year-old business -- excluding the land and buildings -- were sold last year in a "handshake deal" with Petar Vucicevich for $4.8 million, but only a partial payment was received. He said he and four other family members received $150,000 each, but nothing since.

The plan was for Vucicevich to hire the existing staff, take over the accounts receivable and payable, and run the business using another Ontario corporation -- called Sulja Building Supplies -- from the Harrow warehouses and office, Sulja said.

"Petar orchestrated everything," Sulja said.

Sulja said his family's Ontario incorporated business -- Sulja Brothers Building Supplies Ltd. -- essentially stopped operating as of Aug. 1 last year. Sulja said his father John still owns all the lumberyard property on Erie Street just outside Harrow.

After the handshake deal, Sulja said he wasn't involved in the Sulja Building Supplies operation until last November, when Vucicevich asked him to come back and become CEO. He said he was "a dumb ass" to agree.

Sulja said he was shocked the OSC laid charges a month later alleging the Nevada-incorporated Sulja company's stock prices were manipulated, that false and misleading press releases were issued, and that stocks were sold without issuing a prospectus as required in Ontario.

Last month, the Alberta Securities Commission made similar allegations after the company attempted to launch an operation in Calgary.

Dan Scott, lawyer for Vucicevich on the ASC allegations, said his client bailed out the Sulja family when their business was approaching bankruptcy.

"They don't know now to run a business," Scott said. "Steve is very bitter over the fact that his company has been taken over."

Scott agreed Vucicevich had a deal to buy the family business, but disputed Sulja's contention that full payment wasn't made. The lawyer said he didn't know the exact amounts involved.

Scott said Vucicevich's Kore International company is in the process of taking over Sulja Business Supplies because of debts owed. A receiver hasn't been put in place yet, he said.

Scott said he's seen correspondence from overseas lawyers indicating that deals were in progress. The lawyer said he didn't know if any were finalized.

Scott also didn't know when an audited financial statement would be available. "Not a clue," he said.

Sulja said Vucicevich has always assured him that he will provide records to prove the dozens of deals touted in press releases for more than a year were actually completed. In the last few weeks, Sulja said he's given up hope of seeing any proof of those deals.

Even though he's the CEO, Sulja said he has no idea what the Nevada-incorporated company actually owns because he can't get access to current financial records.

Scott said he knew little about the Nevada Sulja company and thought it was essentially dormant while the OSC charges were pending.

Sulja said last Friday he was ordered off the property of the company's County Road 17 location and the locks on his office were changed because of a claim of unpaid rent.

In Calgary, where Sulja Building Supplies had leased an office and warehouse May 20, a bailiff's notice was taped on the door claiming $52,077 in unpaid rent.

In Windsor, Tecumseh Truss Systems Inc. has filed lawsuits seeking to put construction liens on two homes, including Vucicevich's at 286 County Road 50 in Colchester.

Trusses were supplied to Sulja Building Supplies for installation on both homes earlier this year, but payment of about $10,000 wasn't received, said Tecumseh Truss lawyer Grant English.

About $7.8 million was made from the sale of Sulja stock through trading accounts controlled by Vucicevich and a Texas associate Andrew DeVries, according to the OSC allegations. Next hearing is Oct. 31.

While hearings continue, the stock is halted from trading in both provinces, although it continues to sell on an over-the-counter electronic market in the U.S.
