Razorfish Selected to Develop Website for HBO`s Multimedia Band of Brothers Project

NEW YORK, Apr 18, 2001 (BUSINESS WIRE) -- Razorfish, Inc. (NASDAQ: RAZF), the
global digital solutions provider, today announced it has been selected to build
and design the website for HBO`s Band of Brothers, one of the most highly
anticipated multimedia projects of the summer. Razorfish will collaborate with
HBO to create a user-focused experience that provides unique functionality, deep
historical content, and an unparalleled companion to an off-line media event.
The project will be HBO`s most extensive effort to date in producing original
content for the Internet. The website launch in June 2001 will feature the
trailer for HBO`s Band of Brothers miniseries.

Executive produced by Academy Award winners Tom Hanks and Steven Spielberg, Band
of Brothers is HBO`s 10-part World War II miniseries based on the best-selling
book written by war historian Stephen E. Ambrose. With a production budget of
$120 million, this high-profile project follows the true story of the men of
Easy Company, 506th Parachute Infantry Regiment, 101st Airborne Division, U.S.
Army. The miniseries will premiere in September 2001.

In making the announcement, Carmi Zlotnik, senior vice president of creative
operations and production for HBO Original Programming said, "After assessing
many options, Razorfish became a clear choice based on their ability to combine
design creativity with technical expertise - they came to us with great ideas."

Bruce Richmond, vice president of production for HBO Original Programming
continued, "An event of this size commands a commensurate idea in the Internet
medium. Our goal was to seamlessly blend supporting the miniseries itself,
creating an experiential journey, and building an enduring living memorial where
community activity of this nature could take place for years to come."

Jane Potenzo, senior client partner for Razorfish, said, "We have been given a
tremendous opportunity to work with the most gifted storytellers in television,
HBO, on the development of this site. Creating stories that support a series of
this stature--and developing a living memorial to the men and women who lived
through this remarkable time in history--is a truly unique and enriching project
      to be involved in."

The site will become a destination on the Internet that will both educate and
inform people about WWII through original "webisodes" (miniature movies that
depict aspects of the war), historical content and actual stories submitted by
veterans and their friends and families. Razorfish is working with HBO Original
Productions to utilize video and audio archival material to recreate various
      events for the webisodes.

Razorfish will produce six original webisodes, which will roll out beginning
with the site launch and continue until the series launch in September. The
webisodes will provide a historical overview of the war, starting with the
Battle of Britain in mid-1941 and ending with the D-Day invasion at Normandy in
1944, where the miniseries picks up. Other topics include life on the homefront,
the occupation of Holland, combat training, and the invasion of Sicily. Each
webisode will feature interactive sidebar content offering additional
information about the main topic of the particular webisode. Anne Thomopoulos,
senior vice president, original programming, HBO said, "Creatively, we felt it
important to try to engage the Internet participant with different points of
view in our experiences and connect with them on an emotional level."

Another component of the site will be first-hand stories and memories of the war
years. Veterans` friends and family members are invited to send in their own
stories and recollections about WWII. The site will launch with stories from
many of the members of Easy Company. Submitted stories can be enhanced with
related information available on the website. For example, a paratrooper`s
recollection might include interactive content demonstrating typical paratrooper
      gear.

Once the Band of Brothers miniseries premieres in September, the stories from
those individuals who lived through the war both on the battlefields and on the
home front will become more prominent, and the site will become a living
memorial to the men and women who participated in WWII. Razorfish will develop
functionality that will enable site visitors to search for particular stories by
name or geographic location. Visitors can also obtain information about their
city or state`s involvement in the war effort. In addition, the site will offer
a timeline section, beginning at the end of World War I and featuring
significant events through the end of World War II in 1945.

"The development of the site and the content management system perfectly merge
our original content with the stories being submitted by the public," said Dan
Sacher, senior project manager for Razorfish. "The result is a compelling
synergy of entertainment, information and technology."

Razorfish`s Media and Entertainment practice focuses on helping companies
succeed through visionary solutions that reflect our clients` current strategies
and long-term goals. Our understanding of established and emerging narrowband
and broadband technologies enables us to develop and implement digital solutions
that leverage our clients` content across multiple channels and many screens.

      @osmax

NEW YORK -- Razorfish Inc. shares jumped 70% to over $1 in heavy trading Friday that prompted speculation among traders that somebody, perhaps the company, was trying to raise the share price to avoid possible delisting.

Razorfish (RAZF) is in danger of becoming a candidate for delisting from the Nasdaq National Market because its stock has remained under $1 since March 13, or 28 trading days.

Under Nasdaq`s rules a company becomes a candidate for delisting if its minimum bid price remains under $1 for 30 consecutive trading days.

"It does look like someone`s attempting to keep it over a dollar," said Steven Birer, analyst at Robertson Stephens, adding that it`s "within the realm of possibility" that Razorfish is the buyer.

In mid January, the embattled Internet services firm announced that its board of directors had approved the repurchase of 5 million common shares. It had 98.3 million outstanding at the end of March.

There was active chatter Friday among visitors to Internet message boards dealing with Razorfish that the company might be repurchasing shares. A spokeswoman at the New York company declined to comment Friday on the rumor.

If Razorfish`s shares failed to close above $1 Friday, it would have had just one more trading day left before it received a letter from Nasdaq warning it about possible delisting. The company then would have another 90 calendar days to get its minimum bid price back above $1 for 10 straight trading sessions to avoid delisting.

Razorfish, whose shares soared to nearly $57 on a split-adjusted level last February during the Internet mania, has seen its shares tumble as its business has deteriorated. Like many of its peers, it has posted several quarterly shortfalls and had broad layoffs.

The stock hit an intraday high of $1.25 shortly after 10 a.m. Friday on a surge in volume, which is the time a company is permitted to begin repurchasing shares. At 4 p.m., the stock was up 47 cents, or 67%, at $1.17 in Nasdaq composite trading.

      IBM Follows Its Own Advice
      By Ben Hammer

IBM put a spotlight on consulting this week, pointing to its services division in its quarterly report Wednesday as a primary source
of the company`s growth going forward, and the next day announcing that it has acquired Internet strategy consultancy Mainspring.

At close of market Thursday, Big Blue said it acquired Boston-based Mainspring in an $83 million all-cash
transaction. IBM paid a 25 percent premium over Mainspring`s market cap as of Thursday`s close. Mainspring`s
170 consulting professionals will be merged into IBM`s Business Information Services, a management and
technology-consulting unit. In 2000, BIS took in $9.7 billion in revenues worldwide, including $4 billion from the
      U.S., Canada and Latin America.

A day earlier, IBM said more than half of its growth in the first quarter came from providing technology services
and consulting. The company`s Global Services division grew 12 percent compared with the same period a year
earlier, and its BIS group grew 26 percent year over year. IBM also reported a 40 percent increase in e-business
service revenues compared with the same period last year. The largest technology company in the world, with
$88 billion in revenues in 2000, IBM derives slightly more than a third of its revenues from consulting and other
      services.

With its acquisition of Mainspring, Big Blue is making a strong consulting play at a time when its service rivals are
mired in a steep downturn. Internet consulting firms such as MarchFirst, Razorfish and even sector leader Sapient
have been hammered in the past year, both by the drop-off in dot-com business and the wider pullback in technology spending. Even older, more established
consulting firms have felt the crimp in spending, with PricewaterhouseCoopers last week and KPMG Consulting this week announcing layoffs.

In recent years, tech firms have looked to build services revenues in order to diversify their businesses. Consulting is a high-growth proposition and helps tech firms
sell and maintain hardware and software products. This fall, Hewlett-Packard courted PwC for two months before merger talks fell apart. Last month, networking
stalwart Novell bought consulting firm Cambridge Technology Partners despite that company`s lackluster performance during the past three years. Today`s hard times
for consultants give technology companies a chance to cherry pick from among the declining firms.

"We are being approached at an all-time high rate by distressed companies that are looking for Mainspring`s case, the companies became acquainted while working
together for mutual clients. "It was like we went out on a first date and liked what we saw and a couple months later decided to get married," Hawk said.

The acquisition is a rare move for IBM. Through mostly organic growth, BIS has built a worldwide force of 50,000 professionals, including 20,000 consultants in the
U.S., Canada and Latin America. Mainspring is only the second U.S. company BIS has acquired, with perhaps a dozen more consulting acquisitions elsewhere. That
Big Blue did take the acquisition route to growth underscores that there are some bargains in the consulting business as a result of the current market climate.

In tiny Mainspring, IBM saw a chance to enhance significantly its ability to advise clients from a strategy perspective. The boutique firm differentiated itself from
Internet consulting rivals by helping clients make key technology decisions in support of their overall business goals. In general, the firm advised companies on
executive-level decisions, such as where to allocate technology spending or which online businesses to acquire and how to integrate them into existing businesses.

Mainspring derives about half of its revenues from work for clients in the financial services industry, and also serves retail and consumer product industries, as well as
communications, media, industrial and life-sciences companies. Mainspring advised a Dutch supermarket conglomerate that owns 8,200 supermarkets and other
stores around the world on its acquisition of online grocer Peapod in April 2000, and also has advised publishers such as McGraw Hill on how to offer media content
      online without cannibalizing offline sales.

Becoming part of IBM`s goliath services unit -- a company within a company -- gives Mainspring a fat pipeline of clients to which to sell its work, as well as
tremendous organizational resources to do so.

"What this does is attaches a global distribution engine to us as well as several thousand existing strategy resources that we can bring to our work," said Mark Verdi,
Mainspring`s CFO and senior VP of operations.

Mainspring Chairman, CEO and President John Connolly will become the head of BIS` e-business strategy unit and oversee its 2,000 worldwide professionals,
including 500 in the U.S., Canada and Latin America.
