Advanced Power Solutions, Inc. and Front Edge Technology Enter Into Joint Venture to Develop Unprecedented Energy Source

PALM BEACH, Fla.--(BUSINESS WIRE)--Nov. 12, 2001--Applied Digital Solutions, Inc. (Nasdaq: ADSX) today announced that its wholly owned subsidiary, Advanced Power Solutions, Inc. (APSI), has entered into a joint-venture agreement with Front Edge Technology (FET).

Under the terms of the agreement, APSI and FET will jointly develop a first of its kind energy/battery source that combines APSI`s proprietary thermo-electric generator, Thermo Life, with FET`s proprietary thin-film battery technology, NanoEnergy(TM). NanoEnergy(TM) is the first thinner-than-paper and flexible rechargeable battery. Ultimately, it is anticipated that the two technologies will work in tandem to create, store and supply body-generated, thermo-electric energy. This power source may be used in a variety of medical devices, smart cards, and consumer devices including wristwatches.

Located in Baldwin Park, California, First Edge Technology was founded in 1994 by management with a combined 70 years of thin film technology experience. FET has been responsible for a number of "world`s first" power cells. FET was granted an $820,000 SBIR award from the U.S. Department of Energy for developing advanced thin film materials and processes.

Dr. Peter Zhou, Chief Scientist of Applied Digital Solutions, explained the technology solution presented through this joint venture: "One can view Thermo Life`s body-heat thermo-electric generator as creating a `river` of electricity, whose flow is contingent upon body heat. FET`s NanoEnergy(TM) can be viewed as a `reservoir` capable of storing energy that flows to it and releasing that energy in a specific capacity over an extended period. This combination of `river` and `reservoir` will create a tiny, reliable, and self-generating power source that does not require constant contact with the body and is void of toxic or hazardous materials."

Richard J. Sullivan, Chairman and CEO of Applied Digital Solutions, stated: "Through this joint venture, Thermo Life technology is well positioned to further our position as a premier advanced digital technology development company. The collaboration of R&D, marketing and licensing efforts will further widen the estimated $30 billion marketplace for Thermo Life. As the technology becomes commercially viable, we anticipate following the path set out by our business model to bring APSI to the public markets, further enhancing shareholder value in both indirect and direct participation in its success."

      About Advanced Power Solutions Inc.

In November of 2001, Applied Digital Solutions created a wholly owned subsidiary called Advanced Power Solutions, Inc. (APSI). This new unit will further develop, market and license Thermo Life(TM), a proprietary, thermoelectric generator powered by body heat. Thermo Life is intended to provide a miniaturized power source for a wide range of consumer electronic devices, including attachable or implantable medical devices, wristwatches and other consumer devices. The Company estimates that the potential marketplace for Thermo Life exceeds $30 billion.

      Nichts.

Applied Digital Records 32% Year-To-Date Revenue Gain in 2001Company is "making solid progress" in cutting costs and executing its new business plan as an advanced digital technology development company

PALM BEACH, Fla., Nov 15, 2001 (BUSINESS WIRE) -- Applied Digital Solutions,
Inc. (Nasdaq: ADSX), an advanced digital technology development company, today
announced that revenues for the nine months ended September 30, 2001 were $128.6
million, an increase of 32% over the $97.5 million for the same period in 2000.

For the three months ended September 30, 2001, revenues increased to $41.4
million versus $41 million for the year-ago quarter and $39.9 million for the
      three-month period ending June 30, 2001.

For the quarter ended September 30, 2001, Applied Digital Solutions reported a
pro forma net loss from continuing operations of $18.1 million or $0.09 per
share, compared with a pro forma loss from continuing operations of $1.5
million, or $0.02 per share, and $23.7 million or $0.17 per share for the
periods ending September 30, 2000 and June 30, 2001, respectively. Pro Forma net
income or loss excludes asset impairments, goodwill amortization and
amortization of stock based compensation charges.

As previously announced in a Letter to Shareholders, the Company has taken a one
time third quarter charge of $84 million related to its restructuring as an
advanced digital technology development company. The majority of the charge
relates to a write-down of its IT infrastructure assets. As a result, on a GAAP
basis, the net loss from continuing operations for the quarter ended September
30, 2001, was $109.3 million or $0.56 cents per share, compared with a loss from
continuing operations of $3.2 million or $0.05 cents per share in the year ago
      period.

"We have made solid progress in cutting costs and executing the business
strategy that we envisioned when the company purchased the patent that began the
development of our breakthrough Digital Angel technology," commented Richard J.
Sullivan, Chairman and CEO of Applied Digital Solutions. "The previously
announced merger of Digital Angel and Medical Advisory Systems will be the first
`value event` from this new strategy for Applied Digital and its shareholders.
We are looking forward to seizing our first-mover advantage when we launch
Digital Angel on November 26. In addition, we anticipate that other proprietary
technology currently under development, such as Thermo Life(TM), will create
comparable value in the months and years ahead."

Mr. Sullivan concluded: "Execution of our new business model, along with our
continuing reduction in operating expenses, already has begun to address our

      Gruß an ALLE!

      -Abschluss IBM Deal
-Partner für DA Einführung Ende des Monats
-evtl.

WASHINGTON (Dow Jones)--Applied Digital Solutions Inc.`s (ADSX, news, msgs) independent auditor revised its opinion on the company`s financial statements for the year ended Dec. 31, 2000, and now expresses doubt about the company`s ability to continue as a going concern.

According to a Form 8-K filed late Friday with the Securities and Exchange Commission, the accountant cited defaults under the company`s financing agreement with IBM Credit Corp., a unit of International Business Machines Corp. (IBM, news, msgs).

As of Sept. 30, Applied Digital Solutions had a negative tangible net worth less than was allowed under the agreement; lower earnings before interest, taxes, depreciation and amortization than allowed; a current assets to current liabilities ratio below the minimum requirement; and a collateral shortfall, according to the filing.

In addition, the company didn`t make interest and principal payments required under the agreement, including a payment originally due July 1 that was deferred until Oct. 1.

As of Friday, the company hadn`t received any waivers for the defaults, the filing said. Although Applied Digital Solutions is in discussions to restructure its credit agreement, there can be no assurance that the discussions will be successful.

Applied Digital Solutions` failure to make interest and principal payments and non-compliance with the covenants constitutes separate defaults under the financing agreement and IBM Credit is entitled to accelerate the maturity of all amounts owed.

The company doesn`t have the available funds needed to repay IBM Credit if the obligations were accelerated, according to the filing.

If IBM Credit were to accelerate the obligations, Applied Digital Solutions has substantial doubt it would be able to continue its business operations.

Applied Digital Solutions, a communications technology company, has four business groups: communications, software and services, computer and specialty manufacturing.

Why would IBM advance cash, just to call loan 6 weeks later...
As soon as DOC deal closes, ADSX`s financila woes will be solved..
With ADSX doing DA/DOC Merger, deal is worth $150 Million(adsx is getting 18.2 million shares of DOC, which currently trading at $8.08 X 8.20)...If ADSX was to sell of 35% of stock made in deal, they could pay off IBM in full...
This is why I figure IBM is giving ADSX the time they need to get deal done.. Although, I doubt they will pay them off in full, I would be willing to bet that debt covenants will be met, post DA/DOC merger..

Commmon sense dictates..Why would IBM slit their own necks by getting pennies on the dollar, when they could get paid in full, as well as they get 1 Million shares of new company, per previous agreement (which would mean an additional $8 MILLION for them)!

      Erik,
      wahrscheinlich hast Du recht.

Sensors, GPS make watch a safety device

      By Christine Winter
      Business Writer
      Posted November 22 2001

Digital Angel, a personal safety device that
      combines medical biosensors, an emergency
alert and a locator chip in a standard
wristwatch and pager, will make its nationwide
debut in South Florida Monday through a series
      of television ads.

In the initial rollout, the product, developed by
Palm Beach-based Digital Angel Corp., will be
available only from its Web site
      (digitalangel.net) and a toll-free number
(877-432-6663). By the second quarter of
2002, it will be distributed through pharmacies
and electronics stores, said Keith Bolton, chief
      technology officer for the company.

The first generation of the Digital Angel will include a body
temperature sensor in the watch, plus a chip linked to the Global
Positioning System, a satellite-based locator system built by the
Department of Defense, and an emergency alert in the pager.

Digital Angel also has a "fall down" alert that indicates that the wearer
is prone and a "wander alert" which can tell if the wearer strays
      outside a predetermined geographic boundary.

The data is transmitted wirelessly to an operations center, which
contacts caregivers in case of an emergency. All the collected
information is stored in a database that can be accessed online in real
      time by authorized subscribers.

Future versions of the product, scheduled to be released in 2002, will
include additional biomedical sensors aimed at monitoring pulse and
heart rates, blood sugar levels and blood/oxygen ratios.

Later models will also include a Thermo Life battery, based on a
proprietary technology that generates energy from body heat,
developed by a sister company, Advanced Power Solutions Inc., in
Palm Beach. Early models will have a rechargeable battery, but can be
fitted with the Thermo Life when it becomes available in 2002.

The product is aimed at seniors with chronic medical conditions,
Alzheimer`s patients, children and even pets with a tendency to
      wander.

There have been "hundreds" of preregistration orders for the Digital
Angel, according to Bolton, who said the numbers leapt by 35 percent
after the Sept. 11 terrorist attacks.

The combination watch and pager unit will cost $299. The monthly
monitoring fee will range from $23.95 to $53.95, depending on the
      service.

Digital Angel and Advanced Power Solutions are subsidiaries of Palm
Beach-based Applied Digital Solutions. Advanced Digital recently
announced that Digital Angel would merge with publicly traded Medical
Advisory Systems, an Owings, Md.-based medical call center, and
      immediately seek a Nasdaq listing.

The struggling parent company, which is staking its future on both the
personal safety device and the new battery technology, will own 82
percent of the merged Digital Angel Corp.

      A `Digital Angel` for Troubling
      Times
      By Karen E. Peterson
      10Meters.com

Before Sept. 11, Digital Angel was simply an
up-and-coming company with an honorable mission:
      creating cutting-edge location-technology products
to help parents and caregivers keep track of both
the whereabouts and basic well-being of loved
      ones.

The St. Paul, Minnesota-based company, wholly
owned by Applied Digital Solutions, was already
accepting orders for the release of its
      first-generation Global Positioning System (GPS)
devices – a pager and two wristwatch models, one
      for children, one for adults.

      Using satellite GPS and mobile
      communications in combination with
      the company`s breakthrough
      biometric technology, Digital Angel`s
      devices were originally designed to
help keep tabs on "wanderers," such
      as children and Alzheimer`s patients.
      The devices monitor body
      temperature and pulse rate, and
they can be equipped with sensors
that can determine if the wearer has
fallen, both important concerns among those who
      care for the elderly.

The company also suggested that its products could
be used to keep track of pets or livestock and for a
host of commercial applications, from tracking
endangered species to monitoring nuclear waste.

      New Level of Awareness

After September 11, Digital Angel found that what it
was aiming to do had another application of more
      tragic significance.

"We wanted to provide hope to those who need it,
something good that could be used for happy
endings. We saw our products as tools for bringing
peace of mind," said Digital Angel`s Chief Technology
Officer Keith Bolton. "Within the organization, we
believed our [product] had a place in society and a
      need to be filled.

"Today there is a whole other level of awareness,"
      Bolton said.

The awareness Bolton is speaking of
is the unsettling new reality that
people can get lost for reasons
      frightening beyond what was once
      considered the normal threats to
      personal safety.

The devices, scheduled to ship in
      early November, were "discovered"
shortly after Sept. 11 by an anxious
      public. Bolton said the callers
wondered if the Digital Angel products could be used
      for more than wanderers.

Also of interest: the sophisticated technology the
devices bring to location services. Digital Angel`s
products are able to read and return data from the
      interior of buildings.

According to Digital Angel, their products and
accompanying delivery system can hone in on the
floor and the location of the device-wearer. Bolton
says locations can be pinpointed within a range of
      "five to 10 feet."

      An Electronic Guardian Angel

Digital Angel was founded in 2000 by ADSX Chairman
and CEO Richard J. Sullivan, who had lost a brother
to walking pneumonia. A patent he acquired in 1999
formed the basis for the vital-sign monitoring
capabilities Digital Angel devices provide – an
application that could have saved his brother`s life,
      Bolton said.

Next, ADSX bought Destron Fearing Corporation, an
      animal-identification company. In business since
1945, Destron Fearing owns patents worldwide in
microchip technology and helped pioneer the use of
radio frequency technology for animal location.

      The result of the two
      moves, and the
      research that followed,
      produced what Digital
      Angel claims is a
      first-ever combination
      of "advanced sensor
      technology" that can
      communicate biological
      and location data in
      real time using satellite
      GPS technology and
      Internet-integrated
      ground stations.

The Internet link means caregivers can view the
data on any Web-enabled desktop, laptop or
      wireless device. The password-protected Digital
Angel site provides the vital-sign data; location
information is cross-referenced, and viewable, via
      the Digital Angel mapping engine.

Nothing is needed to "attach" the devices to the
skin; the sensors react to the infrared radiation
naturally emitted from the body. For now, Digital
Angel devices can read and return data on body
temperature and pulse rate. Next-generation models
will provide EEG and EKG, as well as glucose
monitoring – "all vital data needed to monitor the
condition of at-risk patients," the company notes.

The devices also come with a 911 button that
sends a distress alert to the Digital Angel Call
Center. And a "fall down" sensor lets caregivers or
medical personnel know whether the wearer is
moving from a sitting to an upright position or has
taken a sudden fall, said Bolton.

      `Everything Has Changed`

As interest swelled, Digital Angel found itself in need
of more devices than originally scheduled for
distribution and has "accelerated the pace" of its
      manufacturing process, Bolton said.

Pharmaceutical partners and retailers are handling
sales, and devices can be purchased on the Web at
      www.digitalangel.net.

"Everything has changed since Sept. 11," said
Bolton. What hasn`t changed, he added, is the
Digital Angel mission to save lives.

Applied Digital Solutions Amends IBM Credit Pact

PALM BEACH, Fla. -(Dow Jones)- Applied Digital Solutions Inc. (ADSX) executed a formal waiver and amendment to its credit agreement with senior lender IBM Credit Corp.
Applied Digital said in a press release Tuesday all interest and principal payments due through Jan. 4, 2002, were included in the terms of the waiver.

On Monday, the digital technology developer`s independent auditor revised its opinion on Applied Digital`s financial statements for the year ended Dec. 31, 2000, and expressed doubt about the company`s ability to continue as a going concern. The accountant cited defaults under the company`s financing agreement with IBM Credit Corp., a unit of International Business Machines Corp. (IBM).

Digital Angel Begins First Phase of National Product Launch

Targeted rollout program includes an array of Digital Angel products for seniors and children, an updated website and order
registration system, advertising program and product delivery schedule

PALM BEACH, Fla.--(BUSINESS WIRE)--Nov. 30, 2001-- Applied Digital Solutions, Inc. (Nasdaq: ADSX - news) today released details of its
much-anticipated rollout plan for Digital Angel(TM), the first-ever combination of advanced biosensor technology and Web-enabled wireless telecommunications

As previously announced, the rollout program - which began on November 26th - will enable the company to leverage its first-mover advantage in what is estimated
to be a $70 billion Personal Safeguard Technology marketplace.

The comprehensive Digital Angel rollout program includes the following elements:

-- Delivery of Digital Angel units, for certain target
demographics. This program, which commenced as planned on
      November 26, 2001, involves a systematic product
customization and assessment effort designed to ensure all
Digital Angel products and data delivery requirements are
      responsive to each customer`s parameters.

-- An updated and redesigned Digital Angel website with a new
product registration program and product delivery schedule.

products. Delivery of these units is expected to take from
      three to six weeks.

-- The start of Digital Angel print advertising program,
targeted to the South Florida marketplace. Beginning in mid
December, the advertising program will expand to include
television. The impact of this initial advertising program

in other markets as the rollout expands nationally.

In explaining the company`s rollout plans for Digital Angel, Applied Digital Solutions` Chairman and CEO, Richard Sullivan, said: ``We want to get Digital Angel
products out to customers as quickly as we possibly can. But we also want to make sure we do this right. We want to make sure our first Digital Angel customers
are not only satisfied with the product, but absolutely thrilled with it. That means we need to put an emphasis on customer service and customizing the product to
meet each customer`s specific needs. This rollout plan is comprehensive, including advertising and a new product registration program, but it`s also targeted in scope
so we can manage the process and assess what works and what doesn`t as we go along. We`re taking this a step at a time, beginning in South Florida - which has
great demographics for us - and then expanding to other markets in the coming months.``

      Digital Angel Takes Flight

Nov 30, 2001 (NewsFactor.com via COMTEX) -- Applied Digital Solutions (Nasdaq: ADSX) has rolled out a line of wearable wireless safety
devices, under the trademark "Digital Angel," that combine cutting-edge biosensor technology and GPS (global positioning system) mobile
      communications.

The company estimates that personal safeguard technology will eventually grow to a US$70 billion market. In light of the recent terrorist
attacks and Anthrax scares, which have resulted in widespread concerns about personal safety, that estimate may not be out of line.

      Providing Location and Health Data

Marketing efforts for Digital Angel products initially will focus on the old and the young, Applied Digital Solutions said. The devices -- some as
small as a watch -- can monitor key body functions, such as temperature and pulse, and transmit that data, along with location-sensitive
information, to a ground station or monitoring facility.

      Prospective applications include monitoring the location and medical condition of at-risk patients, such as those with Alzheimer`s Disease;
locating lost or missing persons or pets; tracking parolees; and providing a tamper-proof method of identification for e-commerce security that
pinpoints lost or stolen property, the company said.

      On Your Wrist

Outlining the company`s plans for Digital Angel, Applied Digital Solutions chairman and CEO Richard Sullivan, said, "We want to get our
products out to customers as quickly as we possibly can. But we also want to put an emphasis on customer service and customizing the
product to meet each customer`s specific needs."

The first generation of Digital Angel products will take the form of a watch, which runs on a standard watch battery, and a pager-size device
with a rechargeable battery. In addition to pinpointing the person`s location and providing health-related data, the Digital Angel system has an
emergency 911 alert button on the wristwatch and can include a "sudden fall" sensor for elderly users by incorporating inertia technology, the
      company said.

      Medical Merger

The devices can transmit wireless data via CDPD (cellular digital packet data) and CDMA (code division multiple access) networks, the
company said. Digital Solutions recently unveiled a small power-generating device that converts body heat into electricity and will be applied to
the Digital Angel product line as a battery replacement.

Digital Solutions also announced that a merger is in the works between Digital Angel and Medical Advisory Systems , a global telemedicine
firm that operates a 24/7, physician-staffed call center in Owings, Maryland.

No News are bad news.

Es bleibt also Spannend.

Gruß an alle, geh jetzt ins Bett

Digital Angel Corporation Chooses eXI Wireless as Its First North American Distributor of Digital Angel Products eXI to leverage experience and market share in patient monitoring for Digital Angel products

PALM BEACH, Fla., Dec 6, 2001 (BUSINESS WIRE) -- Applied Digital Solutions,
Inc. (Nasdaq: ADSX) an advanced digital technology development company,
announced today that its wholly owned subsidiary, Digital Angel, has chosen eXI
Wireless (CDNX: EXI) of Richmond, British Columbia, as its first North American
      distributor for Digital Angel products.

eXI Wireless is a global leader in the research, development, and marketing of
wireless communications and connectivity solutions for business and personal
convenience. eXI has a well-established foothold in supplying patient monitoring
for healthcare facilities through its Halo Infant Protection System(TM) and the
RoamAlert Patient Protection System(TM). These products and solutions are
distributed worldwide in maternity and extended care facilities.

Richard J. Sullivan, Chairman and CEO of Applied Digital Solutions, commenting
on the development: "With strong ties and existing relationships with healthcare
facilities, eXI Wireless and its distribution network is an integral part of the
Digital Angel product launch cycle that began November 26th. Since 1980, eXI has
provided safety and security to healthcare facilities worldwide through products
and wireless solutions that prevent infant abductions and patient wanderings.
eXI`s active tag patient monitoring technology is based on a radio link that
offers fast and reliable transmissions of data within an indoor local area.
Digital Angel will allow eXI and its customers to offer outside wide area
patient monitoring with the same degree of reliability."

Mr. Sullivan continued: "As an associate member and early adopter of the
Bluetooth(TM) Special Interest Group, eXI is driving not only the development of
the new global standard in wireless technology, but also the development of
wireless local area networks and global connectivity applications. As this
relationship evolves, we anticipate complementary technology between the
      companies."

Karim Khoja, Chairman and Chief Executive Officer of eXI commented: "We are very
excited to be named the first North American distributor of Digital Angel

solutions over both local and wide area networks. As a distributor for Digital
Angel products, eXI will be the first in our industry to provide complementary
local area, wide area, and Bluetooth(TM) capabilities."

      Hallo zusammen,

      Was brauchen wir ?

      Klärung der Verbindlichkeiten, bspw. IBM...
      Neuer CEO
      2002

Eye In The Sky Will Track California Parolees

SACRAMENTO, CALIFORNIA, Dec 10, 2001 (Newsbytes via COMTEX) -- The California Corrections Department is developing a program to
track parolees via the Global Positioning System.

The department signed an agreement last month with Digital Angel Corp., a subsidiary of Applied Digital Solutions Inc. of Palm Beach, Fla.
The Riverside, Calif., subsidiary makes devices for monitoring an individual`s whereabouts and vital statistics.

The program will track a few hundred high-risk sex offenders, said Russ Heimerich, a corrections spokesman. "These are the people we`re
most concerned about keeping away from schools and other areas," he said.

The program is still in early development, Heimerich said, and "will have to be developed. It`s not like there`s an off-the-shelf product available."

The wearable monitoring device will tell corrections officials where parolees have been and when. Amro Albanna, president of Digital Angel`s
Riverside division, said the device is smaller than a pack of cigarettes.

It transmits wireless alerts to Palm OS units, e-mail systems, browsers and pagers via the Digital Angel operations center, then over TCP/IP or
      frame relay lines, he said.

      Meinungen? @Erik? @2000 oder @alle?

      ;-)

      @Endorphin

      zu IBM;

      Hallo adsxler

das habe ich soeben im yahoo-board gefunden:

      Long-Term Sentiment: Strong Buy 12/12/01 08:42 am
      Msg: 187830 of 187830

I emailed Robert Jackson and asked about delisting. Here is his response:

De-listing has become far less of an issue as a result of the Nasdaq ruling that it will give all companies a fresh "clock" commencing the first of the year. This is a result of the fact that many of the Nasdaq 100 are currently trading below $1.00. As a result, if we trade below $1.00 for 30 consecutive trading days, we will get a non-compliance letter. We will then have 90 calendar days to get back into compliance. Combined, that pushes the date of possible de-listing until some time in May.

This may well be a moot point, however. The stock currently reflects the ambiguity of an outcome with IBM. If we are successful in renegotiating the Notes with IBM prior to year end as we anticipate, it is likely that we will no longer be in violation of the Nasdaq minimum bid rules.

      Best regards,

Medical Advisory Seeks To Issue New Shares For Deal

WASHINGTON -(Dow Jones)- Medical Advisory Systems Inc. (DOC) will ask shareholders to approve boosting its authorized
common stock by 85 million shares at a special meeting regarding the company`s proposed merger wit Applied Digital Solutions Inc.
(ADSX) and its Digital Angel Corp. unit.

According to a filing with the Securities and Exchange Commission Friday, each share of Digital Angel would be exchanged for 0.9375
shares of Medical Advisory. Medical Advisory had about 5.2 million shares outstanding at Sept. 30, and needs additional shares to
      complete the transaction.

If the deal goes through, Applied Digital would own about 82.1% of Medical Advisory common stock and Medical Advisory would
change its name to Digital Angel.

      Hallo zusammen,

      "13 Dec 2001, 11:01 AM EST

      "Good morning.

In light of a lack of hard news to report, I thought I would take an opportunity to provide an update on recent events and to comment publicly on a few items on importance.

First and foremost, restructuring with our senoir secured creditor. As previously announced, we have been granted a waiver and ammendment to the terms of the Notes. Although the additional time was only 40 days or so, it provides time to work towards restructuring of the Notes. Because of the delicate nature of the discussions, I cannot comment on this issue beyond that.

The Digital Angel launch cycle began, as planned, on November 26th. We have been recieving orders generated through print advetising and word of mouth over the internet and through a call center. Television adsvertising in the South Florida market will begin shortly. I will try to post a schedule of the air times and channels either here on on the website. I anticipate that we will release preliminary order numbers sometime in January.

The "?" on the website is a placeholder for a product that will be announced at the appropriate time.

Lastly, Richard Sullivan`s recent filing for the sale of shares is consisent with similar filings at the end of each year. While I am not his accountant and cannot comment as to why he makes a sale at the end of each year, I would like to remind everybody that he agreed in July to receieve shares in lieu of cash compensation. He owns or controls some 12 million shares at this time and is certainly the first to be concerned with shareholder value.

In short, we are agressively pursuing our new business model while simultaneously addressing, in an equally aggressive manner, those issues that require resolution.

With that, I will open up the floor for your questions. As we haven`t done this for a while, let me please remind you that I will not/cannot comment of certain items. Please be respectful of that as i try my best to answer your questions.

      Q.ADSX_IR:
Will there be additional Distribution agreements here in the U.S. for Digital Angel

A.We tapped into eXI because of their penetration of the heathcare facility segment. Additional ditribution agreements will be selected on an equally market-targeted basis.

      Q.ADSX_IR: DOC and DA?
When will the proxy be released on the planned merger?
Is there anything that would delay this timeframe?
      Thanks inadvance for the info.

A.The DOC/DA merger is still contingent upon approval from our senoir secured creditor. While we are still looking for a 1qtr close, that timing is subject to items beyond our direct control. The proxy, however, is currently being prepared.

      Q.ADSX_IR:
Now that the Proxy is almost ready for filing. Are ADSX shareholders going to get any shares in the new comapny, and what method will be used. i.e. warrants.

A.The specific mechanism is still a subject of discussion. As the proxy is for MAS shareholders, it is unlikely that it contain any information in that regard.

      Q. TO ADSX_IR
There is conflicting information coming from various sources within ADSX as to what type of location technology will be used for the DA to "assist" GPS. Will it/is it using a "wireless assisted" WAG system of triangulation of cell phone tower signals to overcome the inability of GPS to function well indoors? Or is the DA using only a GPS chip with computer enhancement only? LET"S BE OPEN AND HONEST HERE WITH NO CLAIMS OF "NOT IN THE PUBLIC REALM".

A.DA will be using various methods of assisted GPS including software, hardware and triangulation methods. "

PALM BEACH, Fla.--(BUSINESS WIRE)--Dec. 19, 2001--Applied Digital Solutions, Inc. (Nasdaq: ADSX, news, msgs), an advanced digital technology development company, announced today that it has developed a miniaturized, implantable identification chip -- called VeriChip(TM) -- that can be used in a variety of medical, security and emergency applications.
      How VeriChip Works

VeriChip is an implantable, 12mm by 2.1mm radio frequency device about the size of the point of a typical ballpoint pen. Each VeriChip will contain a unique identification number and other critical data. Utilizing an external scanner, radio frequency energy passes through the skin energizing the dormant VeriChip, which then emits a radio frequency signal transmitting the identification number and other data contained in the VeriChip. The scanner will display the identification number, but the VeriChip data can also be transmitted, via telephone or the Internet, to an FDA compliant, secure data-storage site. It will then be accessible by authorized personnel. Inserting the VeriChip device is a simple procedure performed in an outpatient, office setting. It requires only local anesthesia, a tiny incision and perhaps a small adhesive bandage. Sutures are not necessary.

THE WASHINGTON POST: NEXT: AN ID CHIP PLANTED IN YOUR BODY?

Dec 19, 2001, (The Washington Post /FT Information via COMTEX) -- Applied Digital Solutions has developed a very small computer chip that
can automatically send personal information to a scanner. The new chip, which is similar to ones implanted in pets recently to track them, has
been embedded under the skin of a New Jersey surgeon, who wishes to remain unnamed, since September. The Palm Beach, Florida-based
firm is hoping to sell the chip to patients with pacemakers, artificial hips and other implanted devices.

      THE NATION
      A Chip ID That`s Only Skin-Deep
Biotech: Firm plans to sell implantable devices that can store a variety of data about you.

By DAVID STREITFELD, TIMES STAFF WRITER

A Florida company is poised to become the first to sell microchips designed to be implanted into human beings, an
achievement that opens the door to new systems of medical monitoring and ID screening.

Implantable chips have long been discussed by technologists and denounced by those who object on religious
grounds or fear their use by a totalitarian state. But the company that did the test, Applied Digital Solutions of Palm
Beach, said the specter of terrorism is shifting attitudes. The direct union of man and computer is no longer dismissed
      out of hand.

"The bottom line is, when people are trying to regain their peace of mind, they`re more open to new approaches,"
said Keith Bolton, Applied Digital`s chief technology officer. Applied Digital, which had revenue of $165 million last
year, has made its mark by selling electronic chips that help farmers keep tabs on the health and safety of their
cows and other livestock. The company also makes a monitoring bracelet for Alzheimer patients, so that families can
use global positioning satellite systems to help find loved ones who might have wandered off.

Now the company sees a market among those who have artificial organs and limbs. These folks will have up to 60
words of relevant medical information implanted on chips. If the patients are brought unconscious into an emergency
room, technicians equipped with special scanners will easily decipher the body`s internal topography.

The chips would need approval from the Food and Drug Administration, which Applied Digital said it expects to receive
by midyear. The company said it already has secured permission from the Federal Communications
Commission--necessary because the chips use radio frequencies.

Regulatory approval is not necessary overseas, however. Applied Digital expects to be selling chips in South America
in about 90 days. One potential market is kidnap targets, who could use these chips in combination with global
      positioning devices.

Other potential applications would put the chips in the role of an ultimate ID, capable of performing many of the roles
that are performed by keys and ATM cards.

"I`d be shocked if within 10 years you couldn`t get a chip implanted that would unlock your house, start your car and
give you money," said Chris Hables Gray, an associate professor of computer science at the University of Great Falls
in Montana and author of "The Cyborg Citizen."

English cyberneticist Kevin Warwick won considerable notoriety three years ago by implanting an electronic
transmitter above his left elbow. The implant opened doors and switched on lights at his British University of Reading
offices. He now is working on experiments in which his nervous system is linked with a computer.

If Warwick is the equivalent of the mad genius who injects himself with a new vaccine to see whether it works, the
Applied Digital volunteer, 55-year-old New Jersey surgeon Richard Seelig, sees himself as simply a consultant thrust
by events into an unexpected role.

Seelig had been working with Applied Digital since early this year. He expected to do a traditional scientific study,
calling for volunteers who wanted to test out the role of chip implants. Then came the terrorist attacks Sept. 11.
Five days later, Seelig injected himself with the chips.

"I was so compelled by what had happened," he said in a phone interview. "One of the potential applications suddenly
jumped out--the ability to have a secure form of identification--and I felt I had to take the next step."

So he injected one chip into his left forearm; the other went in his right leg, next to his artificial hip. Each could hold
several sentences of information, although at the moment they just contain serial numbers.

"There`s no deformity of the skin," Seelig said. "I feel just the same as I did before."

The chips that will be marketed next year are not true tracking devices. For one thing, they have no internal power
source. Their data can`t be read without a scanner.

The next generation of body chips, which transmits signals from a distance, is still several years away. At the
moment, this kind of tracking device would have to be about 1 inch by 1 inch, raising the likelihood of a rather
      unsightly bulge.

Applied Digital has a market value of 95 million. Its shares closed unchanged Tuesday at 38 cents on Nasdaq.

No one interviewed Tuesday questioned that Applied Digital had done what it said it did, but not everyone thought
there would be a huge market.

"It`s a glorified bar code, and there are not a lot of people who are going to want it," said Michael Nova, the founder
of Graviton, a La Jolla company developing wireless machine-to-machine communication systems. Using such a chip
as a built-in credit card, Nova said, would require a great deal of work.

"Stores would have to get the right software; credit card companies would have to want to do it," Nova said. "At the
moment, this is an intriguing idea that doesn`t have a market."

Which isn`t necessarily going to keep it from being popular, said futurist Paul Saffo.

"As some people wring their hands about the invasion of privacy and civil liberty, a whole other generation is going to
go, `Cool! I`ve always wanted to embed technology in my body.` It`s going to be fashion," Saffo said. "One sure sign
that teenagers will love it is if it terrifies their parents."

US-Firma will implantierbaren Identifikationschip für Menschen anbieten

Next: An ID Chip Planted in Your Body?
      http://www.washtech.com/news/regulation/14253-1.html
A New Jersey surgeon has embedded under his skin tiny computer chips that can automatically transmit personal information to a scanner, a technology that his employer hopes will someday be widely used as a way to identify people.
One bioethicist called the procedure the stuff of science fiction. The chip, developed by Applied Digital Solutions of Palm Beach, Fla., is similar to that implanted in more than a million dogs, cats and other pets in recent years to track and identify them.
The new chip measures slightly smaller than a Tic Tac mint and has a miniature antenna that emits signals containing about two paragraphs worth of data when scanned by a handheld reader.
The device must undergo clinical trials and be approved by the Food and Drug Administration before it can be marketed, first to patients with other implanted medical devices, such as pacemakers.
The surgeon, who said he implanted the device in his hip and one arm in September, asked not to be named because he worries about the attention his initiative will draw. He said he decided to test the chip himself after seeing rescuers at the World Trade Center disaster site write their names and Social Security numbers on their arms so they could be identified in case they were injured or killed at the site.
Applied Digital has high hopes for the technology, in part because it is struggling financially and recently fell behind on loans from one of its major creditors. Its stock, which trades on the Nasdaq Stock Market, was as high as $3 in the past year. It closed at 38 cents yesterday.
Company officials said they hope to sell the device to patients with pacemakers, artificial hips and other implanted devices. The idea is that the chip will provide prompt and accurate medical information in the event of an emergency, they said.
The signal can contain a name, telephone number and other information. Or it can send out a code that, when linked to a database, can call up records. The scanner can read it through clothes from up to four feet away, company officials said.
Applied Digital executives said its new product also could serve as a tamper-proof form of identification. Corrections authorities have expressed interest in using the chips to better identify prisoners and parolees, officials said.
Airlines, nuclear power plants and other sensitive facilities may want to use the chips for employees, they said. Some parents may consider embedding chips in young children or elderly relatives who may not be able to say their names, addresses or telephone numbers.
"It depends on the spirit of the marketplace and the demand," said Keith Bolton, the company`s vice president and chief technology officer, adding that use of the chip should be voluntary unless the law allows otherwise. "We`re ready to begin."
Some medical and technology specialists said the device raises new questions about the nexus of humans and computer technology. And it could pose ethical or privacy dilemmas if implanted against someone`s wishes, or if it exposes personal information to prying eyes.
Thomas Murray, president of the Hastings Center, a bioethics research institute in New York, said the chip "evokes images of science fiction."
"We need to consider carefully the broader implications," Murray said. "Alongside the possible benefits, it has the potential to be misused by forces who do not have your interests at heart."
Although the system has been in development for a couple of years, company officials said they were uneasy about implanting the chips in people until recently, fearing there might be a backlash from civil libertarians and others.
On Sept. 16, the doctor, using a local anesthetic, used a syringe-like device to insert the chips under the skin of his forearm. He followed the same procedure to implant the chip on his hip.
The chip is coated with a substance that encourages the body to hold it in place, he said. After just over two weeks, all signs of the procedure were gone. "After that, it was like nothing had happened," the physician said. "I felt it was important enough to do, that I took responsibility myself."
Airports are beginning to use similar micro-devices to improve security by tagging bags with more detailed instructions about how they`re to be handled and screened. Automakers are installing the chips in keys to deter auto theft. Libraries are beginning to use the technology to track books.
Three years ago, a British cybernetics researcher had a chip temporarily implanted to allow a computer to track his movements in a university building.
"The computer has jumped off our desktops and it is insinuating itself into every corner of our lives. Now it`s finding its way into our bodies," said Paul Saffo, director of the Institute for the Future in Menlo Park, Calif. "This stuff is going to happen. These guys are the start."
