BMG AND SUNNCOMM TECHNOLOGIES INK WORLDWIDE LICENSING DEAL TO PROTECT AND ENHANCE AUDIO CDS FOR GLOBAL MUSIC GIANT

The Multi-Year Agreement Licenses BMG to Utilize Sunncomm`s MediaMax™ Enhancement and Copy Management Technologies Throughout the World

PHOENIX, Ariz., June 30, 2003 - SunnComm Technologies, Inc. (OTC: STEH) announced today it has entered into a strategic worldwide licensing agreement and revenue deal with BMG, the worldwide music division of Bertelsmann AG, to provide copy management technology to reduce piracy and the unauthorized duplication of music. The agreement between the two companies will enable the use of SunnComm`s newest proprietary compact disc enhancement and copy-management system known as MediaMax™ CD-3 Technology.

BMG has already successfully deployed SunnComm`s MediaMax™ CD-3 Technology on a number of promotional/advance releases in the U.S. SunnComm`s solution is a new approach to reducing casual piracy. MediaMax gives consumers a legal path to transfer music from their CDs to their computers while not allowing the unauthorized re-distribution of content via CDRs or P2P services. SunnComm`s
MediaMax can introduce music buyers to special enhancements on the discs, including artist information, song lyrics, bonus tracks, music video clips, special offers, prizes and other valuable content. All of these value-adds are accessible via a computer from a data session mastered on the disc.

The MediaMax suite of products will be immediately available for BMG production in the U.S. market through the Sonopress manufacturing plant located in Weaverville, NC. Sonopress is a division of Bertelsmann AG. The technology will also be made available to Sonopress manufacturing plants servicing other markets around the world.

Peter Jacobs, SunnComm`s president and chief executive officer said "Extending our existing relationship with BMG is a very important milestone for SunnComm. This is our first step in delivering a product suite that enables the music industry to protect their intellectual property while giving the consumers the flexibility they have come to expect".

MediaMax CD-3 is a collection of technologies that provides copy management for CDs and DVDs while simultaneously enhancing and expanding the consumer`s experience. MediaMax CD-3 is tightly integrated with Microsoft`s (NASDAQ:MSFT) Windows Media Platform and the Digital Rights Management capabilities associated with the latest Windows Media Platforms. The company licenses and uses Windows Media Audio DRM capabilities from Microsoft as the security feature for these files.

      See http://www.microsoft.com/presspass/press/2003/jan03/01-20Ses…

When a consumer puts a SunnComm MediaMax CD in a computer`s CD-ROM drive, the computer can read and play the protected digital audio files through SunnComm`s proprietary, multimedia user interface. These digital audio files can be legally copied from the CD and enjoyed on the user`s personal computer or shared with friends for a limited period of time using SunnComm`s PromoPlay™ technology. However, those same music tracks cannot be sent through standard email or made available to file-sharing services such as KaZaA or Morpheus.

SunnComm`s chief operating officer, William H. Whitmore, Jr. said, "Feedback from the music industry on our MediaMax product suite has been overwhelmingly supportive. We are excited that our multi-year collaborative effort with BMG has enabled us to develop a product solution that the industry can embrace."

SunnComm`s Annual Meeting A Rousing Success
Thursday July 3, 9:34 am ET

      PHOENIX--(BUSINESS WIRE)--July 3, 2003--
In the company of a record-breaking shareholder turnout, attendees witness a demonstration of SunnComm`s new MediaMax(TM) CD-3 Copy Management and Enhancement Technology and overwhelmingly approve all agenda items.

SunnComm Technologies, Inc. (OTC:STEH - News) today declared its shareholders` meeting held July 1, 2003 was a rousing success with over 200 shareholders attending to witness the first public demonstration of MediaMax CD-3 copy management and enhancement technology. Additionally, the meeting agenda covered the current state of affairs for the company presented to the shareholders and enabled a vote on all proposals presented to them.

Originally, the meeting was scheduled at SunnComm headquarters. "It became obvious a few weeks ago that a much bigger room than the one we used last year was going to be necessary," stated Kimberley Faulkner, SunnComm`s Director of Shareholder Relations. "The RSVPs for the event continued to arrive until the day of the meeting. In fact, the turnout was more than five times larger than last year`s," reflected Faulkner. "Just a week prior to the shareholder meeting, we moved the location to the largest meeting room at The Doubletree Inn - one block south of SunnComm`s Phoenix headquarters."

"To describe the attending shareholders as anything less than overwhelming supportive would be an understatement," said SunnComm president Peter H. Jacobs. "Our shareholders came and offered their input and overwhelming support - two critical elements contributing toward SunnComm`s success so far."

All ten items were approved during the record turnout of shareholders at the company`s third annual meeting. Meeting attendees were buoyed by SunnComm`s stock performance during the past year and the recent announcement of the company`s first domestic and international contract with a major record label including commercial product for the embattled US market. http://www.bmg.com/news/articles/artists_article_030630.html

"Our initial contract with BMG, one of the world`s largest record labels, represents a huge milestone for SunnComm and its shareholders", said William H. Whitmore, SunnComm`s Chief Operating and Relationship Officer. "Our position in the marketplace continues to strengthen and gain momentum."

Shareholders elected Jacobs and Whitmore, to respective three year terms on the company`s Board of Directors. In addition, shareholders approved a change in the company`s fiscal year end and approved the appointment of the company`s auditors and its corporate, securities and special litigation counsel. The shareholders also approved increases in the number of shares available under the company`s employee stock option plan and the number of authorized shares of common stock available. Shareholders then authorized the Board of Directors to commence a stock repurchase plan should it become feasible to do in the future.

Q: You said our relationship with Microsoft is a matter of record.

Everyone buying a msft produuct has the same relationship and record. What makes ours different than the millions of current msft buyers.

Do we have any revenue producing products currently bringing in revenues. How are we financing our business?

We have approximately two weeks until the audit is completed by your words. Is that the time frame that we can go by.

Are we in serious negotiations with any potential contraxct customers?

Whatever happened to the european deals that were supposed to take place in Dec, Jan Feb Mar etc....

Thanks for your answers. (8/19/2002 4:07:03 AM)

Subject: The Microsoft and SunnComm Relationship

      Dear Peter;

Lately I have been getting inquiries from partners and the marketplace in general as to the quality and depth of the relationship between our companies and I want to take a moment to give some clarification.

SunnComm´s relationship with Microsoft is multi-faceted. Microsoft is committed to helping you and your people succeed in getting to market with your digital content copy protection technology. To this end we have focused support, people, technology and financial resources specifically on SunnComm. These resources include people throughout the company with the heaviest concentration in our Digital Media Division (DMD).

Within the DMD, Christina Calio, Business Development Manager, is specifically goaled on go to market strategies with partners including SunnComm. John Paddleford, Lead Program Manager heads a team that has been focused on creating technologies and extending the Windows Digital Media Platform for SunnComm, enabling you to create a more tightly integrated solution with our Digital Rights Management technologies. It is our hope that we have proven our commitment to you as a partner.

Additionally, we have marketing and PR people (Jennifer Baisch and Erin Cullen respectively) goaled on helping to partner better with SunnComm. Christina Calio has committed Business Investment Funds (BIF) to help you with your go to market strategies on multiple fronts. The efforts that the Digital Media Division are putting forth on your behalf go to the highest ranks within the group and are clearly on the radar of the division´s Corporate Vice President, Will Poole. You met Will on your recent trip to Washington DC when you each provided testimony in front of the House of Representatives.

SunnComm is one of a very limited number of partners admitted to the JDP for our next generation of Windows Media Player codenamed "Corona". We think SunnComm is uniquely qualified so we have been happy to provide you with the earliest releases of the new player, development documentation and technical development assistance. Also, we are looking forward to your unique development of a "Secure Burn Plug-In" using your MediaMaker technology for the new player. This is a solution that we believe the marketplace will respond favorably to and will be truly the first of its kind.

Thank you for your efforts in furthering the Windows Media Platform, we here at Microsoft are excited about SunnComm´s recent breakthroughs and are looking forward to an excellent fall launch of each of our respective digital media solutions.

If you receive any additional inquiries as to the nature of our relationship, please feel free to send them my way and I will ensure that they are connected with the appropriate people within our company.

SunnComm’s MediaMax CD-3 Technology Passes International Test with “Flying Colors”

Phoenix, Arizona, August 27, 2003 – SunnComm Technologies, Inc. (OTC: STEH), a leader in digital content security and enhancement for optical media, today announced that it successfully completed the external testing phase of its industry-leading MediaMax CD3 technology. The comprehensive test procedures were performed by world renowned Professional Multimedia Test Centre (PMTC) (http://www.pimc.be) located in Diepenbeek, Belgium.

The MediaMax CDs were tested with the intention of determining compliance with the official test procedures and guidelines for protected content recently outlined by the Record Industry Association of America (RIAA) and the International Federation of the Phonographic Industry (IFPI). Based on their comprehensive testing procedures, the PMTC (http://www.pmtctest.com/new/home/home_home.html) confirmed that MediaMax CD3 products passed all tests and met the toughest standards.

Frans Pender, PMTC’s Division Manger, said, “The SunnComm MediaMax CD3 Technology was a very compelling test for us. It achieved a very high level of playability combined with an incredible level of security for the music.”

Utilizing a very detailed and extensive testing matrix, the functionality and security level offered by the MediaMax technology was pushed to the limit. The testing results were able to verify playability on consumer electronic devices, stability of the product on computers and robustness of the security features to protect content against unauthorized copying when used with CD ripper programs

The PMTC testing center exposed the MediaMax CDs to an extensive array of consumer electronic CD players including home entertainment systems, car stereos, boom box players, walkman type players and popular DVD players. Test results confirmed that SunnComm’s MediaMax CD’s will provide playability on any consumer’s playback system without exceptions or limitations.

CD copy protection robustness tests were performed to determine the security level of the product against unauthorized copying of the digital content. This was completed using a large set of Microsoft Windows and Apple Macintosh computer systems in tandem with many of the known ripper programs available on the market today. The PMTC determined that none of the ripper programs used in the testing process was able to produce a usable unauthorized copy of the protected CD yielding a verifiable and commendable level of security for the SunnComm product.

“Completing this external testing phase for our product was a crucial step toward large- scale deployment of protected MediaMax CDs,” said Eric Vandewater, SunnComm’s Chief Technology Officer. “The technology we’ve developed to provide content security was accomplished without sacrificing user playability or functionality.” Vandewater concluded, “The positive test results produced by the PMTC provide assurance to both the record industry and those who purchase CDs that the SunnComm MediaMax technology will securely deliver high quality copy management and CD enhancement products to the audio CD market.”

      Q: Dear Peter,
I congratulate you on the strides you are making in the CD copy protection field. Does this relate in any way to the same type of protection for DVD´s?

I don´t have any technical knowledge of the two mediums and how they relate to each other, but they seem to have some common base. It would
only seem natural that you would be working into the DVD field as well.

Do you have any comments or predictions for the future on this subject? It would an interesting item to look forward to.

On another subject, the market makers associated with Pink Sheets make it tough to place an order beyond the 5000 share blocks they seem
to limit themselves to. It sure would be easier OTC.

My best wishes for your continued success,
Rich (Name & Email Address Omitted) (8/29/2003 10:31:48 PM)

      A: Hi Rich,

Concerning the Pink Sheets and stock availability, SunnComm has over 20 daily market makers trading in its stock and trades go off in the 10,000, 50,000, 100,000 and up range on an almost daily basis. If your broker is telling you he can´t buy bigger block of SunnComm than 5,000, you may need to change brokers.

Here is the latest update of "The Pink Sheets":

      ABOUT THE PINK SHEETS
There are over 4,100 stocks quoted exclusively in the Pink Sheets. Of those, almost 3,000 have firm market maker prices. Although many associate Pink Sheets quoted companies with small domestic and foreign OTC companies, or economically distressed issuers such as Lernout & Hauspie Speech Products (LHSPQ), many major American Depositary Receipts (ADR´s) of large international corporations are quoted on the Pink Sheets. Examples include food giant Nestle (NSRGY), drug maker Roche (RHHBY), auto maker Volkswagen (VLKAY), brewery Heineken (HINKY), oil giant Lukoil (LUKOY) and the gaming industry´s Sega (SEGNY) and Nintendo (NTDOY). Hundreds of these ADR´s are included in myTrack´s new real-time Pink Sheets quotes.

Regarding DVDs, SunnComm´s plans are to port our technology over to the DVD area sometime later this year. Both the CD and the DVD represent the fading star and rising star in optical media, and we intend to play a roll in helping to protect content in both.

By the way, our plans are to file to become fully reporting and off the pink sheets this year.

Thanks for your note, and let me know if you continue to have trouble buying blocks of SunnComm over 5,000.

      Best regards,

      Peter

      New Smart CD Aims
      To Thwart File Sharing

      Associated Press

LOS ANGELES -- Record companies are cautiously eyeing a new generation of smart CDs that promise to stifle music fans` ability to use file-swapping networks while still allowing them some freedom to make copies and share music.

Recent advancements in copy-protection technology have made such a strategy more palatable to music companies reluctant to make any drastic changes to the 20-year-old CD format, particularly in the U.S.

Next week, BMG Entertainment`s new album by hip-hop singer Anthony Hamilton will be the first commercial release to use a technology that restricts copying yet lets buyers play protected CDs on computers and burn copies onto blank CDs. Fans can even send copies to friends over the Internet.

The music industry blames a three-year decline in CD sales on burners and peer-to-peer, file-swapping networks like Kazaa. The new technology could complement the recording companies` legal efforts against operators of file-swapping networks and their users.

So far, the top five recording companies, concerned about the technology`s effectiveness and a backlash from fans, have largely released copy-protected CDs commercially only outside the U.S.

Early copy-proofing efforts prompted complaints that in some cases users could no longer play legally bought CDs on computers, a way of listening the companies now recognize many fans have come to prefer.

BMG is seizing on the new copy-protection advancements by embedding "Comin` From Where I`m From" with MediaMax CD-3 technology from Phoenix-based SunnComm Technologies Inc.

With MediaMax CD-3, each song is written onto the CD twice -- once in a format readable by standard CD players and the other as a Windows media file playable on a computer.

BMG has set up the CD so fans can burn each track three times per computer. Songs can also be e-mailed to a limited number of people, who can then listen to the song up to 10 times apiece.

SunnComm says that most people, unless they are hackers or truly determined, won`t be able to circumvent the limits, including one that keeps songs locked so they can`t be played even if they circulate over file-sharing networks.

Peter Jacobs, SunnComm`s chief executive, considered his technology a moderate alternative to suing fans, as the industry did this month with nearly 300 federal lawsuits against users of file-sharing networks.

BMG, which signed a one-year deal with SunnComm in June, was still evaluating future releases with copy protection.

"We are quite hopeful that the technology that they`ve developed is a step in the right direction and is a step which we will hopefully start using more extensively commercially," said Thomas Heffe, chief strategy officer for BMG in New York.

Meanwhile, SunnComm rival Macrovision Inc., based in Santa Clara, Calif., has developed technology that also allows CD burning and listening on computers. The CDS-300, however, blocks other attempts to make copies or share music online.

Several labels have collectively shipped in overseas markets more than 150 million CDs with an earlier version of Macrovision`s copy protection system, said Adam Sexton, a Macrovision spokesman.

Macrovision is talking with several major labels about using the new technology in the U.S.

"We want to be comfortable with a technology that does allow for some personal use and does respect the work and the copyright," EMI spokeswoman Jeanne Meyer said.

Privately, some recording industry executives say they don`t believe the latest copy-protection technology is good enough yet and could be easily thwarted. One past effort faltered when someone defeated it simply by blotting out part of the CD with a marker.

Technology that respects fans` desire to copy, share and hear songs in different ways is good in principle, but consumers` legal rights could still be curbed by limits on copies permitted, said Cindy Cohn, legal director of the Electronic Frontier Foundation.

"There is a conceptual problem with that approach," Ms. Cohn said. "It is inconsistent with how fair use has always been applied."

For now, recording labels will watch for fans` reaction.

"What if they put copy protection in the disc and it doesn`t ... reverse the decline of CD sales?" asked Phil Leigh, an analyst at Inside Digital Media. "If it doesn`t help it`s likely to hurt by just annoying people."

SunComm Technologies Inc. developed the MediaMax CD-3 technology, which allows consumers to burn three copies of each track on an album using the original disc and send a song to a friend using SunComm`s PromoPlay feature.

MediaMax technology makes it possible to link to an artist`s Web site to access additional videos, photos, upcoming appearances and other news. The bonus content and enhancements are accessible through a multi-media user interface which is added as a special session mastered on the disc and integrated as part of the MediaMax product.

"The consumer experience is BMG`s top priority," said Thomas Hesse, chief strategic officer at BMG. "Consumers who purchase this CD will have broad flexibility, including the ability to listen to it on a whole range of devices and players and the right to burn copies for their personal use. It is now possible to offer consumers the level of flexibility to which they have become accustomed while beginning to better protect our artists` rights."

BMG Music Publishing is a subsidiary of BMG Entertainment, which is owned by Germany-based media company Bertelsmann AG. BMG`s more than 200 record labels include Arista Records, RCA Records, RCA Label Group-Nashville and Ariola.

Altogether, the major labels are testing protected-CD technology from at least three companies that say they have closed the loophole. More labels are expected to join BMG in releasing protected titles this year.

Last year, Vivendi Universal`s Universal Music Group released four CDs whose songs could be ripped but not copied. It held off on releasing more protected CDs until better technology became available.

Whether protected CDs make a dent in piracy is an open question. The International Federation of the Phonographic Industry, the Swiss trade association representing the global recording industry, said in April that "the German market stands out as worst-affected by mass CD burning" in Europe - even though the labels have released more protected CDs there than in any other European nation.

MediaMax Provides Playability, Flexibility and Convenience While Managing Copyrights

PHOENIX--(BUSINESS WIRE)--Sept. 25, 2003-- SunnComm Technologies Inc. (OTC: STEH - News), a leader in digital content security and enhancement for optical media, announced today that independent record label, Razor & Tie, will release its first copy-managed CD for the band 40 Below Summer`s release "The Mourning After," utilizing SunnComm`s MediaMax CD-3(TM) Technology in the U.S. market. The CD will be released in stores on Oct. 28. Today`s news comes on the heels of BMG`s successful release of the music giant`s first commercial MediaMax in the United States -- "Comin` From Where I`m From," by singer-songwriter Anthony Hamilton released on Arista Records.
"SunnComm`s MediaMax offers us a sound solution for minimizing the illegal piracy of our artists` copyrighted music while improving the customer`s experience. This technology provides cross-platform playability, the ability to burn copies for one`s own use, as well as enhancing the CD with extra bonus content such as photo galleries, biographical information on the band and Web links," said Josh Zieman, general manager of Razor & Tie.

SunnComm`s MediaMax CD-3 technology offers consumers a legal and licensed structure to transfer music from their CDs to their computers in a user-friendly and managed environment. Consumers who purchase "The Mourning After" compact disc will be able to burn three copies of each track from the album using the original disc and send a song to a friend using SunnComm`s PromoPlay(TM) functionality.

SunnComm`s PromoPlay(TM) technology allows consumers to share music with friends by providing the recipient with a song that can be downloaded and listened to for a limited number of days, a limited number of plays or until a specific expiration date arrives.

Other bonus features include song lyrics, an artist bio page, a photo gallery, and a Web link to 40 Below Summer`s Web site which contains additional videos, photos, upcoming appearances and other news. The bonus content and enhancements are accessible via a multimedia user interface which is added as a special session mastered on the disc and integrated as part of the MediaMax product.

"We have used the SunnComm MediaMax technology on several promotional albums and are very happy with the results. We are committed to protecting our content and believe that the MediaMax solution will achieve that goal while providing a quality consumer experience," said Zieman.

"Everyone at SunnComm is stoked about the adaptation of MediaMax CD-3 technology by a large independent label such as Razor & Tie," said Peter Jacobs, CEO of SunnComm Technologies. "The most crucial element of a copy-managed disc is 100 percent cross platform playability. 40 Below Summer`s "The Mourning After" will play on all standard consumer electronic playback devices including CD players, DVD players, car stereos, boom-boxes, computers, Walkmans(TM), and game consoles."

SunnComm President Bill Whitmore added, "I applaud the team at Razor & Tie for taking action and not apologizing for taking steps to protect the music currently being appropriated by `digital shoplifters.` The decision to use MediaMax CD-3 Technology offers a legal and licensed structure for consumers to enjoy the music while respecting the rights of the artists."

MediaMax CD-3 is a collection of technologies that provides copy management for CDs and DVDs while simultaneously enhancing and expanding the consumer`s experience. MediaMax CD-3 is tightly integrated with Microsoft`s (NASDAQ: MSFT - News) Windows Media Platform and the Digital Rights Management capabilities associated with the latest Windows Media Platforms. The company licenses and uses Windows Media Audio DRM capabilities from Microsoft Corp. as the security feature for music files which end up residing on the consumer`s computer.
