Vinoble, Inc. New Year, Old Hype

      By Hartley Bernstein

(AXcess News) New York - We are determined to diet and exercise in 2006, just as we were last year, and all of the preceding years. But here is a novel and worthy New Year's resolution. Imagine what tiny unsuccessful companies might achieve if the time and resources devoted to promoting their stock were instead dedicated to building a successful business. That noble goal may be even further out of reach than losing all of that holiday weight. Pumping shares is just too profitable – at least for the people who are dumping their stock.

Promoters are starting the New Year in much the same way as they concluded 2005 – praising an obscure company called Vinoble, Inc. (OTCBB: VNBL). Two days into the New Year, with markets closed, one promoter damned Vinoble with faint praise, calling the Company "our Best winner for the beginning of the year." That same promoter claimed that a "massive marketing campaign" was likely to move Vinoble stock from 4 cents a share to 9 cents a share in the short term and 20 cents a share in the long term.

Any imminent surge in Vinoble's stock price is more likely to be the result of aggressive marketing than marked achievement. As we pointed out on October 23, 2005, Vinoble has bounced from one business to another without success. The Company's failures are well-documented; its balance sheet is unimpressive. As of September 30, 2005, Vinoble was out of money.

What is the possible appeal of this struggling company? When all else fails, promoters wrap themselves in the flag or the economy. Here they have done both, suggesting that Vinoble is poised to profit from the war on terror as well as rising oil and gold prices.

That is the hype. The facts suggest that Vinoble's connection with these three thriving industries is tenuous at best.

      • The Company's "connection" to homeland defense appears to revolve around a vague plan to develop Radio Frequency Identification (RFID) technology that can be used to track people, products and resources. There is no indication in the Company's public filings that Vinoble owns, has the rights to, or is in the process of developing, such technology.

      • Vinoble's ability to profit from rising gold prices remains a matter of conjecture. On October 10, 2005, the Company agreed to pay $397,000 in cash and stock for controlling interest in mining claims located on the Hazard Lake Property in Ontario, Canada. So far, the sellers have received $67,000 in cash and 2 million shares of Vinoble common stock. What are the claims worth? The Company plans to develop a program to determine whether there is gold on the property, but shareholders could remain in the dark for awhile since weather conditions limit exploration to the months of June through October.

      • The oil business represents Vinoble's latest effort to jump into a thriving industry. In November 2005, the Company agreed to pay $15,000 and 2 million shares of common stock in exchange for a 5% minority interest in an "oil prospect property" called the Clovelly Project in LaFourche Parish, Louisiana. The Company claims that the property is due to go into production in December 2005 and will provide an opportunity to test RFID applications. There is no indication that the property is yielding marketable oil, and no independent evaluation of Vinoble's 5% interest.

The fate and value of the Company's recent agreements remains uncertain. As we noted in our earlier report, previous plans and agreements have consistently failed to yield profits. To most observers this would not sound like the formula for the "best winner of the new year," even for the first two days of the New Year. Logic suggests that someone stands to profit if investors succumb to the promotional ploy. But whom?

There are a number of likely candidates – individuals and entities who hold millions of shares of Vinoble stock.

As noted above, Vinoble issued an aggregate of 4 million Vinoble shares in connection with its latest gold and oil and gas "acquisitions." The holders of those shares could benefit from a lively market for Vinoble stock. So might GarcyCo Capital Corp., a company that partnered with Vinoble in late 2004. In September 2004, the Company entered into an agreement (Stock Purchase Agreement) to sell shares to GarcyCo at a deep discount from market prices. As of November 21, 2005, GarcyCo had purchased 3,271,536 shares of Vinoble stock for $216,905.

A second deal, in December 2004, effectively transferred control of Vinoble to GarcyCo. As part of that transaction, GarcyCo received shares of Vinoble preferred stock that could, at the option of GarcyCo, be converted into more than 50% of Vinoble's outstanding common shares. Vinoble issued an additional 12.5 million shares of common stock to GarcyCo. – to be used in connection with future acquisitions. 2 million of those shares were used to pay for the Hazard Lake claims.

More shares of Vinoble have been floating around. Between September 30, 2005 and November 14, 2005, the Company issued over 14 million shares of common stock "for services" and under the Stock Purchase Agreement with GarcyCo.

Promoters have been saying that Vinoble has an "impressive product at the right time" – but the facts do not suggest that Vinoble has any product at this time. Who has been paying the promoters to spread misleading reports; one tout admits that it was paid $10,000 for its efforts. We ask again, who stands to profit when the general public loses?

While global political turmoil continues to keep oil prices near $70 per barrel and some recent analysts' reports predict that oil could reach as high as $100 a barrel in the near future, the Company is moving forward in its efforts to acquiring additional growth and investment opportunities in this natural resource sector with the intent of providing the Company and its shareholders a much-improved increase in shareholder value. The Company is focused on increasing value by means on continuing acquisitions, development projects and exploration drilling through joint venture networks.

...The Company has been notified by the operator that casing was set and as of today drilling has reached a depth of 5,863 feet....

...As previously announced, the original proposed target was to test the "M" Sand at a depth of approximately 13,500 feet with a prospective size of 3.6 million barrels of oil. After further geophysical review of a 3D Seismic survey of the property, the operator and the interest owners of the prospect and put forth a further development plan for a deeper horizon. The additional drilling target will test the "P" Sand at approximately 14,200 feet, and if successful, would significantly increase the reserves in the well to an anticipated 11 million barrels of oil for a nominal increase in the dry hole cost....

Wenn das gelingt detoniert der Kurs weiterhin...

Keine Stücke mehr abgeben. BRUTAL! Bitte genau lesen. Habe ich im RB gefunden!

VNBL Updated Math DD Attached Below -

VNBL has a 5% interest in a well that is currently being drilled as we speak. They expect to prove reserves of 11 million barrels of oil from an historically proven territory referred to as the Clovelly Field. From this link you will see the Clovelly Field has been producing oil and gas for many years. http://www.cgrpttc.lsu.edu/lainfo/prodfld/ (Scroll Down and select Clovelly) Highly unlikely they won't find a payout in my opinion.

The O/S on this stock right now is 97,595,274. As many of you may be aware, the SEC does not allow a company to record reserves as an asset on their financial's until it has been proven. It does not matter what type of technology you use to show there is oil under an area of land, it is not considered proven until you have drilled the property and have proven a plan of recovery of the oil.

Now for the fun part -

      11 million barrels x $70 a barrel = $770,000,000

      $770,000,000 x 5% interest = $38,500,000

      $38,500,000 / 97,595,274 shares outstanding = asset book value of 39 cents a share.

      Now for real book value:

Asset from new well if proved = $38,500,000

      $38,500,000 + $1,825,000 assets currently reported in most recent filing = $40,325,000

$40,325,000 - $612,000 in total liabilities reported on last SEC filing = $39,713,000 Total Stock Holder Equity

$39,713,000 Total Stock Holder Equity / 97,595,274 Shares Outstanding = 41 cents Book Value.

If they do hit recoverable oil, the book value of the stock will jump to 41 cents a share. Now when we consider that oil stocks are currently trading two - three times book value, we could theoretically see the stock trading to as high as $.82 - $1.23 in a very short period of time. That would generate one heck of a return for a stock currently trading at 2 cents a share. Now I am not speculating the stock will ever trade to $1.23 but I have however proven it to be a real possibility if they do prove oil with the current drilling program.

Considering today’s technology used to identify oil reserves, the chance of not finding oil in this already proven area have been significantly reduced as opposed to several years back. In my opinion. I believe it is highly likely the Drill Rig will discover what VNBL and the JV’s are anticipating. I don't seem to be the only one expecting to see value added to this stock, let’s take a look at the CFO / CEO trading action.

Catherine Thompson is the CFO / CEO of VNBL, below I have outlined her trading pattern and dates. The obvious here is that if anyone is going to know where the stock price is going to go, it is going to be the CFO / CEO.

Lets first point out that Catherine was selling her holding of stock in this company as late as October of 2004. Obviously she knew what she was doing as the stock has done nothing but head straight down ever since.

Catherine seems to now have a change of heart as to the direction she believes the stock will be trading as shown by the shares she has recently taken on with no SEC filings indicating she has sold a single share since October 2004.

      Stock Transactions:
      7/1/2005 - 700,000 Shares at 10 cents
      2/6/2006 - 1,166,667 Shares at 3 cents
      2/9/2006 - 55,000 Shares at 3 cents
      3/31/2006 - 897,462 Shares at 1.3 cents
      4/25/2006 - 618,519 Shares at 1.35 cents
      5/4/2006 - 1,041,464 Shares at 1.12 cents

Catherine has quite a large position of stock in this company and as I stated, she has not been selling but taking on even more shares. My guess is that the reasoning behind her taking on all these shares revolves around what she anticipates the value of the stock to be once it can realize the Clovelly South Prospect reserves in its financial filings. This is just a hunch but if the reason for holding all these shares is not because of the Clovelly South Prospect then it must be because of something else she is in the know about. It only makes sense that Catherine has a much better insight as to which direction this stock is going to trade in the near future than I do for obvious inside reasons.

The last thing I would like to point out here is that as of May 2nd 2005, VNBL came off the SHO list. To get on the SHO list, there must be an illegal necked short position in your stock. Those that sale these illegal shares are very organized and very in tune with a company’s status. These large organized groups sell these illegal shares into a stock they believe will never have a viable business and will just disappear one day. In this situation, the large organized group never has to cover there illegal shorted position.

I have studied this illegal shorting activity for the past three years now, I have become very knowledgeable on this subject. One thing I have found is that you can buy up all the shares in your own company you want, you can buy up the entire float, but the most successful way of forcing these groups to cover is by adding real value to your company. I can go into how this works in greater detail on another date but my point here is that smart money found a viable reason to cover there illegally shorted position.

I do not claim to be an expert on fundamentals but I do believe this DD summary to be fully factual and accurate to the best of my knowledge. All of this information has been generated directly from recent PR’s and most importantly the SEC filings. If anyone has any question or needs me to go into greater detail, don't hesitate to ask. I believe this stock to present the home run possibilities everyone hopes to be a part of and I wish everyone the best of luck.

      Die Party geht weiter!!! :D

Vinoble, Inc. (OTCBB: VNBL) announced June 19, 2006 that drilling had begun on the Clovelly South Prospect's Allain-Lebreton No. 2 well. The Company has been notified by the operator that as of early this morning the well has reached a depth of 11,000 feet.

Daily reports provided from the site indicate normal operations. Although it would be anticipated that drill rates would be lower at greater depths, the Company is pleased that the operator has reached 11,000 feet within 19 days from the spud date.

As previously announced, the original proposed target was to test the "M" Sand at a depth of approximately 13,500 feet with a prospective size of 3.6 million barrels of oil. After further geophysical review of a 3D Seismic survey of the property, the operator and the interest owners of the prospect put forth a further development plan for a deeper horizon. The additional drilling target will test the "P" Sand at approximately 14,200 feet, and if successful, would significantly increase the reserves in the well to an anticipated 11 million barrels of oil for a nominal increase in the dry hole cost. A discovery would lead to the drilling of several development wells on the 1260 acre property where facilities for the production of the well are available.

While global political turmoil continues to keep oil prices near $75 per barrel and some recent analysts' reports predict that oil could reach as high as $100 a barrel in the near future, the Company is moving forward in its efforts to acquiring additional growth and investment opportunities in this natural resource sector with the intent of providing the Company and its shareholders a much-improved increase in shareholder value. The Company is focused on increasing value by means on continuing acquisitions, development projects and exploration drilling through joint venture networks.

Safe Harbor Statement: This press release contains forward-looking statements as defined in The Private Securities Litigation Reform Act of 1995 (the "Act"). In particular, when used in the preceding discussion, the words "plan", "confident that", "believe", "scheduled", "expect", or "intend to", and similar conditional expressions are intended to identify forward-looking statements within the meaning of the Act and are subject to the safe harbor created by the Act. Such statements are subject to certain risks and uncertainties, and actual results may differ materially from those expressed in any forward-looking statement. Such risks and uncertainties include, but are not limited to, the ability of Vinoble to complete the proposed acquisition(s), the results of Vinoble's due diligence review of the candidate(s), the success of the business of the acquisition candidate(s), including the ability of Vinoble to continue to sell the applicable products and the acceptance of those newly designed products by the market, market conditions, the general acceptance of the Company's products and technologies, competitive factors, timing, and other risks described in the Company's SEC reports and filings.

Friday August 4, 8:00 am ET

LOS ANGELES, CALIFORNIA--(MARKET WIRE)--Aug 4, 2006 -- Matrixx Resource Holdings, Inc. (OTC BB:MXXR.OB - News) announced today that we have encountered a charged sand at 14,280 feet, which is believed to be a stringer sand located approximately 50 feet above the anticipated "M" sand.

Seven inch protective casing is currently being set to protect the hole after the operator has elevated mud weight to 12.6 pounds per gallon to contain the pressure while circulating gas out of the hole.

The well is nearing its objective and the operator of the well reported on August 3, 2006 that a "drilling break" was encountered from 14,275 feet to 14,280 feet. A "drilling break" is defined as encountering "reservoir quality sand" and pressure, in this case, gas is entering the well bore.

It is anticipated that another 200 feet will be drilled to get through the objective "M" sand. Drilling may proceed to 14,700 feet if necessary to complete the objective.

Matrixx to Acquire Two Additional Oil Prospects

LOS ANGELES, CALIFORNIA -- (MARKET WIRE) -- 08/29/06 -- Matrixx Resource Holdings, Inc. (OTCBB: MXXR) announced today that it has agreed in principle to acquire a majority interest in two Oil and Gas Prospects known as the Manvel 2000 Foot Miocene Exploration Prospect and the Manvel 4500 foot Oakville Developmental Prospect.

The agreement calls for Matrixx to acquire an undivided 55% working interest in the Manvel Miocene covering 160 acres of land and an additional undivided 55% working interest covering 60 acres of land in the Manvel Oakville, both of which are located in Brazoria County, Texas.

Shallow exploratory wells will be drilled on the Manvel Miocene property to a depth of approximately 2,000 feet. A series of shallow development wells will be drilled on the Manvel Oakville prospect to a depth of 4,500 feet to test offsetting and updip to an already producing Davis No.1 well.

Drilling is expected to begin before year end 2006. Recoverable reserves for the two projects are estimated at 500,000 Bbls (500,000 barrels) of oil for each of the prospects. Net drilling cost is expected at $100,000 and net $170,000 respectively.

Additional information describing these and other prospects previously announced by Matrixx will be forthcoming in a letter by the Company to its Shareholders.

Matrixx will continue to seek additional opportunities to add value to its property holdings through acquisition. Matrixx believes that these additional assets will provide the Company and its shareholders a much-improved increase in shareholder value. Further, the Company will be filing the required forms and exhibits with the SEC and sending notice to shareholders on a timely basis. Terms and conditions of the transaction will also be provided in the aforementioned notices. Closing is expected to occur no later than September 15, 2006.

D. h. er will Aufmerksamkeit und will keine Inhalte liefern.

The No. 2 well encountered a two foot gas discovery, but due to the location of the hole, the drilling may have occurred offset whereby an additional 28 feet of discovery may exist containing up to 5 Bcfg (billion cubic feet of gas) valued at nearly $35 million. While the gas discovery might be considered as an added benefit, the intended cause of drilling the twin is primarily to target what is known as the "M" sand at or about 14,300 feet to 14,500 feet with a prospective size of 10 to 11 million barrels of oil. The Clovelly field has produced over 30 million barrels of oil, most of which occurred in the "M" sand.

gute news, daher sell on good news! allgemein scheint die börse

Barrel, ausserdem 5 Mrd. Cubic Feet Gas im Wert von 35 Mio. Dollar. Die 11 Mio. Barrel kosten 770 000 000 Dollar. ( 11 000 000 x 70 Dollar)

Item 1.01 Entry into a Material Agreement.

      A. Buck Snag Agreement

On August 29, 2006, the Registrant, a Delaware corporation (the “Company”), entered into an Acquisition and Participation Agreement (“Buck Snag Agreement”) for the acquisition of a 42.5% working interest in the Buck Snag Field (“Buck Snag”) from Texahoma Energy, Inc. (Pink Sheets: TXHE), a Canadian corporation (“Texhoma”), for a purchase price of $150,000. The Company’s 42.5% working interest in Buck Snag is subject to an existing overriding 28% Royalty Interest. Pursuant to the terms of the Buck Snag Agreement, Texhoma has the right to back-in for a 12.5% working interest after payout of the Company’s investment. Payout is defined as the receipt by the Company of the equivalent of the purchase price and the investment out of revenue distribution from the Operator. Sunray Operating Company, LLC, located in Sugarland, Texas, (“Sunray” or “Operator”), is the Operator for Buck Snag. Per the Buck Snag Agreement, Sunray is also entitled to a 12.5% working interest, proportionately reduced at payout. Both back-in working interest percentages to Texhoma and to Sunray are already factored into the Company’s 42.5% working interest percentage. The Company completed the acquisition with full payment of the purchase price on August 29, 2006.

      --------------------------------------------------------------------------------

The Buck Snag Prospect covers approximately 280 acres of land in Colorado County, Texas. Shallow development well(s), not more than 5,000 feet, will be drilled and completed to produce by-passed and attic gas reserves. By-passed and attic gas reserves are those which are contained in relatively impermeable rocks or above the primary reservoir. Each well will be drilled at a strategic location to test at a minimum two separate reservoir sands where potential gas or oil reserves may be located. The possibility of encountering nine separate reservoir sands within the Buck Snag lease block is seen.

Structural and isopach maps have been utilized to identify the potential reservoir target and the subsurface rock layers for drilling preparation. A structural map uses contours to illustrate the elevation of the top of a subsurface sedimentary rock layer while an isopach map uses contours to establish the thickness of a subsurface layer. Combined, the two maps illustrate the estimated lateral extent and sand thickness of the primary reservoir objectives.

The #1 Schiurring well on Buck Snag commenced drilling on August 11, 2006 at approximately 500 feet north of the Windsor #2 Schiurring well. On August 18, 2006, the target depth of 4,400 feet was reached. The #1 Schiurring well was completed in the 2,030 foot sand and placed into production last week. Initial flow rate commenced at 120 MCF of gas per day, and after the water cleanup, well production is expected to increase to 300 MCF of gas per day.

Recoverable reserves for the project are estimated at 2 to 3 BCFG (Billion Cubic Feet of Gas). Net drilling cost was $170,000, of which the Company’s obligation of $72,250 has been prepaid. Net completion costs are estimated at $90,000, of which the Company’s obligation is $38,250. This estimate is a budgetary allocation and is subject to change should unforeseen circumstances arise during the completion phase. The Company, its partners and the Operator have agreed to drill three additional wells on the Buck Snag Prospect before year end. Subsequent well locations and depths will be keyed off the geology of the first well.

      B. Manvel Agreement

On August 29, 2006, the Registrant, a Delaware corporation (the “Company”), has reached an agreement in principal with Texhoma for the acquisition of a majority working interest in two wells located in Brazoria County, Texas (the “Manvel Agreement”). Pursuant to the terms of the Manvel Agreement, the Company shall receive a 55% working interest in the Manvel 2,000 ft. Miocene Exploration prospect for $20,000 and a 55% working interest in the Manvel 4,500 ft. Oakville Development well for $40,000.

The Company’s 55% working interest in the wells is subject to an existing overriding 25% Royalty Interest. Pursuant to the terms of the Manvel Agreement, Texhoma has the right to back-in for a 12.5% working interest after payout of the investment to the Company for each well. Payout is defined as the receipt by the Company of the equivalent of the purchase price and the investment out of revenue distribution from the Operator, Sunray. Per the Manvel Agreement, Sunray is also entitled to a 12.5% working interest, proportionately reduced at payout for each well. Both back-in working interest percentages to Texhoma and to Sunray are already factored into the Company’s 55% working interest percentage for both leases. Closing of the Manvel transaction is expected by September 15, 2006.

Item 2.01 Completion of Acquisition or Disposition of Assets.

As set forth in Item 1.01 above, on August 29, 2006, the Company completed the acquisition of a 42.5% working interest in Buck Snag from Texhoma. Pursuant to the terms of the Buck Snag Agreement, , the Company purchased a 42.5% working interest, subject to an existing overriding Royalty Interest of 28%, for a purchase price of $150,000. See Item 1.01 for more information. As of August 29, 2006, the Company has paid the full purchase price.

(“Matrixx”), which is a “shell company” as defined in Rule 12b-2 promulgated under the Securities Exchange Act of 1934, please see Matrixx’s Quarterly Reports on Form 10-QSB for the quarterly periods ended September 30, 2005, December 31, 2005 and March 31, 2006, as filed with the Securities and Exchange Commission.

Item 2.03 Creation of a Direct Financial Obligation or an Obligation Under an Off-Balance Sheet Arrangement of a Registrant.

As stated above in Items 1.01 and 2.01, herein incorporated by reference, the Buck Snag Agreement obligates the Company to pay Texhoma a total purchase price of $150,000, as a one -time participation fee for the right and obligation of a 42.5% working interest in Buck Snag. As of August 29, 2006, the Company has paid this amount in full. The dry hole cost was $170,000, of which the Company’s obligation of $97,750 has also been prepaid. This obligation represents approximately 42.5% of the costs associated with drilling the Initial Test Well, therefore, allowing the Company to hold a 42.5% interest in the proceeds from the well after Royalty Interests and expenses.

Recoverable gas reserves were found in the 2,030 foot sand and have been tested to be commercially viable. As of August 29, 2006 the well has been completed and placed into production. Completion costs were $90,000 of which the Company’s obligation is $38,250. Following completion, the Company is obligated to pay 42.5% of all the costs associated with production of the well and would be entitled to 42.5% of the production revenue, including the back-in percentages to Texhoma and Sunray, and after payment of the Royalty Interest and expenses.

The estimates for the completion costs are budgetary allocations and are subject to change should unforeseen circumstances arise during the completion phase.
