      Insider-Verkäufe und Käufe
      a/ Käufe ist einfach und klar: Elon Musk hat nun doch wie versprochen Aktien von Tesla gekauft, und offensichtlich direkt von Tesla über seinen Trust:
      56,915 x $351.4 = $33,824,680

      aus: https://www.sec.gov/Archives/edgar/data/1318605/000149472718…

      b/ ..und sein CTO JB Straubel hat fleissig am Mittwoch verkauft:

      => ... für insgesamt so ~USD2.0m (Aktien und Derivate --> siehe den Form 4-Schlüssel z.B. von hier: https://en.wikipedia.org/wiki/Form_4)

      => gut, ist jetzt nicht die Welt

      => aber warum verkauft er dann nach dem besten Quartalsergebnis der Firmengeschichte und öffentlichen, positiven Cashflow-Aussichten seines Chefs seine Tesla-Aktien? :eek::eek:

      (die Derivate mögen eine andere Geschichte sein)

      => das sind in 2018 die ersten Insiderverkäufe bei Tesla

      => demnach darf er theoretisch über kein kursrelevantes Insider-Wissen verfügen, über das die Öffentlichkeit nicht auch schon Bescheid weiß, bzw. wissen könnte :D

      mal wieder Charttechnik
      um es gleich zu sagen:

      • charttechnisch sieht es immer noch schlecht aus für Shorties --> also nächste und vermutlich auch übernächste Woche bleibt (mMn) der Kurs noch oben
      (immer mit einer gewissen Wahrscheinlichkeit; also >50% --> man weiß ja mittlerweile, daß der Kurs auch extreme Sprünge machen kann über nur 2 Tage hinweg, was auch schon mal gut ist zu wissen)

      • und das nicht nur bei der Kurtosis, die noch nicht wieder nach unten drehen will (--> eine nach oben drehende Kurtosis funktioniert bei Tesla unheimlich gut (25-100-25), nach unten weniger, aber "mittelfristig" auch noch OK in Tendenz, wenn man Extrema in der Tesla-Range von USD250...380 abwarten kann)

      => wer also Thetaburn oder ähnliche/andere Probleme (Level!) hat, sollte mal ans Umschichten denken

      => zwei Perioden fallen bei Tesla von 2017-11 bis 2017-11 auf:
      • 36.57 Handelstage --> ~53 Kalendertage, und
      • 19.69 Handelstage --> ~29 Kalendertage, also fast ein Monat, und das 1.9-fache davon, was vermutlich auch kein Zufall ist

      mit: https://www.wessa.net/rwasp_spectrum.wasp

      => TSO verträgt aber keine Bruchzahlen als Parameter-Eingabe, daher kann ich beim Relative Vigor Index (RVI, um mal was neues zu machen: https://www.investopedia.com/terms/r/relative_vigor_index.as…) nur gerundete, ganze Zahlen bei der Periode eingeben:

      => ich finde, man sieht, eine Periodenannahme von 20 Handelstagen (ganz unten) bei Tesla ist (vermutlich) gar nicht so schlecht

      => der letzte Crossover darin (RVI|20td) fand genau am 23.10.2018 statt, als die aktuelle Bullenparty stieg

      auch ein dt. (Ex-)Tesla-Zulieferer --> Schwabische Huttenwerke Automotive GmbH (“SHW”) --> Unterschl.bei Tesla
      Unterschlagung = embezzlement

      8.11.
      Former Tesla Employee Charged With Embezzling $9.3 Million From Musk's Company
      https://gizmodo.com/former-tesla-employee-charged-with-embez…

      =>
      ...A former Tesla employee was charged by a federal grand jury today of embezzling roughly $9.3 million from Elon Musk’s electric car company over the course of two years. The indictment comes as the result of an FBI inquiry.

      The employee, 32-year-old Salil Parulekar, allegedly engaged in a scheme that involved diverting payments, falsifying invoices, identity theft, and impersonating an employee of one of Tesla’s suppliers, according to the United States Attorney’s Office for the Northern District of California on Thursday:

      According to the indictment, Parulekar learned in January 2017 that Tesla had terminated its supplier relationship with Schwabische Huttenwerke Automotive GmbH (“SHW”).

      At the time of the termination, SHW had only provided a limited number of sample products, specifically, motor pumps, to Tesla. Parulekar allegedly knew the termination meant that Tesla was withholding future payments to SHW and that Parulekar was not authorized to contravene this decision. Notwithstanding these facts, Parulekar redirected a series of payments intended for another supplier, Hota Industrial Manufacturing Co., Ltd. (“Hota”), and caused them to be paid to SHW.

      Parulekar is being charged with nine counts of wire fraud and one count of aggravated identity theft. According to the DOJ, each count of wire fraud carries a maximum penalty of 20 years in prison and a $250,000 fine; the maximum penalty for the aggravated identity theft charge is two years in prison and a $250,000 fine.

      A LinkedIn page appearing to belong to Parulekar indicates someone by the same name worked for Tesla for more than four years, and, if the information presented there is accurate, continued to work there as recently as last December.

      Tesla declined to comment.

      --> SHW: https://www.wallstreet-online.de/aktien/shw-aktie --> auch wenn SHW (tatsächlich?) für Tesla Geschichte sein sollte --> ein Aus von Tesla betrifft auch dt./zentraleurop. Autozulieferer

      Robyn Denholm als Chairwoman - von geforderter Unabhängigkeit keine Spur
      ich versuchte aus den Tesla-AR's herauszufinden, wieviel Compensation sie als Director in den vergangenen Jahren bekam --> auf die Schnelle für mich nicht zu machen --> und das ist wohl auch Sinn dieser Übung

      --> also greife ich auf Sekundärquellen zurück, wie dieser aus Australien, in schöner Unverfänglichkeit, da schon im August veröffentlicht:

      Aug 7 2018 at 11:00 PM, Updated Aug 7 2018 at 11:00 PM
      Telstra CFO Robyn Denholm could make millions at Tesla
      https://www.afr.com/brand/rear-window/telstra-cfo-robyn-denh…

      => um es gleich zu sagen:
      • mit ihren doofen Telstra-Aktien kommt sie finanziell nicht weit --> siehe Chart dort oben

      => ...aber mit Tesla - solange auch hier der Aktienkurs schön oben bleibt, so über ~USD260:

      ...
      At the time of Tesla's last annual report, Denholm had some 140,000 stock options, vesting progressively over time.
      ...
      These had an average strike price of $US260, and with Tesla's share price at $US341.99 on Monday, the shares they represent are worth some $US47.9 million. Though they'll cost her some $US36.4 million to exercise, giving her a profit of $US11.5 million (and counting).

      Denholm is counting on upside in Tesla. She hasn't converted many of her options, apart from in May, when she converted 20,000 into shares at $US259.94, immediately selling those shares at $US311.76 for a total profit of $US1 million.

      Since the last annual report, she's been granted a further 50,000 options, though these have the far-higher strike price of $US370...

      => also von dieser Frau ist keine Unterstützung für Shorties zu erwarten

      => ..und wenn sie doch mal (intern) Stress machen sollte wegen der sehr kreativen Buchhaltung bei Tesla (was ich nicht glaube), dann wird sie Elon Musk schon dezent darauf hinweisen, wem sie das viele Geld zu verdanken hat

      => vorrausgesetzt: der Tesla-Aktienkurs bleibt oben. Das gilt eben nicht nur für Elon Musk

      --> da sitzen sie allesamt im selben Boot bei Tesla :D

      Tesla shares rise on hopes stock will join the S&P 500 benchmark, unleashing new investor money

      =>
      ...
      Tesla shares rose after Macquarie estimated the electric automaker may qualify to join the benchmark S&P 500 index as early as the second quarter of 2019.

      "TSLA checks off all the boxes for inclusion except aggregate GAAP profitability over trailing 12 months; we forecast this box to be checked in 2Q19," Macquarie analyst Maynard Um said in a note Thursday.

      The company's third quarter saw it report a surprise profit, as CEO Elon Musk made good on his promise to start turning regular profits in the last half of the year.

      "While TSLA still has to prove it can sustain profitability, we believe the company will achieve this last eligibility requirement," Um said.

      To be eligible for inclusion, Standard & Poor's requires companies to be profitable for four consecutive quarters on a GAAP basis....

      California Moves to Replace Gas Plants With Batteries From Tesla
      8. November 2018, 21:39 MEZ
      https://www.bloomberg.com/news/articles/2018-11-08/californi…

      =>
      -- State regulators approve PG&E contracts for battery projects
      -- Tesla to supply batteries to power Silicon Valley lights

      PG&E Corp. plans to replace three natural gas-fired power plants in California with battery-storage systems as the state continues its push to squeeze fossil fuels out of the electricity mix.

      The California Public Utilities Commission approved Thursday four PG&E energy-storage contracts to support Northern California’s electric grid, including a project by Tesla Inc. The commission in January ordered the state’s biggest utility to find a way to replace the power it gets from three Calpine Corp. gas plants that are at risk of retirement, and to consider battery systems.

      California has mandated that utilities add about 1.3 gigawatts of energy storage to the grid by 2020 to help integrate the increasing amount of intermittent wind and solar power. Governor Jerry Brown signed legislation in September requiring the state to get all of its power from carbon-free sources by 2045.

      ...

      Commissioner Liane Randolph called Thursday’s 4-1 vote “only one step in the broader challenge we face in managing the state’s fossil fuel fleet.” Commissioner Clifford Rechtschaffen was the lone opposing vote. California relies on gas for about 34 percent of its electricity, according to the California Energy Commission.

      The four battery projects include a 183-megawatt facility south of San Jose, California, that will be designed and built by Tesla and owned by PG&E. Vistra Energy Corp. is planning a 300-megawatt installation; Hummingbird Energy Storage LLC is developing a 75-megawatt project; and Micronoc Inc. plans to install 10 megawatts of capacity at customer locations.

      After Goldman Balks, Musk Turns to BofA to Handle SpaceX Loan
      https://www.bloomberg.com/news/articles/2018-11-08/musk-said…
      =>
      Rocket company seeks $750 million loan after switching banks
      • SpaceX revealed financials at New York investor presentation

      => da schau her: selbst Goldman Sachs wird nun vorsichtig ;)

      => aus dem Dreieck Tesla - SolarCity - Space X ist ja dieser Doppelstern Tesla - Space X geworden, und dann muss man es halt darüber probieren:

      ...Elon Musk frequently makes outrageous requests of his staff in his quest to remake global transportation and colonize Mars. But the terms he wanted on a loan for SpaceX were too much even for his closest ally on Wall Street. As recently as last week, Goldman Sachs Group Inc. had been canvassing investors for interest in $500 million of Space Exploration Technologies Corp. debt. By the time interested parties showed up Wednesday at the Four Seasons hotel in midtown Manhattan for a breakfast meeting, Bank of America Corp. was running the show for a $750 million deal.

      The switch surprised bankers and investors, as Goldman is widely viewed as the Wall Street firm with the closest relationship to Musk. It helped take Tesla Inc. public in 2010, led a $1.8 billion bond sale last year and advised on his short-lived attempt to take the electric carmaker private for $420 a share.

      While Bank of America has a lending relationship with SpaceX, it has been shying away from some of the riskiest corners of the corporate-debt market. Goldman balked when SpaceX, a first-time issuer, wanted wide latitude to raise additional debt in the future, according to people with knowledge of the matter, who asked not to be identified because the discussions were private. The hesitation highlights uneasiness among banks that have been challenged by regulators over the risks they’re taking in the $1.3 trillion leveraged-loan market. Insatiable investor appetite for floating-rate debt has allowed heavily indebted companies to extract more concessions from lenders. The loan isn’t the only way Musk has been trying to raise cash with SpaceX, which was founded in 2002 and last valued at about $28 billion.

      He also recently inquired with at least one bank about a personal loan tied to his stake in the rocket company, a separate person with knowledge of the matter said. Representatives for Bank of America, Goldman Sachs and SpaceX declined to comment.

      Musk, 47, has a $24.6 billion fortune, according to the Bloomberg Billionaires Index, split roughly between his stakes in Tesla and SpaceX. But for one of the richest people on the planet, he’s relatively cash-poor. Musk doesn’t take a salary from Tesla, and he’s repeatedly gone to the market to buy the carmaker’s stock in a show of confidence in the company, which has never turned an annual profit.

      ...

      Musk has indicated SpaceX wont go public until it’s flying to Mars. The entrepreneur also has other cash-hungry investments, including Boring Co., a startup that aims to build high-speed tunnel networks using hyperloop technology. A margin loan would be one way to unlock some of the wealth Musk has generated without selling equity and ceding control. For years, he’s used his shares in Tesla to obtain personal loans. About 40 percent of his stake in the carmaker was pledged at the end of 2017, according to a filing.

      While SpaceX is burning through cash, disclosures to potential lenders showed the company had positive earnings before interest, taxes, depreciation and amortization of around $270 million for the twelve months through September, people with knowledge of the matter said. But that’s because it included amounts that customers had prepaid and because it excluded costs related to non-core research and development, the people said. Without those adjustments, earnings for the period were negative, they said.

      The provision on additional debt that Bank of America accepted and is now marketing to investors has become standard in today’s frothy loan market. And it may even be a little stricter than most. Still, many potential investors consider the loan to the rocket company risky. Bank of America agreed to arrange the SpaceX loan on what’s known as a “best efforts” basis, meaning that it didn’t commit to fund it regardless of market appetite.

      But banks still must be conscious of regulatory scrutiny for the loans they arrange. Last month, a top Federal Reserve official fired a rare public warning, saying that banks appear to be chasing increasingly dangerous deals and forgoing lender protections. The comments surprised Wall Street, which had been expecting lending guidelines to be watered down two years into the Trump administration.

      das "neue" Tesla-Audit-Komitee
      => diesen Satz sollte man noch hervorheben:

      Zitat von faultcode: ...Robyn will continue to provide the necessary focus and time to Telstra during the remainder of her time there, and she will also temporarily step down as Chair of Tesla's Audit Committee until she leaves Telstra...

      => das ist auch sehr praktisch für sie, wenn's in den nächsten 6 Monaten doch - völlig wider Erwarten - bei Tesla knallen sollte --> sie war dann nicht mittendrin, nur dabei ;)

      => damit umfasst das Audit-Komitee bei Tesla praktischerweise nur noch diese Herren:

      • Brad W. Buss -- Ex-CFO SolarCity -- "Financial Expert" :D
      • Antonio J. Gracias -- alter EM-Buddy und kein "Financial Expert"
      • James Murdoch -- auch kein Financial Expert

      http://ir.tesla.com/committee-details/audit-committee

      => wer nun, zum Jahresabschluss, den Chair innehat, weiß ich (noch) nicht

      --> in der aktuellen Charter steht dazu nur drin:
      ...
      The Board may designate one member of the Audit Committee as its chair.
      ...
      The chairperson of the Audit Committee shall preside at each meeting; if a chairperson is not designated or present, an acting chair may be designated by the Audit Committee members present.... --> ich tippe da mal auf Gracias ;)

      --> auch unterstelle ich, daß diese Audit Committee Charter SEC-konform ist

      => so gesehen, könnte man auch die paar Monate ohne formellen Chair weitermachen :D
