Genf (awp) - Das Biotechunternehmen Relief Therapeutics und APR Applied Pharma Research haben eine endgültige Vereinbarung zur Übernahme aller ausstehenden APR-Anteile durch Relief unterzeichnet. Damit werde Relief in ein voll integriertes biopharmazeutisches Unternehmen im kommerziellen Stadium umgewandelt, teilte das Biotechunternehmen am Dienstag mit.
Im Rahmen der Vereinbarung haben die APR-Aktionäre von Relief 21,5 Millionen Franken in bar erhalten und werden weitere 45 Millionen in Form von Relief-Stammaktien erhalten, sobald diese ausgegeben und kotiert werden. Darüber hinaus haben die APR-Aktionäre bei Erreichen bestimmter vorher festgelegter Meilensteine Anspruch auf zusätzliche bedingte Zahlungen in Form einer Kombination aus Bargeld und Relief-Stammaktien.
Mit der Übernahme erweitert Relief laut Mitteilung seine Pipeline um kommerzielle Produkte und Programme in der klinischen Entwicklung und erhält eine kommerzielle Infrastruktur für künftige Produkteinführungen. Zudem gewinne man eine Forschungs&Entwicklungs-Organisation mit langjähriger Erfolgsbilanz in den Bereichen Arzneimittelinnovation, Reformulierung und Optimierung.
APR ist den Angaben zufolge ein privat geführtes und in der Schweiz ansässiges Pharmaunternehmen mit mehr als 25 Jahren Erfahrung in der Erforschung, Entwicklung und weltweiten Vermarktung bekannter Wirkstoffe, die unter Einsatz von Drug-Delivery-Systemen für die Behandlung von Nischen- oder seltenen Krankheiten weiterentwickelt wurden.

Geneva, Switzerland, June 29, 2021 – RELIEF THERAPEUTICS Holding AG (SIX: RLF, OTCQB: RLFTF)(“Relief”), a biopharmaceutical company seeking to provide patients therapeutic relief from serious diseases with high unmet need, today announced that it has signed and closed the definitive agreement to acquire all outstanding shares of APR Applied Pharma Research S.A. ("APR"), a privately held Swiss pharmaceutical company with over 25 years’ experience in identifying, developing and commercializing known molecules engineered with drug delivery systems in niche and rare diseases on a global basis.
Under the terms of the agreement, APR’s shareholders have received from Relief CHF 21.5 million in cash and will further receive CHF 45 million in Relief common registered shares (when issued and listed). The APR shareholders are also eligible to receive additional contingent payments in a combination of cash and Relief common registered shares upon achievement of pre-agreed milestones. As previously disclosed, Paolo Galfetti, APR’s Chief Executive Officer, has joined Relief’s Board of Directors.
