-----> 1,1mio merchants kommen von GNET hinzu
-----> spielesachen auf handy...die fehlten eh noch
-----> broadband!
-----> der content, der von GNET hinzukommt

InfoSpace to buy Go2Net to expand content
delivery
By Jim Hu

July 26, 2000, 4:05 p.m. PT
Content delivery company InfoSpace today said it will acquire Web site network
Go2Net in an all-stock deal valued around $2.67 billion to expand its reach into new
markets.
InfoSpace will issue 1.82 of its shares for each of Go2Net`s 30.67 million shares, a 43 percent
premium from Go2Net`s closing price today of $60.56. Paul Allen`s Vulcan Ventures, which is
an investor in Go2Net, has voted in favor of the acquisition.
InfoSpace provides content such as stock quotes, yellow pages
and online shopping services to Web sites, cellular phones, pagers
and high-speed services. The company in April appointed former
Vodafone AirTouch executive Arun Sarin as its CEO. Sarin
replaced founder Naveen Jain, whose title changed to chief
strategist.
Go2Net was the content piece of Paul Allen`s broadband vision.
When Vulcan made a $1.65 billion equity investment in RCN, a
competitive cable company, Go2Net was tapped to provide content
and services for the broadband effort. Executives said at that time
that the company is capable of delivering video games on demand
though set-top boxes.
Go2Net has been one of the few profitable Internet companies. The
company last quarter reported profits of $8.3 million, or 18 cents a
share, on revenues of $18.7 million. It oversees an array of Web
sites including stock message board Silicon Investor, two
small-business services Web sites, an online multiplayer gaming site and MetaCrawler, which
groups results from multiple search engines.
InfoSpace will use the acquisition to deliver its content and shopping services through Go2Net`s
affiliate Web sites. The Go2Net name will no longer be used once the merger is completed.
Jain will remain InfoSpace chairman, and InfoSpace`s Sarin will remain chief executive and also
become vice chairman. Go2Net CEO Russell Horowitz will become vice chairman and
president.
"Combining these companies will create an
unparalleled cross-platform infrastructure
company. We consider this to be very strategic to
our overall vision for the wired world and look
forward to a mutually beneficial, long-term
relationship," Vulcan`s Allen said in a statement.
Morgan Stanley was the financial advisor to InfoSpace on the acquisition, and Merrill Lynch
was the financial advisor to Go2Net.

Morgan Stanley was the financial advisor to InfoSpace on the acquisition, and Merrill Lynch was the financial advisor to Go2Net.
Morgan Stanley & Merrill Lynch

To be eligible for inclusion in the Nasdaq-100 Index, a common security must be traded on the Nasdaq National Market tier of the Nasdaq Stock Market and meet the following criteria:
· the security must be of a non-financial company;
· only one class of security per issuer is allowed;
· the security may not be issued by an issuer currently in bankruptcy proceedings;
· the security must have average daily trading volume of at least 100,000 shares per day;
· the security must have "seasoned" on the Nasdaq Stock Market or another recognized market (generally, a company is considered to be seasoned by Nasdaq if it has been listed on a market for at least two years; in the case of spin-offs, the operating history of the spin-off will be considered);
· if a security would otherwise qualify to be in the top 25% of the issuers included in the Index by market capitalization, then a one year "seasoning" criteria would apply;
· if the security is of a foreign issuer, the company must have a worldwide market value of at least $10 billion, a U.S. market value of at least $4 billion, and average trading volume on the Nasdaq Stock Market of at least 200,000 shares per day; in addition, foreign securities must be eligible for listed options trading; and

"InfoSpace stock may be down short-term due to the premium paid for Go2Net, leading to continued stock volatility," said Michael Graham, an analyst at Robertson Stephens. "We suspect the next big move in the stock will come when revenue from the wireless rollouts becomes big, which we estimate will be in the fourth quarter." See full story.

Hallo Jungs!
MfG

"...The local commerce opportunity is huge. According to the Kelsey Group, $3.7 trillion is transacted through the 10 million local merchants in the United States alone. These merchants spend at least $200 billion annually on promotions and Web-related activities...."

USB Piper Downgrades InfoSpace To Buy On Go2Net Deal (INSP)
InfoSpace Inc. (INSP) was brought down a peg by U.S. Bancorp Piper Jaffray analyst Safa Rashtchy, who lowered his rating on the Redmond, Wash., Internet information infrastructure company to "buy" from "strong buy, " following yesterday`s announcement of the firm`s estimated $4 billion deal to merge with Go2Net Inc. (GNET).
Since Go2Net, a Seattle-based provider of a network of branded, technology and community driven Web-sites, is profitable with almost the same revenue levels as InfoSpace, the acquisition should be accretive on both the revenue and earnings level, Rashtchy said in a brokerage report Thursday.
However, despite several key areas that clearly synergize between the two companies, the analyst believes that because Go2net has a much slower earnings growth rate, the combined company will potentially see its net income growth slashed to 88% from 155%.
Put another way, the combined company has to create a synergy that will nearly double the earnings growth rate, which Rashtchy thinks is a difficult task, given that Go2Net is in very early stages of developing broadband content and services.
InfoSpace also yesterday reported strong second-quarter revenues of $24.6 million, 14% above the analyst`s estimate of $21.5 million, as well as a lowered per-share loss of $0.01, also ahead of estimates, Rashtchy said.
"We do not dispute that each stand-alone company represents a strong business entity, but we believe there is uncertainty if 1+1 will equal three," the analyst said.
In related news, Merrill Lynch analyst Henry Blodget piped on InfoSpace, reiterating his "buy" ratings for the intermediate and long terms.
Blodget also improved his loss-per-share estimate for the third quarter by a penny to $0.05.
Regarding the merger, Blodget, who plans to update his estimates to the merger`s impact when it closes in the fourth quarter, was pragmatic stating "that the combination creates a global infrastructure powerhouse capable of delivering and end-to-end platform of services for narrowband, wireless and broadband."
He also noted that the merger provides "a leading position in broadband."

Hallo Infospacer,
Wedbush Reterates"Strong Buy"on Infospace $240 Dollar Target.
Die addierte Marktkapitalisierung vo Infospace und Go2net liegt
bei knapp 10 Milliarden US Dollar.

Is There Room at InfoSpace for Go2Net?
By Brian Graney
In one of the largest instances to date of Microsoft (Nasdaq: MSFT - news) family inbreeding, former MSN group manager Naveen Jain and his baby, InfoSpace (Nasdaq: INSP - news), have agreed to acquire the Paul Allen-supported Internet and broadband services firm G2oNet (Nasdaq: GNET - news) in a deal initially valued at about $4 billion in stock. Apparently, investors are a little spaced-out by the idea of what the resulting offspring might look like, and InfoSpace sank about 25% in early trading today.
Searching for synergies
With the ruble-like rapid devaluation of InfoSpace`s stock currency today, the perceived value of the share swap now stands at closer to $3 billion instead of last night`s $4 billion, which explains why Go2Net`s stock barely budged in early trading. Most of the concern revolves around uncertainty regarding the potential synergies to be reaped from the deal, as if that is the only reasonable rationale for a merger of any type these days.
Certainly, InfoSpace is not trying to pick up Go2Net on the cheap, as the firm was selling for as little as $1.7 billion in the secondary market as recently as mid-May. And no executive, not even the refreshingly outspoken Jain, would ever actually admit to doing a deal with a currency that could be -- gasp! -- over-valued. Horror of horrors! That leaves the synergies rationale, which Jain and Go2Net CEO Russ Horowitz tried to explain on the post-merger conference call.
Basically, the main purpose of the deal is to give InfoSpace a strong beachhead on the wild and woolly plain of broadband, positioning the company to one day offer an integrated platform of infrastructure services for enabling broadband transactions for both merchants and consumers. The killer apps, according to the company, are expected to be entertainment applications in the guise of games, global commerce, and interactive TV.
Surveying the broadband opportunity
How big will the market be for those broadband applications? Estimates from the various market researchers vary widely (big surprise). But at the very least, Jain seems to believe that the broadband opportunity is at least as big as today`s wireless services area, which InfoSpace started targeting about three years ago. If Jain is right, then tomorrow`s broadband services growth could eventually bring similar rates as InfoSpace`s existing wireless Internet platform services business, which saw its revenues double in the most recent quarter from a year ago.
Factoring in last night`s Q2 results, InfoSpace has been growing revenues at a 30% compounded sequential rate over the past five quarters. Elements such as the growth of the world`s wireless Internet subscribers and increasing the average amount of money that InfoSpace can squeeze out of its affiliates through new applications and services will still be the near term drivers for the firm, determining whether that heady top-line growth rate can continue.
Tweaking the model
However, eventually the InfoSpace model will warp to become more reliant on Go2Net`s more prominent business drivers of growing the merchant base and consumer services-related transaction volumes as well as plain old technology licensing. For InfoSpace investors, the driver transition will almost certainly be bumpy, although it really won`t begin in earnest until broadband services evolve further from today`s nascent development stage.
As a business model for the emerging broadband infrastructure environment, the InfoSpace-Go2Net approach sounds as viable and, eventually, sellable as any other strategy out there -- not that there are too many others for comparison`s sake. That reality, in fact, will most likely be InfoSpace`s greatest near-term challenge. Without anything to benchmark the new company against, pitching the new InfoSpace of tomorrow to an uncertain investment community could end up being the hardest sell of all.

Infospace takes Go2Net out of the shadows
By Dan Briody
Redherring.com, July 28, 2000
Not too many people really understand what Infospace (Nasdaq: INSP) does. And when the company announced this week its intent to acquire little-known Go2Net (Nasdaq: GNET) in a deal initially valued at about $4 billion, investors didn`t know what to think.
What Wall Street did understand, however, was that Infospace had agreed to offer Go2Net shareholders 1.82 shares for each Go2Net share, representing a 45 percent premium at the time of the announcement Wednesday. Infospace`s stock took a beating Thursday, shedding nearly 28 percent of its value on an overall down day for tech stocks. Concerns about the price Infospace was paying for Go2Net overshadowed the company`s announcement of record second-quarter revenues of $24.6 million, more than three times that of the same quarter last year.
Wall Street analysts say the reaction was not entirely surprising given the premium Infospace paid. But they also say the acquisition is strategically sound and makes sense for the long run. It`s just a matter of investors figuring that out.
"Most people don`t know Go2Net all that well, and when someone steps up and pays a few billion for a company that nobody knows, that can be a problem," says Vik Mehta, vice president covering the mobile Internet for Goldman Sachs. "I don`t care how synergistic it is -- if people on Wall Street don`t know what it is, it can get into trouble."
WHAT IS GO2NET?
As it turns out, there is a good deal of synergy between the two companies. Infospace provides outsourced content delivery and front-end e-commerce services to wireless carriers and merchants wanting to do business on the Web, but who are unwilling to subvert their brand to the likes of Yahoo or America Online. Go2Net does much the same for the broadband marketplace, with the addition of some gaming applications and back-end transaction processing for e-commerce.
Infospace is presenting itself as the answer to wireless carriers afraid of losing their brand relevance to big brand-name content providers, and Go2Net will become the broadband arm of its overall strategy.
One of the more compelling aspects of the deal is the involvement of Paul Allen`s venture capital company, Vulcan Ventures. Mr. Allen`s controlling interest in Go2Net will translate into an 8 percent stake in Infospace, although Infospace founder and chairman Naveen Jain will remain the largest shareholder in the company.
Infospace`s brass made it clear that they intend to take advantage of other companies in Mr. Allen`s portfolio, like high-speed Internet service provider RCN (Nasdaq: RCNC), cable giant Charter Communications (Nasdaq: CHTR), and High Speed Access (Nasdaq: HSAC), all of which will provide new channels for its services.
"[Go2Net`s] got some relationships that are very interesting, with Vulcan and Charter and RCN," says Arun Sarin, CEO of Infospace. "And we really wanted to buy the company before they had 80 percent of the market."
Mr. Allen`s vision of a "wired world" has been used as the basis for his investing strategy. Infospace now figures to be a content and infrastructure provider in that scheme, joining a number of telecommunications, cable, wireless, and content providers.
IS CONTENT KING?
Looking at specific content, wireless and broadband gaming in particular seems to have a lot of potential, and is a particularly interesting part of the deal. Go2Net owns Playsite.com, a popular online gaming site, and, during a live chat on Redherring.com last month, Mr. Jain hinted that wireless gaming was an area of future growth. In response to a question about wireless content, Mr. Jain said that while wireless chats did not seem like a killer application, "interactive games are a different story. As the bandwidth increases, you`ll be able to do more interactive graphical games."
In fact, there was another merger in the online gaming sector Wednesday. Online entertainment company Uproar (Nasdaq: UPRO) agreed to buy privately held lottery site Iwin.com.
On the commerce side, Infospace will combine its front-end one-click buying e-commerce technology to Go2Net`s transaction processing for an end-to-end solution. And by adding Go2Net`s 1.1 million merchant customers to its own base of 600,000, Infospace is looking to gain a greater foothold in the mobile commerce explosion they believe is coming.
The new entity hopes to bring local businesses into the Internet fray as well, by enabling everyone from dry cleaners to pharmacies to issue electronic coupons to the mobile devices of passersby. But they won`t be alone.
"I think Yahoo and AOL recognize the importance of mobile commerce, and there is a lot of juice here, a lot of profitability," says Mr. Mehta.
Now if Infospace can find a way to capture some of that juice, investors may yet forgive them for paying a premium to acquire Go2Net.

INFOSPACE BUYS GO2NET, POSTPONES INVESTOR COMFORT
InfoSpace reported Q2 revenue of $24.6 million and a one-cent loss per share, significantly better than our estimates of $21 million and $(0.06). Revenue upside reflected momentum across business segments, with wireless revenue accounting for 15% of the mix. The market got impressive results from AT&T Wireless (AWE $28-1/2), which added nearly 1,000 data service customers daily since its mid-quarter launch. This bodes well for InfoSpace, which receives a fee for every user. Just when it appeared that the business (particularly in the form of wireless revenue) would finally grow into the stock, InfoSpace announced its plan to buy Go2Net (GNET 60-7/16). This profitable portal is the 13th-largest network of Web sites, as measured by June Media Metrix data, and an integral part of Charter Communications’ broadband strategy. InfoSpace plans to pay roughly $4 billion (closer to $3 billion after Thursday’s slide), or $86.91 per share, a 43% premium over Go2Net’s Wednesday close. InfoSpace has demonstrated skill in building content distribution and infrastructure businesses on the Web and in wireless, and we believe Go2Net helps extend those capabilities to broadband service providers. We suspect that the combined company could eventually build a converged media infrastructure powerhouse, though the stock may be choppy until evidence of this positioning becomes clearer.

Prognosen rausgeben.

Was machen die da genau? Was ist das für Content, mit dem die AOL, Microsoft, Disney`s GO Network, NBCi ... versorgen? Was macht gnet genau?
Danke.

Go2Net Merger Gives InfoSpace Investors Indigestion
By Betsy Schiffman
It`s hard to pass silver off as gold, and according to the market, that`s what InfoSpace is
trying to do through its merger with Go2Net.
The thinking is that InfoSpace (Nasdaq: INSP - news) can`t ride on a wireless ticket if it`s
got a Web portal dragging it down. But analysts say it`s a misconception--Go2Net (Nasdaq:
GNET - news) isn`t just a portal and the companies simply haven`t explained the story clearly to Wall Street.
Yesterday afternoon, Bellevue, Wa.-based InfoSpace announced it will merge with Go2Net, a Web portal and provider of
applications, in a stock swap valued at about $4 billion. The merger is expected to close during the fourth quarter.
InfoSpace, the brainchild of fast-talking former Microsoft (Nasdaq: MSFT - news) veteran Naveen Jain, is perceived primarily
as a wireless infrastructure play. Among other things, InfoSpace`s technology allows wireless carriers to deliver Internet content
over non-PC devices. It has partnered with four of the five major U.S. wireless carriers--Alltel (NYSE: AT - news), AT&T
(NYSE: T - news), SBC Communications (NYSE: SBC - news) and Verizon Communications (NYSE: VZ - news)--and
analysts estimate it has more than 80% market share in the North American wireless infrastructure space.
Go2Net, on the other hand, is perceived as a pure Internet play with applications such as search engine MetaCrawler and
commerce platform HyperMart. But according to analysts, many of its assets are technologies that can be deployed and
exploited over wireless devices. ``When we stop and begin to consider the upsell potential of [Go2Net`s] core
applications--metasearch, Web-based payments, merchant hosting, finance and Java-based games, we start to believe these
applications could become true monsters when distributed through [InfoSpace`s] vast affiliate network,`` SG Cowen analyst
John Graves wrote in a research note.
Besides the similarities in the two companies` strategies, Go2Net is a profitable little puppy--last week it announced third
quarter net income of $10.1 million on $23 million in revenue, or 22 cents per share. And 84% of revenue was gross profit.
Meanwhile, InfoSpace reported a net loss of $3.3 million, or 1 cent per share, and $24.6 million in revenue.
So if the merger makes strategic sense, and Go2Net`s finances are strong, it`s befuddling that the market would thrash shares of
InfoSpace so severely. After news came out yesterday afternoon, InfoSpace shares were trading down from their closing price
of $47.75, to $40.50. Today, the stock took a further beating, trading down more than 25% at around $35.43.
Analysts say that because Go2Net is still perceived as an Internet play, it dilutes InfoSpace`s ``wireless`` valuation.
[/b]``InfoSpace is given a premium value as a wireless business, and although Go2Net`s services are complementary to InfoSpace,
they aren`t wireless services,``[/b] San Francisco-based Thomas Weisel analyst Matt Finick says. InfoSpace Chief Executive Arun
Sarin says it`s a matter of educating investors.
``I understand our investors` reaction because they don`t know what we bought,`` Sarin says. ``But Go2Net is basically in the
same position that InfoSpace was a year ago, only we were positioned for wireless and they`re positioned in the broadband
space.``
However, there`s still some sense that the wireless space is overvalued and volatile, much like Internet stocks were before this
spring`s market slide.
``Anything hyped as wireless gets a premium valuation, and then with any hiccup, there`s a lot of activity. The entire wireless
market is prime for a Wall Street downgrade. That`s not to say the fundamentals aren`t solid and there isn`t great value ahead,
but we`ve got to come back down to reality a bit,`` says Boston-based Yankee Group analyst Mark Lowenstein.
InfoSpace may be the first wireless play to take the hit.

Danke leyk,
