Abzocken vor dem Crash

Insider von Technologie-Firmen haben an der Nasdaq-Blase offenbar fürstlich verdient. Rechtzeitig bevor die Kurse ihrer Unternehmen um 90 Prozent fielen, machten sie Kasse. US-Medien sprechen spöttisch vom 100-Millionen-Dollar-Club.

New York - Der Chef eines Unternehmens weiß gewöhnlich am besten, wann er seine Aktien verkaufen sollte. Laut einer Studie von Thomson Financial und dem "Wall Street Journal" haben mindestens 50 Gründer und Manager von Nasdaq-Firmen während der Börsen-Euphorie im letzten Frühjahr große Anteile an ihren Unternehmen verkauft. Dabei nahmen sie jeweils mehr als 100 Millionen Dollar ein. Danach sahen sie zu, wie ihre Firmen rund 90 Prozent an Wert verloren.
So hat der 36-jährige Gründer der Internet-Beratung Scient, Eric Greenberg, zwischen Oktober 1999 und Dezember 2000 Aktien im Wert von 225 Millionen Dollar verkauft. Die gesamte Firma ist inzwischen nur noch 130 Millionen Dollar wert.

Marc Bell, der 33-jährige Gründer der Internet-Firma Globix, verkaufte im Februar 2000 ein Drittel seiner Anteile für 129 Millionen Dollar. Der Preis pro Aktie: 67,44 Dollar. Inzwischen ist der Kurs auf 3,25 Dollar gefallen, das Unternehmen ist damit nur noch 136 Millionen wert.

Es handele sich um eine riesige Umverteilung des Wohlstands von normalen Anlegern zu Insidern, zitiert das "Wall Street Journal" einen Investment-Banker. Die Insider konnten auch deshalb kaum verlieren, weil sie Aktien zum Vorzugspreis bekommen hatten und so selbst bei fallenden Kursen noch Gewinne realisieren konnten.

Im ersten Quartal 2000, als die Nasdaq von einem Hoch zum nächsten jagte, wurden Aktien im Wert von 18 Milliarden Dollar verkauft, fand die Studie. Das war doppelt so viel wie der vorherige Rekord im vierten Quartal 1999.

Beim B2B-(Business-to-Business)-Marktplatz Ariba gibt es gleich sechs Mitglieder des 100-Millionen-Dollar-Clubs. Auch hier ist der Kurs seither um 94 Prozent gefallen.

Die befragten Insider weisen jeglichen Vorwurf von sich: Es habe sich schlicht um gutes Timing gehandelt. Ariba-Sprecherin Lauren Ames: "Niemand konnte vorhersagen, was passieren würde."

jetzt habe ich mit ariba schon wieder in die scheiße gegriffen(meine nerven sind bald am ende...)
wie ist diese class-action einzuordnen?

In den USA muessen Insiderverkaeufe vorher bekanntgegeben werden. In der Regel sollte man eine Aktie meiden wenn es mehr als 3 Insiderverkaeufe im letzten Monat gegeben hat:

of 5 million shares of common stock at $23.00 per share that was completed on June 23, 1999 (the
"IPO").
The complaint alleges that the Prospectus was false and misleading because it failed
to disclose (i) Morgan Stanley`s agreement with certain investors to provide them with significant
amounts of restricted Ariba shares in the IPO in exchange for exorbitant and undisclosed
commissions; and (ii) the agreement between Morgan Stanley and certain of its customers whereby
Morgan Stanley would allocate shares in the IPO to those customers in exchange for the customers`
agreement to purchase Ariba shares in the after-market at pre-determined prices.
The SEC is investigating underwriting practices in connection with several other
initial public offerings, including the offerings of Ariba, VA Linux Systems, Inc. and United Parcel
Service, Inc.
Plaintiff seeks to recover damages on behalf of all those who purchased or otherwise
acquired Ariba securities during the Class Period.
