      Hallo zusammen,

      So long für heute.

      Beste Grüße aus Düsseldorf

      Hi, Duesseldorfer,

      Hallo Ihr armen Scorpione,

      MACMILLAN GOLD CORP.

MacMillan Gold Corp. and WiredKingdom.com Inc. Agree to Merge

TORONTO, CANADA--MacMillan Gold Corp. ("MacMillan") - TSE: `MMG` - announced today that it has entered
into a Letter of Intent to amalgamate with, and change its name to, WiredKingdom.com Inc. ("WiredKingdom").
WiredKingdom is a private corporation engaged in the business of developing scaleable custom branded products and
custom web services for leading Internet properties.

The Company reviewed several opportunities to increase its shareholder value and is pleased to announce that it has
chosen to enter into a non-binding Letter of Intent with WiredKingdom. It is contemplated that MacMillan and
WiredKingdom will merge, subject to, among other conditions, the approval of the shareholders of both companies, the
consent of applicable regulatory authorities and the execution of a definitive amalgamation agreement.

Based in Toronto, WiredKingdom (www.wiredkingdom.com) is an interactive Web-development company with diverse
revenue streams through a unique combination of custom web services and scaleable distribution (or licensing) of
proprietary products. WiredKingdom has a strong revenue base with a proven track record of providing custom web
solutions for companies such as Tucows Interactive, Look Communications, Verio, and through a strategic partnership
with Edge Interactive Marketing, WiredKingdom is also active in the deployment of work for companies such as Nortel
      (U.S.) and Key Media.

WiredKingdom has also built the largest independent content distribution network in Canada which boasts access to
over 400,000 households through partnerships with over 60 media websites in Canada including agreements with 15
major content companies in Canada including CBC, Canoe, Chatelaine and The Toronto Star. WiredKingdom`s content
distribution system allows it to create content alliances with premier media companies on a scaleable model, which
generates ongoing revenues through the custom branding of products for each media website.

WiredKingdom is planning to aggressively penetrate the United States market in the Fall of this year and is also planning
a comprehensive layout for a global rollout by 2001. Scott Waddell, President of WiredKingdom, said: "We are excited
about the merger with MacMillan. As a company, we have over five years of business experience in web development
and three years in scaleable distribution. This amalgamation is timely and appropriate for the growth of the company."
Robert Metcalfe, Executive Vice-President of WiredKingdom, commented that: "We have considered many
opportunities for our company, but we are convinced that this deal will deliver long term value to the company by
providing enhanced access to the capital markets. We are committed to delivering long-term value for our shareholders,
employees and business partners and are looking forward to the continuing evolution of our business."

Under the terms of the proposed merger, shareholders of MacMillan would receive one (1) common share of the
amalgamated entity ("Amalco") for each MacMillan common share issued and out- standing and all issued and
convertible securities of MacMillan such as stock options are to be reissued as Amalco options on a one for one basis,
but only for a period of one year from closing. Shareholders of WiredKingdom would receive 3.4 common shares of
Amalco for each WiredKingdom common share issued and outstanding immediately prior to the amalgamation and all
issued and outstanding convertible securities of WiredKingdom including options and warrants shall be exchanged for
adjusted but similar securities of Amalco. Under terms of the agreement, various voluntary share escrow arrangements
have been made with the principal shareholders of WiredKingdom.

MacMillan is expected to have, at the closing of the amalgamation, cash on hand of approximately $800,000 and
WiredKingdom is presently completing two private placements which, if both proceed to closing as expected, will
provide funding of between $3.2 and $3.5 million. Consequently, Amalco is expected to have at least $4 million of cash
following the amalgamation and in the event that market conditions are favourable, it is planned to have Amalco raise
      additional capital shortly thereafter.

WiredKingdom is expected to have approximately 14,570,750 common shares and 1,000,000 share purchase warrants
issued and outstanding prior to closing. Currently, MacMillan has 18,071,616 common shares and 1,530,000 stock
options issued and outstanding. On this basis, Amalco would have approximately 67.6 million common shares issued and
outstanding following the closing on an undiluted basis and, of that amount, MacMillan shareholders would hold,
approximately 26.7% of the outstanding shares of Amalco at closing.

It is expected that a definitive Amalgamation Agreement will be executed on or before September 15th, 2000 with the
MacMillan shareholder meeting scheduled to occur on or about October 19th, 2000. Closing will occur several days
following the shareholder meeting. On behalf of the Board of Directors of MacMillan Gold Corp. Peter Mordaunt

      Guten Tag,

zur Info. Also die Positionen hat er noch, mal sehen wie ersie versilbern will. Kann aber auch noch dauern.

      T O O U R S H A R E H O L D E R S

During the quarter, Scorpion continued to pursue a number of acquisition opportunities in the high technology sector.
As yet, Scorpion has not entered into an agreement with respect to a potential acquisition. We continue to hold our
4,000,000 share investment in MacMillan Gold Corp. (TSE – “MMG”) (“MacMillan”). On July 20, 2000, MacMillan
announced that it had agreed to merge with WiredKingdom.com Inc. (“Wired Kingdom”). Based in Toronto,
Wired Kingdom is an interactive web-development company with diverse revenue streams through a unique combination
of custom web services and scalable distribution (or licensing) of proprietary products. Wired Kingdom has a strong

with over 60 media web sites. The agreement is non-binding and is subject to shareholder and regulatory approval.
Scorpion also continues to hold its 1,000,000 share investment in travelbyus.com Ltd. (TSE – “TBU”, Frankfurt Stock
Exchange –“TVB”). The market values of the travelbyus and MacMillan Gold investments at August 22, 2000 were
$1.6 million and $1.7 million, respectively which, combined with our cash and short-term deposits at June 30, 2000,
provides us with cash and marketable securities of more than $10.6 million. This strong treasury makes us an
attractive partner and enables us to review a wide variety of potential acquisition opportunities.

Da muß doch wohl was bei rumkommen. Hi Dersisco,

was meinst Du denn mit zwangsliquidiert.

Scorpion Vaults into Wireless Space Agrees to Business Combination with Nextair Corporation

      TORONTO, ONTARIO--

NOT FOR DISSEMINATION IN THE UNITED STATES OR THROUGH U.S.
      NEWSWIRE SERVICES

Scorpion Minerals Inc. ("Scorpion") ( TSE- "SCP", Frankfurt-
"PIZ") is pleased to announce that it has entered into a
definitive agreement to enter into a business combination with,
and change its name to, Nextair Corporation ("Nextair"). Nextair
is a private corporation engaged in the Wireless Internet space
providing both Wireless Internet "Middleware" and Wireless
Internet Applications through an Application Service Provider
      (WASP) business model.

Under the terms of the business combination, Scorpion will issue
52,000,000 units consisting of 1 common share and one-sixth (1/6)
of a share purchase warrant. Each whole warrant would entitle the
holder to purchase one additional common share of Scorpion at a
price of Cdn $0.50 for a period of 18 months. The business
combination is subject to a number of conditions usual to
transactions of this nature including, among others, the approval
of Scorpion`s shareholders at a meeting of shareholders expected
to be held in early January 2001 and the approval of applicable
regulatory authorities. The business combination is also
conditional on support agreements being executed by the holders of
a minimum of 40% of the outstanding common shares of Scorpion on
or before November 27, 2000 whereby such shareholders agree to
vote in favor of the business combination at the meeting of the
      shareholders of Scorpion.

Nextair (www.nextair.com) is a wireless Internet company with
customers in both North America and Europe. The Company has
focused its activities in two distinct areas: the Wireless
Internet Middleware arena with its AIRIX enabling technology, and
secondly, offering applications to the market through a Wireless
      Application Service Provider (WASP) model.

Originally founded in 1995 as Millennium Softworks International,
Nextair has seen tremendous growth over the last 5 years. The
Company`s sales have continued to grow, with the Company showing a
profit each year up until the current year where significant
capital and resources have been dedicated to commercialize the
AIRIX technology and launch the Company`s wirelessly enabled
      vertical applications.

AIRIX(TM), the Company`s wireless enabling platform, can be used
with any application for any kind of wireless delivery to
virtually any device on any wireless network globally. Currently
among the most popular devices being used are; RIM (Research in
Motion), Motorola PageWriter, WAP (Wireless Application Protocol),
Microsoft Windows CE/98/2000, and Palm handheld devices. The AIRIX
technology gives corporations the tools and flexibility to
mobilize employees without dictating or changing networks or
technologies. This presents significant value by eliminating a
company`s need to replace, upgrade or web enable legacy
applications which would represent substantial capital
expenditures in order to take advantage of the tremendous growth
      of the wireless Internet.

The second area of focus, the WASP model, allows Nextair to
exploit a significant market opportunity to develop and market
standalone vertical applications which utilize the AIRIX enabling
technology and market those applications on a hosted basis. This
presents an opportunity for identified market sectors to "rent"

Signs MOU with Information Technology consulting and software reseller Open Seas (UK) Ltd.

Scorpion Minerals Inc. ("Scorpion") (TSE- "SCP", Frankfurt- "PIZ") today announced that Nextair Corporation, a wireless Internet company with corporate wireless vertical solutions and wireless enabling technology, has entered a marketing agreement with Open Seas (UK) Ltd. Scorpion Minerals has entered into a definitive agreement with Nextair Corporation, a private company, to effect a business combination and to change its name to Nextair Corporation, subject to obtaining shareholder and regulatory board approvals.

Open Seas (UK) Ltd. will market the Nextair vertical applications mdispatch.com and DispatchForce to the mobile worker marketplace within the United Kingdom under a non-exclusive distribution agreement. mdispatch.com and DispatchForce utilize Nextair`s wireless enabling technology called AIRIX, which allows any chosen wireless device, such as WAP phone or wireless PDA, to access any AIRIX enabled application. By using a single framework for application design and application wireless network connectivity, AIRIX wirelessly extends corporate applications for use by browser or non-browser wireless devices on multiple wireless networks, simultaneously. This capability operates with applications that are both web server enabled and non-web server enabled, without the need to web server enable them. This single framework also allows mobile applications to function off-line, when wireless access has been interrupted or is not utilized hence dramatically reducing mobile user access fees.

Mr. Jason Kent, Managing Director for Open Seas (UK) Ltd. spoke highly of the Nextair wireless applications and the company`s continuing business arrangement with Nextair, "We believe that AIRIX opens up a tremendous opportunity for Open Seas UK as it allows us to have customers of mdispatch.com and DispatchForce utilize the shared North American based AIRIX hosted servers which communicate with wireless data operators in the UK with virtually instant wireless data message delivery. This keeps operating costs low and ensures timely message delivery."

"Open Seas UK steps into the wireless marketplace by expanding its relationship with Nextair to include our latest wireless solutions" says Mr. Alexis Vergez, Vice President Europe for Nextair Corporation. "We are excited with this relationship as Open Seas is recognized as an outstanding field force software provider in the UK marketplace".

"With this MOU", says Jason Kent, "Open Seas UK demonstrates our commitment to the delivery of state of the art mobile solutions for our intended marketplace".

RAM Mobile Data will make the mdispatch.com application available to its customers under the brand name w-FieldServiceRAM. The w-FieldServiceRAM service allows the customer to optimize the communication between the dispatcher and the technicians. The real-time status on every intervention is known by the dispatcher, the intervention time on urgent calls is reduced, time to invoice is reduced and the management information is available immediately. With the w-FieldServiceRAM service, the implementation time of projects is reduced to a minimum.

("Scorpion") (TSE- "SCP", Frankfurt- "PIZ") today announced that Nextair Corporation, a wireless Internet company with corporate wireless vertical solutions and wireless enabling technology, has joined the WebLink Wireless Inc. (Nasdaq- "WLNK") Enterprise Solutions Partner program. Scorpion Minerals has entered into a definitive agreement with Nextair Corporation, a private company, to effect a business combination and to change its name to Nextair Corporation, subject to obtaining shareholder and regulatory board approvals.

WebLink Wireless is a leader in the wireless messaging industry, providing wireless data services and traditional paging services in the United States through the largest 2-Way wireless data network of its kind. The company`s network design is optimized for broad geographic coverage, great in-building coverage, always-on battery life, and bandwidth appropriate for small portable Internet appliances such as 2-Way messaging devices and PDAs. "The Nextair software significantly expands individual functionality for users through its ability to Internet-enable applications for wireless exchange even if they weren`t initially designed for Internet protocol," said Doug Glen, vice president of network services at Dallas-based WebLink Wireless. "This pushes the door wide open for interaction with a host of very useful legacy systems, especially in the enterprise environment. The Nextair development alliance unlocks considerable potential for additional wireless Internet-based information exchange."

Nextair President and CEO, Simon Fraser, commented, "Nextair`s AIRIX technology along with our AIRIX enabled vertical applications provide added traction to the highly successful WebLink Wireless service. This capability operates with applications that are both web server enabled and non-web server enabled, without the need to web server enable them.

This single framework also allows mobile applications to function offline, when wireless access has been interrupted or is not utilized, dramatically reducing mobile user access fees. This ability will be further extended within AIRIX to include support for the Motorola P935 2-Way devices that operate on the WebLink Wireless network.
