Shares of VerticalNet (VERT: news, msgs) surged by 23 percent on the news, gaining 44 3/8 to 238 in recent trading. Microsoft (MSFT: news, msgs) was down 1 1/2 to 104 1/2.
"We think it`s just the beginning" of more marketing alliances to come, Mike Hagan, co-founder of VerticalNet, told CBS.MarketWatch.com.
"This is a game-changer," said Joseph Garner, head of research at Emerald Research. "They`ve built relationships with IBM (IBM: news, msgs), and 3M (MMM: news, msgs), but this is the next leg-up in terms of creating new verticals."
VerticalNet owns and operates 55 verticals, or online business communities organized by industry, where mainly small and medium-sized companies meet to exchange information and transact business. They include AutoCentral.com, Aerospace Online and E-Dental.com.
The details
As part of this deal, Redmond, Wash.-based Microsoft will carry the cost of launching 80,000 online storefronts and their marketing at a cost of $200 million, Hagan said. Deployment will start by the quarter`s end.
Microsoft will support VerticalNet through its MSN Network of Internet services, the Microsoft BCentral small business portal and Microsoft.com.
Microsoft also will invest $100 million in the company. Hagan said Laura Jennings, Microsoft`s vice president of worldwide strategic planning, will join VerticalNet`s board of directors. In turn, Horsham, Pa.-based VerticalNet will accelerate its use of Microsoft technology to power its communities, such as the Windows 2000 Professional Edition operating system, Microsoft SQL Server and its Site Server Commerce edition.
Into the numbers
If the deal is expected to generate some $150 million, a back-of-the-envelope calculation would suggest that 80,000 companies would pay some $2,000 for a Web storefront. Since VerticalNet gets paid about $5,000 to $10,000 a year to host a storefront, according to analysts, this would suggest that the $150 million is a conservative estimate.
At the moment, VerticalNet, now with a market valuation of $8.6 billion, is trading at about 100 times 2000 sales of $86 million, and 60 times 2001 sales of $142 million. These sales estimates were provided by Emerald Research.
Indeed, VerticalNet appears to be trading at the high-end of where other business-to-business companies are trading. "Companies in the business-to-business sector are trading at anywhere between 20 to 100 times sales," said Garner.
But if the company generates $150 million in 2001, even applying a low 20-times multiple on that number would add about $3 billion in market cap.
Whether that`s reasonable or not, in many ways getting traction through big partners validates the company`s long-term viability. "There is this growing realization that VerticalNet is owning every property on the monopoly board," said Eric Upin, a B2B e-commerce analyst at BancBoston Robertson Stephens. "Now, they`re outlining a method to this madness by signing real deals with big partners."
VerticalNet went public on Feb. 11 of last year at a split-adjusted price of $8. At the time the company went public, investment firm Lehman Brothers valued the firm at $259 million. Watch a video of an interview with VerticalNet CFO Gene Godick.

VerticalNet Straight Up
By Brian Graney
January 21, 2000
Shares of business-to-business (B2B) online trading communities operator VerticalNet (Nasdaq:VERT - news) went parabolic this morning for a more than 20% gain on news that the company has formed a strategic alliance with software giant Microsoft (Nasdaq:MSFT - news) . Based on a quick glance of the press release, the agreement seems fairly tame. Microsoft has agreed to market and support VerticalNet`s B2B communities through its MSN network and Microsoft bCentral small business portal. In return, VerticalNet will use Microsoft`s Windows 2000 Professional Edition operating system, SQL servers, and future e-commerce technologies.
What`s so exciting about that? Not very much, except that Microsoft has also agreed to make a $100 million equity investment in VerticalNet. That`s a significant amount of dough for VerticalNet, which will presumably use the money to add more B2B communities and build the corporate critical mass it needs to turn its business model into a profitable business model.
VerticalNet has more or less used up all of the money from its stock market initial public offering last February through acquisitions, investments, and capital expenditures. Given that the majority of the proceeds from a September $100 million private placement of convertible subordinated debentures are still sitting in its bank account, the new Microsoft money gives the company an added degree of financial flexibility. VerticalNet now has plenty of breathing room to keep growing its business and fund continued future operating losses, at least for a little while.
At some point in time, however, investors will demand that VerticalNet and B2B pure-play companies like it start turning profits instead of more tired yarns about how their business models will shake up the world. This is already happening with many of the former high-flying "Internet stocks" that have thus far failed to build the necessary scale that seems to be a prerequisite to sustained profits on the Web. The result? Their share prices have fallen faster than Bill Clinton`s jaw at a bikini contest.
Despite the arguments that traditional valuation principles are bunk in the Internet age, future cash flows still play a large part in determining how much a company is worth, whether that company is a B2B hotshot or not. With that in mind, it`s not surprising to see VerticalNet jump on the news of its Microsoft alliance. Sure, having Microsoft in its corner is an important validation of VerticalNet`s business model and game plan. But more importantly, VerticalNet president and CEO Mark Walsh told Reuters that the deal should "guarantee" the company some $200 million in revenues over the next three years. That`s the relevant point that investors should focus on.
Considering VerticalNet only booked $10.7 million in revenues over the nine month period ending this past September, the Microsoft revenue boost will go a long way in advancing the company further along down the road toward eventual profitability. At this point in the game, investors seem more concerned with VerticalNet`s day-to-day stock price momentum than its ability to profit from its business niche. The investing currents will not always be so forgiving, however. In that light, today`s Microsoft deal better positions VerticalNet to weather any potential B2B business model shakeout storms in the future.

Diesen fand man in Mr.Walsh.
buy now Schalter.
Dies in 3 Gebieten:
1999 - 17,5 Millionen US $ Umsatz
2000 - 40-50 Millionen US $ Umsatz

buy now Schalter.
Dies in 3 Gebieten:
1999 - 17,5 Millionen US $ Umsatz
2000 - 40-50 Millionen US $ Umsatz
