Ich beobachte sie seit Tagen und jetzt scheint es soweit zu sein: Obwohl es heute noch mal VK-Druck gab, hat sie wieder den Weg nach oben gefunden. Wer nach dem Hype von vor 2 Tagen jetzt noch nicht verkauft hat, wird das nicht mehr tun!

Die Mount10 Holding AG ist auf die Speicherung und Sicherung großer Datenmengen in Unternehmen und Rechenzentren konzentriert. Dazu bietet die Gesellschaft Beratung, Konzeptionierung sowie schlüsselfertige Lösungen an und agiert unabhängig von Herstellern. In diesem Geschäftsfeld nimmt das Unternehmen eigenem Bekunden zufolge in Europa eine führende Stellung ein. Das Dienstleistungs-Spektrum der Gesellschaft umfasst die Analyse und Beratung der Kundenanforderungen an Datenspeicherung und -Sicherung sowie die Entwicklung eines entsprechenden Systems. Ferner wird die gewünschte Lösung implementiert. Außerdem installiert, integriert, wartet Mount10 das System und passt dieses an die sich verändernden Kundenbedürfnisse und den technologischen Fortschritt an. Darüber hinaus werden Anwenderschulungen angeboten. Mit der Akquisition der HICOMP Software Systems GmbH im April 1999 hatte Mount10 ihre Angebotspalette vervollständigt. Mit "HIBACK & HIBARS" bietet das Unternehmen seither auch eigene Speicherungs-Software an.
Zum Marktumfeld erläutert Mount10, die optimale Speicher- oder Sicherheitslösung bestehe meist aus einer Kombination von Speichermedien und einer Mischung aus Software- und Hardware-Produkten verschiedener Hersteller. Die Herausforderung für den Systemdesigner liege dabei in der Identifizierung und Integration der Komponenten, die den Anforderungen des Kunden am besten gerecht werden. Der Information Management Markt sei sehr wettbewerbsintensiv, hoch fragmentiert und charakterisiert durch sich schnell verändernde Technologien sowie sich entwickelnde Standards. Hauptwettbewerber von Mount10 sind die Hersteller von Information Management Software- und Hardware-Produkten, wie z.B. Legato, Veritas, Compaq, EMC, Hewlett Packard, Storage Tek und Unisys; einige sind gleichzeitig wichtige Lieferanten.
Im Geschäftsjahr 2002 sah sich die Mount10 Inc. mit weiter schwachen gesamtwirtschaftlichen Rahmenbedingungen konfrontiert. Kunden würden anstehende Projekte so weit als möglich aufschieben, mitunter im Umfang beschränken oder gar ganz absagen, heißt es. Der Umsatz von Mount10 fiel vor diesem Hintergrund in 2002 auf 22,6 (i.V. 34,7) Mill. Euro zurück. Davon wurden 18,6 (26,7) Mill. Euro mit Projekten erlöst und 4,0 (7,9) Mill. Euro mit sogenannten wiederkehrenden Umsätzen, also permanent zur Verfügung gestellten Dienstleistungen. Im Vorjahreswert von 7,9 Mill. Euro sind 5,2 Mill. Euro aus dem in 2001 eingestellten Segment Managed Hosting Services zu berücksichtigen. Auf Grund des umfangreichen Personalabbaus reduzierten sich die Verwaltungsaufwendungen deutlich auf 8,8 (18,6) Mill. Euro. Dadurch, sowie durch geringere Abschreibungen auf Anlagevermögen konnte der Jahresfehlbetrag auf 6,6 (Fehlbetrag 20,9) Mill. Euro begrenzt werden.
Die heutige Mount10 Holding AG ist im Mai 2001 durch Verschmelzung mit der Mount10 Inc. (bis Oktober 2000 COPE Inc.) entstanden. Die Mount10 Inc. war bereits am 11. Februar 2000 in den Neuen Markt eingeführt worden. Der Handel mit den Aktien der Mount10 Holding AG am Neuen Markt wurde am 15. Mai 2001 aufgenommen. In diesem Zusammenhang sind 170.000 neue Anteilsscheine platziert worden. Zudem wurden die 194.197 frei handelbaren Aktien der früheren Mount10 Inc. zum Börsenhandel zugelassen. Dieses bietet nochmals eine gute Einstiegsgelegenheit in die Aktie. Es handelt sich aller Voraussicht nach um eine klassische Pullbackbewegung, die der Bestätigung der Ausbruchsbewegung dient.
Das kurz- bis mittelfristige charttechnische Kursziel für diese Aktie liegt bei bei 3,8 Euro.

Mount10 Holding kurz vor dem Aus.
Angesichts einer dünnen Kapitaldecke,
hoher Verbindlichkeiten und eines
negativen Cashflows war das Unternehmen
dringend sanierungsbedürftig.
Mithilfe von Mittelzuflüssen durch eine
Kapitalerhöhung und einem Forderungsverzicht
von Seiten der Banken
im Volumen von 2,1 Millionen Euro
konnten sich die Schweizer jedoch aus
der prekären Lage befreien. Insgesamt
reduzierten sich die Bankschulden der
Gesellschaft um 2,8 Millionen Euro, die
Eigenkapitalquote kletterte im Gegenzug
von 18 Prozent auf 43 Prozent.
Wie Finanzvorstand Markus Bernhard
im Gespräch mit dem aktionär bekräftigte,
ist die Insolvenzgefahr
für Mount10 gebannt.

Allerdings zählt das Data Fortress
nach der Restrukturierung nicht mehr
zum Kerngeschäft, so dass sogar ein
Verkauf dieses Geschäftsbereichs im
Raum steht. Mount10 treibt seine Fokussierung
auf das angestammte Geschäft
mit so genannter Back-up- und
Restore-Software gezielt voran. In diesem
Zusammenhang ist auch das Management-
Buy-out des Geschäftsbereichs

Was waren aus Ihrer Sicht die
Highlights der letzten Monate?
Markus Bernhard: Der Abschluss
der Sanierung und der erfolgreiche
Turnaround gehören bereits der
Vergangenheit an. Im letzten Halbjahr
waren deshalb für uns der Auftrag
von T-Systems über mehrere
Millionen Euro sowie der Release
unserer Backup-Software Hiback ixT
2.0 im November 2003 die operativen
Highlights.
Ende September verfügte Mount10
über liquide Mittel in Höhe von 549.000
Euro, der operative Cashflow im dritten
Quartal war deutlich negativ. Muss man
sich Sorgen um den Fortbestand des Unternehmens
machen?
Nein, die Gesellschaft ist nicht insolvenzgefährdet.
Das Nettoumlaufvermögen
der Gesellschaft hat sich
sehr positiv verändert. Die liquiden
Mittel werden per Ende Dezember
2003 bedeutend höher sein als Ende
des dritten Quartals 2003. Der negative
operative Cashflow im dritten
Quartal ist bedingt durch die Rückführung
von Verbindlichkeiten als
Ergebnis von Sanierungsmaßnahmen,
die im Rahmen des operativen
Cashflows auszuweisen sind. Faktisch
hat Mount10 operativ keine
Burn-rate.
Im Oktober konnte die Mount10-Tochter
Hicomp Software mit der T-Systems
einen Mehrjahresvertrag abschließen.
Wie sieht die Zusammenarbeit mit TSystems
aus und welchen Stellenwert
hat dieser Abschluss für Ihr Unternehmen?
Die Bedeutung und der Stellenwert
dieser Vereinbarung sind sehr
hoch. Es zeigt auf, dass ein bedeutendes
Unternehmen nach fünf Jahren
erfolgreicher Zusammenarbeit
mit unserem Softwareprodukt zufrieden
ist und die Beziehung sowie
den Umfang weiter ausbaut. Insbesondere
für die Akquisition von
Neugeschäften ist dies eine ausgezeichnete
Referenz.
Mount10 gehört mit einem Jahresumsatz
von unter 15 Millionen Euro zu den
Kleinen der Branche. Ist diese Größe ein
Nachteil bei der Kundenakquise? Wo liegen
die Stärken von Mount10?
Wir haben alle Vor- und Nachteile
eines kleinen Softwarehauses. Aber
man sollte unseren Marktanteil
trotzdem nicht unterschätzen. Die
USPs von Mount10-Software sind in
der Performance und der Skalierbarkeit,
insbesondere in heterogenen
IT-Infrastrukturen bei datensensitiven
und datenintensiven Kunden zu
sehen. Da gewinnen wir auch im
Wettbewerb gegen die größten Anbieter.
Ihr Konkurrent Legato Systems wurde
im Juli 2003 von EMC geschluckt. Sehen
Sie auch Mount10 als Übernahmekandidaten?
Wir sind vom Potenzial und der
Zukunft von Mount10 überzeugt.
Eine mögliche Übernahme würde
nur im Falles eines bedeutend höheren
Aktienpreises diskutiert werden.

des Unternehmens auf dem aktuellen
Level in keiner Form.

In den ersten neun Monaten 2003 erzielte
Mount10 trotz eines aufgrund der
Fokussierung um 41 Prozent auf 10,5
Millionen Euro gesunkenen Umsatzes
ein positives EBITDA, die Bruttomarge
kletterte sogar auf beachtliche 55,7 Prozent.
Sondereffekte aus der Sanierung
sorgten für einen Periodenüberschuss
in Höhe von 957.000 Euro. Im kommenden
Jahr dürften die Schweizer auch
ohne außerordentliche Erträge einen
Nachsteuergewinn von einer Million
Euro beziehungsweise 0,10 Euro je Aktie
erreichen. Positive Überraschungen
nicht ausgeschlossen.
Die zweite Chance
Risikobereiten Anlegern bietet die
Mount10-Aktie auf dem aktuellen
Niveau eine verlockende Einstiegsgelegenheit.
Wenn die Fokussierung
auf das margenträchtige Softwaregeschäft
wie geplant im kommenden Jahr
Früchte trägt, dürften die finanziellen
Probleme endgültig der Vergangenheit
angehören. Vor dem Hintergrund des
fortschreitenden Konzentrationsprozesses
in der Branche stellen die

Der Umsatz reduzierte sich im Rahmen der strategischen Fokussierung auf das Software- und Servicegeschäft, sowie der Aufgabe des margenschwachen Geschäftes auf € 10.5 Mio. (Vorjahr € 17.8 Mio.).
Im strategisch wichtigen Geschäft mit der eigenen Backup Technologie erhöhten sich die Umsätze weiter und es konnten bedeutende Neukunden gewonnen werden. Mit einem langjährigen Kunden konnte zudem anfangs Oktober 2003 ein mehrjähriger Vertrag mit einem Volumen über mehrere Millionen Euro unterzeichnet werden.
Die Bruttomarge beträgt für die ersten neun Monate 56% (2002: 45%; 2001: 31%); die Verbesserung ist eine Folge der konsequenten Ausrichtung der Geschäftstätigkeit auf das Software- und Servicegeschäft.
Der Unternehmensgewinn vor Firmenwertabschreibungen beträgt in den ersten drei Quartalen des Jahres 2003 € 1.3 Mio. oder € 0.16 pro GDR. Der Unternehmensgewinn nach IFRS liegt bei € 0.96 Mio.. (WAF106) TWST: Can we start with a brief historical
sketch and overview of your company?
Mr. Knapp: We have been around for a
long time and the company has evolved through
several different stages. Just reviewing the last
couple of years of our corporate life, back in 2000
we attempted to really transform ourselves from a
solution-driven storage consulting software company
into a service-driven company. At that time,
we were still named COPE, but we acquired a
company called Mount10 and are now known by
that name. This company had a couple of data centers
in the Swiss Alps, and we tried to put together
a complete service business, storage-on-demand
and managed hosting services — basically a similar
model to other companies like Storage
Networks. So, that was the way we tried to really
leverage on the new market situation. However, as
we all know, all those storage service providing
models pretty much failed and as a result, a little
more than 2 years ago we had to put the company
through a major restructuring process, which has
taken us just about 2 years to complete. The restructuring
involved a reduction in the number of
employees from close to 200 to around 80 today,
and we are now focused on software in the backup
restore segment, including providing complete services
based on those software technologies to
major clients in Europe and some in the U.S. A lot
of big corporations are actually now using our
products and services. So that’s pretty much where
we stand today: a pure software company, very focused
on our technology, and that is very much the
way we want to take our company forward.
TWST: So the restructuring is complete?
Mr. Knapp: Yes. We have been through a
difficult phase, but finally the full restructuring is
done. The final step was a capital increase which
we completed early Q3 of the year. So, our balance
sheet is in a healthy shape and with very good equity
quote. We are growing again and we are hiring.
So we are on the move and things are looking
much better. Now, it is about growing the company
slowly but steadily.
TWST: Do you just focus on the larger
corporations or do you have a play into the
SME market also?
Mr. Knapp: We believe medium-sized
companies are going to be a very important marketplace
for us. There is no question about that.
Traditionally, we have been working with the big
guys, because a lot of the solutions we are providing
are simply more appropriate to big corpora-

tions. It is a very high-end piece of software and
we have the ability to customize and adapt it to the
requirements some of the very big corporations
have. Therefore, traditionally that was the focus,
but we see the mid-sized companies as a really important
marketplace for us in the future.
TWST: How would you describe current
market conditions? Are you seeing any
positive signs that IT spend is slowly on the increase
again?
Mr. Knapp: I think it really depends on
the territory. We are very focused on the German
market and, as we all know, the German economy
is having a difficult time at them moment,
Nevertheless, we expect to see a certain recovery
going on in the first 6 months of next year. We do
not expect anything significant over the next 2 or
3 months, but there is some room for improvement
and for at least a small growth. Some of our
clients are already looking at increased budgets
and we all know there is a market and a lot of
clients need to invest more money into security. It
always amazes the people to hear that even the security
industry hasn’t really leveraged heavily on
all the bad events we have experienced. As long as
companies are not making real money and as long
as they do not expect the markets and their business
to recover, they’re not even willing to spend
on security. But I think as soon as the economy
looks a bit brighter, then a lot of room opens up
for security spending, which is obviously the
space we are in.
TWST: So the demand is there, but
stalled for the moment.
Mr. Knapp: Right. Nobody doubts the importance
of security issues and nobody doubts
there is a big need for fast-performing backup restore
solutions. Nobody is going to argue against
that. But, as you know, a lot of IT cutbacks these
days are done very horizontally, so nobody really
cares exactly what is getting cut. They will make a
commitment to reduce the IT budget by 15%, 20%,
30% and then do it across the board. It is just a
sweeping action as opposed to specific cutbacks.
We don’t think that is the best way for a company,
but that is simply the way it is.
TWST: What is the strategy and main
objectives for your company over the next couple
of years?
Mr. Knapp: First, we just released version
2.0 of our HIBACK ixTTM, so that’s a very important
step. We have added a couple of very nice features
to the product and now it’s all about creating
a channel. Traditionally, we’ve been a direct sales
organization, but we want to transform into a more
indirect focused company and instead have channel
partners. We’re not talking about going to bed
with everybody; that’s definitely not what we
want. But finding some high-end integrators and
working with some of the real great companies that
have access to clients in the backup restore segment
is important to us. So getting channel-ready
will be a main objective.
We are also looking to further improve the
quality of our product. Additionally, we want to
leverage on the U.S. team we have: on the speed,
on the scalability, on the central management, and
anytime, anyplace technology. We want to leverage
on those unique features, and that, along with

some improved marketing and sales activities including
channel build-up, will be key.
TWST: Do you already have some partnerships
in place?
Mr. Knapp: We currently have three partners.
We know that building a partner business
takes some time because you have an education
process and then you start seeing the clients together
and educating your channel, and so on. But
we want to add at least one strategic partner per
territory that we consider important to our business.
So, we are talking about all major countries
in Europe and we will try to put a foot in the door
in the U.S. as well. We have actually just opened a
small sales office in Los Angeles with two very senior
guys, and they are just starting to talk to the
OEMs and potential VARs in the United States.
TWST: I think you mentioned you have
a client in the U.S.
Mr. Knapp: Yes. We have clients in the
U.S., one being General Mills who represent a significant
portion of our U.S. business. Importantly,
that gives proof that our software is suitable to all
marketplaces and we are delighted to have one bigname
on our client list in the States already.
TWST: What’s the fundamental strength
and advantage of your solutions?
Mr. Knapp: It’s always tricky to answer
that because you tend to end up using buzz words
like speed and scalability, which is what everybody
claims. However, we do in fact know that
our software outperforms the software of our
major competitors. Nevertheless, it’s always difficult
to talk about competitors because these
guys are just huge and have a very real market
share, whereas we are a very small player today.
But, we have performed a lot of tests together
with clients against the major competitors and
we have clear evidence that our software performs
fantastically and we are faster and we
scale better. Our software is truly horizontal,
from the client solution all the way to the centralized
solution with the big servers and all the
different operating systems. You can go with one
compatible product and that is a nice differentiator
to Veritas, for example.
We have a much more all-inclusive product
than the others. If you are a more mature
player like Veritas, Legato or TSM, which is part
of Tivoli, you would try to sell as many APIs and
other small pieces of software that obviously add
more software revenue to your model. We go another
way. We try to include as much as possible
into our software products, so that the client really
has freedom to go for backup restore solution
that is not driven by just a core product and tons
of additional products that you need to buy from
the price list. With our product, you can still buy
a couple of add-ons, but all the important things
are already built into the software, and we consider
that to be an advantage. And that is the reason
why we provide a much better return on
investment to our clients. We also have our
unique Hi-Value PlanTM, where you can buy the
right to use our software on a monthly flat rate, so
you don’t have the upfront investments.

TWST: What can you tell us about your
efforts and focus on research and development?
Mr. Knapp: It depends where we want to
compete. There is no question, if you have 200 or
2,000 developers, you might be a little bit more
flexible and you could probably develop quicker.
But it depends what you do. We really try to focus
on just our core technology and we really want to
make sure that the core competence we have in
our product, which is the speed and scalability, is
right there. We have a totally different set-up and
that’s the way we will try to work in the future as
well. If you are familiar with the software industry,
you will know that software development
does not really scale well. Therefore, you’d rather
have smaller teams working very close to the
source code, and that’s exactly what we do. There
is no question that that is a challenge for us in the
future, as it is for every smaller software company
in the universe.
TWST: Do you have any acquisition
plans?
Mr. Knapp: Nothing in the next 2 quarters.
We first need to focus and concentrate on our core
development process and we need to put the right
marketing sales process in place. Down the road, we
will see; but right now and for at least the next two
or three quarters it will not be a part of our strategy.
TWST: Do you feel comfortable with
where you sit from a balance sheet perspective?
Mr. Knapp: Our balance sheet looks
pretty good and we have an equity quote in the
42% area, so we are fine. Liquidity, however, is not
as good as it should be and there is a room for improvement
and we are always looking into options.
Right now, we can finance what we really want to
do. Abigger cash position would be nice, but that’s
what we will be trying to achieve by getting the
products into the market. The sales should obviously
be the first source of cash generation, but we
are looking at other options.
TWST: Are you getting any analyst coverage
or do you fall a little below the radar
screens?
Mr. Knapp: It is certainly the latter.
Generally, you will not get analysts following
companies that have a market cap below EUR 100
million, and we are no different. We still have institutional
investors and a small community that is
invested and follows us. But, there is no doubt that
it is a problem for a small cap company these days
to get any kind of coverage.
TWST: Do you have the management
team in place now or are you expecting to add
some more people going forward?
Mr. Knapp: There’s always room to add
professionals to our team. We have a team that
has been together for quite a while. My CFO, for
example, has been working for me for 6 years
now. We also just added a COO couple of
months ago. But, we are a dynamic company

and if the right person is available then we
would certainly look into it. It’s really something
that is opportunity-drive, as I think it
should be in a small company.
TWST: What is the longer term vision
for your company? If we have a chance to talk
three to five years from now, where would you
reasonably expect to be positioned?
Mr. Knapp: We want to be on people’s
radar screens as a backup restore player. We
want to have a market share. I not going to disclose
the market share, but we do have clear
goals. We have a proven track history and we
can attract huge clients with terabytes of data.
They are buying our product and they are impressed
by the quality and the performance. So,
if we keep on doing a good job then we will get
to a position where we can say we have a definite
and delineable market share. We are talking
about at least a $2 billion market that we are addressing
and if we could get to a market share of
more than 2%, then we will be doing great. We
want to be positioned as a boutique company,
making a lot of money. So bottom-line profitability
is very important goal for us, equity
profitability is a very important goal for us. That
is what we are focused on.
TWST: Is there a summary statement
that you would like to leave potential investors
with?
Mr. Knapp: If you look at our current valuation
and believe that we are going to make it as
a software company, then there is no doubt that we
are way undervalued. Just compare, for example,
our current market capitalization with the buyout
value Legato was achieving with EMC. Look into
some of the smaller backup restore companies like
Bakbone; they’re still losing money and have a
much higher capitalization than we have. We’re
convinced we can really give significant return to
our clients and to our shareholders as well because
we have a fantastic product and if we can achieve
what we plan on achieving, then obviously there is
a lot of room for our share price. Right now, we
are trading at a very low valuation compared to
other software companies. We have had difficult
time and we understand that people still want to
see proof that we’re going to make it. But things
are looking very good and if you look at where we
are coming from and compare what we have
achieved this year with the results of the last 2 or
3 years, you’ll see that there has been dramatic
change. If we can continue on this track, there is a
lot of room to grow. After losing lots of money in
the last years we plan to make close to EUR 1 million
net profit this year.
TWST: Is there anything else you would
like to add?
Mr. Knapp: It is important to emphasize
that our product has been up and running for years.
We have proof of concept and our clients, mainly
very big clients, are actually using that product to
backup and restore terabytes of data on thousands
of servers. If you’re a smaller software company
dreaming about big clients and big installations,
then that is one thing. But actually attracting big

a major difference. So, we are in position from that
perspective, and now it’s all about improvement in
the sales and marketing process. And, yes, we’re
going to work hard and we’re going to make this a
success and get the market share we expect to have
in a couple years from now.

(WAF106) TWST: Can we start with a brief historical
sketch and overview of your company?
Mr. Knapp: We have been around for a
long time and the company has evolved through
several different stages. Just reviewing the last
couple of years of our corporate life, back in 2000
we attempted to really transform ourselves from a
solution-driven storage consulting software company
into a service-driven company. At that time,
we were still named COPE, but we acquired a
company called Mount10 and are now known by
that name. This company had a couple of data centers
in the Swiss Alps, and we tried to put together
a complete service business, storage-on-demand
and managed hosting services — basically a similar
model to other companies like Storage
Networks. So, that was the way we tried to really
leverage on the new market situation. However, as
we all know, all those storage service providing
models pretty much failed and as a result, a little
more than 2 years ago we had to put the company
through a major restructuring process, which has
taken us just about 2 years to complete. The restructuring
involved a reduction in the number of
employees from close to 200 to around 80 today,
and we are now focused on software in the backup
restore segment, including providing complete services
based on those software technologies to
major clients in Europe and some in the U.S. A lot
of big corporations are actually now using our
products and services. So that’s pretty much where
we stand today: a pure software company, very focused
on our technology, and that is very much the
way we want to take our company forward.
TWST: So the restructuring is complete?
Mr. Knapp: Yes. We have been through a
difficult phase, but finally the full restructuring is
done. The final step was a capital increase which
we completed early Q3 of the year. So, our balance
sheet is in a healthy shape and with very good equity
quote. We are growing again and we are hiring.
So we are on the move and things are looking
much better. Now, it is about growing the company
slowly but steadily.
TWST: Do you just focus on the larger
corporations or do you have a play into the
SME market also?
Mr. Knapp: We believe medium-sized
companies are going to be a very important marketplace
for us. There is no question about that.
Traditionally, we have been working with the big
guys, because a lot of the solutions we are providing
are simply more appropriate to big corpora-

tions. It is a very high-end piece of software and
we have the ability to customize and adapt it to the
requirements some of the very big corporations
have. Therefore, traditionally that was the focus,
but we see the mid-sized companies as a really important
marketplace for us in the future.
TWST: How would you describe current
market conditions? Are you seeing any
positive signs that IT spend is slowly on the increase
again?
Mr. Knapp: I think it really depends on
the territory. We are very focused on the German
market and, as we all know, the German economy
is having a difficult time at them moment,
Nevertheless, we expect to see a certain recovery
going on in the first 6 months of next year. We do
not expect anything significant over the next 2 or
3 months, but there is some room for improvement
and for at least a small growth. Some of our
clients are already looking at increased budgets
and we all know there is a market and a lot of
clients need to invest more money into security. It
always amazes the people to hear that even the security
industry hasn’t really leveraged heavily on
all the bad events we have experienced. As long as
companies are not making real money and as long
as they do not expect the markets and their business
to recover, they’re not even willing to spend
on security. But I think as soon as the economy
looks a bit brighter, then a lot of room opens up
for security spending, which is obviously the
space we are in.
TWST: So the demand is there, but
stalled for the moment.
Mr. Knapp: Right. Nobody doubts the importance
of security issues and nobody doubts
there is a big need for fast-performing backup restore
solutions. Nobody is going to argue against
that. But, as you know, a lot of IT cutbacks these
days are done very horizontally, so nobody really
cares exactly what is getting cut. They will make a
commitment to reduce the IT budget by 15%, 20%,
30% and then do it across the board. It is just a
sweeping action as opposed to specific cutbacks.
We don’t think that is the best way for a company,
but that is simply the way it is.
TWST: What is the strategy and main
objectives for your company over the next couple
of years?
Mr. Knapp: First, we just released version
2.0 of our HIBACK ixTTM, so that’s a very important
step. We have added a couple of very nice features
to the product and now it’s all about creating
a channel. Traditionally, we’ve been a direct sales
organization, but we want to transform into a more
indirect focused company and instead have channel
partners. We’re not talking about going to bed
with everybody; that’s definitely not what we
want. But finding some high-end integrators and
working with some of the real great companies that
have access to clients in the backup restore segment
is important to us. So getting channel-ready
will be a main objective.
We are also looking to further improve the
quality of our product. Additionally, we want to
leverage on the U.S. team we have: on the speed,
on the scalability, on the central management, and
anytime, anyplace technology. We want to leverage
on those unique features, and that, along with

some improved marketing and sales activities including
channel build-up, will be key.
TWST: Do you already have some partnerships
in place?
Mr. Knapp: We currently have three partners.
We know that building a partner business
takes some time because you have an education
process and then you start seeing the clients together
and educating your channel, and so on. But
we want to add at least one strategic partner per
territory that we consider important to our business.
So, we are talking about all major countries
in Europe and we will try to put a foot in the door
in the U.S. as well. We have actually just opened a
small sales office in Los Angeles with two very senior
guys, and they are just starting to talk to the
OEMs and potential VARs in the United States.
TWST: I think you mentioned you have
a client in the U.S.
Mr. Knapp: Yes. We have clients in the
U.S., one being General Mills who represent a significant
portion of our U.S. business. Importantly,
that gives proof that our software is suitable to all
marketplaces and we are delighted to have one bigname
on our client list in the States already.
TWST: What’s the fundamental strength
and advantage of your solutions?
Mr. Knapp: It’s always tricky to answer
that because you tend to end up using buzz words
like speed and scalability, which is what everybody
claims. However, we do in fact know that
our software outperforms the software of our
major competitors. Nevertheless, it’s always difficult
to talk about competitors because these
guys are just huge and have a very real market
share, whereas we are a very small player today.
But, we have performed a lot of tests together
with clients against the major competitors and
we have clear evidence that our software performs
fantastically and we are faster and we
scale better. Our software is truly horizontal,
from the client solution all the way to the centralized
solution with the big servers and all the
different operating systems. You can go with one
compatible product and that is a nice differentiator
to Veritas, for example.
We have a much more all-inclusive product
than the others. If you are a more mature
player like Veritas, Legato or TSM, which is part
of Tivoli, you would try to sell as many APIs and
other small pieces of software that obviously add
more software revenue to your model. We go another
way. We try to include as much as possible
into our software products, so that the client really
has freedom to go for backup restore solution
that is not driven by just a core product and tons
of additional products that you need to buy from
the price list. With our product, you can still buy
a couple of add-ons, but all the important things
are already built into the software, and we consider
that to be an advantage. And that is the reason
why we provide a much better return on
investment to our clients. We also have our
unique Hi-Value PlanTM, where you can buy the
right to use our software on a monthly flat rate, so
you don’t have the upfront investments.

TWST: What can you tell us about your
efforts and focus on research and development?
Mr. Knapp: It depends where we want to
compete. There is no question, if you have 200 or
2,000 developers, you might be a little bit more
flexible and you could probably develop quicker.
But it depends what you do. We really try to focus
on just our core technology and we really want to
make sure that the core competence we have in
our product, which is the speed and scalability, is
right there. We have a totally different set-up and
that’s the way we will try to work in the future as
well. If you are familiar with the software industry,
you will know that software development
does not really scale well. Therefore, you’d rather
have smaller teams working very close to the
source code, and that’s exactly what we do. There
is no question that that is a challenge for us in the
future, as it is for every smaller software company
in the universe.
TWST: Do you have any acquisition
plans?
Mr. Knapp: Nothing in the next 2 quarters.
We first need to focus and concentrate on our core
development process and we need to put the right
marketing sales process in place. Down the road, we
will see; but right now and for at least the next two
or three quarters it will not be a part of our strategy.
TWST: Do you feel comfortable with
where you sit from a balance sheet perspective?
Mr. Knapp: Our balance sheet looks
pretty good and we have an equity quote in the
42% area, so we are fine. Liquidity, however, is not
as good as it should be and there is a room for improvement
and we are always looking into options.
Right now, we can finance what we really want to
do. Abigger cash position would be nice, but that’s
what we will be trying to achieve by getting the
products into the market. The sales should obviously
be the first source of cash generation, but we
are looking at other options.
TWST: Are you getting any analyst coverage
or do you fall a little below the radar
screens?
Mr. Knapp: It is certainly the latter.
Generally, you will not get analysts following
companies that have a market cap below EUR 100
million, and we are no different. We still have institutional
investors and a small community that is
invested and follows us. But, there is no doubt that
it is a problem for a small cap company these days
to get any kind of coverage.
TWST: Do you have the management
team in place now or are you expecting to add
some more people going forward?
Mr. Knapp: There’s always room to add
professionals to our team. We have a team that
has been together for quite a while. My CFO, for
example, has been working for me for 6 years
now. We also just added a COO couple of
months ago. But, we are a dynamic company

and if the right person is available then we
would certainly look into it. It’s really something
that is opportunity-drive, as I think it
should be in a small company.
TWST: What is the longer term vision
for your company? If we have a chance to talk
three to five years from now, where would you
reasonably expect to be positioned?
Mr. Knapp: We want to be on people’s
radar screens as a backup restore player. We
want to have a market share. I not going to disclose
the market share, but we do have clear
goals. We have a proven track history and we
can attract huge clients with terabytes of data.
They are buying our product and they are impressed
by the quality and the performance. So,
if we keep on doing a good job then we will get
to a position where we can say we have a definite
and delineable market share. We are talking
about at least a $2 billion market that we are addressing
and if we could get to a market share of
more than 2%, then we will be doing great. We
want to be positioned as a boutique company,
making a lot of money. So bottom-line profitability
is very important goal for us, equity
profitability is a very important goal for us. That
is what we are focused on.
TWST: Is there a summary statement
that you would like to leave potential investors
with?
Mr. Knapp: If you look at our current valuation
and believe that we are going to make it as
a software company, then there is no doubt that we
are way undervalued. Just compare, for example,
our current market capitalization with the buyout
value Legato was achieving with EMC. Look into
some of the smaller backup restore companies like
Bakbone; they’re still losing money and have a
much higher capitalization than we have. We’re
convinced we can really give significant return to
our clients and to our shareholders as well because
we have a fantastic product and if we can achieve
what we plan on achieving, then obviously there is
a lot of room for our share price. Right now, we
are trading at a very low valuation compared to
other software companies. We have had difficult
time and we understand that people still want to
see proof that we’re going to make it. But things
are looking very good and if you look at where we
are coming from and compare what we have
achieved this year with the results of the last 2 or
3 years, you’ll see that there has been dramatic
change. If we can continue on this track, there is a
lot of room to grow. After losing lots of money in
the last years we plan to make close to EUR 1 million
net profit this year.
TWST: Is there anything else you would
like to add?
Mr. Knapp: It is important to emphasize
that our product has been up and running for years.
We have proof of concept and our clients, mainly
very big clients, are actually using that product to
backup and restore terabytes of data on thousands
of servers. If you’re a smaller software company
dreaming about big clients and big installations,
then that is one thing. But actually attracting big

clients and getting the products up and running is
a major difference. So, we are in position from that
perspective, and now it’s all about improvement in
the sales and marketing process. And, yes, we’re
going to work hard and we’re going to make this a
success and get the market share we expect to have
in a couple years from now.

IT-Bugets sollen in den nächsten Jahren stabil bleiben gar leicht ansteigen
Die Branche der Informationstechnologie (IT) setzt auf eine Belebung der Nachfrage. Das Investitionsverhalten der Unternehmen hat sich markant verändert: Projekte werden zeitlich verschoben, gekürzt oder ganz abgesagt. Aus einer neuen Studie von Merrill Lynch geht hervor, dass der Sparkurs noch bis mindestens Herbst 2003 anhalten wird. Kürzlich lancierte Projekte haben gezeigt, dass Investitionen nicht automatisch eine bessere Ertragslage mit sich bringen würden. Das sei der Grund dafür, dass noch immer eher zögerlich investiert würde. Laut einer Befragung von 75 IT-Chefs von US-Unternehmen und von 25 ihrer Kollegen aus Europa geht man zwar von einer leichten Erholung im zweiten Quartal 2003 aus, ein deutlicher Aufschwung würde aber erst 2004 erkennbar werden. Einen genauen Zeitpunkt für wieder einsetzende Investitionen zu timen, sei sehr schwierig, so Steven Milunovich, der für die Studie zuständige Analyst. Merrill Lynch sieht unter anderem Nachholbedarf im Bereich der Sicherheit.
Das Ergebnis einer Umfrage vom Beratungsunternehmen Cap Gemini Ernst & Young unter 130 deutschen IT-Leitern, hat eine Stabilisierung der Budgets ergeben. Demnach rechnen rund drei Viertel (73 Prozent) der deutschen IT-Leiter für die kommenden zwei Jahre mit konstanten Ausgaben. Jeweils fünf Prozent blicken entweder positiver oder negativer in die Zukunft. Die vier wichtigsten Themen im laufenden und in den kommenden Jahren sind der Umfrage nach; Portale (65 Prozent), Storage (53 Prozent), ERP/Harmonisierung (46 Prozent) und Infrastructure Services (45 Prozent). „Alle Top-Themen haben eines gemeinsam: Jede der genannten Technologien automatisiert auf die eine oder andere Weise die Prozesse und trägt dazu bei, Kosten zu senken", sagt Heinz Brommundt, Chief Technology Officer bei Cap Gemini Ernst & Young.
Auch Giga Information Group prognostiziert einen leichten Anstieg der europäischen IT-Budgets. Laut Giga sollen diese bereits 2003 (ca. 1%) steigen. In der EU sowie in der Schweiz, Polen, Ungarn, Tschechien und der Slowakei schätzen die Giga-Analysten das Gesamt-IT-Marktvolumen auf 517 Mrd. Euro (gesamteuropäisch ca. 778 Mrd. Euro). Für die einzelnen Sparten sehen Gigas Voraussagen wie folgt aus: Computer-Hardware: 81 Mrd. Euro (2002: 83 Mrd.); Netzgeräte 59 Mrd. Euro (2002: 57 Mrd.); Software 75 Mrd. Euro (2002: 73 Mrd.); IT-Dienstleistungen 133 Mrd. Euro (2002: 131 Mrd.); Personalkosten 169 Mrd. (2002: 165 Mrd.); Telco-Services 262 Mrd. Euro (2002: 256 Mrd.).

Mount10 gewinnt Partner in Zentral- und Osteuropa
Rotkreuz (Schweiz) / Hamburg, 27. Februar 2004 - S&T und PROXXiT vertreiben ab
sofort HiBack ixT(R) und HiBars ixT(R) sowie HiFreezer(TM) in Russland, GUS,
dem Baltikum und Polen.
S&T, ein Marktführer für IT-Services in 20 zentral- und osteuropäischen
Staaten, und PROXXiT, ein polnischer Systemintegrator mit Fokus auf
Telekommunikation und Finanzindustrie, haben mit Mount10 eine Partnerschaft für
den Vertrieb von Datensicherungssoftware geschlossen. Das Backup- und Restore-
System HiBack ixT(R) ermöglicht es Kunden von S&T und PROXXiT, ihre Daten
hochverfügbar zu halten und bei etwaigen Verlusten schnell wieder herzustellen.
Mit HiBars ixT(R) können Backup- und Restore-Prozesse gemäß kundenindividueller
Bedürfnisse definiert und automatisiert werden. Datensicherungen und die
Wiederherstellung im Desaster-Fall lassen sich so effizienter und sicherer
gestalten. HiFreezer(TM) ergänzt das Angebot durch eine Software für
Langzeitsicherungen, um gesetzliche und unternehmensinterne
Aufbewahrungsvorgaben für digitale Daten einzuhalten.
Irina D´Amico-Janisch, Regional Manager Russia, GUS, Baltikum bei S&T,

Rotkreuz (Schweiz), 5. März 2004 - Mount10 erzielt im Geschäftsjahr 2003 einen
Unternehmensgewinn von EUR 0.8 Mio. (Vorjahr -EUR 6.6 Mio.), die
Eigenkapitalquote liegt bei 38%.
Der Unternehmensgewinn 2003 nach IFRS vor Goodwillabschreibungen liegt bei EUR
1.3 Mio. oder EUR 0.15 pro GDR. Das Eigenkapital der Gesellschaft beträgt per
31. Dezember 2003 EUR 5.0 Mio. (EUR 3.1 Mio. per 31. Dezember 2002). Die
Eigenkapitalquote stieg von 20% (per 31.12.2002) auf 38% per 31. Dezember 2003.
Der Umsatz reduzierte sich im Rahmen der strategischen Fokussierung auf das
Software- und Servicegeschäft sowie der Einstellung des margenschwachen
Geschäftes auf EUR 14.3 Mio. (Vorjahr EUR 22.6 Mio.).
Die Bruttomarge beträgt 54% (2002: 45%; 2001: 35%); die Verbesserung ist eine
Folge der konsequenten Ausrichtung.
Im strategisch wichtigen Geschäft mit der eigenen Backup/Restore Technologie
konnten im abgelaufenen Geschäftsjahr bedeutende Neukunden gewonnen werden. Mit
einem langjährigen Kunden konnte zudem anfangs Oktober 2003 ein mehrjähriger
Vertrag mit einem Volumen über mehrere Millionen Euro abgeschlossen werden.
Der Umsatz im 4. Quartal 2003 beträgt EUR 3.8 Mio. gegenüber EUR 3.4 Mio. im 3.
Quartal 2003. Der Auftragsbestand per 31. Dezember 2003 für 2004 beträgt EUR
3.4 Mio..
Der Cashflow aus betrieblicher Tätigkeit beträgt in 2003 EUR 1.2 Mio.. Der
Liquiditätsbestand per 31. Dezember 2003 erhöhte sich auf EUR 2.5 Mio.
(31.12.2002: EUR 0.5 Mio.).
Die Gesellschaft gibt weiter bekannt, dass eine Beraterfirma mit der
Ausarbeitung für mögliche Dispositionen der Datafortress beauftragt wird. Damit
wird der Abschluss der Strategieumsetzung hin zu einer Software- und
Servicegesellschaft angestrebt.
Ab dem 1. April 2004 werden alle Tochtergesellschaften der Gesellschaft
einheitlich mit dem Firmenname Mount10 den Markt bearbeiten. Die
Tochtergesellschaften Hicomp und Multicom werden deshalb in Mount10 umfirmiert
werden.
