Quantum Fuel Systems Technologies Worldwide

Rising gasoline prices are driving expectations for hydrogen-powered fuel cells. The U.S. Army and Japanese automakers are focused on the new technology, but for many investors, fuel-cells are a pipe dream.

Not for Jack Robinson, co-manager of the Winslow Green Growth fund (WGGFX: news, chart, profile). "We are going to have fuel cell vehicles for sure, in this country and globally," he says.

A main beneficiary, he says, will be Quantum Fuel Systems Technologies Worldwide (QTWW: news, chart, profile), an Irvine, Calif.-based maker of ceramic hydrogen storage tanks.

"They make everything you need for a fuel cell system in a vehicle except the fuel cell itself," he adds.

That distinction is crucial, Robinson says. Quantum doesn`t compete with Ballard Power Systems (BLDP: news, chart, profile) and other fuel-cell manufacturers. Quantum`s major rival, he notes, is a privately held Canadian maker of metal storage tanks.

"They`ve got leading technology, an experienced management team, and a strong balance sheet," Robinson says of Quantum. Customers include General Motors (GM: news, chart, profile), which owns 15 percent of the company, Ford Motor, Japan`s Toyota Motor and South Korea`s Hyundai Motors.

Just three brokerage analysts follow the stock, which has a market value of about $200 million. They expect 33 percent earnings growth for Quantum this year and 55 percent in 2005. "This will be the first profitable fuel cell company in the country," Robinson says.

Quantum Ships First Fuel Cell Vehicle to U.S. Army

WASHINGTON, and IRVINE, Calif., Oct. 25 /PRNewswire-FirstCall/ -- Quantum Fuel Systems Technologies Worldwide, Inc., (Nasdaq: QTWW - News) and the U.S. Army TARDEC`s NAC (Tank-Automotive Research, Development and Engineering Center`s National Automotive Center) unveiled a high performance, fuel cell off-road vehicle at the annual meeting of the Association of the U.S. Army in Washington, DC. The "Quantum AMV(TM)" (Alternative Mobility Vehicle), nicknamed the "Aggressor," is a fuel cell vehicle designed and manufactured by Quantum at its California operations for the U.S. Army under contract with the NAC. This vehicle provides significant advantages to U.S. troops for high mobility in stealth operations.
Features of the Quantum Aggressor include:

diesel or gasoline-powered all-terrain vehicles

The Quantum Aggressor runs on compressed hydrogen utilizing Quantum`s proprietary Type IV impact resistant carbon fiber storage tanks. A 10 kW fuel cell is coupled with an energy storage module in a parallel hybrid configuration, which provides power on demand to a high-torque electric motor driving the rear-wheels. Preliminary tests have shown that the acceleration of the Quantum Aggressor is far superior to an unmodified gasoline internal combustion engine-powered all-terrain vehicle, reaching 40 miles per hour twice as fast. Ungoverned, the Quantum Aggressor is capable of reaching speeds of 80 miles per hour. Quantum`s electronic control system imposes torque and speed limits on the drivetrain to enhance traction and safety.

The Quantum Aggressor can be driven to the intended destination and then be used as a silent power generator to produce high quality electricity for telecommunications, surveillance, targeting, and other battlefield equipment. The vehicle does not produce any emissions throughout the different operating modes.

Auf lange Sicht meines Erachtens gigantische Wachstumsmöglichkeiten
für Quantum.


bei QTWW ergibt sich heute und vermutlich auch noch in den
nächsten Tagen eine Gelegenheit zum Einstieg oder Nachkaufen.

Quantum übernimmt Starcraft, und auf Grund dieser Nachricht
bricht der Kurs ein, zur Zeit um ca. 14%.
Für die zukünftige Entwicklung ist dieser Zusammenschluss
ein sehr gute Entscheidung, denke ich.

Der Kurs von QTWW steht zur Zeit auf 6,31US$, bei 6US$
ist eine starke Unterstützung.

Ich habe bereits aufgestockt zu 6,31 und lege eine weitere
Kauforder bei 6,01.
Starcraft to Merge with Quantum Fuel Systems

GOSHEN, Ind.--(BUSINESS WIRE)--Nov. 23, 2004--Starcraft Corporation (NASDAQ:STCR - News) today announced that it has entered into an agreement whereby Quantum Fuel Systems Technologies Worldwide Inc. ("Quantum"), (Nasdaq:QTWW - News) will acquire all of the outstanding shares of Starcraft Corporation in a tax-free stock-for-stock exchange valued at approximately $185 million, including the assumption of debt and other consideration. Under the terms of a definitive Agreement and Plan of Merger dated November 23, 2004, each Starcraft shareholder will receive 2.34 shares of Quantum common stock for every share of Starcraft common stock. The merger of Starcraft and Quantum will create a well-capitalized company with strong, complementary revenue streams with a solid product and service portfolio to address the mainstream automotive and hydrogen economy markets.

The proposed transaction has the unanimous support of both Boards of Directors, which are recommending that shareholders approve the transaction. Four of Starcraft`s largest shareholders, who collectively represent 51.3% of Starcraft`s outstanding common shares, have entered into a voting agreement with Quantum pursuant to which they have agreed to vote their Starcraft shares in favor of the merger. General Motors, Quantum`s largest stockholder, owning 14.2% of outstanding common shares, has entered into a voting agreement with Starcraft agreeing to vote in favor of the transaction.

Alan Niedzwiecki will continue to serve as President and Chief Executive Officer of Quantum, while Jeffrey P. Beitzel, Co-Chief Executive Officer of Starcraft will become Chief Operating Officer of Quantum. Upon closing, Mr. Beitzel will also join the Quantum Board of Directors. Starcraft common shareholders will own approximately 40% of the pro forma Quantum common shares outstanding immediately following completion of the transaction. Quantum will maintain its listing on the Nasdaq National Market. Starcraft Corporation will survive the merger with a newly formed Quantum subsidiary and will operate as a wholly owned subsidiary of Quantum.

The transaction will be submitted to the shareholders of both companies for approval. The transaction is also subject to customary regulatory review and closing conditions, and is expected to close in the first quarter of calendar year 2005.

Quantum Awarded Fuel System Production Contract for General Motors` 2006 Natural Gas Sierra and Silverado Pick-Up Trucks

IRVINE, Calif., Jan. 24 /PRNewswire-FirstCall/ -- Quantum Fuel Systems Technologies Worldwide, Inc. (Nasdaq: QTWW - News) announced today that it has been awarded a contract by General Motors Corporation to develop and produce natural gas fuel systems for GM`s Model Year 2006 full-size pick-up trucks.

Quantum will provide the engineering effort to accommodate the model year changes for the fuel system. Quantum will also produce the alternative fuel systems and provide the specialty vehicle assembly of the fuel systems into the new trucks. In addition to integrating roughly 250 components into the vehicle, Quantum was also responsible for the powertrain and systems engineering to ensure that the system is optimized for performance, durability, safety and emission compliance over the life of the vehicle.
