      Precise Biometzric hat die folgenden Probleme und Unklarheiten;
      * Der Auftragsbestand zum Ende des am 30. Juni 2005 abgelaufenen Quartals liegt bei lediglich 1,8 Mio SEK
      * Der als bahnbrechend bezeichnete Auftrag von der Thai-Regierung fing das sonstige defizitäre operative Geschäft - zunehmende Verluste vom 2. Quartal zum 1. - nur teilweise auf (EMEA, USA).
      * Der letzte Quartals-/Halbjahrescashflow lag bei -8,4/13,2 Mio. SEK, die zum 30.6.2005 verbleibenden liquiden Mittel bei 23,8 Mio. SEK
      * In drei-vier Quartalen werden die liquiden Mittel aufgebracht sein, was wiederum zu FK-Aufnahem oder EK-Verwässerung führen wird.
      * Der katastrophale Chart spricht eine eindeutige Sprache

      FAZIT:

Also langsam wachsen.

"Interim report, January-September October 26, 2005".

Precise Biometrics carries out a directed new share issue bringing the company SEK 63 million

The Board of Directors for Precise Biometrics AB ("Precise Biometrics" or "the Company") resolved on September 20, 2005 to increase the Company`s share capital by issuing 8,7 million shares, of class A. The shares were subscribed by Danske Markets, a division of Danske Bank A/S, for onward sale to a limited number of European institutional investors. The resolution was underpinned by authority granted to the Board at the Annual General Meeting of April 27, 2005 ("the AGM").

The issue price was SEK 7.25 per share, which corresponds to an issue discount of 4.7 percent of the volume-weighted average price paid during the last 30 trading days.

The new share issue will increase the number of shares by 8,700,000 from 63,019,200 to 71,719,200 which means that the new shares constitute 12.1 percent of capital and votes after the issue. Share capital will increase by SEK 3,480,000 to SEK 28,687,680. In total, this will bring the Company about SEK 63 million before deduction of issue costs.

"I am very excited and happy to see so many international institutions choosing to invest in Precise Biometrics, which enables us to further focus and enhance our sales and marketing efforts on the global market," says Christer Bergman, President and Group CEO for Precise Biometrics. "Around the world there is a growing demand for biometric solutions with the implementation of national ID cards and electronic passports. Increasing the resources at our disposal will further enhance our competitiveness" Mr. Bergman continues.

The purpose of the authority granted by the AGM was to enable the Company to carry out acquisitions and to obtain capital contributions from industrial or international owners. During the summer, Precise Biometrics has taken advantage of this authority in the acquisition of Loqware Sweden AB and by enhancing its strategic collaboration with the Japanese company silex technology Inc. Through this most recent issue of new shares, the Company is achieving its goal of broadening international institutional ownership.

Precise Biometrics took financial advice in the new share issue from Danske Markets Corporate Finance.

Changes in Precise Biometrics management and increased market focus

Precise Biometrics AB (publ), a Swedish based company that develops and sells world-leading, user-friendly biometric security solutions using fingerprints and smart cards, has hired Ulf Hägglund as Vice President Marketing. Ulf Hägglund will also be a new member of the management group. At the same time, one of the company`s founders and vice President, Mårten Öbrink, will gradually be leaving his operative role in the company early next year.

In the company`s assessment, intensified market efforts will be crucial for future business, as interest in smart ID-cards continues to grow and development is being driven by rising demand for multibiometric passports and national ID-cards with biometry. Many such projects have been initiated worldwide, and Precise Biometrics is bidding on many of them, together with various partners.

"Sales in the field of biometrics is long-term and time-consuming," says Christer Bergman, President and CEO of Precise Biometrics, "and it`s essential that we expand our marketing resources as decisions are about to be taken on many of these projects. Ulf Hägglund has the competence and experience needed for us to move our market positions forward."

Ulf has many years of experience from ID-card projects, primarily in the smart-card segment. He also serves as a delegate within the ICAO (International Civil Aviation Organization), which standardizes electronic passports. In addition, Ulf is a member of SIS/ISO, the organization also working with standardization within the field of biometrics.

"Precise Biometrics is well positioned and has huge business opportunities on the market for electronic passports and national ID-cards," says Mårten Öbrink. "The company is right on the frontline with its Precise Match-on-Card(TM) technology, which has become a de facto standard. I`m proud to have been a part of Precise Biometrics` development and success, but it feels like the right time for me to start tackling some new challenges."

"We deeply regret Mårten`s departure from his operative role at Precise Biometrics. The fact that a founder of a cutting-edge company like ours would be looking for new challenges is a natural step, and I fully respect Mårten`s decision," adds Christer Bergman. "Over the years, we`ve had very close and rewarding cooperation, and we`re currently looking at a possibility to have Mårten connected with the company also in the future."

Precise Biometrics receives order worth SEK 4 million from Athena Smartcard Solutions for a secure id project with an Israeli Fortune 500 company

Precise Biometrics AB (publ), a world-leading biometric company based in Sweden specializing in user-friendly privacy-enhancing biometric security solutions using fingerprints and smart cards, has received an order from Athena Smartcard Solutions, a leading smart card vendor. The order to implement a secure ID project with one of Israel`s largest financial institutions, resulted from Athena Smartcard Solution becoming a new Precise Match-on-Card(TM) partner. The initial order for Precise 100 series fingerprint readers and Precise Match-on-CardTM licences to implement the first phase of the project is worth approximately SEK 4 million. Delivery of the first phase will take place during fourth quarter 2005 and first quarter 2006.

During 2005, the financial institution evaluated biometrics and selected the Precise Match-on-Card(TM) technology for a secured ID project utilizing Athena`s ASECard Crypto smart cards and biometrics to issue electronics certificates for safeguarding IT systems operated by bank employees. The secure ID will be used with the financial institution`s Public Key Infrastructure (PKI) based information system to provide positive authentication for executing transactions and operations. The ASECard Crypto smart card is part of Athena`s Unified Badge solution, providing logical and physical (RFID) access control capabilities on a single Photo ID badge. Based on Precise Match-on-CardTM technology, the ASECard Crypto solution is targeted for the banking and financial markets, insurance companies, and large corporations worldwide.

"Biometrics and smart cards using Precise Match-on-Card(TM) is a perfect fit with the security requirements of the financial market," says Christer Bergman, President and CEO of Precise Biometrics, "which is one reason Precise Biometrics is excited about the project. The company is a very competent and skilled partner and we look forward to many more projects together on the global market", adds Christer Bergman.

"During this last year, we have integrated Precise Match-on-Card(TM) support in our performance leading, ASECard Crypto smart card, as a part of our Unified Badge solution. We found that Precise Match-on-CardTM is ideal for achieving a high level of security, without compromising user-convenience or privacy", says Jochi Fuchs, VP of Business Development at Athena Smartcard Solutions in Israel.

Precise Biometrics finalize the establishment of joint venture in China

Precise Biometrics AB (publ), a Swedish company that develops and sells world-leading and user-friendly biometric security solutions based on fingerprints and smart cards, has as earlier communicated entered into a joint venture in China together with the Smart Unicorn Group. The agreement gives Precise Biometrics the opportunity to penetrate the Chinese market for mobile services, and also opens up a new sales channel for its biometric security products.

Today Precise Biometrics has followed through the establishment of the above mentioned joint venture.

The company`s Chinese patents have been transferred to the jointly owned company Smart Unicorn Solutions. Furthermore approx. SEK 4.4 million in available funds, which are to be used for production, expansion and the development of the operations, have been transferred to the joint venture company. Further, approx. SEK 7.8 million will be provided in 2006.

A decision has also been taken to implement the non-cash issue of 1,125,000 shares (Prec A) that constitute a part payment for Precise Biometrics` share of the ownership, and which will be done within the framework for the authorization the board obtained at the Annual General Meeting on April 27, 2005. The newly issued shares correspond to approx. 1.5 % of the total number of shares after the issue. After these transactions Precise Biometrics will own 30 % of Smart Unicorn Solutions.

This cooperation also means that Precise Biometrics will receive an initial order of approx. SEK 7.8 million for the delivery of LoqFlash(TM) licenses.

In order to meet the demand from the market for security solutions, transfer of technology and competence has already been commenced and as a result biometry and encryption technology from Precise Biometrics will be integrated in the synchronized mobile solutions that Smart Unicorn Solutions develops and markets. Precise Biometrics will also obtain a new sales channel for biometric security products, and gain the opportunity to position itself for the prospect of future broad-based ID card projects in China.

"It is very gratifying that this new cooperation will enable us to meet increasing demands from the market for both biometric security products and secure mobile services, which already during this year will generate increased sales revenue. The solutions that Smart Unicorn Solutions develops gives mobile phones an expanded functionality with secure payment transactions and the potential to store more information and download software," says Christer Bergman, President and CEO of Precise Biometrics.

"The Chinese market is huge and the requirements for security in conjunction with an increased demand for mobile services have meant that we have been looking for a competent partner with cutting-edge technology in the field of biometrics for some time. Precise Biometrics as a company, its reliable biometric technology and in particularly Precise Match-on-Card(TM) is an optimal partner for what we are targeting", says Dave Wu, CEO at Smart Unicorn Group. "Together with our market coverage in the telecom market, Precise Biometrics` global successes in the ID card market and our established network in the government market, means that we see great possibilities in the future," adds Dave Wu.

      2006 Turnaround.

      Marketing and sales

      Americas

During the end of the fourth quarter, we saw an increase of activities on the biometrics market after a slow period earlier in the year. Precise Biometrics has also noted growing interest for Precise Match‐on‐Card™ from system integrators who have a key position with the US Federal Government .
Our relationship with the US Department of State and the US Department of Homeland Security (DHS) puts Precise Biometrics in a good position for 2006 now that it has become mandatory for all US Government agencies to issue smart ID cards to all employees and suppliers.
Even though sales for the latter part of 2005 was weak, the overall situation is that the longterm sales efforts made during the year will put the company in an improved market position for 2006. Precise Match‐on‐Card™ has proven itself to fulfill the requirements made by US
Government agencies on a flexible Match‐on‐Card technology for various applications. The launch of Precise 200‐series fingerprint readers has also been met with enthusiasm on the US markets.

Sales for the business area during the financial year were SEK 11.2 million (16.8) and the bottom
line totaled SEK –2.4 million (3.3).
Sales for the business area during the fourth quarter were SEK 0.8 million (5.3) and the bottom
line totaled SEK –1.1 million (0.9).

      EMEA

Sales within EMEA (Europe, Middle East & Africa) were weak for much of 2005. In December the company received an important order for one of Israel’s largest banks through our partner Athena Smartcard Solutions. The initial phase of the order is valued at SEK 4 million and consists of Precise 100‐series fingerprint readers and licenses for Precise Match‐on‐Card™. It is anticipated that the solution, with integrated support for Precise Match‐on‐Card™, will have ´a large market potential within the banking and financial sector, in insurance companies and other large organizations with corresponding high security needs. During 2005, much of the work within EMEA has focused on increasing Precise Biometrics’ position in several major projects, this in order to secure more consistent revenue streams and
stronger relationships with partners, system integrators and potential customers. As part of this work, the EMEA sales organization has been changed and expanded and a new sales office in London has been established. This brings Precise Biometrics closer to the important European
      market.

Sales for the business area during the financial year were SEK 8.9 million (11.1) and the bottom line totaled SEK –0.9 million (‐1.1). Sales for the business area during the fourth quarter were SEK 2.9 million (2.0) and the bottom line totaled SEK –0.5 million (‐0.9).

      Products

Precise Biometrics has continued to focus operations during 2005 on developing and marketing biometrics‐based solutions, principally within four product areas. As many countries are in the process of implementing national ID cards and electronic passports, this product range has
particular priority in product development and marketing work.
Smart card solutions – national ID cards, electronic passports and company cards. IT Security – access to computers and networks. Physical Access – access to buildings and premises. Embedded Solutions – integration of Precise Biometrics’ technology, for example, in handheld computers and point‐of‐sale terminals.

Future prospects and market trends 2006 will be an exciting year for Precise Biometrics.

The market is on the verge of a breakthrough for national ID cards, and we see that license sales will grow . In the US, we are seeing a growth in the market when a large number of government agencies are starting to issue smart card– based ID cards to enhance IT security and increase the protection for sensitive buildings and workplaces. Within other market and customer segments around the world, we are seeing developments that point towards strong sales in the coming year. On the other hand it is a problem to predict and assess these large scale projects depending on political decisions, where the decision‐making process may become longer than anticipated. The Chinese joint venture agreement completed a week ago was made possible through the acquisition of Loqware Sweden AB, which was made during 2005. The agreement means that biometrics‐ and encryption technology from Precise Biometrics will be integrated with the synchronized mobile solutions that Smart Unicorn Solutions develops and sales. Furthermore
Precise Biometrics receive a new sales channel for biometric security products on a, for the
      company, new market.
