      SECHILIENNE - SIDEC : 2009 Revenues: E244.6 million, down 19.7%

      - Significant impact of falling raw materials costs

      Séchilienne-Sidec has reported consolidated revenues of E244.6 million, down 19.7% compared to 2008. Most of this decline is due to the steep fall in fuel costs throughout 2009, as well as to the disruption to production resulting from the technical incidents and social unrest occurred during the year.

      I - Revenue by business segment

      Thermal

      The thermal segment generated full-year revenues of E223.8 million, down 19.6% compared to 2008. In the fourth quarter, revenues totalled E52.3 million, down 33.2% compared to the same period of 2008.

      Revenues were adversely affected throughout the year by a nearly 50 % drop in coal cost, as the selling price of electricity is contractually indexed to coal prices. This downturn explains close to two-thirds of the decline in full-year revenues of the thermal segment. As a reminder, coal prices almost doubled in 2008 compared with 2007.

      The technical incidents and social unrest at certain power plants, which severely disrupted production, mask their firm overall operating performance. Production resumed in La Guadeloupe on 22 January 2010.

      Availability rates of the Group's power plants are shown in Appendix 3.

      The Group responded to the technical incidents by redefining a suitable programme of operational investments and preventive maintenance, by strengthening its technical teams and launching a QHSE programme for all power plants.

      Major efforts were made to improve the Group's labour relations, notably including the appointment at the end of the year of a Director of Human Resources backed up by regional officers.

      The employee profit-sharing system applied at the head office was extended to power plants in La Guadeloupe and La Réunion. Effective 2010, the employees of these power plants will be mobilized on business performance under these profit-sharing schemes.

      Lastly, the contract amendments to implement the bagasse incentives are currently being prepared.

      Photovoltaic

      The operating revenues of photovoltaic business totalled E7.7 million, representing a significant increase versus 2008 thanks to the growth in the number of facilities in operation.

      In addition, sale of panels and turn-key photovoltaic installations to third parties contributed for E5.5 million.

      Wind

      The 44.7% growth in revenues on the previous year, to E6.1 million, was mainly due to 22.0 MW of new capacities installed during 2008.

      II - Installed production capacity: 601.4 MW[1] as per 31th December 2009

      As per 31th December 2009, the Group has an installed production of 601.4 MW, plus another 46.7 MW under construction.

      Thermal: 529 MW installed capacity and 38 MW under construction.

      In La Guadeloupe, construction work continued in line with the schedule on the 38 MW Caraïbes Energie power plant. The turbogenerator unit has just been delivered to the site, and the boiler is due to be fired up for the first time in early November, with the initial grid connection scheduled to follow in late December 2010.

      All administrative documents needed to obtain the building permit of the La Martinique based CCG2 bagasse - coal 37.5 MW power plant will be submitted at the end of 1st quarter 2010.

      In addition, operating permits were received for a total of 55 MW for cogeneration facilities producing electricity and heat, running on bagasse and coal: 15 MW for the Marie-Galante plant in La Guadeloupe in March 2009 and 40 MW for the Saint André project in La Reunion Island on 18 January 2010.

      Photovoltaic: portfolio of 29.9 MW installed capacity and 8.7 MW under construction

      The portfolio of capacity installed and under construction went up from 20.5 MW at 31 December 2008 (including 8 MW in service) to 38.6 MW at 31 December 2009 (including 19.0 MW in service).

      During the fourth quarter, the Group launched the construction of a 7 MW greenfield PV plant in Pierrelatte (Drôme department), which is due to enter into operation during the second quarter of 2010.

      In addition, projects under development account for 84.4 MW, including 59.0 MW in building permits that have already been secured.

      Wind: portfolio of 42.5 MW installed capacity

      Capacity in operation remained stable at 42.5 MW during 2009. 23 MW building permits have been obtained.

      Séchilienne-Sidec has reported consolidated revenues of E66.2 million for the first quarter of 2010, an increase of 20.6% compared to the first quarter of 2009.

      Thermal

      The Thermal segment generated revenues of E52.7 million in the quarter, up 6.3% compared to the same period in 2009. This change was mainly due to an improvement in availability and generating conditions for the power stations.

      Output from power stations (excluding subsidiaries consolidated by the equity method) was 424 GWh for the quarter, up 11% compared to the first quarter of 2009. Although the coal price effect was slightly positive over the period, it had no significant impact on the trend in revenues from thermal generation.

      The CTM plant in the Caribbean region was closed from the end of 2009 to mid-February 2010 as part of the 10-year boiler maintenance cycle. In the first quarter of 2009, production at this plant was seriously affected by social unrest. The CCG plant had good production levels, thanks to high demand from EDF during March.

      The power stations in the Indian Ocean region also showed a strong operating performance. The CTBR plant, which was affected by a serious alternator problem in the first quarter of 2009, had its annual maintenance closure at the beginning of the quarter.

      Photovoltaic

      With 21.2 MW connected at 31 March 2010 (compared with 11.1 MW at 31 March 2009), Photovoltaic division revenues totalled E2.6 million, nearly double their level in the first quarter of 2009.

      The Group has 40.4 MW of capacity connected, awaiting connection or under construction. The commissioning of the Pierrelatte plant (7 MW in the Drôme) is expected to take place in the first half of May 2010.

      Sales of panels contributed E8.6 million to revenues. They were achieved as part of a policy of optimising procurement and technical criteria for the various modules installed by the Group.

      Wind

      Revenues from the Wind segment stood at E2 million. The increase of nearly 17% compared to the same period last year reflects the improvement in wind conditions since the beginning of 2009.

      Other significant events

      The construction of the Caraïbes Energie plant continued on schedule. Connection to the network is still expected to occur at the end of 2010.

      The Group is preparing to launch the construction of a new 4 MW open-field photovoltaic plant in Lassalle in Martinique, and an 8 MW wind farm at Porte de France, in Forbach in Moselle. A total of E26.9 million in financing has been obtained for these projects.

      The QHSE programme that began in late 2009 in one of the Réunion power stations continued through the first quarter and will soon be rolled out to the Group's other thermal plants.

      The Group has established a E20 million credit line for the purpose of financing its inventory of photovoltaic panels.

      Bank financing for the Caraïbes Energie plant has been increased to E96 million through the addition of a further E10 million debt, thus reducing the amount of equity capital allocated to this project.

      Financière Hélios reaches agreement with its banks

      Paris, 6 May 2010 - Financière Hélios has come to an agreement with its banks.

      Following the safeguard procedure (Procédure de Sauvegarde) requested by Financière Hélios in March 2009, which was contested by its banks, and in view of recent decisions delivered by the Paris Court of Appeal, Financière Hélios agrees on the banks' request for rescinding of the judgement.

      The Paris Court of Appeal will have the case heard on 27 May 2010 and will render its decision afterwards. Should judgement be rescinded, Financière Hélios and its banks have agreed they would come back to the original credit agreement which has been revised: it notably includes a decrease of Financière Hélios' net debt by E35 million. Net debt decrease will be funded by funds managed by Apax Partners SA and Altamir Amboise.

      III - Outlook

      The Group’s commitment to develop generation capacity and its insistence on profitability is prompting its interest in projects in emerging markets, in addition to the geographical regions in which it already operates. To pursue this growth, it is relying on its proven expertise as a base-load power producer which has built a business model based on long-term guaranteed purchase agreements that generate recurring and highly predictable cash flows.

      In the Thermal business, the Group will pursue growth both in the French overseas departments, where demand for electricity is not yet saturated, and in emerging markets, where the need for generation capacity is such that it can be highly selective in the projects studied.

      In the Photovoltaic segment, authorities in several European countries are re-examining the rates charged for the purchase of photovoltaic power. This impacts the viability of future projects under the group criteria of profitability and visibility into future cash flows.

      As such, the Group has decided to limit its Photovoltaic objectives to projects covered by guaranteed purchase agreements. Thus, by the end of 2011 it expects to have an installed base of 69,4 MW, of which 60 MW were already installed or under construction by late 2010, all benefitting from former tariffs. The remaining 9.4 MW will come from the Matoury (French Guyana) and Bethléem (Réunion) projects.

      These combined projections have led Séchilienne-Sidec to revise its medium-term outlook, expressed in terms of estimated EBITDA growth.

      The new guidance for 2015 calls for 50% to 70% growth in EBITDA compared to 2010 EBITDA excluding tax benefit (€94.9 million). This projection is based in equal measure on growth from installed base at end 2011 and on new projects, both in the traditional areas of activity of the group and in new geographical markets.

      Lastly, for the 2011 financial year, the Group expects an increase of about 10% in EBITDA excluding tax benefit, under stable economic conditions.

      At the next Annual General Meeting scheduled for 25 May 2011, the Board of Directors will propose a dividend of €0.70 per share.

      Albioma to build 4.8MW of rooftop solar on Reunion Island

      French firm Albioma is to build 51 rooftop solar projects on apartment buildings operated by Société Anonyme d'Habitations à Loyer Modéré de la Réunion (SHLMR) in towns throughout Reunion Island.

      Construction work will begin during the second half of 2019, with all facilities in operation by late 2019, delivering a combined capacity of 4.8MW.

      Requests for connections to the network operated by the distribution utility EDF, on the basis of the regulatory feed-in tariffs applicable in May 2017, have either already been submitted or will be by June 2018.

      Olivier Bajard, chief executive of SHLMR said: "As well as producing electricity, this project aims to enhance the lives of SHLMR tenants, as all profits generated by the power plants will be reinvested in cleaning and maintaining the host buildings."

      Frédéric Moyne, chief executive of Albioma, said: "We are very proud to be supporting SHLMR with this ambitious project. This partnership highlights Albioma's commitment to the energy transition, benefiting residents and their communities, and consolidating our position as the leading solar power generator in Overseas France."

      Albioma is active in Maritius, Brazil and Overseas France and has a history of producing renewable energy from bagasse, a fibrous residue from sugar cane.
