Hallo an alle,

Kleiner Scherz...

hongkong.com splashes out US$100 million for TheBigStoreAsia.com
By Samantha Chan
Mar 29, 2000 00:21 AM
Following its recent listing on the Hong Kong Growth Enterprise Market, portal company hongkong.com Corporation has invested US$100 million for a 51 percent stake in TheBigStoreAsia.com.
The BigStoreAsia.com is the Asian version of US-based Internet retailer TheBigStore.com, which operates a network of e-commerce and shopping portals targeting both business and individual customers.
hongkong.com’s 51 percent acquisition follows chinadotcom’s existing 9.8 percent stake in TheBigStoreAsia.com. TheBigStore.com, and China Commerce Development Group hold the remaining interest. hongkong.com is a chinadotcom subsidiary.
Established in September 1999, TheBigStoreAsia.com will lay the foundation from which hongkong.com will deliver a range of e-commerce and online shopping services, local content and customer services throughout Asia.
“We are making this significant investment in TheBigStoreAsia.com to roll out in Asia because of its ability to provide our users with tremendous benefits including 24 hour, 7 day a week locally–based and local language customer service call centres. The site will also allow for flexible return policies, reliable delivery, easy and secure purchase and payment systems and the largest international selection of unique products and services available online at everyday low prices,” said Rudy Chan, CEO of hongkong.com.
In Hong Kong, The BigStoreAsia.com is currently working with over 100 vendors and will also have access to a network of thousands of vendors around the world from TheBigStore.com.
“The BigStoreAsia.com’s scalable, international technology platform combined with our inventory-less business model allows us to quickly extend our global reach and network. By sourcing our products and providing service at a local level, we are able to bring the benefits of global business to a local customers,” said Rick Schawelson, CEO of TheBigStoreAsia.com.
Although TheBigStore.com has yet to officially launch in the US, company officials claim that the company is well on its way to hit the US$1 million revenue mark per day within eight weeks.
The BigStoreAsia.com is expected to roll out its services and operations throughout Asia starting in China and Hong Kong by June, and Australia, Korea, New Zealand, Singapore, Taiwan and Thailand in the second half of the year. Next year, the company aims to launch operations in India and Philippines.

HK.com seeks waiver for bid
SAMUEL YEUNG
--------------------------------------------------------------------------------
Questions have been raised over Hongkong.com`s plan to acquire 51 per cent of an e-commerce firm for US$100 million, unveiled yesterday, just three weeks after its listing on the Growth Enterprise Market (GEM).
The company should have revealed the takeover plan in its listing prospectus, said analysts.
Chief executive Rudy Chan said acquiring a majority stake in TheBigStoreAsia.com, an on-line retailer which plans to launch in Asia in June, would enhance the company`s e-commerce business plan.
"The partnership aims at making Hongkong.com the most recognised on-line shopping and e-commerce player in the region," Mr Chan said.
Chinadotcom, Hongkong.com`s parent, also holds minority stakes in TheBigStoreAsia and its United States-based holding company BigStore.com.
Mr Chan said the planned purchase would be funded by issuing new shares, and by part of the firm`s HK$1.2 billion initial public offer (IPO) proceeds raised earlier this month.
He said Hongkong.com had applied to the stock exchange for a waiver from the half-year moratorium on share issues by newly listed GEM companies.
"The deal is subject to the granting of a waiver," Mr Chan said.
He declined to say how much cash and how many new shares would be included in the acquisition.
The deal could raise problems, said analysts.
"In the prospectus, there were no plans to make such a substantial acquisition so soon after the listing," one analyst said.
The prospectus stated only that about HK$195 million from IPO proceeds, against the HK$780 million deal price revealed yesterday, was intended for future takeovers or investment in Internet companies, he said.
The analyst also said the risk factors listed in the prospectus did not include a dilution of shareholdings due to a substantial new share issue.
Mr Chan said: "The investment opportunity did not exist three weeks ago."
Analysts estimated that the company would need to issue 225 million to 300 million new shares to settle the deal, which represent about 5.62 per cent to 7.5 per cent of the share capital.
