Co NV haben im frühen Amsterdamer Handel deutlich
abgegeben. Bis 10.55 Uhr gaben die Titel 3,40% auf 2,56 Euro
nach, während der Leitindex AEX um 0,21% auf 681,74 Zähler
fiel.
Händler begründeten die Verluste mit Spekulationen über ein
Scheitern des Übernahmeangebots der Invensys PLC für das Unternehmen. In diesem Fall wäre Baan zur
Zahlungsunfähigkeit verdammt, hieß es am Markt.
Jeder wartet laut einem Händler von NIB auf eine Mitteilung von Invensys, wie viele Aktien die Briten denn jetzt halten.
Anleger befürchteten ein Abrücken von Invensys von seinen Übernahmeplänen, nachdem das Unternehmen die Frist für das

Dutch business software group, hung in the balance on Wednesday, a day
after a second deadline set by its bidder, Britain`s Invensys (ISYS.LON),
expired.
An industry source familiar with the situation told Reuters that the two
managements were in talks with each other and were expected to issue a
statement around 1100 GMT.
The talks are being held after a group of investors, claiming to own 19.6
percent in the troubled company said it was holding back part of its stake
from Invensys.
The group of 22 investors, represented by Ernst Sonneveldt, agreed to
tender 60 percent of its holding after negotiations with Invensys and Baan.
Invensys will thus fall short of the 95 percent approval it needs to delist the
company from Amsterdam Stock Exchange.
It was not clear whether Invensys would take majority control of Baan and
allow it to remain listed. It had originally said that it would only complete the
deal if it got 95 percent in the company.
If Invensys does not waive the clause, Baan will become one of the most
high profile bankruptcies in Europe in recent times as the company is
quickly running out of funds after reporting losses for nearly two years.
Neither Baan nor Invensys would comment.
At the end of the first deadline for the bid on July 14, Invensys had received
acceptances from holders of 58 percent of shares in the company.
Baan`s shares, which were down around 20 percent in early morning trade,
were down 3.40 percent at 2.56 euros at 1000 GMT. Invensys shares were
trading 1-1/2 pence up at 242 pence.
The 762 million euros ($717.5 million) deal hit rough weather right from
start with Alan Yurko, Invensys`s chief executive, receiving brickbats for
doing the deal.
Invensys, although in need of a software operation, has embarked on an
uphill task in seeking the deal. One banker commented that Yurko had
virtually put his career at stake by buying the bleeding company.
The deal ran into an obstacle when Dutch bank ING refused to tender its
5.9 percent holding as it had not decided whether it should allow Baan to
go bankrupt and reap higher tax benefits or take the money by selling the
shares.

ich denke nicht, dass Invensys überhaupt noch eine Chance hat, von dem Deal zurückzutreten. Die haben schon so viel Shares gekauft. Wenn Baan Pleite ist, was sollen die denn dann damit machen? Die Übernahme ist in diesem Zusammenhang auch die einzige Möglichkeit, das Produkt und das Knowhow der Mitarbeiter am Stück zu bekommen, selbst wenn Invensys darauf spekulieren sollte, Baan nach einer Pleite billiger zu bekommen. Wenn Baan pleite ist, werden sich die Mitarbeiter unmittelbar neue Jobs suchen und das wär`s.
Ich rechne mit einem Announcement, das Invensys ca. 75-80% der Shares bekommen hat und den Deal dennoch durchzieht. Ich denke, das ist auch für uns Kleinanleger das beste. Kurs zieht an bei geringem Volumen, keiner der bis jetzt
gewartet hat will aussteigen, einige wollen aber schon wieder rein.
Ich denke immer noch, dass Invensys den Laden uebernimmt (<85%)
und dann ueber die Boerse (feindlich) versuchen wird auf die 95%
zu kommen..

Mein Tip war ja wohl richtig. 75% bekommen, Übernahme erklärt!
Invensys wird, wie go2dive richtig bemerkt hat, weiterhin alle Aktien aufkaufen, die sie auf dem freien Markt bekommen können. Die Verlängerung der Tender-Frist hat in meinen Augen den Sinn, den Dummen, die mit kurzfristigem Blick noch verkaufen wollen, einen kleinen Anreiz dafür zu bieten (Kurs momentan geringer als Offer). Es ist in meinen Augen abzusehen, dass der Baan-Kurs in den nächsten Wochen wieder steigen wird, da viele darauf spekulieren, dass Invensys nachkauft, um die 95% zu erreichen.

@mieter: Ganz einfach, die Offer-Period wurde verlängert, da der Handel ausgesetzt wurde. So können die, die kalte Füße bekommen haben, dennoch ihre Aktien loswerden.

In US wird vorbörslich US-$ 2.65 gehandelt
Ich möchte die Euphorie ja nicht bremsen, aber mir scheint es so, daß ein Delisting trotz allem noch bevor steht und Kurse über 2,85 nicht mehr drin sind. ISYS scheint BAAN komplett liquidieren zu wollen. Ich denke das geht aus folgender Pressemitteilung hervor:
Invensys Announces the Results of the Extended Offer for Baan and An AmendedOffer to Assume Full Control of the Company

LONDON, Jul 26, 2000 /PRNewswire via COMTEX/ -- Invensys plc announces today
that it will honour its bid for Baan Company N.V. (subject to the condition
outlined below), that it has made an amended offer and that it has entered into
an agreement with the Management Board of Baan through which it will assume full
control of Baan. At the expiration of its offer on 25 July 2000, Invensys has
approximately 75% of Baan`s outstanding shares, represented by acceptances for
134 million shares (50%) and purchases of 66 million shares (25%).
In light of this result, Invensys has, with Baan, decided to implement a
four-step programme designed to save Baan. Invensys has repeatedly made it clear
that it would not complete the acquisition of Baan without securing full control
of the Company. In the absence of the closing of Invensys` offer, the
alternative facing Baan is bleak. To delay any further would be extremely
damaging to Baan, its shareholders, its customers and its employees.
Under the following four-step programme designed to save Baan, Invensys will:
1. Amend the 95% condition;
2. Acquire all the assets and liabilities of Baan;
3. Assume immediate management control of the Company; and
4. Extend suitable financing to secure Baan`s near term future.
Interim Chief Executive Officer of Baan, Pierre J. Everaert, stated:
"We are very clear that this course of action is the only sure way to save Baan.
It provides our employees with a stable work environment and our customers with
the reassurance they need and the continuity they want. A clear majority of Baan
shareholders have accepted that Invensys is the right partner for Baan and that
the Invensys offer is the best way to maximise value for Baan shareholders. In
addition, the Works Council convened a special meeting this morning and has
given its `Positive Advice`. We are pleased that Invensys has agreed to amend
their 95% condition to enable us to move forward."
Allen Yurko, Chief Executive of Invensys, said:
"The situation at Baan required decisive and immediate action. We re-examined
the case for acquiring Baan and, in the process, considered terminating the
offer. However, we remain convinced that this deal is in the best interest of
Invensys` shareholders, but only if we can fully integrate its operations into
our new Software and Systems division. We expect that, under our ownership, Baan
will become a powerful contributor to Invensys` future, once we have completed
the comprehensive restructuring it requires."
The Amended Offer and Agreements Between Baan and Invensys
Invensys has entered into the following agreements with Baan:
1. Invensys has agreed, subject to the conditions and in consideration for
the agreements outlined below, to reduce its 95% acceptance condition
to 50% plus one share. Invensys will extend the offer period to 11:59
pm Eastern Standard Time (EST) on 1 August 2000 and it will at that
time honour its bid for Baan and purchase at a price of Euro 2.85 per
share all Baan shares that are validly tendered and not withdrawn as at
11:59 pm EST on 1 August 2000 provided that the aggregate number of
shares tendered and purchased does not drop below a majority of 50%
plus one share. The same tender procedures described in the offer
documents will apply to shares tendered during this extension period.
Invensys has also reserved the right to cancel the asset sale agreement
under certain circumstances. Under such a scenario, Invensys would
honour the bid and purchase the tendered shares;
2. In consideration for the reduction by Invensys of its 95% condition
Invensys and Baan have entered into an agreement whereby Baan has
agreed to sell all of its assets to Invensys in exchange for Invensys`
assumption of all of Baan`s liabilities and the payment of a purchase
price which will be set at a level that will result in the distribution
to shareholders of Euro 2.85 per share (the Asset Sale). This
distribution will be effected by a liquidation of the holding company
Baan Company N.V., which could take up to twelve months. The Asset
Sale is subject to shareholder approval at an extraordinary general
meeting that is expected to be held on or about 15 August 2000 (the
Baan EGM). Notice of this EGM will be posted in due course;
3. Baan has entered into an agreement with Invensys under which Invensys
will manage the Baan business pending the Asset Sale, subject to the
current Supervisory and Management Boards exercising their statutory
and fiduciary duties; and
4. Invensys has entered into an agreement to provide Baan with interim
secured financing appropriate to its needs, pending the Asset Sale.
Choices for Baan Shareholders
Shareholders have the following choices:
1. Shareholders can tender their shares at Euro 2.85 per share into the
offer until 11:59 pm EST on 1 August 2000 and receive payment by 5
August 2000; or
2. Provided that the tendered shares are accepted for payment at the
expiration of the offer at 11:59 pm EST on 1 August 2000, Invensys will
provide a subsequent offering period of 20 business days (Subsequent
Offering Period), during which Invensys will continue to purchase
tendered shares at Euro 2.85 per share. The same tender procedures
described in the offer documents will apply to shares tendered during
this Subsequent Offering Period. Shares tendered during this period
will not have withdrawal rights. Invensys will pay for such purchases
within 3 business days after the termination of the Subsequent Offer
Period; or
3. Shareholders can sell their shares at the prevailing market price (for

Invensys Announces the Results of the Extended Offer for Baan and An AmendedOffer to Assume Full Control of the Company

LONDON, Jul 26, 2000 /PRNewswire via COMTEX/ -- Invensys plc announces today
that it will honour its bid for Baan Company N.V. (subject to the condition
outlined below), that it has made an amended offer and that it has entered into
an agreement with the Management Board of Baan through which it will assume full
control of Baan. At the expiration of its offer on 25 July 2000, Invensys has
approximately 75% of Baan`s outstanding shares, represented by acceptances for
134 million shares (50%) and purchases of 66 million shares (25%).
In light of this result, Invensys has, with Baan, decided to implement a
four-step programme designed to save Baan. Invensys has repeatedly made it clear
that it would not complete the acquisition of Baan without securing full control
of the Company. In the absence of the closing of Invensys` offer, the
alternative facing Baan is bleak. To delay any further would be extremely
damaging to Baan, its shareholders, its customers and its employees.
Under the following four-step programme designed to save Baan, Invensys will:
1. Amend the 95% condition;
2. Acquire all the assets and liabilities of Baan;
3. Assume immediate management control of the Company; and
4. Extend suitable financing to secure Baan`s near term future.
Interim Chief Executive Officer of Baan, Pierre J. Everaert, stated:

The Amended Offer and Agreements Between Baan and Invensys
Invensys has entered into the following agreements with Baan:
1. Invensys has agreed, subject to the conditions and in consideration for
the agreements outlined below, to reduce its 95% acceptance condition
to 50% plus one share. Invensys will extend the offer period to 11:59
pm Eastern Standard Time (EST) on 1 August 2000 and it will at that
time honour its bid for Baan and purchase at a price of Euro 2.85 per
share all Baan shares that are validly tendered and not withdrawn as at
11:59 pm EST on 1 August 2000 provided that the aggregate number of
shares tendered and purchased does not drop below a majority of 50%
plus one share. The same tender procedures described in the offer
documents will apply to shares tendered during this extension period.
Invensys has also reserved the right to cancel the asset sale agreement
under certain circumstances. Under such a scenario, Invensys would
honour the bid and purchase the tendered shares;
2. In consideration for the reduction by Invensys of its 95% condition
Invensys and Baan have entered into an agreement whereby Baan has
agreed to sell all of its assets to Invensys in exchange for Invensys`
assumption of all of Baan`s liabilities and the payment of a purchase
price which will be set at a level that will result in the distribution
to shareholders of Euro 2.85 per share (the Asset Sale). This
distribution will be effected by a liquidation of the holding company
Baan Company N.V., which could take up to twelve months. The Asset
Sale is subject to shareholder approval at an extraordinary general
meeting that is expected to be held on or about 15 August 2000 (the
Baan EGM). Notice of this EGM will be posted in due course;
3. Baan has entered into an agreement with Invensys under which Invensys
will manage the Baan business pending the Asset Sale, subject to the
current Supervisory and Management Boards exercising their statutory
and fiduciary duties; and
4. Invensys has entered into an agreement to provide Baan with interim
secured financing appropriate to its needs, pending the Asset Sale.
Choices for Baan Shareholders
Shareholders have the following choices:
1. Shareholders can tender their shares at Euro 2.85 per share into the
offer until 11:59 pm EST on 1 August 2000 and receive payment by 5
August 2000; or
2. Provided that the tendered shares are accepted for payment at the
expiration of the offer at 11:59 pm EST on 1 August 2000, Invensys will
provide a subsequent offering period of 20 business days (Subsequent
Offering Period), during which Invensys will continue to purchase
tendered shares at Euro 2.85 per share. The same tender procedures
described in the offer documents will apply to shares tendered during
this Subsequent Offering Period. Shares tendered during this period
will not have withdrawal rights. Invensys will pay for such purchases

dass Invensys irgendwann mit Horrormeldungen
aufwarten wird um die Anleger zu verunsichern
und dann billig weitere Anteile einkauft.
Aber wir koennen ja warten, denn die 2.85 bekommen
wie auf jeden Fall (im schlimmsten Fall muessen
wir darauf eben bis zu 12 Mth warten). Damit
kann ich leben, dann ist der Gewinn (bei mir)
wenigstens steuerfrei.

percent stake to Invensys. Sonneveldt doesn`t personally own Baan shares.

Ja, das ist wirklich ganz gut daß man jetzt die Gewinne steuerfrei realisieren kann. Aber ich finde es eine unglaubliche Sauerei, daß hier ein Delisting quasi durch die Hintertür betrieben werden soll. Ich bezweifele, daß dieses mir einfacher Mehrheit auf der HV beschlossen werden kann.

75% sind ja auch mehr als einfache Mehrheit. Meiner Meinung nach kann die HV mit 75% auf jeden Fall die eigene Geschäftsordnung ändern und damit beschließen von der Börse zu gehen. Ob man die Anteile zwangsweise einziehen darf ist eventuell noch eine andere Frage. Nur was will man mit Aktien ohne Handel?
Werde eventuell hier ein paar Euro verzocken aber lernen kann man ne Menge.

ich kann die positiven Einschätzungen nicht verstehen. Der Plan von Invensys ist es doch jetzt das gesamte Vermögen von Baan für einen Spottpreis zu kaufen und nur noch die Hülle übrig zu lassen. Da sie die Aktienmehrheit haben kann dies niemand mehr verhindern. Die leere Hülle wird dann voraussichtlich in 12 Monaten liquidiert und alle die ihre Aktien noch immer haben bekommen dann 2,85 Euro pro Stück.
Die Verlängerung des Übernahmeangebotes hat nur den Zweck, daß die Aktionäre noch einmal die Gelegenheit bekommen, schneller (bis Ende August) an ihr Geld zu kommen. Wie auch immer mehr als 2,85 Euro schauen nicht raus. Oder hab ich was überlesen?

Wie soll dies praktisch erfolgen, besonders in Bezug auf die Verpflichtungen die Baan alleine von den installierten Systemen hat? Da Invensys in die Rechtsnachfolge eintritt, müssen geschlossene Verträge schließlich eingehalten werden.
Ein Unternehmen dieser Größe dicht zu machen ist sicherlich um ein vielfaches aufwendiger, als es eigenständig weiter zu führen.
Bis 2001 fließt noch viel Wasser den Rhein hinunter. Bis dahin ist auch ein neues Managment installiert und dann, da bin ich sicher, gehts mit Baan auf jeden Fall weiter.

Warum wird Baan in Eoropa nicht gehandelt, im Amiland wurde gehandelt?

du kannst deine Aktienandienung problemlos zurückziehen sobald sich am ursprünglichen Umtauschangebot etwas geändert hat (ist bei Baan gegeben). Setz dich einfach mit deiner Bank oder deinem Broker in Verbindung.
