Attached is Appendix 4B for the Half-year ended 31 December 2000
together with the Directors` Declaration, Directors` Report and an
Independent Review Report.

During the Half-year to 31 December 2000, the AdultShop.com group
made an operating loss of $7,899,000.

During this same period, the Company undertook a planned strategy to
establish brand name in Australia. This has been done to good effect
at a cost of $3,521,000 to AdultShop.com and $1,190,000 to AXIS, the
mail order division. The Company also expended $1,248,000 in
developing the German and US websites. The US website was launched in
December 2000 and the upgraded German website was re-launched on 15
March 2001. The Company made some strategic investments in acquiring
the businesses of AXIS, Calvista Australia Pty Ltd and Stell Bay Pty
Ltd. Although these are long-term investments, the Company has, in
line with accounting policies, chosen to expense the goodwill related
to those acquisitions. Goodwill amortised in the Half-year amounted
to $805,000. Other intangibles amortised in the Half-year amounted
to $921,000.

The total impact of all the above was a charge of $7,685,000 to the
Profit & Loss Account for the Half-year ended 31 December 2000.
