      Xin Net Signs US$6Million Financing Agreement With iBanc Group, Inc.


      VANCOUVER, British Columbia, Nov 26, 2001 (BUSINESS WIRE) -- Xin Net Corp.
      (OTCBB: XNET) has entered into an Investment Banking Agreement (the "Agreement")
      with iBanc Group, Inc. (iBanc) of Irvine, California.

      Under the terms of the agreement, iBanc shall arrange financing for the Company
      in an amount of US$6 Million in the form of the purchase of 12 million
      restricted common shares of the Company at the price of $0.50 per share, and
      provide advisory services to the Company for a period of up to 24 months. The
      Company will pay iBanc a commission of 10% and a fee of $35,000 per month over a
      two-year period. In addition, the Company will issue to iBanc 600,000 restricted
      common shares, a 5-year warrant for the purchase of another 500,000 shares
      exercisable at a price per share of 115% of the average closing price of the
      shares of Xin Net over the last 10 days of trading prior to the date of issue of
      the warrant, and a second 5-year warrant for the purchase of another 500,000
      shares exercisable at a price of $0.50 per share.

      On October 1, 2001 Xin Net signed an agreement to acquire all the shares of
      Protectserve Pacific Ltd. ("PSP"), an innovative developer and provider of
      state-of-the-art web-based surveillance, monitoring & control systems. Xin Net
      and PSP are presently negotiating to cancel that agreement and replace it with a
      new agreement by which Xin Net will acquire control of a publicly traded shell
      company. The shell company will acquire PSP and thereafter Xin Net will
      distribute by way of a dividend its shares of the shell to Xin Net shareholders
      on record at a yet-to-be determined record date. The Xin Net shares issued to
      iBanc or its assignee under the financing agreement will not have any right to
      this dividend.

      VANCOUVER, British Columbia--(BUSINESS WIRE)--April 22, 2002--The Board of Directors of Xin Net Corp. (OTCBB: XNET - news) announces that the Company has filed its 10K Annual Report with the Securities and Exchange Commission. In 2001, the Company achieved revenues of $3,567,571 (up 87.5% from 2000) in the form of net sales of domain name registration services and e-solutions services (i.e. excluding Internet Access Provision services, which were discontinued in June 2001) from its joint venture Beijing Xin Hai Technology Development Ltd. Sales in 2000 were $1,902,290. The Company had cost of revenues of $1,191,905 in 2001, as compared to $757,832 in 2000. Gross profit in 2001 was $2,375,666 compared to $1,144,458 in 2000, an increase of 108%. The Company incurred operating expenses of $3,555,111 in 2001 compared to operating expenses of $3,556,912 in 2000. Operating loss for 2001 was ($1,179,445) in contrast to the 2000 operating loss of ($2,412,454). The company had other income of $71,193 in 2001 and $154,011 in 2000. The net loss in 2000 was ($3,607,724) compared to the net loss in 2001 of ($1,510,903). The per share loss for 2000 was ($0.17), and the per share loss for 2001 was ($0.07). Revenues from sales of domain name registration services and e-solutions services increased from $1,902,290 in 2000 to $3,567,571 in 2001 as a result of the Company`s continued good performance in these areas. Operating expenses decreased marginally in 2001 to $3,555,111 from $3,556,912 in 2000, in spite of the substantial annual growth in revenue. These results were made possible due to the Company`s cost saving measures.       Kursziel 5 US-Dollar? Würde ich auch gerne wiedersehen, zumal ich auch schon drin war, als der Kurs im Tagesverlauf bei 20 stand. Zur Zeit sieht es aber wohl eher nach 5 cent aus. Gibt es denn Gründe, daran zu glauben, dass xin net noch lange durchhält? Meine Anteile haben nur noch geringen Wert, so dass ich mich lange nicht mehr für den Ramschposten im Depot interessiert habe.

      Das Kursziel gilt für ca 18-48 Monate. In China wurde nach einem Streit ein illegales inetcafe "abgefackelt" mit mehren Toten. Als Folge wurden viele illegale inetcafes geschloßen. Inwieweit xinet von den Vorfällen betroffen ist ? Sollte Xinnet nich Pleite gehen , wird xinnet seinen "weg machen". Auf keinen fall verkaufen. mfg

      Es gibt noch Leute, die sich für XNET interessieren.
      Ich staune ...
      Hatte damals Gott sei Dank bei USD 12 einen Großteil realisiert (Kauf bei USD 2).
      Den Rest habe ich blöderweise trotz zwischenzeitlichem Delisting behalten und erst bei USD 0,5 verkauft.
      Kann euch leider nicht viel Hoffnung machen.

      Hab ich auch nicht. Aber jetzt zu verkaufen wäre auch unsinn. 700 Stück x 0,1 = 70 €. Waren in der Spitze somit 700 x 20 $ = 14.000 $. Schade eigentlich. Scheiß § 23 I Nr.2 EStG.

(the "Company") wishes to announce that it has signed an agreement to sell the Company`s China assets to a subsidiary of Sino-i.com Limited, a Stock Exchange of Hong Kong listed company for a total consideration of RMB 20 million (US$ 2.5 million). This transaction is subject to shareholder approval.

      Since the Company started its Internet business in China, we have seen rapid growth in Internet use in China; but we have also seen an equal if not greater growth in companies entering this arena. As a result, the industry experienced severely reduced operating margins. The Company had managed to continue to compete by cutting discretionary cost such as advertising and improving overall operating efficiencies. Although the Company is considered a leader in the Domain Name Registration field, due to the lack of adequate funding, future growth potential is limited at best. The Company had struggled for the past several years to breakeven and was hoping for some meaningful funding to grow, but the plan was nullified when the iBanc funding failed to materialize. For fiscal year 2002, the Company`s operations have incurred an operating loss in the neighborhood of US$ 500,000. As China becomes more and more open according to the terms of the WTO, the world`s large well-funded companies will be given access to the China market and will seriously compromise the Company`s position.

      This transaction, if approved, will take the Company out of the China Internet business. The Company will redirect its resources to the education and training field. The study also examined sources of funding and found that 44% of educational expenditure for China came from private sources compared to an OECD average of 12%. In a press release dated January 6, 2003, the Company announced the acquisition of Windsor Education Academy Inc., a Richmond, British Columbia based school specializing in English as a Second Language (ESL) courses to foreign students. Windsor is government certified and is profitable. The Company will help Windsor to expand locally as well as internationally into China and Southeast Asia. The Company will look for further companies that fit this profile with the goal of introducing foreign accredited programs into the China market.       Erstaunliches passiert!? Der Wert steigt wieder stark an.
      Bereits im Januar 03 glaubte ich ertmals, dass XINET endlich mal so richtig ab geht. War dann nichts.
      Vielleicht erleben wir heute die Wiedergeburt!?:(

      Habe auch noch GCHC und GTCI. Auch hier hoffe ich noch auf ein "come-back".:rolleyes:
