und Einführung eines Dividendenausschüttungsplans
YAVNE, Israel - 13. Mai 2003 - Valor Computerized Systems [Prime Standard:
VCR], ein weltweit führender Anbieter von produktivitätssteigernden
Softwarelösungen für die Konstruktion, Herstellung, und Montage von
Leiterplatten in der Elektronikindustrie, gab heute die Empfehlung einer
einmaligen Dividendenausschüttung und die Einführung eines
Dividendenausschüttungsplans bekannt.
Valors Aufsichtsrat entschied für die anstehende Aktionärshauptversammlung der
Firma, die am 16. Juni 2003, um 10:00 morgens, im Firmenhauptsitz in Yavne,
Israel stattfindet, eine einmalige Dividendenausschüttung in Höhe der erzielten
Gewinne der Firma, die eine Bruttosumme von US$ 6.589 Millionen erreichten, zu
leisten, mit Verweis auf ausstehende israelische Körperschaftssteuer und
Quellensteuer.
Valors Aufsichtsrat empfahl zuzüglich und im Einklang mit Paragraph 108 des
israelischen Aktiengesetzes von 1999, das jeder Aktionär, der am 16. Juni 2003
Aktien der Firma in seinem Besitz hält, einen Dividendenanspruch hat.
Desweiteren, führte der Aufsichtsrat eine ab 2004 gültige Richtline ein, die
beabsichtigt der Aktionärshauptversammlung vorzuschlagen einen 30 bis 50
prozentigen Anteil der vorjährigen Nettogewinne der Firma als Dividende
auszuschütten.
Liquide Mittel für die am 31. März 2003 abgelaufen Geschäftsperiode erreichten
annähernd US$ 34 Millionen. Die Firma meldete einen Netto Gewinn von US$ 623
Tausend und ein positives netto Cash-Flow resultierend aus betrieblichen
Aktivitäten in Höhe von US$ 2,12 Millionen für das erste Quartal in 2003.
