Orient Semiconductor Electronics, Ltd.’s sales revenue on April 2004 was NTD 1.284 billion, compared with NTD 1.021 billion of April 2003 which rose 25.76%. The total sales revenue from January to April 2004 was NTD 5.102 billion, an increase of 28.76% comparing with NTD 3.962 billion of the same period last year. While OSE’s net loss after tax was NTD 0.66 billion, a decrease of 0.368 billion compared with the same period of last year, the percentage of improvement rate is 35.79%. In other words, OSE‘s operating performance has been rising.

To overcome the current challenge, OSE had executed re-organization and continuous improvement of operation, especially focused on selling niche and high-profit products. Now, OSE’s orders are aggrandizing stably in field of consumption and optical-electronics goods, it will help improve the revenue and gain continuously.

To deal with the net worth which is less than half of OSE’s paid-up capital which has changed the trading method of stock to full-cash delivery stock, OSE had held shareholders annual meeting on 28 April, 2004 to approve the capital reduction plan intended to reduce capital 50.322%. This plan is under examination in SFC?OSE’s stocks should be traded as usual after the authority has approved.

OSE USA, Inc.(OTCBBSEE), announced today the resignation of Steve Lerner as its President effective August 18. Prior to joining OSE USA in April of 2004, Mr. Lerner was founder and chief executive officer of Gigasys Corporation of Carlisle, Massachusetts; he is a recognized authority in microelectronics packaging and test foundry services with significant international experience in both S.E. Asia and Europe. Mr. Lerner resigned to pursue other personal interests.

Until Mr. Lerner`s replacement is selected and confirmed, Chairman of the Board of Directors Edmond Tseng will act as President of the Company.

Founded in 1992, OSE USA has been the nation`s leading onshore advanced technology IC packaging foundry. OSE`s sales revenue in May amounted to 1.220 billion NT$, a decrease of 4.68% compared with the previous month. There is a increment of 24.62% against May 2003 revenue of 0.979 billion NT$.
Sales revenue for the period from January to May of this year amounted to 6.319 billion NT$, a increase of 27.89% compared with the same period in 2003.


June
OSE`s sales revenue in June amounted to 1.092 billion NT$, a decrease of 10.49% compared with the previous month. There is a increment of 9.09% against June 2003 revenue of 1.001 billion NT$.
Sales revenue for the period from January to June of this year amounted to 7.411 billion NT$, a increase of 24.70% compared with the same period in 2003.

July
OSE`s sales revenue in July amounted to 1.007 billion NT$, a decrease of 7.78% compared with the previous month. There is a decrease of 10.41% against July 2003 of 1.124 billion NT$.
Sales revenue for the period from January to July of this year amounted to 8.418 billion NT$, a increase of 19.11% compared with the same period in 2003.

3.Operations plan for replacement of share certificates for the capital
reduction:
I: In order to handle exchange of share certificates due to the
Company`s capital reduction in 2004, this Operational Plan was
made by the company in accordance with the Specifications for
Printing Share Certificates by Public Companies and the
Operational Procedure for Listed Companies Handling Exchange
of Share Certificates.
II: The existing share certificates to be exchanged for new share
certificates include all share certificates issued by the
Company in the past which represent 787,198,219 shares of
common stock and 74,515,906 shares of preferred stock with
the par valued of NTD 10 per share, and the total amount of
such share certificates is NTD 8,617,141,250.

III: The company reduced capital NTD 8,729,104,000 by canceling
872,910,000 shares of the Company`s issued and paid-in stock
to offset the Company`s accumulated losses.According to
article 168 of the Company Law,the reduced capital should be
deducted proportionally in accordance with the existing
shareholders` shareholding and the capital reduction ratio
is 50.322%.

IV: The total number of shares and amount after capital reduction:
The number of shares to be exchanged after capital reduction is
861,714,125 with the par value of NTD 10 per share and total
amount is NTD 8,617,141,250.

V: Cancellation of the existing shares and exchange of new share
certificates shall be calculated in accordance with the number
of shares held by each shareholder on the shareholders roster on
the Exchanfe Record Date. Every 1,000 existing shares shall
exchange for 496.78 new shares (ie every1,000 existing shares
shall be reduced by 503.22 existing shares).
Fractional shares will not be issued on exchange but the
equivalent amount calculated in accordance with the par value
will be paid by cash and all such cash paument shall be made to
the nearest NTD 1.
VI: Organization to Authenticate the Share Certificates: The

certificates
ii: if the Shareholder did not completed the share transfer
rgistration with respect to the purchased shares:
if such shares were purchased on the exchange and the transfer
registration has not been completed, the shareholder shall
present the existing share certificates, purchase report issued
by a broker,the list issued by the Taiwan Securities Central
Depository Co.,Ltd.(¡¨TSCD¡¨) setting forth details of the
withdrawn shares(all indicated the withdrawal date),a copy of
the shareholder`s I.D. card(both sides) and the shareholder`s
seal registered with the Company to the Company`s stock transfer
agent to register the share transfer first and then complete the
exchange application to exchange the new share certificates.
iii: The Company will exchange all existing shares under custody by
TSCD for new shares.
iV: If shareholders want to apply to exchange of new share
certificates by mail, please send by registered mail.

IX: The conversion rights of holders of theSecured Euro Convertible
Bonds issued by the Company in 2003 are suspended from Oct.7,2004
to Nov.5,2004.
