FIRST MAJESTIC RESOURCE CORP. (the "Company") (TSX VENTURE: FR)(PINK SHEETS: FMJRF)(FWB: 905910) is pleased to announce that it has entered into agreements through its wholly owned Mexican subsidiary ("FMR"), to acquire the Quebradillas and Viboras Silver Mines and a large contiguous land package of 3,126 hectares of mining concessions which are located at La Parrilla Mining District in the Durango State in Mexico which surround the land presently owned by FMR which includes the La Parrilla Silver Mine. The properties host silver, lead and zinc mineralization, with significant exploration potential. The properties host manto style silver-lead-zinc replacement type ore bodies, and silver vein type ore bodies and have a history of silver-lead-zinc production with extensive underground workings.

A total of three agreements have been signed with Grupo Mexico subsidiaries that hold rights to the mining concessions, which include several old mine operations such as Quebradillas Silver Mine, El Recuerdo Silver Mine which includes the Viboras ramp (length of 1,034 m) and the La Luz and Las Vacas mines (collectively "Grupo Mexico Projects").

Under the terms of the agreements between FMR and Grupo Mexico subsidiaries: Industrial Minera Mexico, S.A. de C.V., Mexicana del Arco, S.A. de C.V. y Minerales Metalicos del Arco, S.A. de C.V. (collectively "Grupo"), FMR has the right to purchase all the mining concessions, the mines, the data of past diamond drill programs and the assets located within the mine areas for a total purchase price of US$3,000,000 payable over a period of two years. FMR has agreed to make the following payments to be applied to the purchase price: (a) an initial payment of US$1,000,000 payable upon execution of the agreement; (b) US$250,000 payable on the 3rd month anniversary of the agreement; (c) US$250,000 on the 6th month anniversary of the agreement; (d) US$250,000 on the 9th month anniversary of the agreement; (e) US$250,000 on the 12th month anniversary of the agreement; (f) US$300,000 on the 15th month anniversary of the agreement, (g) US$300,000 on the 18th month anniversary of the agreement; and, (h) US$400,000 on the 24th month anniversary of the agreement.

In addition to these payments, the agreement calls for a royalty payment of 1.5% of NSR with a maximum of US$2,500,000 with an option for FMR to purchase the royalty at any moment for a total price of US$2,000,000.

The Grupo Mexico Projects were developed in the 70's with a diamond drill exploration/development program of 77 holes with 16,806 meters completed both from surface and underground. Additionally, 1034 meters of ramp development was completed to access the ore body in preparation for mining. An in house historic resource estimate by Grupo Mexico outlines an Historic Resource for these Grupo Mexico Projects as 551,860 tonnes of oxide mineral resources (1981) with a silver grade of 175 g/T (El Recuerdo/Viboras), and for all projects combined (1990) 602,595 tonnes sulphide mineral resources with a grade of 235 g/T silver. Tailings at the Vacas site are estimated at 194,545 tonnes with a silver grade of 163 g/t Ag. The total estimated Historic Resource amounts to 1,349,000 tonnes grading 200 g/t Ag, 0.16 g/t Au, 2.75% Pb and 2.6% Zn. The Company's Qualified Person, Jan Helsen, Ph.D., P.Geo., has not done sufficient work to classify the historical estimate as current mineral resources or mineral reserves. This estimated Historical Resource should not be treated as current mineral resources or reserves as defined in NI 43-101 and should therefore not be relied upon.

Several other areas of interest have been recognized and will represent important exploration targets within this large group of mining claims. Most importantly the fully developed mining ramp gives ready access to visible underground mineralization for verification of historic exploration and drill data. It is anticipated that this acquisition could significantly impact and help to support the increase in capacity at the La Parrilla milling operation.

Construction of an 800 tpd mill at the La Parrilla is almost complete. Construction began in March of this year and was scheduled for completion in August. The old mill has now virtually been replaced by a newer and much larger facility. In order not to stop production at the present mill, one 400 tpd line will be brought online at a time. The first line will be brought online in September and the second line will be brought online in October, bringing total production levels to 800 tpd.

In addition, the potential within the mine claims area is very promising. A systematic approach will be undertaken to evaluate the other mineralized structures including grades, quality, density, continuity, dimensions and other characteristics of these areas. There are indications of extensive additional mineralized zones within the property that require follow up to determine their volume and concentrations and economic viability.

The Company has already initiated the process of verification through underground sampling and is planning on twinning several historically drill intersections under the supervision of the Company's Qualified Person, Mr. Jan Helsen, Ph.D., P.Geo., in order to upgrade the Historic Resource to NI 43-101 compliance. One of the five rigs presently drilling at La Parrilla will be moved to these areas to begin this process.
