SBE and Neonode Announce Execution of Merger Agreement

SAN RAMON, Calif.--(BUSINESS WIRE)--SBE, Inc. (Nasdaq:SBEI - News) and Neonode, Inc., a privately-held, Swedish mobile handset developer, announced today the execution of a definitive merger agreement. Although the exact number of shares to be issued in the merger will be determined at closing according to a formula contained in the merger agreement, it is currently estimated that SBE will issue approximately 57 million shares of its common stock in exchange for outstanding shares of Neonode common stock and will assume options and warrants exercisable for approximately 17 million additional shares of SBE common stock. It is expected that the current board of directors of Neonode will become the board of directors of SBE upon the closing.



SBE expects to complete the transaction in its second fiscal quarter, subject to satisfaction of closing conditions set forth in the merger agreement. In addition to customary closing conditions, the transaction is subject to the approval of the SBE and Neonode stockholders and a reverse split of SBE's outstanding common stock. The number of shares referenced above is presented on a pre-split basis. After the merger is completed, the combined company's headquarters will be in Stockholm, Sweden, where Neonode's corporate headquarters and research and development activities are located. The combined company's stock is expected to continue to trade on the Nasdaq Capital Market.

Swedish Mobile Phone Sets the Trend for 3GSM

Neonode Receives Order From MyPhone in Greece

STOCKHOLM, Sweden--(BUSINESS WIRE)--Neonode, a Swedish developer of mobile devices and a pioneer in buttonless, touchscreen mobile phones, announced an order for the new Neonode N2 from MyPhone in Greece.

Neonode recently signed a distribution agreement with MyPhone, a distributor of mobile phones, Bluetooth accessories and mobile enhancements in Greece, Cyprus and south-eastern European countries. MyPhone also has well-established cooperation agreements with local mobile networks and retailers in all its markets.

Handy-Display durch Streicheln bedienen
Touchscreen-Steuerung geschieht durch Unterbrechen von Lichtwellen
Das schwedische Unternehmen Neonode hat auf dem 3GSM Congress in Barcelona ein 70 Gramm wiegendes, kompaktes Mobiltelefon vorgestellt, das durch eine besondere Bedienung auffällt: Es wird zwar wie so viele Smartphones und PDAs mit einem Touchscreen bedient, nutzt aber zur Abtastung Lichtwellen. Dadurch muss kein Druck auf den Bildschirm ausgeübt werden und es genügt ein Streicheln, um Befehle auszuführen.

Der Touchscreen im Neonode N2 arbeitet mit einer anderen Technik als man es bisher gewohnt ist. Ein zwei Millimeter dicker Rahmen schickt ständig Lichtwellen vom linken Displayrand zum rechten und vom oberen Rand zum unteren. Damit misst der Touchscreen, an welcher Stelle Befehle ausgeführt werden sollen und es muss kein Druck ausgeübt werden, um Befehle auszuführen.
Neonode N2

Wird also der Lichtstrahl durch den Finger unterbrochen, wird der entsprechende Menüpunkt aufgerufen. Dabei ist das Display in drei horizontale Lichtfelder eingeteilt, die die drei nebeneinander abgebildeten Menü-Icons abdecken. Die Navigation des 47 x 77 x 14,7 mm kleinen Mobiltelefons hat im Kurztest gut funktioniert. In den tieferen Ebenen verwirrt die Navigation aber leicht, weil nicht klar wird, ob der Nutzer schon in der tiefsten Menüebene angekommen ist. Erstmals zeigte Neonode diese Steuerung bereits im Vorgängermodell N1, das 2003 vorgestellt wurde.

Ein herkömmlicher 4-Wege-Navigationsknopf unterstützt die Bedienung in manchen Menübereichen. An einem 5-Wege-Navigator wird noch gearbeitet, der dann auch durch Druck auf die Mitte die OK-Funktion ausführt. Neonode setzt im N2 auf WindowsCE 5.x, machte aber keine Aussagen dazu, inwiefern auf das Mobiltelefon neue Applikationen aufgespielt werden können.
Das 2 Zoll große Display stellt bis zu 65.536 Farben bei einer Auflösung von 176 x 220 Pixeln dar. Helligkeit oder Kontrast kann der Nutzer nicht selbst einstellen und diese Werte passen sich auch nicht automatisch den Lichtverhältnissen an. Insgesamt enttäuschte das Display im Kurztest - denn der Betrachtungswinkel ist sehr gering, so dass immer nur der Gerätebesitzer die Handy-Inhalte erkennen kann. Weil das Display dann auch noch stark spiegelte, ließen sich die Inhalte aber ohnehin nicht gut ablesen.

Das Neonode N2 funkt auf den GSM-Frequenzen 850, 900, 1.800 sowie 1.900 MHz und unterstützt GPRS. Das Mobiltelefon besitzt eine 2-Megapixel-Kamera für Schnappschüsse und Videoaufnahmen sowie einen HTML-Browser. Mit einem passenden Media-Player lassen sich Musikdateien der Formate MP3, WAV und WMA abspielen und Videos versteht das Gerät in den Formaten MPEG4 und WMV.

Das Mobiltelefon besitzt zudem eine Software namens Web Radio Recorder (WRR), die kostenlos Musik von Webradiosendern aufzeichnet. Kalender- und Adressdaten können via SyncML mit dem PC abgeglichen werden. Als Speichererweiterung dient eine Mini-SD-Karte, die jedoch unglücklich unter dem Akku platziert ist. Im Lieferumfang soll eine 1-GByte-Karte enthalten sein. Ab April 2007 will Neonode auch die ersten SDHC-Karten von Toshiba für sein Mobiltelefon anbieten. Bis Ende des Jahres erwartet der Hersteller Speicherkarten mit 8 GByte Kapazität.

Neonode gibt die Akku-Gesprächszeit mit 4 Stunden an, im Stand-by-Betrieb soll das Handy 8 Tage durchhalten.

Unklar ist derzeit, ob und wann das Neonode N2 in Deutschland auf den Markt kommt. Den Vorgänger N1 hat es jedenfalls nicht breit im Handel gegeben. Neonode sieht die Ursache darin begründet, dass das Gerät mit 550,- Euro ohne Vertrag zu teuer war. Das aktuelle Modell soll 395,- Euro kosten und Neonode verhandelt derzeit mit europäischen Mobilfunknetzbetreibern darüber, das Mobiltelefon breit anzubieten.

Technikfreaks, Nerds und Gadget-Liebhaber: Bei den Herstellern von Unterhaltungselektronik sind diese selbsternannten Technikexperten berüchtigt für ihre Fähigkeiten, Produktfehler aufzudecken und leere Marketingphrasen bloßzustellen. Traditionell gelten die Sympathien dieser Szene eher den kleinen Underdogs als den großen, bösen Herstellern - Star Wars lässt grüssen. Apple gehörte zwar eigentlich in die erste Kategorie, doch seit dem Erfolg von iPod und iTunes sinkt die Gunst des kalifornischen PC-Herstellers rapide. Angesichts des großen Tamtams bei der Präsentation des ersten Apple-Handys war das iPhone natürlich ein gefundenen Fressen für die verschworene Gemeinde weltweit vernetzter Elektronikliebhaber: Den Anfang machte ein uraltes Motorola-Patent zum automatischen Kippen des Displays - angeblich eine Erfindung von Apple. Dann stießen findige Handy-Fans auf die Firma Neonode, die in ihrem Modell N1 Apples viel gerühmte Gestenerkennung vorweggenommen hatte. Nun präsentiert der schwedische Hersteller den Nachfolger N2. Kann das Handy dem übermächtigen Konkurrenten Paroli bieten?
Tastenlose Zukunft
Rein äußerlich sind die Ähnlichkeiten zwischen iPhone und N2 nicht zu übersehen: Das Gehäuse wird beherrscht vom Display, darunter eine einzelne Taste. Doch das N2 fällt deutlich kleiner aus, mit nur 70 Gramm ist es zudem gerade einmal halb so schwer wie der Konkurrent mit dem Apfel. Die geringeren Abmessungen wirken sich leider auch auf das Display aus, eine Auflösung von 176 x 220 Pixeln ist bei 2-Zoll Bildschirmdiagonale nicht mehr zeitgemäß - das gleiche gilt für die Farbtiefe von 16 Bit bzw. 65536 Farben. Genauso revolutionär wie beim iPhone ist dagegen die Bedienung des Winzlings: Nummern oder Buchstaben gibt man einfach auf dem Display ein, eine Tastatur ist genauso überflüssig wie ein Stift. Dank eines patentierten Lichtschranken-Systems muss man
dazu das Handy nicht einmal berühren - damit bleibt das Display vor hässlichen Fettflecken verschont.
Das Jedermann-Betriebssystem
Auch in Sachen Betriebssystem stemmt sich das N2 gegen das iPhone. Während das Star-Handy aus Kalifornien mit einer Sonderversion von Apples OS-X läuft, greift Neonode auf Open-Source zurück und erntet so den Applaus der Programmierer-Fraktion. Denn während das iPhone wohl auf längere Zeit nur mit Apple-Software laufen wird, kann jeder findige Programmierer Applikationen für das N2 entwickeln. Wie sich die Betriebssysteme aber in Sachen Sicherheit, Geschwindigkeit und vor allem Stabilität verhalten steht freilich noch in den Sternen. Gerade in Sachen Benutzerfreundlichkeit ist OS-X aber schon jetzt legendär.
Kopf an Kopf-Rennen
Bei der sonstigen Ausstattung gibt sich das N2 keine Blöße. Telefoniert wird per Quadband-Technologie, auf UMTS verzichtet das Handy ebenso wie das iPhone. Den Speicher für den MP3-Player liefert eine miniSD-Karte, eine 1 GB-Version soll sogar mitgeliefert werden. Für musikalische Unterhaltung sorgt zudem ein integriertes Webradio. Die Kamera hat eine Auflösung von 2 Megapixeln und ist somit eher nebensächlich. Für die Datenübertragung mit dem heimischen PC stehen USB 2.0 und Bluetooth zur Verfügung. Auch wenn das N2 in diesen Punkten deutlich hinter dem iPhone zurückbleibt - mit einem Preis von 395 Euro und dem Marktstart noch in diesem Frühjahr hat das schwedische Handy zwei schwerwiegende Gegenargumente. Einigkeit zwischen beiden Konkurrenten besteht übrigens in der Wahl des Herstellers - Balda stellt sowohl das N2 als auch die Displays des iPhone her.
