UPDATE 1-Chile's SQM jumps after Potash Corp rejects bid
SANTIAGO, Aug 17 (Reuters) - Chile's fertilizer SQM shares jumped over 6 percent on Tuesday after Potash Corp, a key stakeholder, said its board rejected an unsolicited $39 billion offer from miner BHP Billiton.
Potash, which has a 32 percent stake in SQM, surged nearly 28 percent at 10:39 a.m. EDT (1439 GMT).
The bid reflects BHP desire to capitalize on a resurgence in the global fertilizer industry following a collapse in demand during the global economic slowdown.
Analysts said a steep recovery in the fertilizer business and expectations of a higher counter-bid by BHP boosted views for SQM's asset value.
BHP said it continues to review its options and will make a further announcement in due course.
SQM, which holds many concessions in mineral-rich Chile, is one of the world's top producers of iodine and lithium.
Shares in SQM are trading near seven-month intraday highs at 21,300 pesos, but still far from the all-time record of 29,100 pesos per share seen in mid 2008.

Potash Rejects $38.56 Billion Takeover Bid by BHP Billiton
AUGUST 17, 2010, 9:51 A.M. ET
By TESS STYNES
Potash Corp. of Saskatchewan Inc. said Tuesday it has received and rejected an unsolicited $38.56 billion takeover bid from BHP Billiton Ltd., calling the proposal from the cash-rich mining company "grossly inadequate" and not in shareholders' interests.
In response, the world's biggest potash producer also adopted a shareholder-rights plan to prevent anyone from building more than a 20% stake in the company.
BHP offered $130 a share, a 16% premium to Potash's Monday closing price. Shares in Potash were up 29% at $144.47 in recent premarket trading. The stock through Monday had climbed 23% this year.
The announcement drove a number of other fertilizer stocks higher on hopes of takeover interest in the space. Among others, Mosaic Co. rose 13% to $57.71 while Intrepid Potash Inc. climbed 11% to $26.70.
BHP's interest in Potash comes at a time when the fertilizer industry is trying to consolidate to take advantage of growing demand for wheat. Monday, Agrium Inc., Canada's second-biggest fertilizer producer behind Potash, made an unsolicited bid for Australian wheat exporter AWB Ltd., as it seeks to make Australia its launch pad to service the growing Asian markets.
Wheat prices have surged this year as result of a drought in Russia, and heavy rains in Western Canada and China.
However, if Agrium's attempt to expand through acquisitions is any evidence, BHP may struggle in its bid to finalize a deal with Potash. For AWB, Agrium is pitted against Graincorp Ltd. of Australia. Graincorp had already agreed to acquire AWB.
Earlier this year, Agrium lost in a four-way battle to buy fertilizer producer CF Industries Holdings Inc. of Deerfield, Ill., in an attempt to become the world's second-largest publicly traded producer of nitrogen-based nutrients. Still, Agrium has completed nine acquisitions valued at about $3.4 billion in the past five years.
Potash Chairman Dallas J. Howe said the offer fails to reflect the fertilizer company's "unparalleled further growth prospects." The fertilizer industry has continued to rebound from slumping demand last year. Last month, Potash said its second-quarter profit more than doubled and boosted its 2010 earnings guidance.
The board reiterated the company's belief that it is on the "verge of an inflection point" in which demand will return to historical growth patterns, supplies will tighten and prices will improve.
BHP Billiton said Tuesday that it made the offer and added that it continues to review its options and "will make a further announcement in due course."
The deal "makes strategic sense as it could see BHP Billiton control about 30% of the potash market," said Charles Kernot, equity analyst at Evolution Securities. Potash Corp. produces 14 million tons of potash annually and accounts for about 22% of global production, Mr. Kernot said.
BHP is currently developing its Jansen project in Saskatchewan. Jansen is expected to produce as much as eight million tons of potash a year at a projected cost of about $12 billion, he added.
BHP's American depositary shares were down 1.3% premarket at $71.03.
