      American Superconductor (AMSC) shares are getting a lift today from rumors that the company might be a takeover target for ABB (ABB) , the Swiss utility construction company formerly called Asea Brown Boveri. I suppose that makes sense on the surface; AMSC designs wind turbine systems, provides “smart grid” technology and sells electrical control systems. TheFlyOnTheWall.com says the rumor is that ABB will bid $47 a share. TheFly notes that last month there were rumors of a bid from General Electric (GE).


      DEALTALK-Wind power puts American Superconductor in play

      BANGALORE, Oct 12 (Reuters) - The allure of a bigger share of the fast-growing wind power market might force larger engineering companies to target American Superconductor Corp, a maker of electrical systems that run wind farms and turbines.

      Shares of American Superconductor, which also offers smart grid infrastructure technologies, closed up more than 6 percent Friday on chatter that Swiss engineering group ABB Ltd could be in talks with the Devens, Massachusetts-based company.

      'I think it (the deal) is a possibility,' analyst Pavel Molchanov of Raymond James said.

      ABB is a large player in electrical engineering, including power grids, and so it could be a potential buyer for American Superconductor as it would add to its portfolio, Molchanov added.

      Analysts said General Electric Co, Siemens or any other competitor of ABB could be a potential suitor for American Superconductor, whose key customer is China's Sinovel Wind.

      'We never comment on rumors,' said Jason Fredette, American Superconductor's director of investor and media relations. 'We do not talk about M&A activities or anything along those lines.'

      ABB spokesman Thomas Schmidt also refused to comment on what he called 'market rumours.' The company, which also competes with France's Areva, had earlier said it was looking for 'bolt-on' acquisitions.

      Molchanov said American Superconductor is an expensive stock and an acquisition of the company would be dilutive to the purchaser, at least initially, but the long-term benefit in terms of new products and R&D would outweigh the cost.

      Shares of American Superconductor trade at a whopping 207 times their forward earnings, compared with the electrical components and equipment sector, which trades at a multiple of 30 times.

      American Superconductor, which draws about 70 percent of its revenue from Sinovel Wind, beat the tide of recession, helped by the strong wind energy market in China.

      While some analysts said a possible deal would not have any impact on Sinovel, others said China's largest wind turbine maker might have to renegotiate its major contracts with American Superconductor.

      The company's overall revenue for the fiscal year ended March 2009 was about $183 million.

      Shares of the company have risen by 157 percent in the past year, as governments set emissions targets and unveil subsidies for technologies to combat climate change.

      RICH PICKINGS

      The booming wind power business is set to see a flurry of deals as companies scramble to get a share of the fast-growing renewable energy pie.

      Industry experts and company executives expect investments in green technologies, sometimes referred to as cleantech, to pick up significantly as early as this fall, with continued improvement through 2010.

      Renewable energies dominated by biomass -- such as firewood -- and including wind, hydro, solar and tidal power made up 13 percent of world energy demand in 2006, according to the International Energy Agency.

      French turbines-to-trains group Alstom is said to be well placed to be a buyer in wind as it plays catch-up with more established rivals such as Denmark's Vestas, Spain's Gamesa, India's Suzlon Energy and Germany's Siemens.

      'I think there is probably going to be more consolidation on the wind turbine vendor side, rather than on the components side,' analyst Ben Schuman of Pacific Crest Securities said.

      Analysts said a possible acquisition of American Superconductor would boost ABB's position in the power grid infrastructure market and bolster its presence in China.

      American Superconductor makes superconductor power cable systems that reduce transmission losses by a great extent and can be used in smart grids, which refer to power systems that can respond immediately to changes in supply and electricity prices.

      The Chinese market is very important because of its commitment to wind energy and also due to easy availability of funds, analyst Vijay Singh of Janco Partners said.

      'I can see what ABB would want to acquire -- a nice little backlog book and a good presence in China,' Singh added.

      Shares of American Superconductor were trading down a percent at $32.81 Monday afternoon on Nasdaq. ABB shares were up 2 percent at $21.18 on the New York Stock Exchange.

Auch wenn das Thema Übernahme nicht mehr ganz so heiß ist, das operative Geschäft läuft super. Die Chinesen geben weiterhin vollgas und Power Geschäft läuft auch sehr gut. Mittelfristig winken dann auch noch gute Geschäfte mit HTS!

AMSC verdient momentan mit den "anderen Produkten" (außerhalb der Superconductors) richtig gut Geld. Und dieses Geld können Sie dann wieder in die Produktion der Superconductors stecken - ohne permanent die Aktionäre anpumpen zu müssen.

      In USA wird das Thema Supercondutors aúßerdem viel stärker durch öffentliche Aufträge gepusht. In Europa leider noch nicht so der Fall. Nachteil Zenergy.

      Grundsätzlich würde ich hoffen, dass es mind. zwei Hersteller dieser Kabel zukünftig gibt. Alleine wird es Zenergy aber nicht schaffen. Zenergy ist daher für mich ein Übernahmekanditat - evtl. durch Siemens, Alstom oder ABB.

      American Superconductor investor extends buying streak

      American Superconductor Corp.’s (Nasdaq:AMSC) largest investor, a wealthy telecommunications businessman, continued his string of major buys in the company with a $5.2 million stock purchase this week.

      Since the start of 2011, Kevin G. Douglas has spent $28.2 million acquiring shares in the Devens, Mass.-based power technologies firm, according to insiderinsights.com. He began buying a year ago, and since then has bought a total of $122.7 million worth of shares, according to the website.

      Douglas is founder and chairman of the privately-held Douglas Telecommunications Inc. of California, and has never had an active role at American Superconductor, the company recently told the Wall Street Journal. Douglas declined to explain his interest in the company to the newspaper.

      Douglas is easily the largest holder of American Superconductor stock, with about 14.4 percent of the company, or 7.28 million shares.

      Shares in the company were up about 3 percent as of 10:45 a.m. Friday, to $24.31. The stock has ranged between $21.70 and $38.88 over the past year.

      Earlier this month, the company said it planned to acquire a Finnish power technologies firm for $265 million, extending its technology portfolio and customer base in the wind power sector.

      American Superconductor does most of its business in electrical components and designs for wind turbines, though the company has begun to diversify into superconductors, a high-temperature wire the company says can carry 150 times the electrical current of similar-sized copper wire.

      The company is forecasting fiscal 2010 revenue in the range of $430 million to $440 million, and profit in the range of $44 million to $46 million.

      On March 31, 2011, Sinovel Wind Group Co., Ltd. (Sinovel) refused to accept contracted shipments of 1.5 megawatt (MW) and 3 MW wind turbine core electrical components and spare parts that AMSC was prepared to deliver. AMSC believes that Sinovel intends to reduce its level of inventory before accepting further shipments.

      These delayed shipments are the primary cause for lower-than-anticipated financial results for AMSC's fourth quarter and full fiscal year 2010. AMSC currently expects total revenues for its fourth fiscal quarter will be less than $42 million and that it will generate a net loss for the fourth quarter on both a GAAP and non-GAAP basis. As a result, AMSC currently expects its full year fiscal 2010 revenues to be less than $355 million. This compares with the company's prior forecast for fiscal 2010 revenues of $430 million to $440 million. AMSC also expects that its GAAP and non-GAAP earnings for full year fiscal 2010 will be well below the company's previous forecasts.

      AMSC estimates that its balance of cash, cash equivalents, marketable securities and restricted cash as of March 31, 2011 was approximately $240 million. This is down from $260.5 million as of December 31, 2010. AMSC's cash balance was negatively impacted by an increased inventory level related to the refusal of shipments by Sinovel, and Sinovel's failure to pay AMSC for certain contracted shipments made in fiscal year 2010. As a result of both accumulated aged accounts receivable due to payment delays and Sinovel's recent refusal to accept March deliveries, AMSC is reviewing the appropriateness of the timing of its revenue recognition on approximately $56 million of unpaid shipments in the second, third and fourth quarters of fiscal 2010.

      AMSC continues to have active discussions with Sinovel to determine when Sinovel will accept further shipments and when it will pay for past shipments. In the meantime, AMSC has taken certain actions to reduce expenses, and the company is in the process of implementing plans to better align spending with near-term revenues while continuing to maintain a high level of service and support for its global Wind and Grid customers.

      Durch die Atomkrise wird das Thema Windkraft insgesamt wieder an Fahrt gewinnen, auch in China. Damit werden auch die Bestellungen wieder anziehen, nicht nur von Sinovel sondern auch von den anderen Kunden. Sinovel kann es sich auch nicht erlauben, AMSC zu stark zu verägern - ich bin mir sicher, dass Sinovel ganz heiß auf die Supraleiter und Sea Titan Design ist.

McGahn, President and Chief Operating Officer, has been appointed Chief Executive Officer and a member of the Board of Directors, effective June 1, 2011. Dan McGahn succeeds founder Gregory J. Yurek, who is retiring after more than two decades of service to the company as part of the CEO succession plan that has been discussed with the Board of Directors since late 2010. Yurek, 64, will continue to serve as Chairman of the Board until the company's annual meeting of stockholders in August and as a Senior Advisor to the company for the next two years.

In this latest role, McGahn was responsible for the company's day-to-day global operations.

      NEW YORK (AP) -- Shares of American Superconductor Corp. took a big hit in premarket trading Wednesday after the company warned that it expects full-year revenue to be lower than it had previously forecast and postponed its annual report.

      The company, which makes technology for wind turbines and power utilities, did not give a specific guidance. It also said Tuesday it will delay filing its annual report because it needs more time to prepare and audit its financial statements. The company, whose fiscal year ended March 31, said it is reviewing its revenue from shipments to customers in China over the last fiscal year.

      In April, American Superconductor forecast revenue below $355 million for the year. Analysts polled by FactSet are expecting $364.7 million.

      Citi Investment Research analyst Timothy Arcuri said" the company will have more restatements, the company's lowered expectations set the stage that revenue from Sinovel Wind Group Co., the customer in China, could be close to nothing in the fourth quarter. That's down from about $80 million in the prior quarter, he added.

      Shares fell $1.41, or 13.2 percent, to $9.28 in premarket trading.

      American Superconductor Restates Over Unpaid Shipments

      Wind turbine company American Superconductor this afternoon said it will restate results for the September and December quarters due to the lack of payment for shipments to certain Chinese customers – not including Sinovel Wind Group. The company added that in the case of Sinovel Wind the company has concluded that a cash-based method of accounting should have been applied. In April, American Superconductor shares swooned after it disclosed that Sinovel had refused to take shipment on previously ordered turbines and spare parts.

      The company noted that in the June quarter no shipments were made to Sinovel and no payments were received.

      American Superconductor said revenues for the September 30 quarter will be reduced to $98 million, down from $101.5 million, with the December quarter reduced to $43 million, from $114.2 million. For the March 2011 fiscal year, the company expects to report revenue of about $307 million, well short of the Street consensus at $359.9 million.

      The company said it has not yet completed its financial statements for the fiscal year ended March 31.

      Update: Jefferies analyst Jesse Pichel this afternoon repeated his Underperform rating on the stock, cutting his target price to $6, from $16. “We consider the stock to be uninvestable given the lack of reliable financial statements and no resolution from Sinovel,” he writes. The analyst adds that he expects the company to attempt to “resize” its operations, and that losses are likely for the foreseeable future.
