CanAlaska Acquires Cluff Lake Uranium Project


VANCOUVER, Nov. 27 /CNW/

- CanAlaska Uranium Ltd. (TSX.V - CVV) ("CanAlaska" or the "Company") is pleased to announce the acquisition of the Cluff Lake project data and mineral claims ("Project"), located in the Western Athabasca Basin, from Hawk Uranium Inc. (TSX.V - HUI) ("Hawk").

CanAlaska will purchase 100% of the project from Hawk for 1,250,000 Company shares and a cash payment of Cdn$62,500, subject to the approval of the TSX Venture Exchange. Hawk will retain a 2.5% Net Smelter Return (NSR), 2% of which will be purchasable by CanAlaska for payments of Cdn$2.0 million.

The Cluff Lake claims will be added to those of the Company's existing Carswell project (http://www.canalaska.com/i/maps/carswell1.jpg). These claims are situated immediately west of the past-producing uranium mine and processing facilities at Cluff Lake, which had produced in excess of 62 million lbs U(3)O(8) over 22 years prior to its closure in 2000. They are also located 11 km NW of the Shea Creek Project, an advanced-stage uranium exploration project presently being developed by UEX/AREVA in the same area. Recent announcements by UEX/AREVA have detailed the high-grade uranium mineralization being discovered at the Shea Creek project, and the extensive work programs planned for the project in the coming year. Statements by UEX/AREVA have previously described a world-class uranium mineralizing system associated with the Saskatoon Lake graphitic basement conductor, and a large, long-lived mining operation for the project, with underground development in the preliminary stages.

Over the past year, all of the Project area has been flown using VTEM airborne geophysics technology. The VTEM airborne surveys allow detailed evaluation of magnetic and conductive features, and the associated structural dislocation caused by faulting, to depths greater than was possible during the previous exploration and development of the Cluff Lake mine. These current surveys have provided to CanAlaska evidence of structural breaks and possible mineralization zones.

With the consolidation of the Project mineral claims, CanAlaska will now carry out the next stages of exploration at the Carswell project with the aim of a new discovery, and the potential of forming joint venture partnerships with strategic partners. - Hawk Uranium Inc. (TSX-V:HUI, FRANKFURT:HPM) ("Hawk") announces that following TSX Venture Exchange ("Exchange") approval of a shares-for-debt settlement with service providers (see Hawk's press release of November 2, 2009), Hawk has issued an aggregate of 563,021 common shares at a deemed price of $0.10 per share to five parties to settle an aggregate debt of $56,302.31 for services rendered from February 1, 2008 to July 31, 2009.

In addition, the Exchange has conditionally approved a shares-for-debt settlement with three service providers who are also officers of Hawk, subject to Hawk obtaining majority approval of its disinterested shareholders. Hawk proposes to issue an aggregate of 261,620 common shares at a deemed price of $0.10 per share to those three service providers to settle an aggregate debt of $26,162.04 for services rendered from February 1, 2008 to July 31, 2009. Hawk intends to seek approval of a majority of its disinterested shareholders of this shares for debt settlement either at its next annual shareholders' meeting or by written consent, as permitted under Exchange policies.

Toronto, ON - January 7, 2010 - Hawk Uranium Inc. (HUI) ("Hawk") is pleased to announce the closing of the non-brokered private placement that was previously disclosed in its press releases of September 2, 2009 and November 2, 2009 (the "Private Placement"), in which 2,799,999 common share units (each, a "Unit") were purchased at a price of $0.075 per Unit for aggregate proceeds of $209,999.

Each Unit is comprised of one common share in the capital of Hawk (a "Common Share") and one half of one purchase warrant, each whole warrant being exercisable to purchase one Common Share for three years from the date of issue at a price of $0.15 per share in the first year, $0.20 per share in the second year and $0.25 per share in the third year. The securities are subject to a four-month hold period which expires on May 7, 2010.

In connection with this offering, Hawk has paid cash finder's fees of $8,050, equal to 7% of the funds raised by finders, and issued broker warrants exercisable to purchase 107,333 Common Shares, equal to 7% of the number of Units placed by finders.

The net proceeds from the Private Placement will be used to fund Hawk's exploration and development programs on current and future properties, properties and interests, and to fund general and administrative expenses.

Hawk has received conditional approval of the Private Placement from the TSX Venture Exchange (the "Exchange"). HAWK ANNOUNCES SHARES FOR DEBT AGREEMENT WITH SERVICE PROVIDERS

Hawk Uranium Inc. has reached an agreement with eight of its service providers to settle debt in the aggregate amount of $53,918.03 for certain services rendered during the period from Aug. 1, 2009, to Nov. 30, 2009. The creditors have agreed to settle their respective portions of the debt in exchange for the issuance of common shares in the capital of the company at a price of 10 cents per common share, for an aggregate issuance of 539,178 common shares.


Three of the creditors are also directors and/or officers of Hawk. As part of the shares-for-debt settlement described above, an aggregate of 173,316 common shares would be issued to settle an aggregate of $17,331.60 owing to the insider creditors. Consistent with the policies of the TSX Venture Exchange, Hawk is seeking disinterested shareholder approval of the shares-for-debt settlement with the insider creditors at its next annual and special meeting of the shareholders to be held on Feb. 23, 2010.

The completion of the shares for debt settlement is subject to the approval of the exchange.

HAWK COMPLETES ISSUANCE OF SHARES TO SERVICE PROVIDERS

Following TSX Venture Exchange approval of a shares-for-debt settlement with five service providers, Hawk Uranium Inc. has issued a total of 365,862 common shares at a deemed price of 10 cents per share to five parties to settle a total debt of $36,586.43 for services rendered from Aug. 1, 2009, to Nov. 30, 2009. Of the shares, 161,002 are subject to a hold period under exchange policies that expires on June 9, 2010.

In addition, the exchange has conditionally approved a shares-for-debt settlement with three service providers who are also directors and/or officers of Hawk, subject to Hawk obtaining majority approval of its disinterested shareholders. Hawk proposes to issue a total of 173,316 common shares at a deemed price of 10 cents per share to those three service providers to settle a total debt of $17,331.60 for services rendered from Aug. 1, 2009, to Nov. 30, 2009.

Hawk intends to seek approval of a majority of its disinterested shareholders of these shares for debt settlement at its next annual meeting of shareholders to be held on Feb. 23, 2010.

Drill Program to Commence on the Hawk/MacDonald McNugget JV Property, McFaulds Lake Area

Toronto, March 25, 2010 - Hawk Uranium Inc. (HUI) ("Hawk") has been advised by its joint venture partner, MacDonald Mines Exploration Ltd ("MacDonald" - TSX.V: BMK that a drill program, targeting nickel and VMS style mineralization, will commence on the Hawk/MacDonald Joint Venture - McNugget Property, in the Ring of Fire area, James Bay Lowlands, in late March, 2010.

The Hawk/MacDonald - McNugget JV Property (MacDonald (63.25%) and Hawk (36.75%) is comprised of 6 contiguous mining claims (approximately 3,840 acres) and is enclosed within the larger MacDonald McNugget claim block. MacDonald Mines is the operator and all exploration work will be conducted by MacDonald contractors.

A reinterpretation of previous unexplained anomalous electromagnetic conductors was conducted on Property and these have been interpreted as possible hosts for nickel sulphide (Ni-Cu-PGM) and VMS (Cu-Zn-Ag) targets. The drill program will be managed by Quentin Yarie, P.Geo - the new Vice President of Exploration for MacDonalds, and assisted by consulting geologists Hadyn Butler, P.Geo and Dr. Larry Hulbert, P.Geo.

The drill program is budgeted to conduct approximately 4,400 metres of drilling on the entire McNugget Property, which includes the HUI/BMK joint venture project. A borehole geophysical survey of all diamond drill holes is also part of the drill program.

Hawk is pleased to partner with MacDonald Mines in the 2010 exploration season in the â??Ring of Fire' area of Northern Ontario.

Insgeheim hoffe ich ja auf einen ähnlichen Fund wie bei noront.
Bei nur ca. 45Mio shares outstanding könnten wir hier evtl. einen Lottoschein in der Hand halten...

Naja, mal abwarten. Unser Gebiet ist ja nicht soooo groß. Aber vielleicht hat da ja doch einer Goldklumpen versteckt...

Hier wird schon einige Zeit "Kursschonend" gesammelt!
Angesichts der "wenigen" shares, glaube es waren um die 45 Mio und der jetzigen lächerlichen Bewertung dürfte es hier bald rappeln.
