      Proposed Amendments to Stock Option Plan


      May 28, 2014 (AOI–TSX, AOI–NASDAQ OMX First North) … Africa Oil Corp. (“Africa Oil” or the “Company”) advises that it has had discussions with ISS Proxy Advisory Services Inc. (”ISS”) concerning the proposed amendments to the Company’s stock option plan (the “Plan”) which will be considered and voted on by the Company’s shareholders at the 2014 Annual General Meeting of Shareholders (the “Meeting”), scheduled for Tuesday, June 3, 2014. ISS has confirmed that certain of the proposed amendments do not comply with ISS Policy and that, accordingly, it was ISS’ recommendation that shareholders vote against the proposed amendments at the Meeting.



      In light of those discussions, the Company further advises that, if the amendments are approved by shareholders at the Meeting, it will subsequently propose further amendments to the Plan, as amended, for consideration by the shareholders at the next opportunity and, in any event, by not later than the 2015 annual general meeting. In the interim, the Company agrees that it will not take any action in reliance on the approved amendments provisions that are contrary to ISS policy.



      In particular, if the current amendments are approved at the Meeting, in due course the Company will propose that the following provisions be deleted from the amendment and termination provisions (Article 7) of the Plan, as amended (the “Subsequent Amendments”):



      Section 7.1 (c), which permits amendments to vesting provisions of Options
      Section 7.1(d), which permits the expiration date of non-insider Options to be extended beyond the original expiry date
      Section 7.1(g), which permits a reduction in the exercise price, or the cancellation and reissuance, of non-insider options


      In addition, the Plan would be amended to provide that further amendments allowing for options to be transferable or assignable, other than for normal estate settlement purposes, would not be made without shareholder approval.



      Until such time as these Subsequent Amendments have been approved, the Company will not take any action in reliance on these provisions.



      Africa Oil Corp. is a Canadian oil and gas company with assets in Kenya and Ethiopia as well as Puntland (Somalia) through its 45% equity interest in Horn Petroleum Corporation. Africa Oil's East African holdings are within a world-class exploration play fairway with a total gross land package in this prolific region in excess of 215,000 square kilometres. The East African Rift Basin system is one of the last of the great rift basins to be explored. Seven new significant discoveries have been announced in the Northern Kenyan basin in which the Company holds a 50% interest along with operator Tullow Oil plc.       AFRICA OIL OPERATIONS UPDATE

      May 23, 2014 (AOI–TSX, AOI–NASDAQ OMX First North) … Africa Oil Corp. (“Africa Oil” or the “Company”) provides an update on the Shimela-1 well drilled in the South Omo Block, onshore Ethiopia.

      The well reached a final depth of 1,940 metres and encountered water bearing reservoirs. Shimela-1 was drilled to test a prospect in a north-western sub-basin of the vast Chew Bahir basin. The frontier wildcat well encountered lacustrine and volcanic rocks including almost 100 metres of net sandstone reservoir within siltstones and claystones. Trace thermogenic gas shows were recorded at 1,900 metres.

      The Exalo 205 rig which drilled Shimela-1 will now be moved to drill the Gardim-1 wildcat exploration well in a completely separate sub-basin, in the south-eastern corner of the Chew Bahir basin.

      Africa Oil holds a 30% interest in the South Omo Block. Operator Tullow Oill plc holds a 50% interest and Marathon Oil Ethiopia Limited B.V., a wholly owned subsidiary of Marathon Oil Corporation (NYSE: MRO), holds 20%.

      Keith Hill, President and CEO, commented, “While we are disappointed that this well discovered only minor gas shows, we still believe there is significant potential in the Ethiopian portion of the rift and will continue efforts to explore not only the remainder of this block but also the Rift Basin Area where oil seeps and source rocks in outcrop demonstrate a working petroleum system.“

      Hallo @,
      ich bin gestern mal mittelfristig ausgestiegen . Ich schau aber ab und zu hier rein :-)

      Nachdem am Diensttag Abend die MA 200 unterschritten wurde habe ich die Reißleine gezogen. Gestern dann auch noch die MA50 unterschritten.
      Kursziel ist nun die Schließung des up GAPs bis 7,75 C$.

      …Now onto a few snippets of information coming Keith Hill as he visited Pareto on their Resource Day today on May 21:

      New/changed inf0:

      * Sala AND Shimela results will be coming mid June (Instead of late May for Shimela).

      - Each well will get a separate Press Release.

      - Hill does not know which of these potential basin openers will be reported first.

      * Reserve update due mid June.

      * Test results from Ngamia and Agete due early June.

      * Listing on OMX Nasdaq due end of June.

      * Practically all Majors have contacted Keith Hill (even BP now).

      * Not intending to sell AOI in the near future.

      * Hopes to have a deal made for Horn Petroleum within 3 months (noting that many deals have “fallen on the finnish line” before)

      In Ethiopia the El Kuran-3 well has reached a total depth of 11,575 ft encountering a significant amount of oil and gas penetrated in several intervals. Commerciality studies have commenced to assess the optimal way of developing these reservoirs.

      Moin moin @gabbo62,
      das ist ein sehr guter Artikel mit der meiner Meinung nach objektiven Darstellung der Lage in Kenya.
      Man sieht die Bremsen und der Artikel könnte Grundlage sein für die erforderlichen Strategien auch im politischen Raum. Hoffentlich stürzt nicht alles zusammen, weil sich das Establishment in Kenya nicht vertragen kann und man in Energiefragen den Wald nicht vor lauter Bäumen sieht.
      Rettung und Führung scheint dann zu kommen, wenn sich ein Multiinvestor einbringen würde, der alles bedienen würde: ÖL- und Gasförderung, Pipelineplanung und -bau, Raffinerie, Hafenbau, Absatzmärkte, Befriedigung der betroffenen Bevölkerung durch Sozialtaten und Arbeitsplätze, Befriedigung der politischen Klasse (auch Korruption genannt) - na ja, nur um das Wichtigste zu nennen.
      Weiß jemand, ob sich die Regierung eines kundigen Beraters bedient?
