Laut Capital erfolgt am 10 Mai ein Aktiensplit.
Die Anzahl der Papiere verdoppelt sich auf
160 Mio. Stück. Kürzel ist übrigens MRVC.
In D: 900879. Kurs heute in USA knapp plus
9,75 %. Höchstand war 195. Aktuell 63 21/32

Mir war MRV unbekannt. Hier im Board wohl
auch?! Sollen 2000 (wieder laut Capital)
ZAHLREICHE TÖCHTER an die Börse
bringen. (Zaffire, Charlotte’s Networks,
Hyperchannel an Zuma Networks).

Gewinn 2000: 27 Cent je Aktie
Gewinn 2001: 51 Cent
1999 waren es noch minus 47 Cent.

Umsatz war 1999 knapp 290 Mio.
MK aktuell ca. 1,8 Milliarden.
(Wer weiß übrigens wo ich UMSÄTZE
herkriege. Ist immer noch Mangelware, oder?)

Extreme Networks nutzt laut Ad-hoc
die Glasfaserkomonenten von MVR.

Also, ich bin drin und denke man kann
nicht viel falsch machen, wenn man VOR dem
splitt einsteigt. Commerce One ist nach dem
Splitt um fast 100 % gestiegen. Schaut Euch mal
den Chart an. Bittte jetzt nicht fallendes Messer
rufen. Das war bei Commerce One nicht anders.

Viel Glück wer kaufen will. Ich tippe es geht am
Montag ab bei UNS. Durch den Euro wird zur
Zeit ein Aufgeld bezahlt, das nicht mehr feierlich
ist. Anscheinend kann keiner mehr rechnen.

Wer kauft eigentlich ständig in USA. Da ist der Kurs
ja viel höherer Schwankung ausgesetzt und man kommt
mit seinem Limit ja gut zum Zug. Consors scheint da
ja echt am günstigsten zu sein, oder?

Na, scheint doch gut zu laufen. Schaut euch mal MRVC den US Chart an.
Der Split ist durch. Noch immer kein Interesse???? Auch heute gings weiter hoch! Bin ganz gut im plus und das will was heissen in der jetzigen Phase.

Übrigens Geoworks bin ich auch rein. Läuft auch nicht schlecht.
Heute zwar 11 % runter in USA, aber die letzten Tage 50 % plus.

More than you wanted to know about LMNE IPO (revised 11/05/2000)

Q0)What are the road shows for and when will the one for LMNE be held?

Q1) What happens at the LMNE IPO date?
A1) Trading of 12M LMNE shares owned by CSFB, CIBC, Robertson Stephens Inc, U.S. Bancorp Piper Jaffray Inc, FSVK and those sold at the offering price to their preferred customers commences on the NASDAQ. The 12M shares do not include an additional 1.8M shares for which the underwriters have the option to issue to cover over-allotments, if any.

Q2) What is the date for pricing and what is the date of the actual IPO?
A2) The pricing date will be November 9th. The IPO (public trading) is expected to occur the next day Friday November 10th.

Q3) What and when is the distribution date? When will I actually receive my LMNE shares?
A3) The `distribution date` is the date when a dividend of 144M LMNE shares is distributed to MRVC shareholders. The distribution date is the later of 3 months after the receipt of a favorable private letter ruling from the IRS or 6 months after the IPO.

Q4) What is the ``record date`` and why was it important?
A4) The record date is the date at which the number of MRVC shares outstanding is frozen in order to fix the distribution ratio. Any MRVC shares outstanding as of the record date are eligible to receive the LMNE distribution. Because these outstanding shares have the LMNE dividend attached, the shares may be bought and sold on the open market up to the distribution date.

Q5) How many shares of LMNE will I receive in the distribution?
A5) The exact number of LMNE shares that a MRVC shareholder of record will receive is calculated based on the number of MRVC shares outstanding on the record date. The ratio of LMNE shares for each MRVC share is(144/number of MRV shares outstanding at the record date). See Question 11. Taking the number of MRV shares outstanding as of 80M the distribution ratio would be 144/80=1.8 LMNE shares of each MRV share.

Q6)When will I actually receive my LMNE shares?
A6) If you hold your MRVC shares through a stockbroker, bank or other nominee, that firm will credit your LMNE shares to your account. You should allow several days following the distribution date for this to occur. If you hold your MRVC shares in certificate form, MRVC`s transfer agent, will mail the LMNE certificate shares to you approximately one week following the distribution.

Q7) When will I need to own MRVC shares in order to receive LMNE shares?
A7) You must be an owner of record of MRVC shares by close of market at 4:00 p.m. Eastern Daylight Time on the distribution date. This means you can execute a trade to buy MRVC up until 4:00 p.m. Eastern on the distribution date and still be entitled to the LMNE shares. Shareholders should be aware that if they sell MRVC shares between the record date and the distribution date, they may be selling their right to LMNE shares in the distribution.

Q8) Will the trading price of either MRVC or LMNE affect the number of shares I receive?
A8) No.

Q9) Will the number of MRVC shares I own increase or decrease after the distribution?
A9) The distribution will not change the number of MRVC shares you own.

Q10) What will happen to the price of MRVC after the distribution? Will the price go down?
A10) Yes, the market price of MRVC will decrease immediately after the LMNE distribution because the value of the LMNE shares that was inherent in MRVC will have been extracted and issued to shareholders in form of LMNE shares. Immediately following distribution, MRV shareholders will theoretically hold the same overall value that was held immediately prior to the distribution, however, that overall value will be associated with two separate stocks, MRVC and LMNE, as opposed to the one stock, MRVC, prior to the distribution.

Q11)How many MRV shares will be outstanding at the time of the record date?
A11)The total number of shares of MRV common stock outstanding as of September 30, 2000 was 72,403,510. This number does not include the shares resulting from the conversion of the $90M convertible notes still oustanding. These notes convert at a split adjusted ratio of $13.52375 per share. If as is probable the notes will be converted prior to the LMNE IPO then this will add another 6,654,959 shares. The fully dilluted number of shares is given as 79,816,000 in the Q32000 earnings release. The fully diluted number does not include any subsequent increase in MRV shares stemming from further excercise of employee stock options. These options add up to at least another 4M shares if fully excercised. So it is likely that by the time of the LMNE IPO there will be at least 80M MRV shares oustanding.

Q12) What will happen to the price of MRV stock immediately following the LMNE IPO and during the time period between the IPO and the distribution date?
A12) That depends the market performance of the LMNE stock after the IPO. If, as many here anticipate, the market reacts positively to the LMNE IPO and the value of the stock increases then, since MRV retains 92% of the LMNE stock, during this period the price of MRV stock should increase to reflect the appreciation of the present worth of the perceived value of LMNE stock at the anticipated distribution date discounted for uncertainties (e.g. a favorable IRS ruling) associcated with implementaion of the planned distribution. Additionally the price of MRV stock during this period will be affected by the performance of the remaining MRV business units (ie iTouch,OA and Nbase)and partner startups (eg Zaffire, Zumma, Charlottes Web & Hyperchannel)during this period as perceived by the market.
