ABUJA (Reuters) - Nigeria's petroleum regulator said on Tuesday it stood by its refusal to approve Exxon Mobil's $1.28 billion sale of shares in its Nigerian unit to Seplat after President Muhammadu Buhari approved the transaction.
Nigerian Upstream Petroleum Regulatory Commission (NUPRC) head, Gbenga Komolafe, said under a new petroleum law passed last year, the petroleum minister can only grant consent for such an acquisition upon recommendation from the commission. Buhari also acts as the petroleum minister.
"The issue at stake is purely a regulatory matter and the commission had earlier communicated the decline of ministerial assent to ExxonMobil in this regard. As such the Commission further affirms that the status quo remains," the NUPRC said.

A presidency source told Reuters that Buhari would meet his junior oil minister Sylva Timipre on Tuesday over the issue. Timipre is expected to issue a statement after the meeting, the source added.
The sale is also opposed by state firm NNPC Limited, which argues it has pre-emptive rights to the assets.
Under the Petroleum Industry Act, which was passed last year after nearly two decades in the making, a holder of a petroleum exploration licence cannot "transfer his licence or any right, power or interest without prior written consent of the commission."
The law also says "where the consent of the minister is granted in respect of the application for a transfer, the commission shall promptly record the transfer in the appropriate register."
It is not clear if the petroleum minister's consent can override an objection from the commission.

Da die Dividendenrendite aktuell nur 7,5 % beträgt finde ich eigentlich die Anleihe mit 14 % Rendite interessanter. Allerdings hat die Anleihe eine Stueckelung von 200 Tsd. Dollar und ist fuer Kleinanleger somit nicht handelbar.
es gab jetzt Zahlen fuer das 1 Halbjahr. Die Zahlen an sich schauen sehr gut aus. Das einzige was mich stoert. Mit dem Verkauf von Gas wurde in 2022 weniger erloest wie 2021. Dabei wird einem doch aktuell das Gas aus den Händen gerissen. Hier ist also weiterhin der Preis politisch gedeckelt. Gas macht jetzt nur noch 15 % vom Gesamtumsatz aus. Dabei war doch eigentlich die Gasfoerderung das Zukunftsprojekt schlechthin. Weiterhin gibt es einen schoenen Vorsteuergewinn von 210 Mio, nach Steuern verbleiben nur noch bescheidene 83 Mio. Ich hoffe, dass sich das Verhaeltnis in Kuerze deutlich bessert.

jetzt gibt es auch noch eine Klage, der NNPC gegen den Merger. Ich wuerde mal sagen, dass es dieses Jahr mit der Übernahme nichts mehr wird.
Die Aktionaere sehen das wohl eher positiv. Wenn Seplat die Übernahme mit neuen Verbindlichkeiten finanzieren wollte duerfte das ein Problem werden, da fuer die aktuelle Anleihe XS2325735897 bereits eine Rendite:von 12 % aufgerufen wird.

Ich bin Langfrist-Investor. Für mich ist das Interessanteste an Seplat, dass das Umfeld nicht viel schlechter werden kann. Schließlich hat es einen Grund, warum alle majors bis auf Total raus wollen. Hohe Steuern, Öl-Klau, (Pseudo-)Guerillas, Korruption, ...
Und trotz allem bekomme ich meine 10C Dividende jedes Jahr. Nicht auszudenken, wenn das mal ein Rechtsstaat werden würde, Diebstahl bestraft werden würde, faire Steuern eingeführt würden, ... Irgendwas davon werden sie verbessern müssen, sonst fördert keiner mehr Öl und Gas dort.

Prinzipiell sind die Steuerquoten auf Gewinne hoch, aber Seplat hat noch sehr hohe Verlustvorträge, siehe aktivierte latente Steuern.

Die $45.6 mio sind nur latente Steuern. Angesichts von $1.041 mio aktiven und $879 mio langfristigen passiven latenten Steuern wird es immer mal wieder relativ zum Nettoergebnis hohe Schwankungen in der Steuerquote geben. Buchhaltungs-Gedöns. Am besten gar nicht aufs EAT schaun.

Lagos and London, 19 May 2022: In response to an article published today in This Day newspaper, stating that the Federal Government of Nigeria has declined consent to the acquisition of Mobil Producing Nigeria Unlimited ("MPNU"), Seplat Energy confirms that it has received a letter from the Chief Executive, Nigerian Upstream Petroleum Regulatory Commission ("NUPRC") on the process. The Company has also been notified by the shareholders of MPNU confirming that MPNU received a letter from NUPRC declining their consent.
Under the terms of the Sale and Purchase Agreement ("SPA"), announced on 25 February 2022, which remains valid and subsisting, the Company will further its engagement with all relevant stakeholders.
Seplat Energy is confident that the process to obtain all approvals on the acquisition of MPNU's entire share capital is being followed and will be achieved.
