SOFTMATIC VOLLZIEHT WICHTIGEN SCHRITT AUF DEM WEG ZUR NEUAUSRICHTUNG DES

Norderstedt, 06. Februar 2001. Die am Neuen Markt notierte Softmatic AG
(WKN 727 170) hat weitere Maßnahmen zu den Ende letzten Jahres angekündigten
Restrukturierungen umgesetzt. Neben der Umstellung des inländischen Vertriebs
im Bereich Branchensoftware für die Prozessindustrie auf den Partnervertrieb
hat das Softwarehaus zwei im letzten Herbst beschlossene Akquisitionen nicht
vollzogen.
Der Anbieter von Standardsoftware für den Mittelstand hat seine
Vertriebsstruktur in Deutschland im Bereich Prozessindustrie weitgehend von
Direkt- auf Partnervertrieb umgestellt. Dieser Bereich hat im abgelaufenen
Geschäftsjahr rund 18 Mio. DM Umsatz erwirtschaftet und das Konzern-Ergebnis
erheblich negativ beeinflusst. Mit der in der Prozessindustrie erfahrenen
IncoDev Software-Entwicklung GmbH, Hamburg, wurde eine weitreichende
Vertriebsvereinbarung mit Wirkung zum 01. Februar 2001 geschlossen. Danach
erhält IncoDev das Recht, die Branchensoftware SQLblending deutschlandweit zu
vermarkten. Gleichzeitig übernimmt IncoDev von Softmatic einen Großteil der
laufenden Projekte aus diesem Bereich. Der Markt der Farben- und Lackindustrie
wird weiterhin über die 100%ige Softmatic-Tochter RSW-Orga GmbH betreut, das
europäische Ausland über die bestehenden Auslandsniederlassungen und -
vertriebspartner.
Ebenfalls im Zuge der Restrukturierung des Konzerns hat der Vorstand
beschlossen, die Übernahme von zwei Geschäftsbereichen der Ditec
Informationssysteme GmbH & Co. KG, Ottobrunn, nicht zu vollziehen. Die Carat
Software GmbH (Rechnungswesen) sowie die Solution Software GmbH (Dokumenten-
Management) zusammen sollten in 2001 einen Beitrag von ca. 16 Mio. DM zum
Jahresumsatz des Softmatic-Konzerns leisten.
Der Softmatic-Vorstand versteht diese Maßnahmen als einen weiteren
signifikanten Baustein im Zuge einer umfassenden Neuausrichtung des Konzerns.
Durch Beibehaltung des margenträchtigen Lizenzgeschäfts und gleichzeitiger
Verlagerung des sehr personalintensiven Projektgeschäfts auf qualifizierte
Vertriebspartner verbessert sich die Ertragslage des Konzerns deutlich.
Insbesondere durch die Senkung des Personalbestandes wird sich die
Kostensituation des Unternehmens kurzfristig verbessern. Geplant ist eine
rasche Konsolidierung und konsequente Refokussierung des Konzerns auf dem Weg
zum führenden Software-Anbieter für den Mittelstand, wobei die Bereiche für
branchenübergreifende betriebswirtschaftliche Standardsoftware in Zukunft
stärker an Gewicht gewinnen werden.

SOFTMATIC TAKES IMPORTANT STEP TOWARDS STRATEGIC REORGANISATION
Norderstedt, Germany, February 6, 2001. Softmatic AG (WKN 727 170), which is
listed on the German Neuer Markt, has implemented further measures concerning
its reorganisation announced at the end of last year. The domestic sales
structure for the business unit of industry-specific software for the process
industry has been changed to a partner sales structure, and two acquisitions
decided on last autumn have been reversed.
The supplier of standard software for medium-sized enterprises has changed its
German sales structure in the business unit process industry from a direct
sales strategy to sales through partners, to a large degree. This business unit
which realised sales of roughly DEM 18 million during fiscal 2000, had a
significant negative impact on the consolidated results. A far-reaching sales
agreement with IncoDev Software-Entwicklung GmbH, Hamburg, Germany, was signed
with effect as of February 1, 2001. According to the agreement, IncoDev has the
right to market the software SQLblending throughout Germany. At the same time,
IncoDev takes over the majority of the existing projects in this business unit.
The market for the paints and dyes industry will remain in the hands of RSW-Org
GmbH, a 100% subsidiary of Softmatic. The existing foreign subsidiaries and
sales partners will remain in charge of the European business.
In another restructuring move, the company has decided to reverse the
acquisition of two businesses from Ditec Informationssysteme GmbH & Co. KG,
Ottobrunn, Germany. Carat Software GmbH (accounting software) and Solution
Software GmbH (document management) were to realise total sales of DEM 16
million in fiscal 2001.
For the management board, these measures constitute a further significant
stepping stone towards the strategic reorganisation of the group. Through
keeping the profitable software license business and, at the same time,
relocating the very personnel intensive project business to qualified sales
partners, consolidated earnings will improve significantly. Particularly, the
decrease in personnel will improve the cost situation in the short term. The
goal is a swift consolidation and strict re-focussing of the group towards
becoming a leading software supplier for medium-sized businesses, in which the
commercial software units will play a significantly larger role in the future.
