Elie Samaha is hopping mad.
The prolific producer, whose Franchise Pictures stands accused in federal court of padding budgets on such films as Battlefield Earth and The Whole Nine Yards, is finally speaking -- interrupting his lawyer rather loudly, in fact -- about the circumstances that led to one of the ugliest fights in Hollywood. And not surprisingly, his tale has almost nothing in common with the story told by Intertainment, a once hot Munich-based entertainment company that was formerly Samaha`s biggest financial backer.

Intertainment chief executive Rudiger ``Barry`` Baeres -- tall, boyish, dapper -- portrays himself as a cautious businessman. He says he didn`t quite like the look of the brassy Lebanese producer, but went into business with Samaha because others vouched for him. Samaha depicts Baeres as a slick but star-struck German operator who courted him with hollow promises and used Samaha`s connections with John Travolta, Sylvester Stallone and Bruce Willis to pump up Intertainment`s stock price.

When it comes to appearances -- let`s face it -- Samaha doesn`t start with any advantages: The New York Times Magazine described Samaha last year as a player who, before he made deals with Warner Bros. and Intertainment, seemed ``vaguely sleazy.`` It is well known in Hollywood that Samaha -- in partnership with a number of prominent agents -- owns a celebrity-friendly nightclub called the Sunset Room in which beautiful women surround favored visitors. The Wall Street Journal also described last year how Cuba Gooding Jr. teased Samaha that he was just telling a journalist ``about the prostitution ring you use to finance your films.`` Samaha played along with Gooding`s joke, riffing on how much an evening with some of the women might cost. He then explained that the women at his club were actually invited guests rounded up from modeling and casting agencies, where the club hands out passes.

But Samaha says none of that is relevant to his fight with Intertainment. ``The club is not my world,`` he protests in accented English. ``The club is where I entertain my friends who are actors.``

Samaha is more interested in promoting what he calls his unmatched track record in making big-star movies. ``There is nobody out there doing what I do,`` he says. ``There is no shortage of people paying whatever my price is for these products.`` So he finds it outrageous that, after bestowing his favors on Intertainment, his repayment is this attack. ``I trusted Barry,`` Samaha says bitterly. ``That`s how I got fucked.``

TRAVOLTA AND WILLIS AND COSTNER, OH MY
The war between Intertainment and Samaha became public in December when Intertainment sued, charging that Franchise had ``grossly and fraudulently`` inflated budgets on its films. Franchise countersued Intertainment for breach of contract, fraud and other depredations.

As previously reported on Inside, Intertainment`s suit alleges that the real budget for Get Carter, a bomb starring Stallone, was $44.7 million -- far less than the $63.6 million that Franchise reported to Intertainment. On Travolta`s fiasco Battlefield Earth, Franchise represented the budget to be $55 million; Intertainment puts the real number at $43.8 million. According to the suit, there were such disparities on many other films, including The Whole Nine Yards with Willis ($41.3 million versus $23.6 million); 3,000 Miles to Graceland, with Kevin Costner and Kurt Russell ($61 million versus $40 million); and The Art of War with Wesley Snipes ($36.5 million versus $21.4 million). All told, Intertainment estimated that Franchise had inflated budgets by as much as $124 million on at least 10 films. While the company did not set a figure on the alleged damages, Intertainment threw in alleged violations of RICO, the federal anti-racketeering statute, opening the door for treble damages. ``You could argue that the damage is way beyond what we paid or may have overpaid on these movies,`` Baeres says. ``It goes into a market capitalization that has been erased.``

As Baeres tells it, he wasn`t impressed when he met Samaha in 1998. ``Looking at Elie and the way he talked and behaved, I truly didn`t have much confidence in him, so I didn`t even negotiate with him,`` he says. But a few months later, a salesman whom Baeres had known for years started working for Samaha and vouched for him. And there were others: Morgan Rector, who runs the entertainment unit at Imperial Bank; and Jim Miller, who ran worldwide theatrical business operations at Warner Bros. And Baeres says Worldwide Film Completion, a bond company, stood ready to back Samaha`s budgets. So Baeres insists he ``took all measures of caution and safety to make sure (I) didn`t get screwed.``

According to Samaha, Baeres pursued him eagerly ``the minute he found out what I did and who I was married to at the time, and (that) I was a very good friend of Sly.`` At the time, Samaha was married to actress Tia Carrere. Thanks to Miller, a respected executive, he had deals with Warner and with Morgan Creek. (Miller, it happens, sits on the board of Tarrant Apparel Group, a company run by one of Samaha`s business partners, Gerard Guez. Miller`s daughter also works for Franchise.)

Samaha says Baeres was desperate to buy German rights to three movies that he was developing, including the cop thriller Ernie Popovich with Stallone. Baeres`s ardor was only increased, Samaha says, after he flew to Los Angeles. ``We met, we talked, I take him out to all my clubs, show him the guys I know.``

MISS GERMANY
Samaha sold Baeres the foreign rights to several movies, and Baeres cut him in on Intertainment stock when the company went public in February 1999, selling him 10,000 shares. Intertainment had the most successful IPO of the year on Germany`s then swingy Neuer Markt, and Samaha`s stock immediately shot up fivefold. Meanwhile, Samaha says, Baeres talked a big game about an Internet strategy that included a deal with SightSound Technologies, a Pennsylvania firm that holds a number of patents for downloading films over the Web. In fact, Intertainment owns 26 percent of the company and maintains that it has the potential to take off. (SightSound is still on the launching pad; it filed to float an IPO in April 2000 but canceled in September after the market soured.)

With Intertainment`s shares riding high in May 1999, Samaha says, Baeres made a play at Cannes to buy Franchise in a stock deal that valued the company at $300 million or more. Samaha contends that he balked at selling for stock. But Intertainment maintains that Franchise sought the deal and came up with the $300-million valuation. Baeres says Samaha asked to put off a negotiation because he didn`t want his potential profits to become an issue in his then-pending divorce from Carrere -- a claim that Samaha denies. Samaha contends that when Baeres failed in his pitch to buy Franchise, he pressured a naive and reluctant Samaha into signing a vaguely worded, five-year, 60-picture deal that is now at the center of the dispute.

Perhaps the only point not in dispute is that in May 1999, Intertainment agreed to cough up nearly half of Franchise`s film budgets in exchange for certain foreign rights. As a sweetener, Samaha says, Baeres promised him options on 50,000 shares in Intertainment, which Samaha says he never delivered. Baeres says he told Samaha that he could not grant options to a non-employee, but offered to sell him more stock if he wanted it. Samaha never bought the shares.

Another point of contention revolves around Verona Feldbusch, who was crowned Miss Germany in 1993. Samaha suggests that he dated Feldbusch to ingratiate himself with the actress. Baeres, he says, wanted her to accept a role in Driven. Presumably, Feldbusch -- who has a small part in the race-car film, written by and starring Stallone -- was seen as a lure for German audiences. ``I had to date this fucking girl for two months to get her in the movie,`` Samaha exclaims with apparent exasperation, tossing a calendar depicting the comely actress onto a conference table. Baeres calls Samaha`s story ludicrous.

Baeres also denies Samaha`s allegation that he was taken in by Hollywood glamour and big stars. ``If I were only a little bit involved in that glamour, that partying thing, the first thing I would have done is sell shares (in Intertainment),`` he says. ``I was worth, at one point, over a billion dollars. I never sold a single stock.`` But Baeres, by several accounts, was not entirely immune to the ``partying thing.`` According to Samaha and others, Baeres boasted about a 750-acre island, complete with jet skis and other toys, that he sometimes occupied in the Bahamas. Baeres initially told Inside that he merely leases the place but subsequently acknowledged that he was relying on a technicality when he made that claim. While he does, in effect, own the island, he denies that he used it as anything other than a quiet retreat.

In March 2000, Samaha says, Baeres invited him to the island to negotiate Intertainment`s purchase of Franchise. Samaha recalls: ``He said, `My island, my island, my island.` He said, `Come to my island, we`ll close the deal.` ``

Baeres says he was never especially interested in buying Franchise. And by last May, he says, the existing relationship was starting to take a toll. While Samaha says Baeres had been desperate to get the rights to Travolta`s pet project, Battlefield Earth, Baeres says he was nervous about the film since Germans are hostile in the extreme toward Scientology (the film is based on a book by Scientology founder L. Ron Hubbard). When the movie tanked, Baeres says, ``It took the (Intertainment) stock down.``

In early fall, Baeres started to become suspicious about the budgets for Samaha`s films. When he saw Get Carter, a Stallone movie that was to land with a thud at the box office in the U.S., he says he concluded what his company now alleges in its suit: that the film couldn`t have cost the $60 million that Franchise had claimed. ``I mean, they were just running through the woods most of the time,`` Baeres says of the action in the film. ``How much production value is that?`` Intertainment, claiming technical problems with the film, has never accepted it for distribution in Germany.

Then Intertainment balked at financing City by the Sea, a picture starring Robert De Niro. Baeres claims he would have been overcharged for that film, which is now being financed by other backers (among them is German TV mogul Leo Kirch`s media company, which recently bought the rights to some of Samaha`s pictures). Around the same time, Baeres says, he became concerned about a problem with another movie entitled, perhaps appropriately, Zig Zag.

MY BOMBS ARE SMALLER THAN YOURS
Intertainment`s attorney, John LaViolette, also happens to represent Zig Zag`s director, David Goyer. According to Baeres, Samaha`s company had assured Goyer that he`d have a budget of $3.5 million. But Baeres alleges that Franchise president Andrew Stevens then told a line producer to hold the budget to half that amount. Baeres says that the producer told Goyer what he heard and Goyer, in turn, told his lawyer. When Baeres heard about the low numbers that were being kicked around, he was shocked. Franchise had already presented Intertainment with a budget for Zig Zag of $7.6 million. So if Baeres`s claim is correct, Franchise hoped to make a picture for $1.75 million, while Intertainment, paying what was supposed to be about half the cost, would fork over $3.75 million. He then began making the inquiries that led to the lawsuit. Samaha says the story is absurd. ``How can you shoot a movie in Los Angeles for $1.5 million,`` he asks. ``You`d have to be smoking heroin or something.``

Last November, Intertainment`s stock took a brutal beating when the company announced a profit shortfall; Samaha had allegedly failed to deliver two films -- Get Carter and The Pledge -- as scheduled for European distribution. Samaha says Baeres has trumped up that charge. He says Baeres`s business is in sad shape in part because Kirch has not bought Intertainment product. ``He (said he) was going to bring Leo Kirch down on his knees,`` Samaha exclaims. ``Well, Leo Kirch is the biggest fucking prick in the world, and nobody`s going to bring him down.`` Baeres says Samaha is confusing him with another German executive who was quoted making a similar comment. ``Why would I make such a stupid remark,`` he asks. For the moment, Intertainment is playing hardball. Samaha`s lawyer protested when Intertainment put a confidential letter in the court files showing that Franchise`s president had offered to settle the dispute for $35 million. Franchise says it was willing to settle just to get free of Intertainment.

And in mid-February, Intertainment added Imperial Bank as a defendant in its lawsuit (as previously reported on Inside), charging that the bank knowingly signed off on inflated budgets. The bank declined to comment.

Baeres says he is determined to fight this one out, despite pressure from such industry powers as CAA -- which had played a major role, along with William Morris, in launching Samaha as a producer -- to get the thing over with. ``They (CAA) told me that I should think about the consequences my lawsuit will have on Intertainment,`` Baeres says. But he adds that CAA made it clear the agency wasn`t siding with Samaha.

Meanwhile, Samaha says he`s doing business as usual, with seven films in production. And though several of his recent pictures haven`t done well, Samaha adds, he has done fine considering the odds. ``I did not do Titan AE,`` he says. ``I did not do Rocky and Bullwinkle. I did not do Red Planet. These are what I would call disasters.`` Meanwhile, he says, he`s had one hit (The Whole Nine Yards) and a few misses. He`s still learning the Hollywood ropes. •

Baeres anfangs Inneres gesagt, daß er lediglich die Stelle mietet, aber anschließend anerkannt, auf de er sich verließ, eine technische Einzelheit, wenn er, machte diese Behauptung. Während er in Wirklichkeit die Insel besitzt, leugnet er, daß er es als irgend etwas außer einem ruhigen Rückzug verwendete.

Im März 2000 sagt Samaha, daß Baeres ihn auf die Insel einlud, um Intertainments Kauf des Franchises auszuhandeln. Samaha erinnert sich: "Er sagte, ` meine Insel, meine Insel, meine Insel . ` er sagte, ` kommen meine Insel, wir schließe den Handel . `"

Baeres sagt, daß er nie an KaufFranchise besonders interessiert war. Und bis letzten Mai sagt er, daß die bestehende Beziehung begann, eine Benutzungsgebühr zu nehmen. Während Samaha sagt, daß Baeres dringend die Rechte auf Travoltas Lieblingsprojekt hatte bekommen müssen, sagt Schlachtfelderde, Baeres, daß er wegen des Films nervös war, da Deutsche im Extrem in Richtung Scientology feindlich sind, (der Film auf einem Buch von Scientologygründer L. Ron Hubbard basiert wird). Wenn der Film Tanked, Baeres Mitspracherechte "es nahm den (Intertainment) Vorrat ."

in frühem Herbst, Baeres begann, um über die Budgets für Samahas Filme verdächtig zu werden. Als er sah, bekommen Fuhrmann, einen Stallone Film das sollte mit einem dumpfen Geräusch im Kastenbüro in den USA landen, er sagt, daß er schloß, was seine Gesellschaft jetzt in seinem Anzug behauptet:>>> that the film couldn`t have cost the $60 million that Franchise had claimed. "Ich meine, daß sie nur die meiste Zeit durch die Hölzer liefen," Baeres Mitspracherechte von der Tat im Film. "Wieviel Produktionswert ist das ?" Intertainment, das Anspruch auf technische Probleme mit dem Film erhebt, hat es nie für Verteilung in Deutschland akzeptiert.

Dann schreckte Intertainment davor zurück, Stadt vom Meer, ein Bild zu finanzieren, das Robert DE Niro in der Hauptrolle zeigte. Baeres behauptet, daß er zuviel für diesen Film verlangt worden wäre, der jetzt von anderen Geldgebern (unter ihnen ist die Mediengesellschaft des deutschen Fernsehmogullöwen Kirch, die die Rechte auf einige von Samahas Bildern vor kurzem kaufte) finanziert wird. Um dieselbe Zeit herum sagt Baeres, daß er um ein Problem mit einem anderen eventuell passend Zig Zag berechtigten Film besorgt wurde.

Intertainments Anwalt John LaViolette stellt auch zufällig Zig Zags Direktor David Goyer dar. Entsprechend Baeres hatte Samahas Gesellschaft Goyer gesichert, daß er ein Budget von $ 3,5 Millionen haben würde. Aber Baeres behauptet, daß Franchisepräsident Andrew Stevens dann einen Zeilenerzeuger aufforderte, das Budget zu einhalb zu halten, die betragen. Baeres sagt, daß der Erzeuger Goyer sagte, was er hörte, und Goyer wiederum seinen Rechtsanwalt sagte. Als Baeres von den niedrigen Nummern hörte, die um getreten wurden, war er schockiert. Franchise hatte Intertainment schon ein Budget für Zig Zag von $ 7,6 Millionen überreicht. Also ist, wenn Baeres hat, Behauptung richtig, hoffte Franchise, ein Bild für $ 1,75 Millionen zu machen, während Intertainment, und zu bezahlen, was angenommen wurde, daß es etwa einhalb ist, die Kosten, würde über $ 3,75 Millionen gabeln. Er begann dann, die Anfragen zu machen, die zur Klage führten. Samaha sagt, daß die Geschichte absurd ist. "Wie kann Sie einen Film in Los Angeles für $ 1,5 Millionen schießen," er fragt. "Sie würden Heroin oder etwas rauchen müssen ."

reichen November, Intertainments Vorrat nahm einen brutalen Prügel, als die Gesellschaft ein Gewinndefizit ankündigte; Samaha hatte versäumt, angeblich zwei Filme zu liefern - Fuhrmann und die Zusicherung zu bekommen, als für europäische Verteilung geplant. Samaha sagt, daß Baeres diese Gebühr erfunden hat. Er sagt, daß Baeress Geschäft in trauriger Form in Teil ist, weil Kirch kein Intertainment Produkt gekauft hat. "Er (sagte er) wurde Leo Kirch unten auf seinen Knien bringen," Samaha ruft aus. "Gut Leo Kirch ist der größte verdammte Stich in der Welt, und niemand hat und geht, um ihn herunterzubringen, ." Baeres sagt, daß Samaha ihn mit einem anderen deutschen leitenden Angestellten verwechselt, dem zitiert wurde, einen ähnlichen Kommentar machend. "Warum würde ich solch eine dumme Bemerkung machen," er fragt. Für den Moment spielt Intertainment Hardball. >>> Samaha`s lawyer protested when Intertainment put a confidential letter in the court files showing that Franchise`s president had offered to settle the dispute for $35 million. Franchise sagt, daß es bereit war, gerade zu erledigen, von Intertainment frei zu werden.

Und in Mitte Februar fügte Intertainment imperiale Bank als ein Angeklagter in seiner Klage (als zuvor drinnen berichtet) hinzu, die behauptete, daß sich die Bank bewußt auf aufgeblasenen Budgets abmeldete. Die Bank lehnte es ab, zu kommentieren.

Baeres sagt, daß er diese trotz Druck von solchen Industriekräften als CAA auszufechten festgestellt wird, -welches hatte eine größere Rolle gespielt, zusammen mit William Morris beim Einführen von Samaha als ein Erzeuger, um das Ding zu bekommen mit. "Sie (CAA) sagten mir, daß ich über die Folgen nachdenken sollte, die meine Klage auf Intertainment haben wird," Baeres sagt. Aber er fügt hinzu, daß CAA es dazu brachte, die Agentur zu räumen, unterstützte Samaha nicht.

Inzwischen sagt Samaha, daß er Geschäft macht, als üblich, mit sieben Filmen in Produktion. Und, obwohl mehrere seiner neuen Bilder nicht gequollen sind, fügt Samaha hinzu, daß er es getan hat und den Kleinkram schön berücksichtigt. "Ich tat keinem Titanen AE," er sagt. "Ich tat es nicht felsig und Bullwinkle. Ich machte keinen roten Planeten. Dies sind das, was ich Katastrophen nennen würde, . "inzwischen er sagt, daß er (die ganzen neun Yard) geschlagene eins und einige Fehlschläge gehabt hat. Er erfährt immer noch, daß das Hollywood seilt. •
