Das wären also rund 4$ Bewertung pro Reserve.

Was ist Deine Meinung??
Was ist Deine Meinung??

@Kasienka
Was denkst Du beim Ölpreis?

Nelson Resources enters into negotiations with Lukoil
2005-09-30 02:00 (New York)
/THIS PRESS RELEASE IS NOT FOR DISTRIBUTION TO UNITED STATES NEWSWIRE SERVICES
OR FOR DISSEMINATION IN THE UNITED STATES/
TORONTO, Sept. 30 /CNW/ - Nelson Resources Limited of Bermuda (TSX/AIM:
NLG) (Nelson) today announced that it has entered into an agreement to
negotiate with Lukoil Overseas Holding Ltd. (Lukoil) concerning a proposal
received from Lukoil to acquire 100% of the fully diluted common shares of
Nelson for US$2,000,000,000 (US$2 billion) in cash, which based on currency
exchange rates as of September 29, 2005, equates to a per share value of
approximately GBP1.24 (GBP/US$1.7618) and CDN$2.57 (CDN$/US$1.1725).
A special committee of Nelson`s board of directors was established to
review, with the assistance of independent counsel, this proposal and to
protect shareholder interests, particularly minority interests, in this
process. A financial advisor has been retained to render an opinion to the
special committee with respect to the fairness of the consideration offered
under the transaction to the shareholders. The special committee has been
particularly focussed on ensuring that any offer would be made for 100% of the
shares of Nelson.
Lukoil`s proposal is subject to a number of customary conditions
including support agreements with Nelson`s principal shareholders owning in
aggregate approximately 57% of outstanding shares, government and regulatory
approvals, and negotiation and execution of definitive transaction agreements
with customary provisions for transactions of this nature, including a 3%
break fee. The parties have agreed to negotiate the definitive agreements by
October 12, 2005. Nelson`s obligation to proceed is subject to receiving the
opinion of its financial advisor that the consideration under the offer is
fair to the shareholders from a financial point of view.
There can be no assurance that a transaction will proceed or be
successfully completed. Details of the terms of any final proposal will be
disclosed upon signing of definitive agreements.
Nick Zana, Nelson`s CEO and Chairman, noted that, "It is our goal to
ensure that minority shareholders are treated fairly and are afforded the
opportunity to participate along with and on the same basis as the majority
shareholders in this transaction."

Das waeren also CAD 2,57 pro Aktie.
Vielleicht jetzt? Der Ausbruch ist ja schon mal gelungen. Schaut Euch mal Gazprom an.

`We see this offer as grossly inadequate ...`

UPDATE 4-LUKOIL bids $2 bln for Nelson, sees large borrowing
Fri Sep 30, 2005 11:11 AM ET
(Rewrites with new borrowing plans)
By Dmitry Zhdannikov
MOSCOW, Sept 30 (Reuters) - Russian oil major LUKOIL (LKOH.RTS: Quote, Profile, Research) revealed an acquisition spree on Friday, bidding $2 billion for oil firm Nelson Resources (NLG.TO: Quote, Profile, Research) and announcing plans for a massive return to international capital markets.
Its offer for Toronto-listed Nelson, which has all its assets in Kazakhstan, is at a 15 percent discount to the market value of a firm with large potential reserves in the ex-Soviet republic.
LUKOIL investor relations chief Gennady Krasovsky told Reuters the company was planning a "massive" borrowing to fund acquisitions, including Nelson and also Lithuania`s Mazeikiu (MNF1L.VL: Quote, Profile, Research) refinery from the fallen oil firm YUKOS (YUKO.RTS: Quote, Profile, Research) .
"We are working on a massive borrowing programme on international capital markets ... We`re considering buying Mazeikiu and this is up to $1 billion," he said.
"And we are planning to buy Nelson (NLGq.L: Quote, Profile, Research) , which is another $2 billion. So we have financing needs of a few billions of dollars and are planning to borrow them abroad because it is obvious that it will be cheaper," he said but gave no details.
The Nelson deal, which would be the largest Russian acquisition abroad, would further spur competition for Kazakh energy resources as global oil majors and Chinese firms are already scrambling for oil riches in the Caspian Sea region.
LUKOIL is already heavily present in Kazakhstan and has said it wants to expand further in a country with massive hydrocarbon reserves and which is set to become a key global oil player as it aims to triple oil output to 3 million barrels a day by 2015.
LUKOIL`s offer for Nelson is around C$2.57 per share, compared with Thursday`s closing price of C$2.96. Nelson shares in London were down 7.9 percent (NLGq.L: Quote, Profile, Research) by 1430 GMT on Friday.
Nelson said earlier that the two sides "have agreed to negotiate the definitive agreements by Oct 12," adding it was keen to ensure the offer would be for 100 percent of its shares.
LUKOIL said it already had agreement from 65 percent of Nelson shareholders that they would sell their stakes. It would extend the offer to minority shareholders at the same price.
"This price represents a premium of 27.5 percent to the six-month average trading price of Nelson," said LUKOIL.
But some analysts were surprised at the level of the offer.
"It is 37 percent below our fair value, and the reasons for this discount are not clear," said Dmitry Lukashov of Aton brokerage, noting Nelson`s young fields offered great potential.
"We will recommend to those of our clients who are shareholders in Nelson, to vote against this deal," he said, adding LUKOIL could now move to de-list the shares of Nelson.
FAIR PRICE?
But Andrei Gromadin of MDM Bank said he considered Nelson expensive at current levels, and Kaha Kiknavelidze of Brunswick UBS said the price was in line with recent Kazakh oil deals.
"LUKOIL wants to pay $12.6 per barrel of proved reserves and $7.9 per barrel of proved and probable reserves, which is close to what CNPC offered for PetroKazakhstan (PKZ.TO: Quote, Profile, Research) ," he said.
China`s CNPC offered to pay $4.18 billion for Toronto-listed Kazakh producer PetroKazakhstan, valuing the firm at $10.7 per barrel of proved reserves -- well above Russian levels and among the highest in the history of Kazakh oil deals.
LUKOIL has a 50-50 joint venture with PetroKazakhstan, known as Turgai Petroleum. It said this week it wants to buy the OTHER 50 percent of the venture from CNPC before the deal closes.
Nelson has stakes in several oil firms or separate fields in Kazakhstan, including the Alibekmola, Kozhasai, Zhambai, North Buzachi, Karakuduk and Arman fields.
It says its net proven and probable reserves are around 270 million barrels, but its total reserves in place could be potentially as high as 2 billion barrels. It produces 30,000 bpd and had net income of $36 million in the first quarter of 2005.
The bid for Nelson looks much more certain than the company`s plans to buy Lithuania`s Mazeikiu from YUKOS, which owns 53.7 percent of the refiner.
LUKOIL has said it would jointly bid with its strategic partner U.S. ConocoPhillips (COP.N: Quote, Profile, Research) , but other potential bidders include Russian gas monopoly Gazprom (GAZPPE.RTS: Quote, Profile, Research) , oil major TNK-BP (BP.L: Quote, Profile, Research) and Kazakh state-owned oil firm KazMunaiGaz.
And a consortium of Western banks chasing YUKOS for a $475 million bad loan are also after Mazeikiu assets.

Minority shareholders blast Nelson Resources while Lukoil claims 65% support
JAMES STEVENSON
Mon Oct 3, 5:20 PM ET
CALGARY (CP) - Minority shareholders raged at Nelson Resources management Monday even as Russian energy giant Lukoil claimed that two-thirds of the company`s shareholders have agreed to its controversial, $2-billion-US takeover proposal.
"Someone must be nuts to sell this company for this price ," one shareholder told chief executive Nick Zana during a protracted conference call Monday.
Nelson, a Bermuda-based oil and gas company with all of its assets in the central Asian country of Kazakhstan yet listed on the Toronto Stock Exchange, announced late last week that it had entered an "agreement to negotiate" with Lukoil on a takeover offer.
"Your reserves are 250 million barrels and at $8 a barrel that comes to $2 billion - the next two or three years the price of oil is likely to go to $80 a barrel so you sold the company out for one-tenth of the price, and I`m disgusted at such a low offer."
The offer, which was a 13 per cent below Nelson`s pre-bid market value (TSX:NLG - news), cut shares by almost 10 per cent Friday.
On Monday, the stock fell a further 3.75 per cent Monday, dropping 10 cents to $2.57 on the Toronto Stock Exchange in heavy trading of nearly four million shares.
Lukoil Overseas Holding Ltd., a subsidiary of Moscow-based Lukoil, announced Monday that it had "beneficially acquired" 66 per cent of Nelson`s stock from four major shareholder groups.
The four groups include Cott Holdings Group, Energy Investments International, Central Asian Industrial Holdings and Centre Finance Ltd.
Nelson`s chief executive tried to convince shareholders Monday that the company`s management was looking after all of their interests in negotiating the best deal possible before an Oct. 12 deadline.
"To be very clear, at present, we don`t have on the table a formal offer from Lukoil to acquire all of the equity of this company," Zana said during the call.
"I want to emphasize that my colleagues and I are determined to ensure that any formal offer made for this company should protect the interests of minority shareholders to the maximum extent possible," Zana said.
Zana told shareholders that Nelson had received other unsolicited bids from major oil companies over the past nine months.
"Everybody has their own opinion as to whether this proposal is good or not . . . but it`s up to the owners whether or not to say a proposal is attractive and should be considered. Based on our experience, we thought that this is an offer that should be considered but we have not taken a position yet."
The bid is now being considered by a special committee of Nelson`s board.
Following the initial announcement Friday, Moscow-based Aton Capital called the bid a "grossly inadequate take-out price," but worried Lukoil may try a "squeeze out" to get the remaining shareholders to accept the deal before de-listing the company.
"The upshot is that if Lukoil was to simply treat Nelson as a majority-owned subsidiary after the assumption of control, this would represent a positive scenario for Nelson`s shareholders as they would remain minority investors in a very fundamentally attractive company with Lukoil as a majority shareholder," said an Aton research report.
"They would benefit from Lukoil`s ability to fund ambitious projects that Nelson could struggle to fund independently while also enjoying the overall financial support Lukoil could provide."
Nelson Resources, which was a former Canadian gold mining company called Nelson Gold Corp., had a gold project in central Asia and raised money through the Toronto Stock Exchange in the late 1990s to develop its gold properties around the world.
But in 2000 the company was taken over by Central Asian Investment Co. to become a major oil producer in Kazakhstan. Its management team, made up of both international and Kazakh executives, has extensive experience in the Asian country`s sometimes volatile operating environment.
Nelson is the second Canada-related firm involved in the Kazakhstan energy sector to face a multibillion-dollar takeover bid in as many months.
In late August, state-owned China National Petroleum Corp. made a $4.2-billion-US takeover deal for Calgary-based PetroKazakhstan Inc. (TSX:PKZ - news). Unlike Lukoil`s bid for Nelson, CNPC`s offer for PetroKazakhstan represented a more than 20 per cent premium to the pre-bid stock price.

Ontario regulator probes Nelson Resources trading around Lukoil bid
GARY NORRIS
Wed Oct 26,12:07 PM ET
TORONTO (CP) - The Ontario Securities Commission is probing trades in the shares of Nelson Resources Ltd. ahead of a takeover offer by Russian energy giant Lukoil.
Nelson disclosed Wednesday that the regulator has told the company the investigation was prompted by the announcement of the Lukoil transaction on Sept. 30. An OSC spokesman would confirm only that trading in the company`s shares is under investigation.
Nelson, a Bermuda-domiciled, TSX-listed oil company active in Kazakhstan, announced Sept. 30 it had agreed to negotiate with Lukoil on a $2-billion-US offer.
In the month before that announcement there was a spasm of stock-option exercises and share sales by Nelson insiders led by president and chief executive Erdinc (Nick) Zana.
The companies announced a definitive agreement on Oct. 13, valued at $2.19 US per share, or $2.56 Cdn at current exchange rates - 13 per cent below Nelson`s market price before the transaction was made public.
Nelson reported Oct. 19 that Lukoil had acquired 65 per cent of Nelson`s common shares from its principal foreign institutional shareholders.
Nelson, formerly a Canadian-headquartered gold company, has called a Dec. 2 meeting of shareholders - some of whom expressed outrage over the deal during a conference call on Oct. 3.
"I welcome an investigation of all of the trading activity that occurred prior to Lukoil`s approach," Zana stated Wednesday.
"We have presented information to the OSC on this matter and will continue to fully co-operate with the OSC in its investigation," added Zana, who was told by a shareholder in the Oct. 3 conference call that management "must be nuts to sell this company for this price."
Nelson Resources shares (TSX:NLG - news), worth $2.25 Cdn in mid-August, spiked to the $3 level - their highest price in almost a decade - on Aug. 24 and remained near $3 until Sept. 29, when they closed at $2.96 on the Toronto stock market.
On Sept. 30, after the announcement of the tentative Lukoil deal, the stock dropped 10 per cent to $2.67. It traded at $2.40 near midday Wednesday, unchanged on the day.
According to insider-trading filings, Zana exercised one million options at 67 cents on Sept. 2, selling the shares the same day at $2.85 to clear almost $2.2 million.
He made similar but smaller transactions involving 50,000 shares on Sept. 6 and 24,600 on Sept. 7, then on Sept. 15 exercised 925,400 options at 67 cents and sold those shares at $2.8177 to clear almost $2 million.
Five other Nelson directors or officers also undertook sizable option exercises and stock sales during September, ranging from 300,000 shares to two million.
Nelson Resources, formerly Nelson Gold Corp., raised financing on the Toronto Stock Exchange for a gold project in central Asia before being transformed in 2000 into an oil producer in Kazakhstan.
It was the second Canada-related energy company in Kazakhstan subjected to a multibillion-dollar takeover bid in as many months.
An Alberta Court of Queen`s Bench judge on Wednesday approved the $4.2-billion-US acquisition of Calgary-based PetroKazakhstan Inc. by China National Petroleum Corp.

NELSON RESOURCES LIMITED: Statement re CNPC and North Buzachi
28 October 2005
NELSON RESOURCES LIMITED (Nachrichten) ANNOUNCES
CNPC INTENTION TO ASSERT PRE-EMPTION RIGHTS AT NORTH BUZACHI
Nelson Resources Limited ("Nelson" or the "Company") of Bermuda (TSX/AIM: NLG),
a leading oil exploration and production company operating in Kazakhstan,
announces that it has been informed by China National Petroleum Corporation
(Nachrichten) ("CNPC"), the Company`s joint venture partner on the North Buzachi oil field,
that CNPC intends to take the necessary measures to exercise its pre-emptive
right under the North Buzachi Joint Operating Agreement to acquire the
Company`s 50% interest in the North Buzachi field, following the purchase by
Lukoil Overseas Holding Ltd. ("Lukoil") of a 65% controlling interest in the
Company.
Nelson takes the position that no such pre-emptive right exists in the current
circumstances.
CNPC argues that the purchase by Lukoil of the 65% controlling interest in the
Company constitutes a transfer of the Company`s participating interest under
the North Buzachi Joint Operating Agreement, dated December 16, 2003, between
CNPC and the Company`s subsidiary Nelson Petroleum Buzachi BV. As a result,
CNPC asserts that the Corporation did not comply with the provisions of the
Joint Operating Agreement in connection with Lukoil`s purchases. In that
regard, CNPC is asserting that they have certain pre-emptive rights to acquire
the Corporation`s participating interest under the Joint Operating Agreement,
and that any transfer of the Corporation`s participating interest to a third
party must be undertaken in accordance with the procedures under the Joint
Operating Agreement.
While CNPC has advised the Company that it will take the necessary measures to
exercise its pre-emptive right in accordance with the Joint Operating
Agreement, to the knowledge of the Company, no formal legal proceedings have
yet been commenced.
The Company takes the position that Lukoil`s purchase of the 65% controlling
interest in the Company on October 14, 2005, does not breach the subject
provisions of the Joint Operating Agreement and no pre-emptive right arises in
the current circumstances. The Company therefore intends to oppose any measures
taken by CNPC to prove and exercise this right.

Baukosten 3,4 Mrd USD. Seit 2003 in Betrieb.

@gaijin8,
