U.S. Navy Awards Small Business Innovative Research (SBIR) Grant to Technest Holdings for Hyperspectral Project
Company to Pursue Real-Time, Omni-Directional and Zoom Capable Hyperspectral Recording and Processing Imager
BOSTON, April 24, 2006 (PRIMEZONE) -- Technest Holdings, Inc. (OTCBB:TCNH), a defense and homeland security company, announced today that it has been awarded a Phase I Small Business Innovative Research (SBIR) grant by the U.S. Navy for the development of a real-time, omni-directional and zoom capable hyperspectral recording and process imaging device, the Omni-Guard. This is the first SBIR grant awarded to Technest, and will be based on technologies developed by the company's wholly owned subsidiary, Genex Technologies, Inc. (www.genextech.com).
Designed for the Navy's Intelligence, Surveillance, and Reconnaissance (ISR) operations, the Omni-Guard will, among other applications, be used on Navy platforms for target detection purposes. The Omni-Guard can quickly search for a specific target within global view and provide a detailed image of the target through its advanced zoom and scanning mechanism. The proposed hyperspectral camera system combines uniquely configured optical structure and system components into a payload package that is both lightweight (less than 2 pounds) and small in size (a cylinder less than 6 inches in diameter by 7 inches in height). The system's design will include a number of major innovations to achieve its compact, highly reliable and dual field of vision (FOV) capabilities.
Dr. Joe Mackin, CEO of Technest Holdings stated, "We are pleased to receive this initial SBIR grant from the U.S. Navy for the development of our exciting Omni-Guard camera system. We believe our state-of-the-art technology offers a major advancement in lightweight reconnaissance camera equipment. Our sophisticated design moves beyond the traditional complex and expensive zoom and scanning structure and provides for an effective and compact hyperspectral camera system unlike any other currently available."

Technest Holdings, Inc. Develops High-Tech Sensing Device for Chemical Plant Security to Protect Against Terrorism
BOSTON, March 27, 2006 (PRIMEZONE) -- Technest Holdings, Inc. (www.technestholdings.com) (OTCBB:TCNH), a defense and homeland security company transforming advanced laboratory technology into real-world products, announced today that its wholly owned subsidiary, EOIR Technologies Inc., has developed a new innovative remote sensing device named the Automated Adaptive Chemical Examination System (AACES). The AACES is expected to be able to provide highly advanced capabilities to detect and classify a very broad range of chemicals which could be released into the air during a terrorist attack against any one of the 15,000 chemical facilities located in the United States. The AACES is being designed and tested under a Phase 2 SBIR funded by the U.S. Army. Originally intended for use in military applications it can provide a powerful perimeter security capability for the protection of chemical facilities against terrorist attacks.
With government concerns mounting DHS Secretary Chertoff last week stated at a forum hosted by the chemical industry that the U.S. Congress needs to quickly give his department regulatory authority to bolster security at chemical facilities that are attractive targets for terrorists. Chertoff said he envisioned performance standards, set by the Department of Homeland Security, for chemical companies to follow. Congress is considering legislation for federal regulation of the nation's 15,000 privately operated chemical facilities, which counter-terror experts have warned are at the top of the list of likely terror targets. Congressional investigators have revealed spotty results in how well the chemical industry is prepared to respond in the event of an attack. The leading bill, by Sens. Susan Collins, R-Maine, and Joseph Lieberman, D-Conn., would give Homeland Security authority to shut down plants that fail to submit acceptable security plans.
The AACES can provide breakthrough security capabilities. The AACES chemical detection sensor and controls can be left unattended in an area to monitor general air quality, or used to detect dangerous chemicals spread intentionally to harm citizens. This unique standoff chemical detection and identification system does not need to come in contact with chemicals to detect and identify them. It can make assessments from a remote location, allowing the EOIR-developed sensor to scan a much larger area than alternative systems that operate by taking a sample of the contaminated air. This helps to avoid system contamination, and also enables the system to monitor continuously to achieve persistent surveillance. The AACES system consists of a Fourier Transform Infrared (FTIR) sensor and digital signal processing/computing electronics. It is designed to operate independently, the system has a pan and tilt operation, allowing it to automatically scan a region or concentrate on a specific area without the need for manual intervention. When in scan mode, the sensor pans a predetermined area until it detects a chemical signal that requires further investigation. At that point, it hones in on that area and focuses the sensor to identify the chemical signal. The system utilizing proprietary algorithms then sorts through a preexisting chemical library to identify the specific chemical detected, and sends a warning message to remote devices via wireless data links.
Field testing of the device has produced very good results to date and the company believes that the potential market for this device to protect chemical facilities is significant.

Technest Holdings Subsidiary, Genex Technologies, Earns Small Business Innovation Research Contract by National Institutes of Health for 3D Imaging Technology
Wednesday October 12, 11:00 am ET
BOSTON, Oct. 12, 2005 (PRIMEZONE) -- Markland Technologies, Inc. (OTC BB:MRKL.OB - News) and its subsidiary Technest Holdings, Inc. (OTC BB:TCNH.OB - News), defense and homeland security companies transforming advanced laboratory technology into real-world products, announced today that Genex Technologies Inc. (http://www.genextech.com) has been awarded a Small Business Innovation Research (SBIR) contract by the National Institutes of Health (NIH) to develop a novel 3D technology to reconstruct the human intestinal canal in 3D from images captured by video capsule endoscopes.
NIH is the nation's medical research agency -- making important medical discoveries that improve health and save lives. The National Institutes of Health is the primary Federal agency for conducting and supporting medical research. It is composed of 27 institutes and centers which provide leadership and financial support to medical researchers in every state within the U.S.
Genex Technologies innovations in 3D image processing will allow for the reconstructed 3D shape obtained by these endoscopic capsules to help physicians locate the position of an intestinal lesion and measure its volume. Video capsule endoscopy is a new technology which revolutionizes the diagnosis and treatment of gastrointestinal diseases. Conventional endoscopy tests, such as gastroscopy and colonoscopy, are effective for the upper or lower digestive tract, but achieve very limited success in the 20 feet of small intestine where endoscopic instruments are hard to control and manipulate.
This new imaging technology will bring medical endoscopic intervention into a new era. To overcome current challenges, Genex is developing a novel 3D image processing technology which includes the following capabilities:
-- Reconstruction of the 3D shape of the intestinal canal from video
sequences captured by video capsules.
-- Post-processing software tools which will facilitate the storage
and measurement of the reconstructed 3D shape.
-- A simulation platform which can quantitatively evaluate the
accuracy of the 3D algorithms.
Genex Technologies, Inc. has been providing innovative 3D products and services to customers within the National Institutes of Health since its inception in 1995.

Morgen zusammen!!

No Risk No FUN

Alos
350.000.000
2.500.000
-------------
140
Also bekommst du für 140 MRKL Shares eine TCNH Aktie.
TCNH steht im Moment auf 4,60 Dollar. Also 3,67 Euro.
Gut Beispiel: Du hast 100.000 Mrkl Shares.
100.000 / 140 = 714 Shares
714 Shares x 3,67 Euro = 2620 Euro Dividende in Form von TCNH Shares.
Jetzt kapiert was hier passiert!!!

Also:

sososo, endlich sind all meine Fragen beantwortet.

The actual number of shares of Technest common stock to be distributed will be calculated based on a per share price equal to the average closing price of the Technest Stock as reported by the National Association of Securities Dealers Automatic Quotations service for the ten trading days ending June 30, 2006. However in no event shall the number of shares of the Technest common stock distributed exceed 2.5 million nor will Markland deliver fractional shares of the Technest common stock. As of this date Markland presently owns 13,954,023 shares of Technest common stock. Markland management is considering alternatives available to it for future dividends to be made to its common shareholders

Laut
http://www.investopedia.com/articles/02/110802.asp

Different Types of Dividends
The decision to distribute a dividend is made by a company's board of directors. There is nothing requiring a company to pay a dividend, even if the company has paid dividends in the past. However, many investors view a steady dividend history as an important indicator of a good investment, so most companies are reluctant to reduce or stop their dividend payments. For more information on buying dividend paying stocks, see the articles How Dividends Work for Investors and The Importance of Dividends
Dividends can be paid in various different forms, but there are two major categories: cash and stock. The most popular are cash dividends. This is money paid to stockholders, normally out of the corporation's current earnings or accumulated profits.
For example, suppose you own 100 shares of Cory's Brewing Company (ticker: CBC). Cory has made record sales this year thanks to an unusually high demand for his unique peach flavored beer. The company therefore decides to share some of this good fortune with the stockholders and declares a dividend of $0.10 per share. This means that you will receive a check from Cory's Brewing Company for $10.00 ($0.10*100). In practice, companies that pay dividends usually do so on a regular basis of four times a year. A one-time dividend such as the one we just described is referred to as an extra dividend.
The stock dividend, the second most common dividend paying method, pays additional shares rather than cash. Suppose that Cory's Brewing Company wishes to issue a dividend but doesn't have the necessary cash available to pay everyone. He does, however, have enough Treasury stock to meet the requirements of the dividend payout. So instead of paying cash, Cory decides to issue a dividend of 0.05 new shares of CBC for every existing one. This means that you will receive five shares of CBC for every 100 shares that you own. If any fractional shares are left over, the dividend is paid as cash (because stocks can't trade fractionally).
Another type of dividend is the property dividend, but it is used rarely. This type of allocation is a physical transfer of a tangible asset from the company to the investors. For instance, if Cory's Brewing Company was still insistent on paying out dividends but didn't have enough Treasury stock or enough money to pay out all investors, the company could look for something physical (property) to distribute. In this case, Cory might decide that his unique peach beer would be the best substitute, so he could distribute a couple of six-packs to all the shareholders.
The Important Dates of a Dividend
There are four major dates in the process of a company paying dividends:
Declaration date– This is the date on which the board of directors announces to shareholders and the market as a whole that the company will pay a dividend.
Ex-date or Ex-dividend date– On (or after) this date the security trades without its dividend. If you buy a dividend paying stock one day before the ex-dividend you will still get the dividend, but if you buy on the ex-dividend date, you won't get the dividend. Conversely, if you want to sell a stock and still receive a dividend that has been declared you need to sell on (or after) the ex-dividend day. The ex-date is the second business day before the date of record.
Date of record– This is the date on which the company looks at its records to see who the shareholders of the company are. An investor must be listed as a holder of record to ensure the right of a dividend payout.
Date of payment (payable date) – This is the date the company mails out the dividend to the holder of record. This date is generally a week or more after the date of record so that the company has sufficient time to ensure that it accurately pays all those who are entitled.
Why All These Dates?
Ex-dividend dates are used to make sure dividend checks go to the right people. In today's market, settlement of stocks is a T+3 process, which means that when you buy a stock, it takes three days from the transaction date (T) for the change to be entered into the company's record books.
As mentioned, if you are not in the company's record books on the date of record, you won't receive the dividend payment. To ensure that you are in the record books, you need to buy the stock at least three days before the date of record, which also happens to be the day before the ex-dividend date.

Hallo zusammen.
LG

Ex-Dividend Dates:
When Are You Entitled to Stock and Cash Dividends
Have you ever bought a stock only to find out later that you were not entitled to the next cash or stock dividend paid by the company? To determine whether you should get cash and most stock dividends, you need to look at two important dates. They are the "record date" or "date of record" and the "ex-dividend date" or "ex-date."
When a company declares a dividend, it sets a record date when you must be on the company's books as a shareholder to receive the dividend. Companies also use this date to determine who is sent proxy statements, financial reports, and other information.
Once the company sets the record date, the stock exchanges or the National Association of Securities Dealers, Inc. fix the ex-dividend date. The ex-dividend date is normally set for stocks two business days before the record date. If you purchase a stock on its ex-dividend date or after, you will not receive the next dividend payment. Instead, the seller gets the dividend. If you purchase before the ex-dividend date, you get the dividend.
Here is an example:
Declaration Date Ex-Dividend Date Record Date Payable Date
7/27/2004 8/6/2004 8/10/2004 9/10/2004
On July 27, 2004, Company XYZ declares a dividend payable on September 10, 2004 to its shareholders. XYZ also announces that shareholders of record on the company's books on or before August 10, 2004 are entitled to the dividend. The stock would then go ex-dividend two business days before the record date.
In this example, the record date falls on a Tuesday. Excluding weekends and holidays, the ex-dividend is set two business days before the record date or the opening of the market – in this case on the preceding Friday. This means anyone who bought the stock on Friday or after would not get the dividend. At the same time, those who purchase before the ex-dividend date receive the dividend.
With a significant dividend, the price of a stock may move up by the dollar amount of the dividend as the ex-dividend date approaches and then fall by that amount after the ex-dividend date. A stock that has gone ex-dividend is marked with an "x" in newspapers on that day.
Sometimes a company pays a dividend in the form of stock rather than cash. The stock dividend may be additional shares in the company or in a subsidiary being spun off. The procedures for stock dividends may be different from cash dividends. The ex-dividend date is set the first business day after the stock dividend is paid (and is also after the record date).
If you sell your stock before the ex-dividend date, you also are selling away your right to the stock dividend. Your sale includes an obligation to deliver any shares acquired as a result of the dividend to the buyer of your shares, since the seller will receive an I.O.U. or "due bill" from his or her broker for the additional shares. Thus, it is important to remember that the day you can sell your shares without being obligated to deliver the additional shares is not the first business day after the record date, but usually is the first business day after the stock dividend is paid.
If you have questions about specific dividends, you should consult with your financial advisor. You can also get information by going to your library and reading Standard and Poor's Dividend Record Binder.
http://www.sec.gov/answers/dividen.htm

hab da noch was gefunden, kanns mal wer übersetzen ?
The Company has publicly announced its intention to distribute, as a dividend, shares of Technest Common Stock to the holders of the Company’s Common Stock as of May 1, 2006 (the “ Record Date ”). The Company hereby confirms and agrees that, notwithstanding anything to the contrary set forth in the Company’s Certificate of Designations of Rights and Preferences of the Series D Preferred Stock (the “ Series D Certificate ”), in connection with such stock dividend, it will issue, on the applicable payment date for such dividend, to each holder of unconverted and unredeemed shares of Series D Preferred Stock as of the Record Date a number of shares of Technest Common Stock equal to the number thereof which would have been issued to such holder had all of the holder’s shares of Series D Preferred Stock outstanding on the Record Date been converted into the Company’s Common Stock as of the close of business on the trading day immediately preceding the Record Date. In consideration therefor, each Investor agrees that, to the extent it or any of its Affiliates continue to hold shares of Series D Preferred Stock after the Record Date, then, notwithstanding anything to the contrary set forth in the Series D Certificate, neither it nor any of its Affiliates shall be entitled to participate in subsequent dividends or distributions by the Company with respect to such shares of Series D Preferred Stock, regardless of whether such shares of Series D Preferred Stock are held by such Investor or its Affiliates as of the record date for such subsequent dividends or distributions, and each such Investor hereby waives any and all rights it may have with respect to such subsequent dividends or distributions under the Series D Certificate.

I was unable to deliver to <markland@marklandtech.com> because the user is over their quota." zurück.

Also weiter hoffen
