      Nah...

      OTC is our last hope.

Barring a buyout, if PSIX trades otc, it may move up and financials may come clean and when revenues finallay filter in, then we can get our dough back and possibly make some on top of it.

OTC is definitely the last hope.

C&W sells NTL stake, eyes Web acquisitions
(UPDATE: adds NTL stake sale paras 3-4, Exodus reported rebuff 7)

By Richard Baum, UK telecoms correspondent

LONDON, April 23 (Reuters) - Exodus Communications Inc (NasdaqNM:EXDS - news), Genuity Inc (NasdaqNM:GENU - news) Inc and PSINet Inc (NasdaqNM:PSIX - news) are among U.S. Internet companies that could become takeover targets for Britain`s Cable & Wireless Plc, analysts said on Monday.

C&W will have around six billion pounds ($8.65 billion) of cash by the autumn after the sale of its Australian business.

A further reduction on Monday in its stake in cable TV company NTL (NYSE:NLI - news) added a further 100 million pounds to the bulging coffers of the global data telecoms specialist, which has said it is in the market for acquisitions in the United States and Japan to reshape itself into a leading provider of Internet services.

C&W said it had sold 5.3 million NTL shares, a 1.9 percent stake, leaving it with 31.1 million shares.

Exodus, the world`s largest manager of company websites, jumped to the top of the list of possible targets after a Sunday newspaper said C&W was casting its eyes over the business. C&W refused to comment.

Analysts said Exodus would be a logical target for C&W as its shares are about 90 percent off their highs, giving the company a market capitalisation of $5.5 billion.

But according to a report on the Financial Times` news website FT.com late on Monday, Exodus has already rebuffed an approach from the British group, on the basis that its current market value is too low.

Internet accesss provider PSINet, which has warned it may go out of business or reorganize under bankruptcy protection laws, is another possible target, said Marco Fasoli, a managing director at takeovers adviser Broadview. He said C&W is one of of the few companies currently able to snap up such ``distressed assets``.

``There are very few companies in the world that have that combination of strategic capability and cash on the balance sheet,`` he said, mentioning Worldcom (NasdaqNM:WCOM - news) and Nippon Telegraph and Telephone Corp as possible rival bidders.

ABN Amro said C&W has made clear it is interested mainly in buying distressed assets at fire-sale prices.

``Although the Exodus share price has come under considerable pressure over the past year, the company is less financially stretched than several of its U.S. peers,`` it said in a note.

As well as PSINet, ABN named Internet access and hosting firm Genuity as a possible C&W target. Other targets named by analysts include Infonet Services Corp (NYSE:IN - news).

C&W is under pressure from investors after a profits warning last month to make acquisitions or return cash to shareholders.

But Fraser McLeish, an analyst at Investec Henderson Crosthwaite Securities, said some investors may not take kindly to the company`s stepping up its presence in the United States, where falling prices helped trigger its profit warning.

``Any major acquisition in the U.S. will increase exposure to a clearly difficult market and reduce the defensive qualities of the stock,`` he said.

Exodus rebuffs C&W takeover approach -newspaper

LONDON, April 23 (Reuters) - Exodus Communications Inc (NASDAQ:EXDS), the world`s largest manager of company websites, has rebuffed a takeover approach from Britain`s Cable & Wireless Plc (ISEL:CW), the Financial Times online news service reported on Monday.

The newspaper cited sources close to the discussions as saying Exodus was unwilling to consider the approach as it believed its current stock market valuation was too low.

Exodus is among a number of U.S. Internet companies seen by analysts as potential targets for the C&W. The British group will have around 6 billion pounds ($8.6 billion) in cash by the autumn following the sale of its Australian business, and has said it wants to reshape itself into a provider of Internet services. email, andrew.callus@reuters.com)) $1=.6948 Pound)

PSINet and Subsidiary Respond to Emerald Bay Investors Tender Offer

      4/26/2001 2:49:00 PM
ASHBURN, Va., Apr 26, 2001 (BUSINESS WIRE) -- PSINet Inc. and its subsidiary, PSINet Consulting Solutions Inc., formerly Metamor Worldwide Inc. ("PCS"), announced that they have received a notice from Emerald Bay Investors LLC stating that Emerald has commenced an unsolicited tender offer for up to $9.5 million of the face amount of the 2.94 percent convertible subordinated notes due 2004 of PCS for a cash purchase price equal to 15.5 percent of the original face amount of the notes purchased.

The notes are convertible into PSINet common stock at a conversion rate of 21.36573 shares of common stock per $1,000 principal amount at maturity of notes converted.

According to Emerald`s offering circular received by PSINet and PCS, Emerald will accept notes on a first-received, first-purchase basis, and all sales of notes will be irrevocable and no withdrawal rights will be granted for notes surrendered pursuant to the tender offer.

Emerald is not affiliated with PSINet, PCS or their respective officers or directors. Neither PSINet nor PCS expresses an opinion and each of them is remaining neutral toward Emerald`s tender offer in view of PSINet`s previous announcement that it is likely that its common stock and preferred stock will have no value and issues as to the ability of PSINet and PCS to continue as a going concern.

PSINet and its advisers continue to analyze and pursue certain financial and strategic alternatives, including the possible sale of all or a portion of PSINet, while also exploring alternatives to restructure obligations to bondholders and other creditors. These efforts are likely to involve reorganization under the federal bankruptcy code.

There can be no assurance that one or more of these alternatives can be successfully implemented, and no assurance that PSINet and PCS will not run out of cash.

Noteholders are advised that this tender offer, commonly referred to as a "mini-tender offer," seeks to purchase notes convertible into less than 5 percent of PSINet`s outstanding common stock. Unlike tender offers for 5 percent or more of a company`s outstanding stock, mini-tender offers are not subject to the filing, disclosure and procedural requirements of the federal securities laws and regulations.

The Securities and Exchange Commission (the "SEC") has issued an investor alert regarding mini-tender offers, which can be accessed at the SEC`s Web site at www.sec.gov/investor/pubs/minitend.htm.

Among other things, the SEC recommends that before accepting such mini-tender offers, noteholders should determine the market price and tender price, consult with their broker or financial adviser and determine where to get the best price if they want to sell. The SEC warns investors not to assume that a premium over the market price is being offered for their shares.

Noteholders who have tendered their shares in response to the offer are advised to consult with their broker and legal counsel with respect to their rights and obligations.

This release contains information about management`s view of PSINet`s future expectations, plans and prospects that constitute forward-looking statements for purposes of the safe-harbor provisions under the Private Securities Litigation Reform Act of 1995. Actual results may differ materially from those indicated by these forward- looking statements as a result of a variety of factors, including but not limited to the doubt as to PSINet`s and PCS` ability to continue as going concerns, risks associated with efforts to restructure the obligations of PSINet and PCS, risks associated with proceedings likely to be commenced by or against PSINet, PCS or other of PSINet`s subsidiaries under the federal bankruptcy code, competitive developments, risks associated with PSINet`s growth, the development of the Internet market, regulatory risks, and other factors that are discussed in PSINet`s Form 10-K and other documents periodically filed with the SEC.

Schrader Resigns as CEO, Chairman of Struggling Internet Firm PSINet

ASHBURN, Va. -- PSINet Inc. said co-founder William L. Schrader is stepping down as chairman and chief executive, as the struggling Internet provider looks to sell assets and restructure amid a severe cash shortage.
Harry G. Hobbs was named CEO. Mr. Hobbs was also named to the company`s board. He has served PSINet (PSIX) in various capacities since 1997, most recently as president and chief operating officer.

In his new position, PSInet said, Mr. Hobbs will focus primarily on developing and executing a business plan aimed at moving the company through its restructuring.

Ian Sharp was named chairman. Mr. Schrader will remain a member of the board and serve the company in an advisory capacity, PSINet said.

In prepared remarks, Mr. Sharp called Mr. Schrader one of the "true pioneers" of the Internet. He added: "Given the changed circumstances within the marketplace and the company, we need to focus the company`s efforts on preserving and enhancing this value. I am confident in our new team`s ability to achieve this objective."

PSINet said Lawrence E. Hyatt, the company`s executive vice president and chief financial officer, assumed the additional responsibility of chief restructuring officer, and will work closely with creditors. Kathleen B. Horne, executive vice president and general counsel, will also play an "integral role" in the restructuring efforts, the company said.

PSINet again said that its cash, cash equivalents, short-term investments and marketable securities aren`t expected to be sufficient to meet the company`s anticipated cash needs. The company and its advisers continue to analyze and pursue certain financial and strategic alternatives.

C&W in $340 mln Digital Island buy
(UPDATE: Adds analyst in paragraphs 7-8, Digital Island shares in paragraph 4)

By Jean Yoon and Richard Baum

LONDON, May 14 (Reuters) - Cable & Wireless Plc dipped into its warchest on Monday to buy struggling U.S. Internet firm Digital Island for $340 million, underlining its reluctance to return its six billion pound ($8.5 billion) cash pile to shareholders.

The British telecoms company, which is under pressure from shareholders to announce a special dividend with Wednesday`s annual results, said the deal would boost its Website hosting business.

It is offering $3.40 in cash for each share in the San Francisco- based company, which runs Websites for companies requiring a high degree of interactivity.

That is an 8.7 percent premium to Friday`s closing price of $3.13, but a fraction of Digital Island`s high of $148 a share in December 1999, before last year`s dot-com crash. The stock jumped to $3.35 in early trade.

C&W shares, which slumped following a profit warning in March, rose 0.8 percent to 447 pence. The purchase price includes $49 million of net debt.

The takeover is the biggest step yet in C&W`s plan to spend its cash on Internet-related acquisitions in the United States and Asia. It is transforming itself into a global Internet services company after selling more mature operations in Hong Kong and Australia.

      SECTOR GIANT CAUTIOUS

Analyst James Enck of Daiwa questioned whether C&W should be buying a Web hosting business when U.S. giant Exodus Communications Inc (NasdaqNM:EXDS - news) had recently scaled back its expansion plans, signalling doubts about demand for hosting.

``It`s bright to be consolidating at a time of eroded values but if the global leader is sending such a signal of caution and concern about the prospects for hosting I`m not sure the market is going to welcome this,`` he said.

Digital Island announced a second quarter loss of $1.19 billion last week after writing off more than $1 billion in assets. It is cutting its workforce by a fifth.

C&W said the acquisition was expected to be earnings dilutive in the near term, but would enhance them by the end of the third year.

Enck said it would dilute earnings before interest, tax, depreciation and amortisation (EBITDA) at C&W`s core Global division by 33 percent in the current year.

The announcement comes just ahead of C&W`s annual results, when shareholders will be looking for further news of its plans for its cash. It is expected to say it had three billion pounds net cash at the end of March, which will double when its sale of C&W Optus in Australia completes later in the year.

C&W Chief Executive Graham Wallace has refused to return cash to shareholders, although people familiar with its plans say the firm might do so if it could not find suitable acquisitions.

It was reported to have made an approach to Exodus, but was rebuffed. Analysts say hosting company PSINet Inc (Nasdaq:PSIX - news) could be a target.

Some shareholders want it to return cash, particularly as it would help them subscribe to British Telecommunications Plc`s 5.9 billion pound rights issue. But at least one of C&W`s largest investors backs the company`s acquisition plan.

``By combining the innovations of Digital Island with the world class IP (Internet Protocol) network and financial backing of Cable & Wireless, Digital Island gains renewed momentum,`` said Digital Island Chairman and Chief Executive Ruann Ernst.

Digital Island`s customers include E-TRADE, UBS Warburg, FT.com, Sony Corp , Cisco (NasdaqNM:CSCO - news) and Microsoft (NasdaqNM:MSFT - news).

ASHBURN, VA., MAY 16, 2001 - PSINet Inc. (OTCBB: PSIX) today filed a Form 12b-25
with the Securities and Exchange Commission indicating that it will not be able to file its Form
10-Q for the quarter ended March 31, 2001 within the prescribed time period. The Company,
at this time, does not expect to file its Form 10-Q within the 5-day extension period permitted
      under Rule 12b-25.

As a result of the Company`s inability to comply with the reporting requirements under the
Securities Exchange Act of 1934, its securities will no longer be eligible for resale under Rule
144 of the Securities Act of 1933. In addition, holders of the Company`s common stock,
Series D preferred stock and PSINet Consulting Solutions Holdings, Inc.`s 2.94% convertible
subordinated notes may no longer use the Company`s registration statements on Form S-3 for
resales or conversions of such securities.
