Habe sie vor einiger Zeit zu 7,65€ gekauft (akt. 9,50).
Wäre interessant zu erfahren, was andere davon halten.

Habe bei 8,o5 gekauft. Ist immer noch äußerst kaufenswert. ESTland als EU-Beitrittsapirant und Telekombranche kombiniert, was soll da besser sein? Ich sehe das Papier demnächst bei 12. 50 % plus wären keine Überraschung. Der Chart passt bestens. Fundamental alles ok. Bei Consors Analystenempfehlung strong buy mit 1,0! Besser gehts nicht!

DECREASE IN PLANNED INVESTMENTS OF AS EESTI TELEFON

Supervisory Council of Eesti Telekom`s subsidiary Eesti Telefon Ltd. has
approved to decrease planned investments between 100-200 million Estonian
kroons in 2001. The aim of the reduction is to increase the profitability
of the Company.

After reduction total investments for Eesti Telekom Group in 2001 amount
to 1,1 - 1,2 billion Estonian kroons.

TELIA AND SONERA PLAN TO MERGE

On Tuesday 26 March Sonera of Finland and Telia of Sweden,
the major shareholders of Eesti Telekom, announced that they
are to merge. Telia will make a purchase offer to the
shareholders of Sonera, offering 1.51440 Telia shares for
one Sonera share. The merger of the two companies will
create the leading telecommunications group in Scandinavia
and the Baltic States.

The plan for the merger of Sonera and Telia will be presented
to the European Union for approval. EU will in turn make its
decision within a few months.

After the merger, the combined group will possess a 49% share
in Eesti Telekom. In the assessment of Jaan Männik, Chairman
of the Management Board of Eesti Telekom, the merger of the
major shareholders is positive news for Eesti Telekom, although
it will not influence the group`s commercial activities
immediately, since Telia and Sonera must first agree on the
new joint company`s management structure and appoint
corresponding managers. According to Männik, in the Baltics
the merged company will seek synergy, efficiency, cost
reduction, market expansion and growth.

ANNUAL GENERAL MEETING

Hereby we inform you that the Annual General Meeting of
the shareholders of Eesti Telekom, registration no
10234957, located in Roosikrantsi 2, Tallinn, shall be
held on May 17, 2002 at 2.00 p.m. at National Library of
Estonia (Tõnismägi 2, Tallinn).

The following agenda is suggested for the meeting:
1. Approval of 2001 report and allocation of the
profit.
2. Buy-back option of AS Eesti Telekom shares.
3. Recalling and election of the members of the
Council.
4. Remuneration of the members of the Council.
5. Election and remuneration of the auditor.

The shareholders registered in the share register of
Eesti Telekom by May 17, 2002 at 8.00 a.m. have the right
to vote on the Meeting.

Registration to the General Meeting starts on May 17,
2002 at 1.00 p.m. at National Library of Estonia. For
registration to the Meeting:

· A shareholder, being a natural person, must produce
a passport as an identity document, a representative must
also produce a duly executed power of attorney;
· A representative of a shareholder, being a legal
person, must produce an extract from the respective
(commercial) register, where the legal person is
registered (for an Estonian legal person, a copy of the
Commercial Register`s card B, which is not older than 15
days), proving the right of the person to represent the
shareholder (legal authorisation), and the
representative`s identity document; if the person is not
a legal representative, a duly executed power of attorney
(authorisation by transaction) and the representative`s
identity document must be produced in addition to the
extract from the register;
· Documents of a legal person registered in a foreign
country (except for the power of attorney) must be
legalised in the Republic of Estonia Ministry of Foreign
Affairs or in a foreign representation of the Republic of
Estonia, or confirmed with apostille, i.e. a
certification replacing legalisation.

Resolution projects

1. To approve 2001 Annual Report consisting of
financial report, activity report, auditor’s report and
proposal of the allocation of the net profit.

2. To distribute the retained earnings totalling
1,847,790 thousand kroons, consisting of the net profit
of AS Eesti Telekom for the financial year of 2001
809,867 thousand kroons and retained earnings from
previous periods 1,037,923 thousand kroons as follows:

To distribute between shareholders and to pay to
shareholders as dividends 755,617 thousand kroons as
follows:

· Dividends payable to all holders (shareholders) of A
shares total 755,607 thousand kroons, i.e. 5.50 kroons
per A share.
· Dividend payable to the holder (shareholder) of B
share totals 10,000 kroons, i.e. 10,000 kroons per B
share.

To retain the rest of the accumulated net profit in the
amount of 1,092,173 thousand kroons undistributed.

The list of shareholders on the basis of which dividends
will be distributed shall be fixed according to the
provisions of the Tallinn Stock Exchange Rules at 8.00 on
5 June 2002. The dividends shall be paid out on 19 June
2002.



3. To authorise AS Eesti Telekom to acquire within one
year from the adoption of this resolution (i.e. until 17
May 2003) AS Eesti Telekom shares of A-series so that the
total of nominal values of own shares held by AS Eesti
Telekom would not exceed the legal limits and the price
payable per share would not exceed the highest price paid
for the A share of AS Eesti Telekom on the Tallinn Stock
Exchange on the day of acquiring the shares. AS Eesti
Telekom to pay for the said shares from the company`s
assets in excess of its share capital, reserve capital
and share premium. The amount of shares to be acquired
each time shall be determined on each occasion separately
by a resolution of AS Eesti Telekom`s Supervisory
Council.

4. To appoint Villu Vaino from Deloitte&Touche Audit AS
to audit Eesti Telekom in 2002. Remuneration of the
auditor will be based on a contract with the auditing
company.

The company’s distributable funds totalled 1,847,790 thousand kroons.

The Council has approved the Management Board’s proposal that
the distributable funds for 2001 of 1,847,790 thousand kroons,
according to EAL, be allocated as follows:

1. 755,617 thousand kroons, i.e. 97 % of the net profit
(IAS) to be distributed to shareholders as dividends as follows:

1.1. There are 137,383,178 A-shares with the title to
dividends. Dividends for A-shares to be distributed

SUBSTANTIAL HOLDINGS IN EESTI TELEKOM

On December 9 2002, Telia AB and Sonera Corporation (hereinafter: Sonera)
merged after conclusion of swap offer for shares and securities. After the
transaction Sonera became subsidiary of Telia AB. Telia AB was renamed
TeliaSonera AB.

Before merger both Telia AB and Sonera owned directly and through Baltic
Tele AB 24.5% of AS Eesti Telekom (hereinafter: ETL) shares. Telia and
Sonera both own 50% of Baltic Tele AB shares.

Shareholders` structure of ETL shares was as follows:

Republic of Estonia - 27.28 % of shares;
Telia AB - 11.75 % of shares;
Sonera Holding B.V. - 11.75 % of shares;
Baltic Tele AB - 25.50 % of shares;
public investors - 23.72 % of shares.

As a result of merger Telia AB shareholding in ETL grew from 24.5 percent
to 49 percent.

Proceeding from subsection 1 of chapter 185 of the Securities Market Act
TeliaSonera AB informed on December 23, 2002 through its representative
the registrar maintaining ETL share register that TeliaSonera AB holding
in ETL grew over one third (1/3) of all ETL shares with voting rights.

TeliaSonera AB has holding and controlling in 67,317,756 of ETL voting rights.

COMMENTS ON BNS ARTICLE

The management of AS Eesti Telekom is aware of the
intention of TeliaSonera to acquire majority shareholding
in Baltic companies where they currenly are minority
shareholders.

However, in the Shareholders’ Agreement, concluded in
December 1998 and effective from May 1999, TeliaSonera
have agreed not to acquire in excess of 49 per cent of
the issued shares prior the earlier of (i) the fifth
anniversary of the Shareholders’ Agreement becoming
effective and (ii) the date on which the State’s holding
of shares falls below 10 per cent. The Agreement doesn’t
allow TeliaSonera to increase their shareholding
immediately.

Der Ostinvestor

Die Experten von "Der Ostinvestor" stufen Eesti Telekom AS unverändert mit "langfristig kaufen" ein.

Die Eesti Telekom (WKN 918451) habe Anfang Februar die Zahlen fürs Jahr 2002 gemeldet. Der Umsatz sei um 8% auf 296 Mio. Euro gestiegen, das EBITDA habe um 10% auf 136,6 Mio. Euro zugelegt. Der Nettogewinn sei rasant, um 33% auf 66,6 Mio. Euro gestiegen, woraus sich ein Gewinn je Aktie in Höhe von 0,487 Euro errechne. Der Nettogewinn sei erheblich schneller als das EBITDA gestiegen, weil die Komponente "D" beim EBITDA, also die Höhe der Abschreibungen, zurückgegangen sei.

Aus dem Nettogewinn ergebe sich wiederum ein KGV von knapp 12. Würde man einmalige Einnahmen und die Steuer auf die Dividende herausrechnen, ergebe sich ein KGV von etwa 12,5. Der Cash Flow sei weiterhin stark: Der operative Cash Flow sei um 11% auf 125,7 Mio. Euro gestiegen, der freie Cash Flow gar um 60% auf 86 Mio. Euro. Die Schulden seien um 15% abgebaut worden und seien nur noch minimal: 34,5 Mio. Euro Verbindlichkeiten stünden 250 Mio. Euro Eigenkapital gegenüber. Eine EBITDA-Marge von über 46% und vor allem eine Nettogewinnmarge von 22,5% seien für einen Telekomwert ausgezeichnete Kennziffern, auf die die armen Aktionäre einer Dt. Telekom noch sehr lange warten müssten.

Die Analysten von "Der Ostinvestor" stufen Eesti Telekom AS somit weiter mit "langfristig kaufen" ein.

Estonia takes the lead in DSL penetration in Eastern Europe
International analysts consider Estonia to be the leader in Eastern Europe for broadband DSL access. In terms of DSL penetration per telephone lines Estonia ranks presently among the top ten of the world.



Analyst company Point-Topic wrote in its DSL Benchmarking Report Q4 2002 (http://www.point-topic.com): “Estonia is by far the most DSL-advanced country in Eastern Europe with 2.24 lines per 100 people, well ahead of the Netherlands, Italy and the UK, for example.”

According to the DSL Forum, a consortium of nearly 200 companies, at the end of 2002 Estonia was in the second place in Europe for the absolute number of DSL lines and was preceded only by Hungary (http://www.dslforum.org/PressRoom/news_europe_dslgrowth_3.12… ). Tom Starr, president of the international DSL Forum said: “Estonia with over 6% penetration of DSL services over its main telephone lines is almost in the top ten countries list this year.”

Toivo Praakel, director of Main Network Services in charge of DSL network deployment, considers the previous year a breakthrough for DSL technology in the whole world. He is also satisfied with the DSL growth rate in Estonia. “The global DSL growth amounted to 90 per cent and Estonia’s 88 per cent is quite in line with this average,” Praakel said. “At the end of last year Estonia ranked 16th in the world in terms of DLS penetration per 100 population.”

Presently Eesti Telefon has over 34 000 DSL lines, more than 4 000 of which are ADSL broadband Internet self-installation kits.

Atlas ADSL broadband Internet accessible in 200 towns and villages
Eesti Telefon’s broadband ADSL coverage has reached 200 towns and villages all over Estonia. Ruila in Harjumaa County is the latest addition to the list.


According to Toivo Praakel, director of Carrier Network Division at Eesti Telefon, the ADSL coverage is up by nearly a third on last year. “The average deployment rate is one ADSL node per week,” he said. “Nine telephone lines out of ten are able to support ADSL broadband Internet.”

In 2002 Eesti Telefon connected all Estonian county centres into a fibre-optic network and deployed a new trunk network based on Dense Wavelength Division Multiplexing (DWDM) technology, which enables to increase the speed of data transfer 64 times. “Data communication and the Internet had to make use of the network designed for voice communication. The new trunk network is the first deployed specially for the Internet traffic and, among other things, it supports also voice communication,” Toivo Praakel said. “This network can cope with the future increase of data communication volumes by tens of times.”

Presently Eesti Telefon has over 35 000 DSL lines, more than 5 000 of which are ADSL broadband Internet self-installation packages. CHAIRMAN’S STATEMENT



A break-through is being made in the development of the
Eesti Telekom Group companies.

When AS Eesti Telefon was created in 1993, 146,000 people
were waiting to be provided with a telephone connection,
i.e. almost every tenth inhabitant of Estonia. By 28
February 2003, this waiting list had been eliminated.
Fast developments in the area of mobile communications
have created the situation where many private individuals
are giving up their fixed lines. Fixed phones are still
indispensable for business customers. The number of main
lines used by business customers continued to grow in the
first quarter of 2003. However, the decreasing volume and
revenues of voice communication are increasingly
compensated for by Eesti Telefon’s success in the area of
data communication. During 2002, the number of users of
Eesti Telefon’s Atlas ADSL permanent connections almost
doubled. The ADSL start-up packages launched in stores at
the end of the year have accelerated the growth in the
number of connections in 2003 even further. By now,
Estonia is among the leading countries not only in
Europe, but in the whole world, in the field of ADSL
penetration. Eesti Telefon is already taking the next
steps - the company supports computer training, the
introduction of ID-cards and the electronic signature,
and promotes remote working facilities.

Mobile penetration in Estonia exceeded 60 % in 2002. This
is a very high rate considering Estonian living
standards. But the addition of new customers has slowed
down. Operators are, rather, taking over competitors’
customers by offering more favourable tariffs or
contracts. AS EMT has, over the years, been oriented more
on offering the most innovative services, rather than the
lowest prices. Therefore, a wide variety of additional
services has secured for it a continuous growth of SMS
volume. The number of GPRS-users is growing fast. In
2003, the company is intending to acquire the third
generation mobile communication license.

Changes in the development trends of the
telecommunication market have not threatened the
financial position of the Eesti Telekom Group. The EBITDA
margin of the Group reached 49% in the first quarter of
2003. The cash flow was strongly positive. Net debt of
the Group amounted to -85 mln EUR, and net gearing was
-34%.

Revenues, expenses, and profits

During the first three months of 2003, consolidated
revenues of the Eesti Telekom Group amounted to 71 mln
EUR, showing an increase of 5% compared to the same
period in 2002. Operating expenses were 36 mln EUR, up by
5%. The EBITDA of the Group showed an increase of 7%,
amounting to 35 mln EUR. The EBITDA margin reached 49%.

In 2003, Estonia started transition to the new Accounting
Law. The new law harmonizes Estonian "good accounting
practices" with International Financial Reporting
Standards. In connection with the transition, the
structure of an income statement has been amended.
"Change in work-in-progress" and "Capitalized self-
constructed assets" have been removed from "Revenue" to
"Operating expenses". Comparison data in 2002 was
calculated correspondingly. In accordance with the new
structure of an income statement, consolidated revenues
and expenses of the first three months of 2002 are lower
by 0.1 mln EUR, compared to the data published in 2002.

15 mln EUR were calculated as depreciation in the first
three months of 2003, a decrease of 11%, compared to the
same period in 2002. The decrease in depreciation is
mainly caused by new depreciation rates employed in AS
Eesti Telefon at the beginning of 2003. The new rates are
more differentiated than the previous ones. Therefore,
the presumed useful lifetime of different categories of
tangible assets is determined more accurately.

Financial revenues exceeded financial expenses by 0.5 mln
EUR in the first quarter of 2003 (Q1 2002: 0.1 mln EUR).
The majority of financial revenues consisted of interest
earned on cash balances of the Group.

The general meeting of the shareholders of AS Eesti
Telefon, that took place on 4 March 2003, decided to
distribute 13 mln EUR, out of the company’s net profit
for the year 2002, to its 100%-owner, AS Eesti Telekom.
The general meeting of the shareholders of AS EMT, that
took place on 4 March 2003, decided to distribute 38 mln
EUR as dividends to AS Eesti Telekom. Starting in 2003, a
resident company shall pay 26/74 income tax on all
dividends paid. In accordance with that, AS Eesti Telefon
has shown 4 mln EUR, and AS EMT has shown 13 mln EUR as
dividend income tax expenses in their income statements.

As a result of the high income tax expenses, the net
profit of the Eesti Telekom Group was 2 mln EUR (in the
corresponding three months of 2002: 16 mln EUR).

AS Eesti Telekom will propose to the general meeting of
shareholders the payment of 53 mln EUR, or 0.38 EUR per
share, to the shareholders, as dividends for 2002. When
the meeting approves the proposal, an income tax
liability will arise in the amount of 19 mln EUR. In
accordance with the Income Tax Law, AS Eesti Telekom can
treat the dividend income tax paid by subsidiary
companies as tax-credit. Therefore, AS Eesti Telekom can
reduce its 19 mln EUR tax liability by 18 mln EUR, paid
by subsidiary companies.

The consolidated revenues of the Eesti Telefon Group were
39 mln EUR, during the first three months of 2003, down
by 1% compared to the same period in 2002. Operating
expenses of the period amounted to 24 mln EUR, up by 2%.
The EBITDA of the Group was 15 mln EUR, down by 7%
compared to the same period in 2002. The EBITDA margin
reached 38%. Resulting from implementation of the new
depreciation rates, depreciation of the Eesti Telefon
Group, for the first three months of 2003, was down by
18%. Compared to the same period in 2002, interest
expenses were significantly lower. The net financing item
of the Eesti Telefon Group, in the first quarter of 2003,
was -0.1 mln EUR (corresponding 3 months in 2002: -0.5
mln EUR). The pre-tax profit of the Eesti Telefon Group
amounted to 6 mln EUR, up by 31%, compared to the same
period in 2002. The net profit of the Group was 1 mln
EUR, as tax on dividends was accounted in the income
statement.

The operating revenues of AS Eesti Telefon, the parent
company of the Eesti Telefon Group, were down by 4%,
compared to the same period in 2002. Operating expenses
of the company were down by 3%. Among voice communication
revenues, the revenue from domestic calls decreased the
most, as much as 12%, compared to the same period in
2002. The decrease was mainly caused by competition with
mobile operators. Revenues from international calls and
calls into mobile networks are stabilizing. Both
categories were down by 2%. Revenues from installation
and monthly fees were lower by 6%, compared to the same
period in 2002. Revenue from Internet dial-up was down by
40%. At the same time, other revenues from Internet
connections were up by 50%, and total revenue from
Internet and data communication was up by 6%. The
company’s revenue from network services was down by 5%.
Revenue from IT-services was up by 35%.

The market shares of AS Eesti Telefon have been
continuously stable. The company estimates its share of
total call minutes, domestic call minutes, fixed to
mobile minutes, and international minutes to be 88%
(March 2002: 90%), 87% (89%), 74% (74%), and 68% (70%),
respectively. The estimated market share of dial-up
minutes is 95% (95%).

The total revenues of the EMT Group amounted to 40 mln
EUR, up by 13%. The operating expenses of the Group were
19 mln EUR, up by 7%. The EBITDA of the EMT Group was 20
mln EUR, up by 19%. The EBITDA margin was 51%.
Depreciation of the EMT Group was up by 3%, compared to
the same period in 2002. The net financing item of the
Group was 0.2 mln EUR. The pre-tax profit of the EMT
Group was up by 27%, compared to the first quarter in
2002, amounting to 15 mln EUR. As tax on dividends, in
the amount of 13 mln EUR, was accounted in the income
statement of March, the net profit of the Group was 1 mln
EUR.

AS EMT’s (the parent company of the EMT Group) revenues
in all main categories, except the monthly fees, were up
during the first three months of 2003. Revenues from SMS
and data continued to have the highest growth-rate. The
number of SMS, sent by AS EMT’s customers, has grown from
year to year. Revenues from SMS formed 5% of the net
sales of the company for the first three months of 2003
(corresponding 3 months in 2002: 4.4%).

The number of customers of AS EMT grew by 3.2 thousand by
the end of March 2003, as compared to the end of the year
2002. The total number of customers reached 430,700. The
number of contractual customers was up by 5.5 thousand.
The number of prepaid customers was down by 2.3 thousand.
Mobile penetration in Estonia exceeded 60% in 2002. The
market share of AS EMT is around 50%. Against that
background, some slow-down in the addition of new
customers is inevitable. At the same time, there is
noticeable customer interest in the new possibilities
that mobile communication can offer. AS EMT has been
always made it a point to be the most innovative operator
in Estonia. AS EMT was the first one to launch GPRS-
services in Estonia. During the last twelve months, the
number of GPRS-users has almost six-folded. The revenue
from GPRS has grown over seven times. The monthly ARPU
(monthly average revenue per user) in March 2003 was 27.0
EUR (March 2002: 26.9 EUR, December 2002: 27.0 EUR).

Balance sheet and cash flow

At the end of March 2003, the total assets of the Eesti
Telekom Group amounted to 297 mln EUR (December 2002: 284
mln EUR). Tangible assets were reduced, from the
beginning of the year, by 12 mln EUR. Current assets were
enlarged by 25 mln EUR. This enlargement was mainly the
result of an increase in cash and cash equivalents by 26
mln EUR. At the end of March 2003, the Group’s non-
current debt amounted to 1 mln EUR and current debt
amounted to 1 mln EUR (December 2002: 1 mln EUR and 2 mln
EUR respectively). By the end of the period, net debt of
the Group amounted to -85 mln EUR, and net gearing was
-34%. Other current liabilities of the Group were up by
11 mln EUR, including a 20 mln EUR increase in tax
liabilities. The majority of the increase in tax
liabilities was income tax calculated on dividends
payable by AS Eesti Telefon and AS EMT.

The balance of cash and cash equivalents of the Eesti
Telekom Group grew by 26 mln EUR during the first three
months of 2003. Net operating cash flow was 29 mln EUR
(corresponding 3 months of 2002: 24 mln EUR). Cash
outflow into investing activities was essentially smaller
than a year ago: 2 mln EUR in 2003, 5 mln EUR in 2002.
Cash outflow into financing activities was 1 mln EUR
(corresponding 3 months of 2002: 1 mln EUR).

Investments

The Eesti Telefon Group invested 1 mln EUR during the
first three months of 2003 (first three months of 2002: 2
mln EUR). The reduction in investments has been caused by
harsh weather conditions leading to projects being
postponed, and changes in accounting principles - small-
volume investments into equipment at customers’ locations
are written directly into expenses. The number of main
lines in use at the end of March was 460,888 (a
penetration of 34.0 lines per 100 people). The net
decrease in the number of main lines was 4,200. The
number of lines per employee was 329. The digitalisation
rate reached 77.4% by the end of March 2003.

The total number of Atlas ADSL connections was 34,659 at
the end of March 2003 (a penetration of 2.6 connections
per 100 people). During the last year, the ADSL-coverage
area has grown by one third, 200 populated points are
covered. An ADSL permanent Internet connection can be
installed to nine phone lines out of ten. Analysts from
Point-Topic, in their quarter four, 2002, report, placed
Estonia first, among Eastern European countries, on the
basis of DSL-penetration level. Estonia also exceeds
countries like Netherlands, Italy, and Great Britain.
According to the data of the DSL Forum, Estonia is in
second place, after Hungary, in Eastern Europe, on the
basis of the absolute number of DSL-connections. The ADSL
start-up packages launched in stores at the end of last
year make it possible for everyone to install an ADSL-
connection. Over 75% of the new ADSL-connections have
been installed using the start-up packages. AS Eesti
Telefon is intending to further accelerate the spread of
the ADSL-connections with the promotion of remote working
facilities.

On 29 December 2000, the agreement for the termination of
the concession agreement was concluded between the
Republic of Estonia and AS Eesti Telefon. The agreement
regulates some aspects of the relationship between the
company and the state until 1 January 2004. With the
agreement, AS Eesti Telefon accepted an obligation to
ensure that 95% of the applications for telephone
connections submitted to AS Eesti Telefon, after 28
February 2003, will be fulfilled within two weeks of the
payment of the invoice, and to eliminate, by 28 February
2003, at the latest, the waiting list of those who had
submitted applications before the concluding of the
agreement.

At the end of the year 2000, 24,290 people were waiting
for phones. By the end of February 2003, the waiting list
of subscribers, resulting from applications received
before the end of 2000, was eliminated. New applications
for fixed phone connection are fulfilled within 10
business days in 98% of the cases.

AS Eesti Telefon has participated on several public
tenders successfully. In October 2002, the company won
the tender for government procurement to supply a virtual
private network for the Estonian Land Board. The network
between the head office and 14 local offices of the Board
was established in February 2003. In February 2003, AS
Eesti Telefon won the tender for government procurement
to supply the server hosting service for the central
database of the Estonian libraries and the web-library.

The EMT Group invested 2 mln EUR during the first three
months of 2003 (corresponding 3 months of 2002: 3 mln
EUR). The majority of investments made by EMT went into
base stations and exchanges.

On 11 February 2003, the Riigikogu (Parliament) decided
that four third generation mobile communication licenses
would be issued for a ten-year period. At the first
stage, a direct offer will be made to the existing
licensed mobile operators in Estonia, with a fee of 4 mln
EUR per license. The second stage will be an auction of
the licenses not issued during the first stage, with an
initial price of 4 mln EUR per license. A precondition
for the licensee will be the obligation to establish,
within seven years of the license issuance, a third
generation network covering at least 30% of the Estonian
population. The decision became effective on 17 March
2003. AS EMT, as an operator oriented upon innovations,
continues to be interested in acquiring the license. The
investment is budgeted to take place in 2003.

Relations with state regulators

The Communications Board started procedures in November
2002 to reduce the termination fees of calls made to
mobile networks. The Board analysed interconnection fees
of the mobile operators and came to the conclusion that
the operators have not based their charges on a
reasonable profit percentage, as determined by the
Telecommunication Act. The opinion of the Communications
Board is that lower interconnection charges would improve
the quality of mobile calls made from abroad to Estonia,
and would lead to lower retail rates. As a result, on 31
January 2003, AS EMT announced its intention to reduce
the termination fee, starting 1 March 2003, from the
current 0.20 EUR/min to 0.19 EUR/min, and the discounted
termination fee from the current 0.178 EUR/min to 0.176
EUR/min.

On 24 April 2001, the Competition Board issued a precept,
based on the Competition Act, prohibiting
AS Eesti Telefon from levying a per-minute rate of 0.022
EUR at peak time, 0.018 EUR at off-peak time, and 0.009
EUR at night for voice calls in its network. The
Competition Board thereby instructed AS Eesti Telefon to
levy rates lower than those which it had established on 1
April 2001. But AS Eesti Telefon is of the opinion that
the basic price of 0.009-0.022 EUR, for calls within the
network, is cost-based. Therefore, AS Eesti Telefon
disagreed with the precept of the Competition Board, and
contested it in court in May 2001. The first and the
second level courts made their decisions in favour of AS
Eesti Telefon, and the Competition Board appealed to the
Supreme Court, which, on 18 December 2002, annulled the
earlier judgments and forwarded the case to the
Administrative Court for revision. The Supreme Court
found that the precept of the Competition Board,
regarding minute rates of the voice communication
services within a network, is inadequate for making the
final judgment. The Administrative and the District Court
had, according to the Supreme Court, not assessed all
items of available evidence. The Supreme Court considered
it necessary for the Administrative Court to use the
assistance of the Communications Board when revising the
case.

ANNUAL GENERAL MEETING

Hereby we inform you that the Annual General Meeting of
the shareholders of AS Eesti Telekom, registration no
10234957, located in Roosikrantsi 2, Tallinn, shall be
held on May 22, 2003 at 1.00 p.m. at "Vanalinnastuudio"
(Sakala 3, Tallinn).

The following agenda is suggested for the meeting:
1. Approval of 2002 Annual Report and allocation of the
profit.
2. Buy-back option of AS Eesti Telekom shares.
3. Recalling and election of the members of the
Council.
4. Remuneration of the members of the Council.
5. Election and remuneration of the auditor.

The shareholders registered in the share register of AS
Eesti Telekom on May 22, 2003 at 8.00 a.m. have the right
to vote on the Meeting. Registration to the General
Meeting starts on May 22, 2003 at 12.00 at
"Vanalinnastuudio". For registration to the Meeting:

· A shareholder, being a natural person, must produce
a passport or identity card as an identity document, a
representative must also produce a duly executed power of
attorney;
· A representative of a shareholder, being a legal
person, must produce an extract from the respective
(commercial) register, where the legal person is
registered (for an Estonian legal person, a copy of the
Commercial Register`s card B, which is not older than 15
days), proving the right of the person to represent the
shareholder (legal authorisation), and the
representative`s identity document; if the person is not
a legal representative, a duly executed power of attorney
(authorisation by transaction) and the representative`s
identity document must be produced in addition to the
extract from the register;
· Documents of a legal person registered in a foreign
country (except for the power of attorney) must be
legalised in the Republic of Estonia Ministry of Foreign
Affairs or in a foreign representation of the Republic of
Estonia, or confirmed with apostille.

Resolution projects

1. To approve 2002 Annual Report consisting of
financial report, management report, independent
auditor’s report and proposal for profit distribution.

2. To distribute the retained earnings totalling
2,132,574 thousand kroons, consisting of the net profit
of AS Eesti Telekom for the financial year of 2002
1,040,401 thousand kroons and retained earnings from
previous periods 1,092,173 thousand kroons as follows:

1) To distribute between shareholders and to pay to
shareholders as dividends 515,197 thousand EEK as
follows:

a) The number of A shares is 137,383,178. Dividends
payable to all holders of A shares total 515,187 thousand
EEK, i.e. 3.75 EEK per A share.
b) Dividend payable to the holder of B share totals
10,000 EEK.

2) To distribute between shareholders and to pay out to
shareholders as "extraordinary dividend" 309,112 thousand
EEK as follows:

a) Dividends payable to all holders of A shares total
309,112 thousand EEK, i.e. 2.25 EEK per A-share.

To pay the total of 824,299 thousand EEK, i.e. 6.00
EEK per A share, as dividends to the holders of A
shares and the total of 10,000 EEK to the holder of
B share.

3) Left to be carried forward in the balance sheet is
1,308,265 thousand EEK.

The list of shareholders on the basis of which dividends
will be distributed shall be fixed according to the
provisions of the Tallinn Stock Exchange Rules at 8.00 on
10 June 2003. The dividends shall be paid out on 19 June
2003.

3. To authorise AS Eesti Telekom to acquire within one
year from the adoption of this resolution (i.e. until 22
May 2004) AS Eesti Telekom shares of A-series so that the
total of nominal values of own shares held by AS Eesti
Telekom would not exceed the legal limits and the price
payable per share would not exceed the highest price paid
for the A share of AS Eesti Telekom on the Tallinn Stock
Exchange on the day of acquiring the shares. AS Eesti
Telekom to pay for the said shares from the company`s
assets in excess of its share capital, reserve capital
and share premium. The amount of shares to be acquired
each time shall be determined on each occasion separately
by a resolution of AS Eesti Telekom`s Supervisory
Council.

4. To appoint Villu Vaino from Deloitte&Touche Audit AS
to audit Eesti Telekom in 2003. Remuneration of the
auditor will be based on a contract with the auditing
company.

SALE OF MINORITY INTEREST

AS Eesti Telefon, a 100%-owned subsidiary of AS Eesti
Telekom, sells to ELTEL Networks Corporation 49% minority
interest in 100% owned AS Connecto, which offers design,
installation, construction and maintenance services for
telecommunication and electrical systems.

Sale will enable Eesti Telefon to focus its core business
that is providing telecommunication and IT solutions.
Involving a strategic partner will also accelerate
expansion of AS Connecto into other Baltic states.

Transition of the shares will take place after approval
of the Competition Board. After that the exact price of
the deal will also be determined, which will be 58
million kroons (3.7 million euros) minus 49% of net
interest-bearing debt of the Connecto as of the end of
the month before the transition.

Eesti Telefon will stay as an active owner of Connecto,
but ELTEL Netwoks has right to acquire 100% of the
company shares after two years. The transition cannot be
treated as a transaction with related party, neither
Council nor Management Board of Eesti Telefon have no
other personal interest in the transaction.

As for the turnover AS Connecto (www.connceto.ee) is one
of the largest company in the Baltics, offering design,
installation, construction and maintenance services for
telecommunication and electrical systems. The turnover of
AS Connecto totalled 260.8 million kroons (16.6 million
euros) in 2002, and its profit totalled 12.6 million
kroons (0.8 million euros). Company was established in
2001 and employs 445 people. The company has a subsidiary
in Latvia Connecto Latvia.

ELTEL Networks Corporation (www.eltelnetworks.com )
is an Infranet Company providing services to networks`
owners in Northern Europe. The three strong fields of
operations are: electrification projects, mobile networks
and network services. Group`s net sales was 208 million
euros (3.255 billion kroons) in 2002 and it
employs about 2000 people in the Nordic countries,
Baltics and Russia and in South-East Asia.

AS Eesti Telefon (http://www.et.ee), the largest
telecommunications company in Estonia was founded in
1993. It is owned by AS Eesti Telekom which is listed at
the stock exchanges of Tallinn and London
(TSE:ETL/LSE:EETD). Eesti Telefon provides innovative
client-centered communication and IT solutions. Eesti
Telefon’s consolidated net profit in 2002 was 286 million
kroons (18 million euros) on net sales of 2.493 billion
kroons (159 million euros). The company invested 334
million kroons (22 million euros) developing
telecommunications throughout the year. Total group
assets, according to IAS were worth 2.473 billion (158
million euros). The company had 1,999 employees at end-
2002, 1,420 of whom worked for the parent firm.

Approval of 2002 Annual Report and allocation of the profit.

1. To approve 2002 Annual Report of AS Eesti Telekom.

2. To distribute the retained earnings totalling 2,132,574 thousand kroons, consisting of the net profit of AS Eesti Telekom for the financial year of 2002 1,040,401 thousand kroons and retained earnings from previous periods 1,092,173 thousand kroons as follows:

1) To distribute between shareholders and to pay to shareholders as dividends 515,197 thousand EEK as follows:

a) The number of A shares is 137,383,178. Dividends payable to all holders of A shares total 515,187 thousand EEK, i.e. 3.75 EEK per A share.

b) Dividend payable to the holder of B share totals 10,000 EEK.

2) To distribute between shareholders and to pay out to shareholders as “extraordinary dividend” 309,112 thousand EEK as follows:

a) Dividends payable to all holders of A shares total 309,112 thousand EEK, i.e. 2.25 EEK per A-share.

To pay the total of 824,299 thousand EEK, i.e. 6.00 EEK per A share, as dividends to the holders of A shares and the total of 10,000 EEK to the holder of B share.

3) Left to be carried forward in the balance sheet is 1,308,265 thousand EEK.

The list of shareholders on the basis of which dividends will be distributed shall be fixed according to the provisions of the Tallinn Stock Exchange Rules at 8.00 on 10 June 2003. The dividends shall be paid out on 19 June 2003.

Buy-back option of AS Eesti Telekom shares.

To authorise AS Eesti Telekom to acquire within one year from the adoption of this resolution (i.e. until 22 May 2004) AS Eesti Telekom shares of A-series so that the total of nominal values of own shares held by AS Eesti Telekom would not exceed the legal limits and the price payable per share would not exceed the highest price paid for the A share of AS Eesti Telekom on the Tallinn Stock Exchange on the day of acquiring the shares. AS Eesti Telekom to pay for the said shares from the company`s assets in excess of its share capital, reserve capital and share premium. The amount of shares to be acquired each time shall be determined on each occasion separately by a resolution of AS Eesti Telekom`s Supervisory Council.

NAME CHANGE OF A SUBSIDIARY

AS Eesti Telefon, a fully owned subsidiary of AS Eesti
Telekom will be renamed and become Elion in August this
year. The new brand name is to incorporate also the retail
outlets of its subsidiary AS Telefonipood (Hallo).

According to the management team of Eesti Telefon the
company has decided to change its name because Eesti
Telefon has ceased to be a mere telephone services
provider as the Internet, data communication and
information technology have become its fastest growing
business areas. Eesti Telefon has also successfully
discarded its monopoly status and stabilised its market
shares in the face of competition.

Under the new name the company has set itself the goal
of becoming the best telecommunications and IT services
provider in Estonia. It has devised a set of measures to
reach the goal, which would improve service quality and
the product portfolio in order to better meet the needs
of customers.

The company will launch its new logo and corporate visual
identity in the second half of August. All the existing
brands of Eesti Telefon (Atlas, et, Hot), except its
Internet search engine NETI, will cease to exist.
Gradually the new look will replace the old one
everywhere.

Acquisition

Connecto Ltd., which is 51%-owned subsidiary of Eesti Telekom`s fully owned Elion Enterprises Ltd. (previously Eesti Telefon Ltd.), acquired all of the shares of Estonian telecommunication company Reveko Telekom Ltd.



In accordance with the purchase and sale agreement, AS Connecto purchased 55 percent of the shares of Reveko Telekom from TeliaSonera and 45 percent of shares from Estonian private persons. The price of the deal is 14 million kroons (0.9 million euros). As TeliaSonera has 48.9 per cent ownership in AS Eesti Telekom, the parent company of the Eesti Telekom Group, the transition can be treated as a transaction with related party. Neither Council nor Management Board of Eesti Telekom have no other personal interest in the transaction.

Reveko Telekom (www.reveko.ee) was founded in 1995. It is involved in different indoor solutions: installing and construction of telecommunication systems and networks as well as operator services. Reveko Telekom has 22 employees, the company´s turnover was 35.5 million kroons (2.3 million euros) and profit 1.3 million kroons (83,000 euros) in 2002.



As providing indoor solutions is one of Connecto´s strategic business areas, the acquisition allows to strengthen Connecto´s position in the Estonian market and to speed up the development of the company.




As for the turnover AS Connecto (www.connecto.ee) is one of the largest company in the Baltics, offering design, installation, construction and maintenance services for telecommunication and electrical systems. The turnover of AS Connecto totalled 260.8 million kroons (16.6 million euros) in 2002, and its profit totalled 12.6 million kroons (0.8 million euros). Company was established in 2001 and employs 445 people. The company has a subsidiary in Latvia Connecto Latvia.

Dem charttechnisch ausgerichteten Investor empfiehlt derzeit das Anlegermagazin "Focus Money" die Aktien von Eesti Telekom (ISIN EE3100007220/ WKN 918451) zum Einstieg.

Je weiter der Blick gen Osten schweife, umso attraktiver würden Telekommunikationswerte. Eesti Telekom etwa kämpfe nicht mit hohen Schulden wie etwa die Deutsche Telekom. Der Lohn der Börsianer: Seit zwei Jahren klettere die Aktie des estnischen Telekomgiganten unermüdlich.

Eesti Telekom`s fully owned Elion Enterprises Ltd. acquired all of the shares of related company EsData Ltd., which offers data communication and Internet services.



In accordance with the purchase and sale agreement, Elion Enterprises purchased 70 percent of the shares of EsData from TeliaSonera for approximately 6.776 million kroons (433,000 euros). So far Elion Enterprises owned 30 percent of the shares of EsData. Acquisition consolidates Elion Group data communication and Internet services and utilizes synergies in network management and customer service between both companies.

EsData (www.estnet.ee) was founded in 1993. Company offers digital leased lines, Internet leased lines, Internet dial-up service, global IP transit service, web hosting and server hosting services. EsData has 9 employees, the company´s turnover was 10 million kroons (640,000 euros) and profit 81,000 kroons (5200 euros) in 2002.

Merger of AS Connecto and Eltel Networks AS

Jaanus Paas, the chairman of the board of AS Connecto and Andres Alamaa, the chairman of the board of Eltel Networks AS, signed the merger agreement on the 18th of December 2003. The agreement serves as basis for initiating the merger proceedings. AS Connecto is a subsidiary of Elion Enterprises Ltd which owns 51% of its shares. Elion Enterprises Ltd is a subsidiary of Eesti Telekom AS, which owns 100% of its shares. A Finnish company Eltel Networks Corporation owns 49% of shares of AS Connecto.

The merger supports the company’s development plans that foresee combining the resources and know-how in the field of electrical and telecommunication networks, which provides the opportunity to offer integrated network solutions for customers.

After merger company’s name will be Eltel Networks AS. The merger shall be completed by spring 2004 when the corresponding entry will be done into the Commercial Register.

Der Gewinn vor Steuern in 2003 stieg gegenüber dem Vorjahr um 17.1 %. Wie vom Financial Management der Eesti Telekom vor einigen Monaten berichtet wurde, haben sich im Jahr 2003 die Besteuerungsgrundlagen gegenüber den Vorjahren in Estland geändert. Dadurch wurde 2003 mehr Steuer einbehalten, so dass der Gewinn nach Steuern gegenüber dem Vorjahr unverändert bei 0.48 Euro je Aktie liegt. Da für 2002 eine Dividende von 6.00 Estn. Kronen – damals gleich 0.38 Euro gezahlt wurde, ist zu vermuten, dass für 2003 mit der gleichen Dividende zu rechnen ist. Bei einem Kurs heute von 7.60 Euro bedeutet dies eine Rendite von 5,0 %. Bei unverändertem bzw. bei nicht geringerem Gewinnanstieg in 2004 sollte ein Gewinn nach Steuern für 2004 von ca. 0.53 Euro je Aktie zu erwarten sein. Dies liesse bei unveränderter Rendite von 5.0 % einen Kursanstieg auf 8.60 bis etwa Jahresende zu.
Da die seit Sept. 2001 gültige Aufwärtstrendgerade derzeit bei etwa 7.20 Euro liegt (und diese etwa im August 2004 bei 8.60 Euro) müsste derKurs bei Jahresende 2004 deutlich über 8.60 Euro liegen, um die Aufwärtstrendgerade nicht nach unten zu durchbrechen.
Fazit: Obwohl der Kurs seit Sept. 2001 von unter 3 Euro auf heute 7,60 Euro gestiegen ist und dieser Kursanstieg zur Gewinnmitnahme reizt, kann die Aktie weiterhin gehalten werden, der Chart ist allerdings regelmässig zu beobachten, um beim Durchbruch durch die Trendgerade reagieren zu können

Comment on an article in “Äripäev”

On 8th April 2004, Kenneth Karlberg, President of TeliaSonera Norway, Denmark and the Baltic countries, in “Äripäev” claimed, that TeliaSonera will not acquire AS Eesti Telekom shares at their present high price (126 EEK/share on 7th April 2004). Mr. Karlberg did not comment at which price TeliaSonera would be ready to acquire AS Eesti Telekom shares and make takeover proposal to the rest of the shareholders. Mr. Karlberg did not comment possible developments in May 2004, when the Shareholders’ Agreement between TeliaSonera and the Government of Estonia expires. The Management Board’s proposal is that the distributable funds for 2,290,597 thousand kroons (146,394 thousand euros) should be allocated as follows:

1. To allocate to the legal reserve 261 thousand kroons (17 thousand euros).

2. The number of A-shares is 137,644,429. To distribute between shareholders and to pay out to shareholders as dividends 1,101,155 thousand kroons (70,376 thousand euros), i.e. 8.00 kroons (0.51 euros) per A-share.

Der schwedisch-finnische Telekomkonzern TeliaSonera bietet 500 Millionen Euro in bar für Eesti Telekom Estland. Das größte Telekommunikationsunternehmen Nordeuropas besitzt bereits 48,9 Prozent an dem etabliertesten estländischen Betreiber. TeliaSonera verfolgt gegenwärtig den Kurs, all seine Beteiligungen im Baltikum komplett zu übernehmen.

Das Angebot liegt mit 111 estnischen Kronen jedoch weit unter dem letzten Schlusskurs von 122 Kronen, weshalb die Investoren das Angebot wahrscheinlich zurückweisen werden. "Den gegenwärtigen Kurs können wir nicht zahlen, weil er überhöht ist", erklärte Anders Igel, Chef von TeliaSonera. Immerhin liege man mit der aktuellen Offerte um 12,3 Prozent über dem durchschnittlichen Börsenkurs der letzten zwölf Monate. Weitere Übernahmestrategien würden gegenwärtig diskutiert.

TeliaSonera hält 49 Prozent an Lattelekom, dem größten lettischen Festnetzbetreiber, und 60 Prozent an Latvia Mobile. Zudem besitzt der Konzern 60 Prozent an dem Festnetzbetreiber Lietuvos Telekomas. Die Anteile an Omnitel, einem weiteren lettischen Mobilfunkbetreiber, erhöhte man auf 90 Prozent. (as)

Stockholm/Tallinn (pte, 15. Apr 2004 14:33) - Das skandinavische Telekommunikationsunternehmen TeliaSonera http://www.teliasonera.com hat rund 7,83 Mrd. Estnische Kronen (EEK - 502,1 Mio. Euro) für die ausstehenden 51,09 Prozent der Aktien an dem estnischen Anbieter Eesti Telekom http://www.telekom.ee geboten. Die restlichen 48,91 Prozent der Aktien befinden sich bereits im Besitz von TeliaSonera. Der estnische Staat hält 27,23 Prozent der Aktien. Die restlichen 23,86 Prozent befinden sich in Besitz von Investoren.

Über seine Holding Baltic Tele will der schwedische Konzern pro Aktie 111,3 EEK (7,14 Euro) zahlen. Zusammen mit einer Dividende in Höhe von acht EEK (0,51 Euro) liege das Angebot damit um 12,3 Prozent über dem durchschnittlichen Aktienpreis der letzten zwölf Monate, heißt es in der Aussendung. Der aktuelle Aktienkurs liegt mit rund 120 Kronen allerdings über dem Angebot von TeliaSonera.

Der schwedische Telekomkonzern wird nach eigenen Angaben das Angebot nicht weiter erhöhen. Die Angebotsphase beginnt spätestens Ende April mit Aussendung der gedruckten Offerte und soll von da an 42 Tage andauern. Das Angebot wird laut TeliaSonera aber nur dann aufrechterhalten, wenn das Unternehmen seinen Aktienanteil auf mindestens 85 Prozent ausbauen kann. (Ende)

TeliaSonera gibt kein Gebot für Eesti Telekom ab

STOCKHOLM (Dow Jones-VWD)--Die TeliaSonera AB, Farsta, wird keine Offerte für die noch nicht in ihrem Besitz befindlichen Anteile der AS Eesti Telekom abgeben. Sie habe nicht genügend Zusagen erhalten, um ihre Beteiligung über das Mindestmaß von 85% hinaus auszubauen, begründete die Gesellschaft die Entscheidung am Donnerstag. Der offerierte Preis sei fair gewesen, hieß es. Eine Anhebung habe TeliaSonera nie in Erwägung gezogen. TeliaSonera hatte Mitte April angekündigt, die estnische Telefongesellschaft vollständig übernehmen zu wollen. Geboten worden waren für die restlichen 51,09%insgesamt 500 Mio EUR in bar.

Damit gibt es weiterhin einen free float von ca 24 %. Trotz des kleinen estnischen Marktes und der dadurch bedingten relativ grossen Variabilität der Kurse glaube ich, dass Eesti Telekom bei derzeitigen Kursen weiter gekauft werden kann. Bei der derzeitigen Rendite von ca. 7 % kann die Aktie lange gehalten werden, wenn einmal ein Verkauf wegen zu niedriger Kurse nicht möglich sein sollte.Bei dieser Rendite wären Kurse von 9-10 Euro durchaus angemessen

Bei Eesti Telekom ist die Dividende übrigens heute gutgeschrieben worden, der Dividendentermin war der 17.6. - bis zur Gutschrift in Deutschland dauert es also ca. 2 Wochen. Gezahlt wurde 0.51 Euro (= 8.00 estn. Kronen) das ist eine Dividendenrendite von etwa 7.4 %. Die Quellensteuer beträgt 0.13 Euro und wird bei der deutschen Steuererklärung verrechnet.

Eesti Telekom geht übrigen chartmässig seit fast einem Jahr im Bereich 6.70 - 8,00 Euro seitwärts und hat infolgedessen den vom Oktober 01 herrührenden Aufstiegstrendkanal im Mai 04 nach unten verlassen. Dabei haben sich die 6,60 Euro als Unterstützung erwiesen und man darf hoffen, dass es bei einer Stimmungsverbesserung an den Börsen zur Ausbildung eines neuen aufsteigenden Trends kommen wird.

Eesti Telekom ist derzeit bei ca. 6.70 Euro ziemlich festgemauert, der Kurs steigt nicht, fällt aber auch nicht an sehr schlechten Börsentagen.

Die Baltic Tele AB legte zum 13.1.05 ein Übernahmeangebot vor. Sie bietet 109,84 EEK = 7,02 Euro. Das ist weniger als der gegenwärtige Kurs von ca. 7,40 Euro und auch weniger als das Übernahmeangebot der gleichen Firma vom Mai 2004 (111,30 EEK = 7,11 Euro).Vermutlich ist das neue Angebot ein Pflichtangebot der Baltic Tele AB, weil diese kürzlich die Aktienmehrheit bei Eesti Telekom erlangt hat (50,00004 %)und ist nicht besonders ernst gemeint. Schon seinerzeit hat der Estnische Staat, der rd. 1/4 der Aktien besitzt, das Angebot vom Mai 04 als zu gering abgelehnt.Ich selber bin nicht bereit, meine Aktien von Eesti Telekom, die zu etwa 7 % rentieren, zu diesem Preis herzugeben.

50.4 pct, and earnings to grow by 2.4 pct.

Mikolajewicz has a `hold` recommendation on the stock, and a price target for
the year at 114.80 kroons (7.34 eur).

Latvian Parex Banka`s Arnis Celmins forecast a more than 41 pct growth in Eesti
Telekom`s quarterly profit, and a 6.1 pct rise in earnings. He expects a
dividend of 8 kroons per share.

Urmas Riiel, chief analyst with Hansabank Markets, said shareholders in Eesti
Telekom could more seriously consider repurchasing stock if they give up major
dividends.

"They could pay huge dividends, but I don`t think the dividend will be above 8
kroons per share," he said.

Riiel expects Eesti Telekom`s profit to grow by one-fourth but earnings to slide
by 0.3 pct. His recommendation is to keep the stock, with the price target at

Investment bank Suprema Triin Palge analyst also expects profits to surge by

Eesti Telekom schüttete immer einen sehr hohen Anteil des Gewinns je Aktie aus und das wird auch wieder so sein, da die Grossaktionäre anscheinend auf eine hohe Ausschüttung Wert legen.

Von wegen da hat nicht jeder Telefon. Laut estnischer Verfassung hat jeder Bürger ein Recht auf Internetanschluss. Überall (auch in jedem Hotel) kannst Du online gehen etc... Das Problem ist m.E. eher, dass die Kosten sehr niedrig sind. Ich überlege auch, ob ich nicht verkaufe.

Das EBITDA 2004 ist ungefähr so hoch wie 2003 (+0,2 %), das EBIT um 5,6 % höher. Der net profit, also nach Steuern, allerdings um 4 % niedriger. Offenbar hat sich steuerlich etwas geändert in Estland. Das Ergebnis ist gut, aber nicht sehr gut. Vielleicht erklärt dies den Kursrückgang der letzten Tage. Wir müssen sehen, ob das Ergebnis Auswirkungen auf die DIvidende haben wird.

#116: Es geht ca. 26 % Quellensteuer ab. Diese wird zwar verrechnet, wenn man in Deutschland Steuern auf Kapitalerträge zahlt, leider aber dann nicht, wenn man mit seinen Zinsen und Dividenden insgesamt noch innerhalb des Sparerfreibetrages liegt. In diesem Fall ist die Quellensteuer verloren.

Frage an die Kenner und Investierten

An welcher Börse in Deutschland kauft man die Aktien, gibts da Präferenzen ?

Wie ist die Dividende, letztes Jahr wurden 0.51EUR pro Aktie Dividende ausgewiesen, wieviel kommt da in Deutschland an (bzw. werden eingebucht), gibts irgendwelche Abzüge vorab ?

Gibts Meinungen über die Höhe der Dividende in 2006, auch wieder 0.51 EUR ? Mehr ? Weniger ?

Mir scheint der Wert sehr interessant, sollte er doch beim aktuellen Stand der Aktie eine Dividendenrendite von fast 7% bieten.

Von der Dividende werden 25 % Quellensteuer in Estland abgezogen, der Rest kommt in D an. Am 8.02.06 werden wir sehen, wie hoch der Gewinn 2005 ist - ist er so hoch wie im Vorjahr, wird auch die Dividende gleichbleiben. Beim Kauf der Aktien in D sollte man bei Onvista nachschauen, an welcher deutschen Börse am meisten umgeht. Dort kann man dann kaufen.

TeliaSonera increases holdings in Eesti Telekom

TeliaSonera has increased its holding in the Estonian subsidiary Eesti Telekom, which in turn owns the companies Elion and EMT. The shares were acquired at a price of SEK 71. 76 (EUR 7. 741) per share. The total purchase price is SEK 127. 7 millions (EUR 13.8 millions).
TeliaSonera owns 51.55 percent of the capital and votes in the company after the transaction.

In December 2004, TeliaSonera increased its holdings in Eesti Telekom to over 50 percent and consolidated the company. The acquisition of an additional 1.29 percent of the company gives a total share holding of 51.55 percent. Through the purchase, TeliaSonera confirms its long-term commitment to Eesti Telekom and strengthens its position as the leading communications company in the Nordic and Baltic regions.

“TeliaSonera has always been clear about its long-term desire to increase its holdings in Eesti Telekom and we now further strengthen our position in the company,” says Kenneth Karlberg, President of TeliaSonera Norway, Denmark and Baltic Countries.

Bevor TeliaSonera ein neues Abfindungsangebot macht, sollte man dort zunächst mal eruieren, zu welchem Preis der Estnische Staat seine Anteile hergibt. Auf alle Fälle sollten wir Kleinanleger weiter halten und unsere Anteile derzeit nicht unter 8,50 Euro hergeben.

Im letzten Jahr gab's 8,00 Kronen = 0.51 Euro. Wenn sich der Kurs der estnischen Krone nicht gravierend verändert haben sollte, müsste es also um 0.57 Euro Dividende geben. Also eine Dividendenrendite von ca. 7.2 % beim gegenwärtigen Kurs.Nach Abzug der Quellensteuer sind es noch 5,4 % Rendite. Wer Steuer auf Zins- und Dividendenerträgnisse zahlen muss, kann die Quellensteuer sogar in der Steuererklärung anrechnen und steht noch besser da.

@brokerbee: 8,50 Euro war der Höchstkurs der letzten Jahre - und den sollte TeliaSonera mindestens zahlen. Ich selber wollte eigentlich nicht unter 9,00 Euro geben.

Im allgemeinen Abwärtsstrudel halten sich unsere Eesten doch recht wacker. Und 0,57 Euro pro Schein ist ja auch ein netter Nebenverdienst

Eesti Telekom ist derzeit zweifellos der ungarischen MATAV vorzuziehen. Die estnische Krone ist stabil, der ungarische Forint hingegen hat gegenüber dem Euro in den letzten Monaten ca. 13 % an Wert verloren und wird angesichts der derzeitigen wirtschaftspolitischen Situation in Ungarn wohl weiter nachgeben.

Ich habe und behalte beide. Langfristig. Wegen der Dividende und weil der Telefonmarkt dort noch nicht gesätigt ist.

In dem Zusammenhang: In Südafrika habenm nur 10% aller Menschen Telefon. Müßte doch auch ein Wachstumsmarkt sein?!?

Ich halte MATAV auch nach wie vor, allerdingswerde ich derzeit auch (noch) nicht nachkaufen. Bei Eesti Telekom sollte man sich allerdings engagieren, falls der Kurs deutlich unter 7,00 Euro sinkt.
Soweit ich über Südafrika informiert bin, hat ein Grossteil der farbigen Einwohner nicht das Einkommen, um sich ein Telefon leisten zu können. Mit dem Wachstumsmarkt ist es dort also auf absehbare Zeit noch nichts.

EESTI halte ich schon lange und der Dividenabschlag ist schon wieder aufgeholt. Bei MATAV bin ich wieder dabei, verkaufe aber immer bei ca. 3,60 Euro. Langfristig hat EESTI mehr gebracht.

TeliaSonera's Eesti Telekom Q3 EBITDA growth slips to 2 pct on margin dip
LONDON (AFX) - TeliaSonera AB (Nachrichten/Aktienkurs) 's Eesti Telekom (Nachrichten) unit posted third quarter EBITDA of 587 mln Estonian kroons (37.5 mln eur), up 2 pct from a year earlier and underperforming top-line growth as profitability dipped on a product shift towards lower-margin activities.

Sales rose to 1.462 bln kroons from 1.296 bln, driven by a solid performance from all its main business lines.

Commenting on the EBITDA margin dip to 40.1 pct from 44.2 pct a year earlier, the operator said its board is 'constantly reviewing possibilities to increase efficiency and productivity'.

Net profits were 472 mln kroons, up from 398 mln.
