After battling the entertainment industry establishment for six years over their movie and music download patents, the two entrepreneurs behind SightSound Technologies, Scott Sander and Arthur Hair, have formed a production company and signed a three-year first-look deal with MGM.
The new shingle, Pense Prods., will put $ 1 million of its own coin into a development fund that will be jointly overseen with MGM.
Sander will handle creative duties, while Hair, who came up with the idea for downloads in 1988, will provide the techno-wizardry the pair hopes will allow Pense to pare production costs to the bone.
"We look forward to working with directors who share our passion for story with a willingness to use every available tool to tell that story," Hair said.
The two previously produced the experimental digital pic "Quantum Project," starring Stephen Dorff, Fay Masterson and John Cleese. Pic was distributed on the Web by SightSound.
They also conducted the early tests of an end-to-end "data" cinematography process, with principal photography handled digitally and final output on 35mm film.
A previous Sander project, "Buddy List," is in development at MGM, but is not part of the Pense deal.
Late last month, Hair and Sander settled a long-running patent infringement suit with CDNow and N2K (now part of BMG Online) over the online retailer`s sale of music downloads.
As part of the settlement, BMG acknowledged the validity of the patents, which date to 1992 and cover the commercial downloading of music and movies over the Internet (Daily Variety, Feb. 23).
Hair and Sander set up SightSound in 1994 to offer paid music and movie downloads using the technology Hair had developed. But the company was never able to license sufficient product from the major record labels or studios to make the business fly.
In 1998, they filed suit against CDNow after it began testing its own paid download service.
Based on last month`s legal settlement, SightSound has set up a licensing program for its download patents, which could eventually sweep up royalties from a broad swath of the commercial movie and music download business.
"SightSound looks forward with renewed strength to licensing those in the music and movie industry who seek to employ SightSound`s patented technology in downloading music and movies over the Internet," said attorney William Weld, who handled the litigation.
Hair and Sander are also in early conversations with several media congloms about a possible sale of the company and its patent portfolio.
"I think one of the things MGM liked about us is that we`re able to raise our own capital," Sander said.
Pair nearly inked a development deal with MGM three years ago while in talks with the studio about licensing films for SightSound`s download service.
SightSound ultimately decided to suspend operations, however, while it concentrated on its patent litigation, and nothing came of those talks.

Producer Scott Sander and long-time business partner Arthur Hair have moved their production company, Pense Productions, to MGM as part of a three-year, first-look deal with the studio. Based at MGM`s Century City headquarters, the duo will bring development funds into the partnership while partnering with the studio on development and production decisions. Best known for their groundbreaking work in the digital distribution of entertainment, Sander and Hair are the founders of SightSound Technologies, where they sold the world`s first music and movie downloads over the internet in the 1990s.

Die USA als Land der unbegrenzten Möglichkeiten überrascht den gemeinen Mitteleuropäer immer wieder aufs Neue. Berichteten zahlreiche Medien unlängst noch über einen findigen Unternehmer, der Grundstücke auf dem Mond vermarktet, so könnte jetzt das Unternehmen Sightsound Technolgies die Aufmerksamkeit insbesondere von kommerziellen Download-Anbietern für Audio- und Videofiles erregen.
Gemäß dem Sprichwort "Der frühe Vogel fängt den Wurm" hat sich der Unternehmer Arthur R. Hair bereits 1993 das Verfahren für die Übertragung von Audio- und Videodatein patentieren lassen. Im Oktober 1997 erhielt Hair in diesem Zusammenhang das zweite Patent. Bei genauerer Betrachtung erweisen sich die Patente "Method For Transmitting Of A Desired Digital Video Or Audio Signal" als auch "System for Transmitting Desired Digital Video or Audio Signals" lediglich als sehr detaillierte Beschreibungen für das Verfahren von Download-Applikationen. Keineswegs aber handelt es sich um technologische oder sonstige eigenständige Entwicklungen seitens des Erfinders, die notwendig sind, um Downloads im Netz gegen Entgeld anzubieten.
Mittlerweile hält Sightsound, deren CEO Hair ist, in diesem Zusammenhang insgesamt elf Patente. Das eigentlich Überraschende ist, dass Sightsound mit Bezug auf die erteilten Patente seitens des US-Patentamts gegenüber E-Commerce-Anbietern von Audio- und Video-Dateien erfolgreiche Ansprüche auf Lizenzgebühren geltend macht. So einigten sich die Bertelsmann-Töchter CD Now und N2K vor Abschluss eines Verfahrens vor dem District Court (Bezirksgericht) auf die Zahlung von 3,3 Millionen US-Dollar.
CD Now-Pressesprecherin Paula Batson: "Wir freuen uns, den sechs Jahre alten Rechtstreit im Zusammenhang mit dem Verkauf von heruntergeladener Musik erfolgreich beigelegt zu haben. Diese Angelegenheit betrifft nicht unser Kerngeschäft, also den Vertrieb von Musik-CDs per Katalog und Internet. Sie lässt uns aber für die Zukunft alle Möglichkeiten offen, sollten wir uns im Bereich des Verkaufs heruntergeladener Musik engagieren wollen."
Vor dem Hintergrund der Rechtssprechung in den USA haben es die Bertelsmann-Vertreter anscheinend vermeiden wollen, dass es im Rahmen des genannten Verfahrens zu einem so genannten "Case", also einem Grundsatzurteil, gekommen wäre. Regressansprüche können in den USA mitunter drastische Geldstrafen zur Folge haben. Grundsätzlich ist nach amerikanischen Patentrecht auch der Schutz einer Geschäftsidee möglich. Dabei handelt es sich um ein so genanntes Business-Patent.
In Hollywood und auch bei Apple werden die juristischen Aktivitäten von Sightsound Technologies jedenfalls entsprechende Aufmerksamkeit genießen. Interessanterweise profitiert auch die deutsche Intertainment AG von den Patenten von Sightsound. Die Intertainment AG betreibt Lizenzgeschäfte für Filmrechte und Merchandising und erwarb im Januar 2000 für den Betrag von 20 Million US-Dollar eine 26-prozentige Beteiligung an Sightsound.
