DJ Penthouse Intl Unit Closes $34M Acquisition

WASHINGTON (Dow Jones)--A unit of Penthouse International Inc. (PHSL)
closed its $34 million acquisition of Internet Billing Co., according to a
form 8-K filed Thursday with the Securities and Exchange Commission.

Media Billing LLC, a New York limited liability company 99% owned by
Penthouse International, purchased all of the membership interests in
Internet Billing from InterCept Inc. (ICPT) on March 22, the company said.

Under the deal, Penthouse International lent the acquired unit $2.8
million cash to be kept in reserve, according to the filing.

Media Billing also agreed to indemnify InterCept for any claims or
losses related to the unit`s financial obligations. The agreement gives
Internet Billing a maximum $20 million indemnity insurance policy for two
years. Penthouse International paid a $2.2 million premium for the coverage,
according to the filing.

Internet Billing provides secure Internet payment processing services
for online retailers.

To fund the acquisition, Penthouse International said it issued
securities convertible into or exercisable for a significant number of its
common shares. The company said future sales of such shares may lower the
price of its common stock.

Prior to the acquisition, Penthouse International had roughly 293.7
million shares of common stock outstanding, according to the filing.

General Media, along with eight units, filed for bankruptcy
protection Aug. 12, 2003, after publication of its Penthouse magazine fell
behind schedule. The publisher listed $50 million to $100 million in both
assets and debts.

General Media is 99.5% owned by Penthouse International, which didn`t
file for bankruptcy protection.

Thoughts on PHSL

1. . iBill is the largest processor of porn transactions in the world. It is basically the engine that runs porn. I believe this is a solid acquisition.
2. I only said "manipulation" because people always suspect manipulation on otc stocks. But I know of none, plus at this price if they ever DID manipulate it, it would have to be up first. But I only say that IF it should happen. Plus now that naked short selling in Canada cannot happen, the risk of convertibles has dropped dramatically. If this is manipulated, everyone in at this price will ride higher. If it is not manipulated, then we can let it obtain its inherent higher value.
3. They have put some BIG money into the real estate end of PHSL`s holdings (as in $100 million). I don`t think that investment is being made with a 20 cent stock price in mind. 4. I think a $300 million market cap is more than reasonable. This is one of the two biggest brand names in the adult entertainment world. Yes, they`ve been through "hard" times (sorry couldn`t resist) but that is what the whole reorganization process is about. Many people know their brand value still is #2 only to Playboy in a hugely profitable industry.
5.Yes there is risk. As in any otc stock. But those that sat on the sidelines missed the runs on SWYC, HIET, COVD, and USHG all otc stocks that had major runs for (in my opinion) a lot LESS of a product than the brand name Penthouse can bring to the table.
Just my thoughts. Take them for what they`re worth. April 15 and the hearing on reorganization I believe will bring a resurgence of interest in Penthouse

My Prediction for the next 8 days...
I believe we will see a 4-6 cent rise each day, or close to that till the 15th arrives. Im hoping News gets around, which it should by then. which will enhance value, and should PHSL release News in a very positive light, using iBill as its new source of revenue, it wouldnt surprise me to see us at .50 by end of April
, if not sooner. Then with each earnings report, as they grow in revenue, Id venture to see 2.00 by EOY. Just my opinion, but a realistic one IMO. Good Luck to All.

By the way...did you know iBill has over 350 employees, with no debt, and will make 1M to 3M profit this year? Yep...its true.
