Company Description

8x8 is a leading manufacturer of digital telecommunication products, including
both central office and customer premise equipment for Internet Protocol (IP)
telephony. By leveraging its vertically integrated technology, the Company
provides complete IP telephony solutions to service providers such as local
exchange carriers (LECs) and cable TV system operators, and to
telecommunications equipment manufacturers.

The Company operates within two segments: Broadband Telephony and Video
Monitoring.

Within the Broadband Telephony segment, 8x8 manufactures IP telephony
equipment, with an emphasis on bringing IP telephony to the `edge of the
network,` that is, directly to users. The Company`s marketing strategy focuses
on selling complete IP telephony solutions, including central office
management software and customer premise equipment, to telephone service
providers such as incumbent local exchange carriers (ILECs), competitive
local exchange carriers (CLECs) and Internet service providers (ISPs). In
addition, the Company intends to promote high-volume manufacturing of IP
telephony products that are synergistic with its solutions by licensing its
vertically integrated technology to original equipment manufacturers and
third-party developers of telephony applications.

Within the Video Monitoring segment, the Company markets its Remote
Surveillance Module (RSM) line of branded system products to dealers and
distributors of security products for small businesses such as convenience
stores and restaurants. 8x8`s monitoring system products are highly
integrated and rely on the Company`s expertise in communications processor
design, video and audio compression algorithms, network protocols, and
cost-effective manufacturing.

Business Strategy

The breadth of 8x8`s technology - from IP telephony semiconductors to
gateways to telephony server software - places the Company in a prime
position to capitalize on the transition from switched-circuit communications
technology to converged IP networks for voice, data and video.

For example, 8x8 has used its Audacity™ Internet Telephony Processor, a
combination protocol and signal processor on a single chip, to build its
Symphony™ voice over IP (VoIP) Module. This module enables customers to
connect inexpensive analog telephones to IP networks, substantially lowering
the cost of building IP telephony systems.

To switch telephone calls between Symphonies on a network, 8x8`s
subsidiary, Odisei S.A. is developing a software package called the
IntraSwitch™ IP-PBX. This software is a highly scalable, Java-based solution
for managing VoIP networks. When used in conjunction with Symphony
Modules, IntraSwitch provides advanced IP-PBX features, such as call
forwarding, remote pickup, call routing and voice mail. For service providers,
IntraSwitch offers a low-cost, low-maintenance platform for delivering complete
telephony services.
