Acquisition of the La Candelaria Silver Mine, Jalisco, Mexico
Tuesday November 1, 12:07 pm ET

TSX Venture Exchange - FR Pink Sheets - FMJRF Frankfurt - 905910
VANCOUVER, Nov. 1 /CNW/ - First Majestic Resource Corp. is pleased to announce that it has signed a Letter Agreement with Compania Minera Rio Frio, S.A. de C.V., a privately owned Mexican mining company, for the purchase of a 100% interest in a presently operating silver mine known as the La Candelaria Silver Mine. Included in this purchase is an operating flotation mill with a present capacity of 100 tpd and surrounding property consisting of over 1,384 hectares. This large land package is in a very prolific and old silver district in Mexico and includes other old mines such as the El Orito and La Fortuna silver mines and others yet to be reviewed. This purchase, upon closing, will immediately result in the Company owning and operating two producing silver mines in Mexico.

Under the terms of the Letter Agreement the Company made an initial payment of US$100,000. A due-diligence confirmation period of three months has commenced. Subject to a successful completion of due-diligence and certain other conditions a further payment of US$500,000 will become due and the issuance of 1,000,000 common shares will be paid. In addition, execution of formal documentation and title transfers will take place and a formal closing will occur on or before January 31, 2006. An additional payment of US$2,000,000 divided between six payments on each six month anniversary up to the 36th month are due as follows; US$250,000 on the 12th month anniversary; US$350,000 on the 18th month anniversary; US$400,000 on the 24th month anniversary; US$500,000 on the 30th month anniversary and a final payment of US$500,000 on the 36 month anniversary from closing along with issuance of an additional 400,000 common shares.

The Candelaria Mine is located in the Hostotipaquillo silver mining district in the Jalisco State in Mexico where over 400 years of mining activity has taken place. The overall property hosts a very large and prolific network of veins and brachiated ore bodies within the 1,384 hectares land package. The property was originally mined by the Spaniards late in the 1500`s and had been mined intermittently until 1974. Since that time the district has been mostly inactive until Minera Rio Frio was able to assemble this attractive package of mining claims and began operating the flotation mill again in 2003.

During the due diligence program, the Company intends to carry out an exploration program which will include surface geology and underground and surface sampling in order to define the available ore resources. Based on the results and if resources are confirmed, the intent is to continue production in the open pit area in the Candelaria mine to produce ore for the mill and at the same time, start the development of underground resources at the three mines located within the mining claims. Production at the mill during the first six months will continue at a rate of approximately 50-100 tpd with an anticipated increase to 200 tpd and within a year anticipated increases in production to 400 tpd.

The Company will manage and continue to operate the mine during the due diligence period. Average ore grades being fed to the mill are presently 350 grams/tonne silver and 2 grams/tonne gold. Of additional interest are old tailings on the property estimated at 150,000 tonnes grading 300 grams/tonne of silver and 1 gram per tonne of gold. Historical records indicate the presence of several potentially important silver mineralized areas. During the due diligence period, geological mapping, extensive sampling and budgeting for development of the known mineralized structures and expansion of the mill will be completed. A complete NI 43-101 Technical Report will be prepared and filed with the TSX Venture Exchange and posted on www.sedar.com in support of this transaction.

Further to the terms and conditions of the Letter Agreement outlined herein, the closing is subject to final legal due diligence and regulatory approval.

      Hi !

First Majestic Resources Awakens With Silver Surge

      By Our Canadian Correspondent

We introduced Canadian-listed First Majestic Resources back in January as an aggressive junior looking to become a mid-tier silver producer on the back of its acquisition of the La Parrilla mine in Mexico’s Durango state. Well, after a flurry of announcement early in 2005, the junior went quiet and has only recently reverted back to its deal making stance.

The Keith Neumeyer-led company first sparked interest back in May 2004 by acquiring the La Parrilla mine and by October of the same year the operation was treating 180 tonnes of oxide ore a day. By year end, some 30,000 ounces of silver equivalent was being produced. In other words, a good start. The target was to put in a floatation circuit that would see production double to 360 tonnes per day before eventually hitting 500 tonnes per day that would yield 1 million ounces of silver in 2005, 2 million ounces by 2006 and 10 million ounces per year in the not too distant future. At the time we stated that these were lofty goals and indeed so far that has proved to be true.

For the three months ended Sept. 30, 2005, the mine produced 36,000 ounces of silver equivalent from material averaging 220 g/t silver and 0.25 g/t gold. The operational rate stagnated at 130 tonnes per day and the loss on production rang in at C$184,999 as low silver recoveries from the oxide ore continued to plague the bottom line. On the plus side, gross profit for September came in at C$9,116 and construction of a floatation circuit that will enable the treatment of sulphide ores was completed in September. With this transition, the company still plans to ramp up output to 400 tonnes per day comprising 200 tonnes of oxide and 200 tonnes of sulphide over the coming quarters.

Undeterred by the operational struggles at La Parrilla and with the price of silver once again showing signs of life, this time up to the US$9 per ounce range, First Majestic is back on the deal making front. The company recently signed a deal with a privately owned Mexican mining company to purchase100 per cent of an operating silver mine known as La Candelaria in the Hostotipaquillo silver mining district in the Jalisco State in Mexico where over 400 years of mining activity has taken place. The purchase comes with a 100 tonne per day operating flotation mill and should the due diligence pan out, the junior would own and operate two producing silver mines in Mexico.

The price tag is $100,000 on signing (already paid), plus $500,000 and the issuance of 1 million shares on completion of a positive due diligence period slated for completion by the end of January. A final payment totaling $2 million and 400,000 shares is due in stages over the next three years. First Majestic envisions keeping production in the 50-to-100 tonnes per day for the next 6 months before gradually increasing output to 400 tonnes per day. Average ore grades being fed to the mill is running 350 g/t silver and 2 g/t gold. Of additional interest to the company are 150,000 tonnes of old tailings on the property grading 300 grams silver and 1 gram gold per tonne.

The junior continues to be well cashed up thanks to a C$5.69 million financing that closed near the end of October and another private placement to raise C$6.75 million which has just been announced. Combine that with a portfolio of good Mexican properties like the Dios Padre property, with a reported 57 million ounces of near surface silver outlined at a grade of 456 g/t silver and the Candamina project, First Majestic has a lot going for it. However, as we stated in the January article; “It is still early days for the fledgling producer and operational risk is always a factor but with an aggressive growth strategy and an experienced management team, First Majestic offers investors leverage to rising silver prices.”

That statement still holds true and I suspect management will be less public in voicing their projected silver production moving forward as First Majestic continues to eye mid-tier producer status. We will be waiting and watching.

First Majestic geht seinen Weg.

Dringend Korrektur!

Naja, schwach ist ja wohl was anderes...

Besonders stark ist zur Zeit physische Ware. Das wird auch mal wieder anders, dann wird das physische konsolidieren und Gold/Silberaktien werden steigen.

Wer geschickt ist, kann diese ungleichen Bewegungen ausnützen.
