MONTREAL, 6. Juli 2005 -- TelePlus Enterprises, Inc. (FWB: YT3, OTCBB: TLPE), vertikal integrierter Anbieter von Produkten und Dienstleistungen für die Festnetz- und Mobilfunktelefonie in Nordamerika, übernimmt zum 1. Juli 2005 den Telekom-Dienstleister Telizon Inc zu 100%. Das Unternehmen, ein Anbieter von Festnetz-, Fernverbindungen und Internet-Services wird in die Prepaid-Services Tochter TelePlus Connect, Corp. integriert. Telizon verfügt über mehr als 18.000 Privat- und Firmenkunden in Ontario, Kanada. Telizons Management wird nach der Akquisition für TelePlus arbeiten.
Profitabilität nachhaltig und weit über Plan
TelePlus plante für das Geschäftsjahr 2005 ursprünglich mit einem Umsatz von USD 21 Mio. und einem EBITDA von USD 0,6 Mio. Die Akquisitionen der letzten 3 Monate, Keda Consulting, Freedom Phone Lines, Avenue Reconnect und nun Telizon erhöhen dem Umsatz der Gruppe weit über Plan um USD 15,6 Mio. auf USD 31,8 Mio. Der Vorsteuergewinn wird um USD 2,9 Mio. erhöht, was die Profitabilität des Unternehmens nachhaltig gewährleistet. Genutzt werden soll Telizons Technologie zur Abrechnung von TelePlus Prepaid Services, welche in die Telizon Struktur integriert werden sollen. Die Integration von Avenue Reconnect verläuft weiter planmäßig.
TelePlus zahlt für Telizon USD 8,6 Mio. über die nächsten 5 Jahre. Die Zahlungen setzen sich zusammen aus einer Sofortzahlung von USD 3,3 Mio., einer Zahlung von USD 1,93 Mio. nach 12 Monaten und einer Zahlung von USD 1,45 Mio. weitere 24 Monate später. Die restlichen USD 1,93 Mio. werden dann in 24 Monatsraten zu USD 80.600 beglichen.
