Cambridge Die kanadische Provinz Ontario will in Zukunft - hnlich dem deutschen EEG - kostrom mit festgelegten Mindeststzen vergten. Im Rahmen des Ontario Standard Offer Program wird die Energiebehrde Ontarios den aus Windkraft, Biomasse und kleiner Wasserkraft produzierten Strom fr einen Mindestpreis von 11 Cent (ca. 0,078 Eurocent) abnehmen. Die Vergtung fr Solarstrom soll 42 Cent (ca. 0,29 Eurocent) betragen.
Bisher war es nach Angaben der Provinzregierung fr kleinere Erzeuger zu teuer und zu aufwendig gewesen, ihren kostrom in das Netz einzuspeisen und zu verkaufen. Mit der garantierten Einspeisevergtung sollen nun in den nchsten zehn Jahren zustzlich 1.000 MW installierter regenerativer Leistung an Ontarios Stromnetz angeschlossen werden.
Im Jahr 2004 hatte die Regierung in Ontario festgelegt, dass bis 2007 mindestens fnf Prozent (1.350 MW) des Stroms aus erneuerbaren Energien stammen sollen. Feste Einspeisevergtungen haben sich weltweit als die schnellste und erfolgreichste Methode erwiesen, um erneuerbare Energien zu nutzen, so Ontario-Premier Dalton McGuinty.

In two days Ian MacLellan will walk into a room full of Silicon Valley investors, fire up the presentation on his laptop, and explain why millions of dollars of their money should flow into his small Kitchener-based solar firm.
He'll tell them his company is transforming itself from a wholesale distributor and local installer of solar-energy systems to a maker of high-efficiency solar cells. He'll tell them the patent-pending product will start shipping in 12 to 15 months. He'll tell them the company has already pre-sold its first two years of production, equating to $100 million in revenues.
Of course, there's one hitch: He needs a quick injection of capital to make it all happen.
The venture capitalists and institutional investors attending the event — the Cleantech Venture Forum IX in San Francisco — could prove a tough crowd. But MacLellan, chief executive officer of ARISE Technologies Corp., has the advantage of being in the right place, at the right time, in the right market.
By all accounts, the solar market is busting at the seams. Unprecedented global demand for solar photovoltaic technology has led to a shortage in polysilicon, a key ingredient for making conventional solar PV cells. Lack of silicon has meant lack of solar modules, creating frustration for suppliers trying to get their hands on inventory.
"Module makers can't keep up with demand," says MacLellan. "These guys are sold out."
Solarbuzz LLC, a San Francisco-based research firm focused on the solar industry, reported last week that the generating capacity of solar PV installations around the world grew by a stunning 39 per cent in 2005, with more than $1 billion (U.S.) invested in new plants to manufacture solar cells. The industry also raised nearly $2 billion on the capital markets last year, and was one of the hottest areas of venture capital investment.
Investors, perhaps blinded by the sun, can't seem to get enough. Initial public offerings of solar technology companies in Europe, China and the United States have a stunning track record. China's Suntech Power Holdings went public in December and has seen its market value nearly double to $1 billion (U.S.). SunPower Corp. of Sunnyvale, Calif., went public at $18 a share (U.S.) in November and is now trading at about $41 with a market value of $364 million.
Jumping on the bandwagon of solar IPOs is Cambridge, Ont.-based ATS Automation Tooling Systems Inc., which announced last week that it will publicly spin off its solar group, comprised of its France-based Photowatt subsidiary and its Spheral Solar Power division in Cambridge. Analysts believe the new spin-off could attract $1 billion (Canadian), maybe more, given the success of SunPower and Suntech.
What's feeding this frenzy? An alignment of many stars. Advancement in solar technologies is helping to dramatically reduce the cost of solar PV systems, which only the rich, principled or government-subsidized have been willing to purchase in the past.
At the same time, heightened concern over global warming and pollution caused by fossil-fuel power plants has drawn attention to renewable alternatives, and supportive government programs out of Europe, Japan and the United States — including an ambitious subsidy program recently announced in California — has accelerated solar adoption.
Even Ontario has seen the light. Premier Dalton McGuinty is expected to announce tomorrow that the province will pay a premium of 42 cents per kilowatt hour to anybody who wants to install their own solar PV system and sell the energy back to the electricity grid. The program, perhaps the most ambitious of its kind in North America, is not unlike other so-called standard offer or "feed-in tariff" programs in Europe that encourage businesses and citizens to embrace power from the sun.
Sure, there was a mini-boom in solar during the 1970s following the Middle East oil crisis, but enthusiasm waned as oil prices began dropping again and the industry found itself stranded without government support. Just as quickly as former U.S. president Jimmy Carter installed solar panels on the White House, his successor, Ronald Reagan, ripped them down. Innovation was largely stalled during the 20 years that followed.
Experts say this time around things are different. Oil prices are rising and few expect them to fall. Electricity prices are also skyrocketing. Urban smog is getting thicker, and, well, global warming is causing people to worry. It's not as organized as getting a man on the moon, but there's a clear determination within government, industry and academia to explore the full potential of solar power as a truly competitive energy source for the 21st century.
"We're at the beginning of a fundamental shift," says MacLellan. "Solar is going to become the lowest cost source of electrical generation on the planet."
MacLellan, a former sales guy at computing giant Hewlett-Packard Corp., likes to compare the solar industry of today to the personal computer industry in 1982, just as it was teetering on the verge of greatness.
Older mainframe computers are in many ways analogous to big central power plants, whether coal or nuclear. PCs, on the other hand, are similar to solar PV systems in that they brought their power to millions of individual homes and businesses. Tying those PV systems to the grid is not unlike connecting a PC to the Internet.

We all know how the PC story went. Moore's Law took over — prices plummeted and power increased exponentially. You'd be hard-pressed to find a home today that doesn't have a PC. This all happened in less than 35 years. In 2040, who's to say every home won't be partially powered by the sun?
"Solar is the personal computer of the energy world," says MacLellan. "We're just seeing the start of what I think will be a multi-decade boom."
SunPower executives have already made claims that solar PV electricity will be competitive with fossil-fuel sources within the next five years, certainly within the next 10. It's a "when," not "if" prediction.
ARISE wants to be in the race to get there. Earlier this month the firm announced the creation of a new silicon division that will eventually manufacture solar-grade polysilicon for its own use or for sale to others.
The company, in collaboration with the University of Toronto, has also developed a method for manufacturing high-efficiency solar cells that use less silicon and are more affordable to manufacture than conventional cells.
A key to that approach is a partnership with San Jose, Calif.-based Komag Inc., a leading manufacturer of computer disk drive technology.
Komag is adapting its manufacturing processes for volume production of ARISE's new solar cells, which MacLellan refers to as "dumbed down" versions of digital storage disks — yet another solar link to the computer world.
The goal of higher efficiency — 18 per cent efficiency in the case of ARISE compared to 14 per cent for conventional cells — is an important one. The way MacLellan explains it, higher efficiency means lower installation costs for solar PV systems because fewer modules and supporting parts are needed, meaning quicker installation time. It also means less of the product needs to be transported and stored at the warehouse level.
"It's not about cheap solar cells, it's about cheap installation," says MacLellan.
Fact is, you can pay the same price for 5 kilowatts worth of solar modules with 9 per cent efficiency and 5 kilowatts with 18 per cent efficiency. But if you go with the 18 per cent product, you have half the materials and half the hassle and cost of installation.
It all makes sense, but ARISE still has a lot of work to do — and it needs to act fast. MacLellan has the ambitious goal of raising more than $25 million this year through three rounds of financing, beginning with $1 million he's hoping to snag at the Cleantech conference on Wednesday. He's also got to hit a couple of development milestones to make sure ARISE's manufacturing technique works as promised.
There's also the reality that the solar market is being flooded with new competitors, from small start-ups to major automakers such as Honda, and incumbents such as Kyocera, BP and Sharp aren't ready to cede their dominance. Standing out in the noise is becoming increasingly difficult, even in a market so red hot.

ARISE financing, debt conversion and LOI update
TCHENER, ON, Feb. 2 /CNW/ - ARISE Technologies Corporation (TSX-V:
APV), announced today that it has filed a new price reservation with the TSX
Venture Exchange in respect of a nonbrokered private placement of Units. Each
Unit, priced at $0.30 each, will consist of one common share and one half of
one warrant. Each whole warrant will entitle the holder to purchase one common
share at a price of $0.35 per common share, expiring two years from the date
of closing of this private placement. This offering replaces the proposed
private placement announced by the Company on December 22, 2005.
The non-brokered private placement is expected to close on or about
February 15, 2006 and is being made to "accredited investors" as defined in
National Instrument 45-106 and is subject to receipt of final approval from
the TSX Venture Exchange. The net proceeds of the proposed financing will be
used for working capital, research and development and general corporate
purposes.
ARISE CEO Ian MacLellan has reached an agreement to acquire $560,000
first position secured debt from a major creditor. Ian has agreed in principle
to enter into a standstill agreement to refrain from taking action to collect
the debt and will, subject to TSX Venture Exchange approval, convert into
common shares most of the debt owing to him on the same terms of this
offering, provided the Company closes the financing announced today and
acceptable standstill agreements or debt to equity conversion arrangements are
reached with other major creditors. ARISE is in discussions with other major
creditors to either convert debt to equity or agree to a standstill agreement
providing for extended payment terms and/or discounts. Currently the Company
has approximately $1.4 million (unaudited) of secured debt outstanding of
which management, directors and advisors now hold 74%. The Company has
approximately $1.8 million (unaudited) of unsecured debt and accrued
liabilities.
ARISE has also extended a 2008 allocation of 10MWp to each of the
strategic prospective customers that have signed Letters of Intent (LOI) which
they accepted. This has resulted in ARISE now having targeted 20MWp of
production in 2007 and 40MWp of production in 2008. At this point, this is the
maximum production that management feels comfortable targeting. ARISE has also
received inquiries from other companies for allocations. ARISE would like to
emphasize that these are non-binding Letters of Intent, pricing has not been
set and ARISE needs to raise additional funds to meet the technology
milestones required to satisfy these prospective customers in order to turn
these LOIs into firm purchase orders and production commitments.
No assurance can be given that the Company will be able to complete any
of the debt conversion or equity transactions given its current financial
resources. The Company requires additional capital shortly to continue its
operations.

program of high efficiency PV cells has exceeded our expectations, it is
critical that we solve our chronic undercapitalized financial situation if we

TCHENER, ON, Feb. 2 /CNW/ - ARISE Technologies Corporation (TSX-V:
APV), announced today that it has filed a new price reservation with the TSX
Venture Exchange in respect of a nonbrokered private placement of Units. Each
Unit, priced at $0.30 each, will consist of one common share and one half of
one warrant. Each whole warrant will entitle the holder to purchase one common
share at a price of $0.35 per common share, expiring two years from the date
of closing of this private placement. This offering replaces the proposed
private placement announced by the Company on December 22, 2005.
The non-brokered private placement is expected to close on or about
February 15, 2006 and is being made to "accredited investors" as defined in
National Instrument 45-106 and is subject to receipt of final approval from
the TSX Venture Exchange. The net proceeds of the proposed financing will be
used for working capital, research and development and general corporate
purposes.
ARISE CEO Ian MacLellan has reached an agreement to acquire $560,000
first position secured debt from a major creditor. Ian has agreed in principle
to enter into a standstill agreement to refrain from taking action to collect
the debt and will, subject to TSX Venture Exchange approval, convert into
common shares most of the debt owing to him on the same terms of this
offering, provided the Company closes the financing announced today and
acceptable standstill agreements or debt to equity conversion arrangements are
reached with other major creditors. ARISE is in discussions with other major
creditors to either convert debt to equity or agree to a standstill agreement
providing for extended payment terms and/or discounts. Currently the Company
has approximately $1.4 million (unaudited) of secured debt outstanding of
which management, directors and advisors now hold 74%. The Company has
approximately $1.8 million (unaudited) of unsecured debt and accrued
liabilities.
ARISE has also extended a 2008 allocation of 10MWp to each of the
strategic prospective customers that have signed Letters of Intent (LOI) which
they accepted. This has resulted in ARISE now having targeted 20MWp of
production in 2007 and 40MWp of production in 2008. At this point, this is the
maximum production that management feels comfortable targeting. ARISE has also
received inquiries from other companies for allocations. ARISE would like to
emphasize that these are non-binding Letters of Intent, pricing has not been
set and ARISE needs to raise additional funds to meet the technology
milestones required to satisfy these prospective customers in order to turn
these LOIs into firm purchase orders and production commitments.

of the debt conversion or equity transactions given its current financial

Markets have turned on to its potential; but vast capital is still needed to flip the switch

In two days Ian MacLellan will walk into a room full of Silicon Valley investors, fire up the presentation on his laptop, and explain why millions of dollars of their money should flow into his small Kitchener-based solar firm.
He'll tell them his company is transforming itself from a wholesale distributor and local installer of solar-energy systems to a maker of high-efficiency solar cells. He'll tell them the patent-pending product will start shipping in 12 to 15 months. He'll tell them the company has already pre-sold its first two years of production, equating to $100 million in revenues.
Of course, there's one hitch: He needs a quick injection of capital to make it all happen.
The venture capitalists and institutional investors attending the event — the Cleantech Venture Forum IX in San Francisco — could prove a tough crowd. But MacLellan, chief executive officer of ARISE Technologies Corp., has the advantage of being in the right place, at the right time, in the right market.
By all accounts, the solar market is busting at the seams. Unprecedented global demand for solar photovoltaic technology has led to a shortage in polysilicon, a key ingredient for making conventional solar PV cells. Lack of silicon has meant lack of solar modules, creating frustration for suppliers trying to get their hands on inventory.
"Module makers can't keep up with demand," says MacLellan. "These guys are sold out."
Solarbuzz LLC, a San Francisco-based research firm focused on the solar industry, reported last week that the generating capacity of solar PV installations around the world grew by a stunning 39 per cent in 2005, with more than $1 billion (U.S.) invested in new plants to manufacture solar cells. The industry also raised nearly $2 billion on the capital markets last year, and was one of the hottest areas of venture capital investment.
Investors, perhaps blinded by the sun, can't seem to get enough. Initial public offerings of solar technology companies in Europe, China and the United States have a stunning track record. China's Suntech Power Holdings went public in December and has seen its market value nearly double. SunPower Corp. of Sunnyvale, Calif., went public at $18 a share (U.S.) in November and is now trading at about $41.
Jumping on the bandwagon of solar IPOs is Cambridge, Ont.-based ATS Automation Tooling Systems Inc., which announced last week that it will publicly spin off its solar group, comprised of its France-based Photowatt subsidiary and its Spheral Solar Power division in Cambridge. Analysts believe the new spin-off could attract $1 billion (Canadian), maybe more, given the success of SunPower and Suntech.
What's feeding this frenzy? An alignment of many stars. Advancement in solar technologies is helping to dramatically reduce the cost of solar PV systems, which only the rich, principled or government-subsidized have been willing to purchase in the past.
At the same time, heightened concern over global warming and pollution caused by fossil-fuel power plants has drawn attention to renewable alternatives, and supportive government programs out of Europe, Japan and the United States — including an ambitious subsidy program recently announced in California — has accelerated solar adoption.
Even Ontario has seen the light. Premier Dalton McGuinty is expected to announce tomorrow that the province will pay a premium of 42 cents per kilowatt hour to anybody who wants to install their own solar PV system and sell the energy back to the electricity grid. The program, perhaps the most ambitious of its kind in North America, is not unlike other so-called standard offer or "feed-in tariff" programs in Europe that encourage businesses and citizens to embrace power from the sun.
Sure, there was a mini-boom in solar during the 1970s following the Middle East oil crisis, but enthusiasm waned as oil prices began dropping again and the industry found itself stranded without government support. Just as quickly as former U.S. president Jimmy Carter installed solar panels on the White House, his successor, Ronald Reagan, ripped them down. Innovation was largely stalled during the 20 years that followed.
Experts say this time around things are different. Oil prices are rising and few expect them to fall. Electricity prices are also skyrocketing. Urban smog is getting thicker, and, well, global warming is causing people to worry. It's not as organized as getting a man on the moon, but there's a clear determination within government, industry and academia to explore the full potential of solar power as a truly competitive energy source for the 21st century.
"We're at the beginning of a fundamental shift," says MacLellan. "Solar is going to become the lowest cost source of electrical generation on the planet."
MacLellan, a former sales guy at computing giant Hewlett-Packard Corp., likes to compare the solar industry of today to the personal computer industry in 1982, just as it was teetering on the verge of greatness.
Older mainframe computers are in many ways analogous to big central power plants, whether coal or nuclear. PCs, on the other hand, are similar to solar PV systems in that they brought their power to millions of individual homes and businesses. Tying those PV systems to the grid is not unlike connecting a PC to the Internet.

We all know how the PC story went. Moore's Law took over — prices plummeted and power increased exponentially. You'd be hard-pressed to find a home today that doesn't have a PC. This all happened in less than 35 years. In 2040, who's to say every home won't be partially powered by the sun?
"Solar is the personal computer of the energy world," says MacLellan. "We're just seeing the start of what I think will be a multi-decade boom."
SunPower executives have already made claims that solar PV electricity will be competitive with fossil-fuel sources within the next five years, certainly within the next 10. It's a "when," not "if" prediction.
ARISE wants to be in the race to get there. Earlier this month the firm announced the creation of a new silicon division that will eventually manufacture solar-grade polysilicon for its own use or for sale to others.
The company, in collaboration with the University of Toronto, has also developed a method for manufacturing high-efficiency solar cells that use less silicon and are more affordable to manufacture than conventional cells.
A key to that approach is a partnership with San Jose, Calif.-based Komag Inc., a leading manufacturer of computer disk drive technology.
Komag is adapting its manufacturing processes for volume production of ARISE's new solar cells, which MacLellan refers to as "dumbed down" versions of digital storage disks — yet another solar link to the computer world.
The goal of higher efficiency — 18 per cent efficiency in the case of ARISE compared to 14 per cent for conventional cells — is an important one. The way MacLellan explains it, higher efficiency means lower installation costs for solar PV systems because fewer modules and supporting parts are needed, meaning quicker installation time. It also means less of the product needs to be transported and stored at the warehouse level.
"It's not about cheap solar cells, it's about cheap installation," says MacLellan.
Fact is, you can pay the same price for 5 kilowatts worth of solar modules with 9 per cent efficiency and 5 kilowatts with 18 per cent efficiency. But if you go with the 18 per cent product, you have half the materials and half the hassle and cost of installation.
It all makes sense, but ARISE still has a lot of work to do — and it needs to act fast. MacLellan has the ambitious goal of raising more than $25 million this year through three rounds of financing, beginning with $1 million he's hoping to snag at the Cleantech conference on Wednesday. He's also got to hit a couple of development milestones to make sure ARISE's manufacturing technique works as promised.
There's also the reality that the solar market is being flooded with new competitors, from small start-ups to major automakers such as Honda, and incumbents such as Kyocera, BP and Sharp aren't ready to cede their dominance. Standing out in the noise is becoming increasingly difficult, even in a market so red hot.
MacLellan says the fact ARISE has already pre-sold 20 megawatts worth of future output to four customers is an encouraging signal of the opportunities ahead.
"That would be over $100 million in revenue," he says. "I've never seen in my life where you'd have a 100 per cent success rate of selling everything. We basically just called these companies up and they all bought in."
If those customers ever want to see that product, they'd better hope investors in San Francisco this week will buy into ARISE's business plan with the same enthusiasm. Otherwise, this solar play will be on the quick path to burnout.

At the same time, heightened concern over global warming and pollution caused by fossil-fuel power plants has drawn attention to renewable alternatives, and supportive government programs out of Europe, Japan and the United States — including an ambitious subsidy program recently announced in California — has accelerated solar adoption.
Even Ontario has seen the light. Premier Dalton McGuinty is expected to announce tomorrow that the province will pay a premium of 42 cents per kilowatt hour to anybody who wants to install their own solar PV system and sell the energy back to the electricity grid. The program, perhaps the most ambitious of its kind in North America, is not unlike other so-called standard offer or "feed-in tariff" programs in Europe that encourage businesses and citizens to embrace power from the sun.
Sure, there was a mini-boom in solar during the 1970s following the Middle East oil crisis, but enthusiasm waned as oil prices began dropping again and the industry found itself stranded without government support. Just as quickly as former U.S. president Jimmy Carter installed solar panels on the White House, his successor, Ronald Reagan, ripped them down. Innovation was largely stalled during the 20 years that followed.
Experts say this time around things are different. Oil prices are rising and few expect them to fall. Electricity prices are also skyrocketing. Urban smog is getting thicker, and, well, global warming is causing people to worry. It's not as organized as getting a man on the moon, but there's a clear determination within government, industry and academia to explore the full potential of solar power as a truly competitive energy source for the 21st century.
"We're at the beginning of a fundamental shift," says MacLellan. "Solar is going to become the lowest cost source of electrical generation on the planet."
MacLellan, a former sales guy at computing giant Hewlett-Packard Corp., likes to compare the solar industry of today to the personal computer industry in 1982, just as it was teetering on the verge of greatness.
Older mainframe computers are in many ways analogous to big central power plants, whether coal or nuclear. PCs, on the other hand, are similar to solar PV systems in that they brought their power to millions of individual homes and businesses. Tying those PV systems to the grid is not unlike connecting a PC to the Internet.

We all know how the PC story went. Moore's Law took over — prices plummeted and power increased exponentially. You'd be hard-pressed to find a home today that doesn't have a PC. This all happened in less than 35 years. In 2040, who's to say every home won't be partially powered by the sun?
"Solar is the personal computer of the energy world," says MacLellan. "We're just seeing the start of what I think will be a multi-decade boom."
SunPower executives have already made claims that solar PV electricity will be competitive with fossil-fuel sources within the next five years, certainly within the next 10. It's a "when," not "if" prediction.
ARISE wants to be in the race to get there. Earlier this month the firm announced the creation of a new silicon division that will eventually manufacture solar-grade polysilicon for its own use or for sale to others.
The company, in collaboration with the University of Toronto, has also developed a method for manufacturing high-efficiency solar cells that use less silicon and are more affordable to manufacture than conventional cells.
A key to that approach is a partnership with San Jose, Calif.-based Komag Inc., a leading manufacturer of computer disk drive technology.
Komag is adapting its manufacturing processes for volume production of ARISE's new solar cells, which MacLellan refers to as "dumbed down" versions of digital storage disks — yet another solar link to the computer world.
The goal of higher efficiency — 18 per cent efficiency in the case of ARISE compared to 14 per cent for conventional cells — is an important one. The way MacLellan explains it, higher efficiency means lower installation costs for solar PV systems because fewer modules and supporting parts are needed, meaning quicker installation time. It also means less of the product needs to be transported and stored at the warehouse level.
"It's not about cheap solar cells, it's about cheap installation," says MacLellan.
Fact is, you can pay the same price for 5 kilowatts worth of solar modules with 9 per cent efficiency and 5 kilowatts with 18 per cent efficiency. But if you go with the 18 per cent product, you have half the materials and half the hassle and cost of installation.
It all makes sense, but ARISE still has a lot of work to do — and it needs to act fast. MacLellan has the ambitious goal of raising more than $25 million this year through three rounds of financing, beginning with $1 million he's hoping to snag at the Cleantech conference on Wednesday. He's also got to hit a couple of development milestones to make sure ARISE's manufacturing technique works as promised.
There's also the reality that the solar market is being flooded with new competitors, from small start-ups to major automakers such as Honda, and incumbents such as Kyocera, BP and Sharp aren't ready to cede their dominance. Standing out in the noise is becoming increasingly difficult, even in a market so red hot.
MacLellan says the fact ARISE has already pre-sold 20 megawatts worth of future output to four customers is an encouraging signal of the opportunities ahead.
"That would be over $100 million in revenue," he says. "I've never seen in my life where you'd have a 100 per cent success rate of selling everything. We basically just called these companies up and they all bought in."
If those customers ever want to see that product, they'd better hope investors in San Francisco this week will buy into ARISE's business plan with the same enthusiasm. Otherwise, this solar play will be on the quick path to burnout.

Ich habe mich ja gerade vom 1 Mann Betrieb(xsunx) zu einem 10 Mann Betrieb (Arise) hochgearbeitet. Falls alles schief geht müsste ja zumindest die Vertriebsmannschaft oder das "Grundgerüst" für ausländische Solarzellenerzeuger interessant sein. Ein lukrativer Markt in der Photovoltaik wird Kanada auf jeden Fall werden, ob mit oder einer ev. aufgekauften Arise.

Glaube dass der Wirkungsgrad schon eine entscheidende Rolle spielen wird. Carmanah hab ich mir auch angeschaut, aber diese beleuchteten Bojen, Verkehrsschilder etc. werden wohl bald in China viel billiger erzeugt werden. Ich denk da nur an die vielen Gartenlampen aus China.

ARISE Secures $3,835,000 of Financing

KITCHENER, ON, April 3 /CNW/ - ARISE Technologies Corporation (TSXV: APV), announced today that it has received subscriptions for $2,000,000 of Units in a brokered private placement arranged by Dominick & Dominick Securities Inc. as Agent and subscriptions for $1,835,000 of Units in a non-brokered private placement. Each Unit, priced at $0.30 consists of one common share and one half of a share purchase warrant. Each whole share purchase warrant entitles the holder to purchase one common share at a price of $0.35 per common share, expiring two years from the date of closing of these private placements. The company also received conditional acceptance from the TSX Venture Exchange for the private placements on March 31.

The terms of the private placements are the same as the previous financing of $131,857 announced on February 23, 2006, which received final TSX Venture Exchange approval on March 3, 2006. It is expected that the non- brokered private placement will close on or about Monday April 3, 2006 and the brokered private placement will close on or about April 5, 2006. The final closing is subject to approval from the TSX Venture Exchange. The price reservation was made on March 9, 2006.
ARISE is also in the process of finalizing a debt to equity conversion of $239,272 of outstanding debts at a price of $0.41 per common share, subject to TSX Venture Exchange approval. In addition, as of March 31, 2006, $439,959 of existing secured convertible debentures have been converted into common shares at the contractual $0.25 per common share conversion price and $100,000 of unsecured notes have been converted at the contractual $0.75 per common share conversion price.
The Company was informed on March 24, 2006 by the Deutsche Borse that its common shares were being listed on the Frankfurt Stock Exchange Open Market under the symbol A3T. Trading commenced on March 28, 2006. While the Company welcomes this listing, it took no action to secure it.

Der Betrieb ist also in nächster Zeit gesichert. Wieviel Arise mit dem Geld anfangen kann wird sich zeigen. Vielleicht kommt ja noch etwas nach.
Nicht ganz so toll ist der Preis zu dem sie Aktien + Warrants bekommen. Die Optionen könnte man ja auch noch bewerten. Der Kurs wurde wahrscheinlich schon vor den jüngsten Kurssteigerungen verhandelt. Wenn´s so war, dann schlechtes timing.

This is subject to several conditions and ARISE has until September 30, 2006 to complete a definitive agreement.

KITCHENER, ON, April 3 /CNW/ - ARISE Technologies Corporation (TSXV: APV), announced today at a presentation by ARISE CEO, Ian MacLellan at the Photon Academy 3rd Solar Silicon Conference held in Munich, Germany that the University of Waterloo (UW) and ARISE have signed a non-binding Letter of Intent to locate the ARISE photovoltaic silicon research pilot plant on the UW Research + Technology Park located on the University's North Campus. This is subject to several conditions and ARISE has until September 30, 2006 to complete a definitive agreement.
Ian MacLellan, Vice-Chairman and CEO of ARISE stated that, "We are very pleased with the prospect of returning to the University of Waterloo where we were located from 1997 to 2000. Having close proximity to the new Center for Advanced Photovoltaic Devices and Systems now under construction at UW was a key factor in our decision to locate on the North Campus."

das kann aber auch schnell in die hose gehen. erstmal die eröffnung in kanada abwarten. immerhin hat der Kurs dort die letzten tage nachgegeben. im moment wird nur gekauft wegen der angeblichen Empfehlung. ob die empfehlung wahr ist, ist ja auch nicht sicher. ich habe jedenfalls nicht angerufen. kurz vor der eröffnung werden bestimmt erstmal gewinne mitgenommen. für 40 bekommt man die heute auch noch. gleich wird der kurs bröckeln. immerhin haben die ja noch gar nichts nachzuweisen. die haben nichts was sie verkaufen können. nur so ein Pilotprojekt. was passiert denn, wenn das projekt nicht hinhaut? und in wieviel jahren würden die denn gewinne machen??

Shortly after securing $3.8 million in financing, Arise Technologies Corp. announced yesterday that it is hoping to set up a pilot plant for the manufacture of solar-grade silicon in the University of Waterloo Research and Technology Park.
The Kitchener company still needs to raise money for the estimated $20-million three-year project to build the pilot plant.
But now that it is on a more secure financial footing, chief executive Ian MacLellan said he's feeling confident the company can move forward with its silicon strategy and grow a solar cell business.
The company and the university have until Sept. 30 to firm up the deal for a piece of land to build a pilot plant on the university's north campus.
"It is still early in the process but because we are talking to investors, we are at the stage where we felt we needed to disclose this," MacLellan said in an interview from Munich, Germany, where he addressed the Photon Academy 3rd Solar Silicon Conference.
There is a worldwide shortage of silicon for the fast-growing solar industry and traditional silicon production is also extremely energy intensive, using about seven times more energy than aluminum production, he said.
But Arise has been working on an energy-efficient manufacturing process for silicon production.
It wants to establish a pilot plant, approximately 40,000 square feet in size, at the University of Waterloo Research and Technology Park to work on that technology.
Eventually, the company also hopes to develop a full-scale silicon feedstock facility somewhere in Canada where electricity is abundant and cheap, such as northern Ontario, Manitoba or in the eastern provinces.
By securing a cheaper and more abundant supply of silicon, the company hopes to grow its photovoltaic division and also become more attractive to investors.
Arise has been collaborating with University of Toronto researchers to develop new high-efficiency solar cells that it hopes to bring to market next year.
But until now, the company has struggled with debt, so the $3.8 million in financing announced yesterday is a much-needed boost.
The company has received subscriptions for $2-million worth of units in a brokered private placement arrangement by Dominick & Dominick Securities Inc. and $1.8 million of units in a non brokered private placement.
Each unit, priced at 30 cents, consists of one common share and one half of a share purchase warrant. Each whole share purchase warrant entitles the holder to purchase one common share at a price of 35 cents, expiring two years from the date of closing.
This is by far the largest single round of financing for the company, MacLellan said.
"It is a significant shot in the arm," he said.
"It allows us to really clean up our balance sheet, which is something that has been hindering our ability to move forward. But more importantly, it gives us cash to accelerate the technology that we are developing at the University of Toronto and eventually with what we are looking at doing at the University of Waterloo."
The company was also recently informed that its common shares were being listed on the Frankfurt Stock Exchange Open Market under the symbol A3T.
Arise didn't actively seek the listing "but the way it works in Germany is that if a brokerage firm wants to make it easy for a German citizen to purchase shares, then it can request that," MacLellan said.
"The solar market has been so hot in Germany, there is a lot of interest by German citizens," he added.
Arise's shares (TSX Venture Exchange: APV) closed virtually unchanged at 50 cents yesterday.
